SPECIAL INFO FOR THE ATTACHED FORM The attached application for NAFEP's Nevada Business Package gives you a full Nevada presence with registered agent, mail and physical addresses, business license and other NV connections. If you choose to use this service, you may want to use your Mesquite address for the corporation or LLC's official address on the Articles of Inc. (LLC Articles of Organization) The only address, for either mailing or the physical address is: (Your Business Name) 343 Colleen Ct. Unit E P.O. Also, on your new corporation Articles of Inc. (or LLC Articles of Org.), your Nevada Registered Agent is: Nevada Business Office, Inc. (owned and controlled by NAFEP) (Same Mesquite Addresses as above) NAFEP uses a single phone number and a single fax number for all its corporate/llc clients, and then we provide an answering service to those clients. If you want this service, you list those common phone and fax numbers on any legal or account record which requires your Nevada numbers. NAFEP answers all incoming calls with the generic greeting, Nevada Business Office. We then screen out junk calls, telemarketing, etc., and then for legitimate calls we either take a message or give out your local number, depending on the situation. For example, if your Nevada bank calls about a bank account problem, we give them your local number so they may reach you quickly. If an attorney representing a creditor calls, we take a message. Phone requests or questions about you or your entity are handled discretely and appropriately by a knowledgeable and trained NAFEP employee. No private information is given out. Unfortunately, the phone company in Mesquite, NV will no longer provide local listings for our corporate/llc accounts when those accounts use the common numbers (a recent phone tariff rule prevents this). If having a local listing is important to you, you will have to contact the local phone company and order your own, stand alone phone number. This number could then be forwarded either to you or to NAFEP s Nevada Business Office answering service. But your cost would be whatever a single business line costs per month, and you would deal directly with the Mesquite phone company for this service and payments. Either way you handle it, having a Nevada phone number provides further proof of your physical presence and business activity in Nevada. If you use NAFEP s common phone number approach, we will give you the phone and fax numbers after receiving your attached order for the Nevada Business Package.
Page 1 -- Nevada Business Package Information and Order Agreement 0404 NEVADA BUSINESS PACKAGE INFORMATION AND ORDER AGREEMENT In order for a Nevada entity, operating in your home state, to provide secure privacy and Nevada s special limited liability protection, the entity must have a "real" Nevada presence. Mere formation with the Nevada Secretary of State is not sufficient to establish your organization as a valid Nevada entity. Without a private mail forwarding service and some specific legal, physical and financial connections to Nevada, in a lawsuit a Nevada court could (correctly) hold that your entity is only an out of state entity, and therefore not entitled to Nevada protections. NAFEP has an annual "Nevada Business Package" to provide your private mail forwarding and needed connections to and presence in Nevada. This package will do the following: 1. For new entities, file your initial Articles of Incorporation or LLC Organization with the Nevada Secretary of State, and provide you with another set of these documents for you to file in your home state. 2. Provide both a P.O. Box mailing and a physical street address (both in Mesquite, Nevada). This is necessary to establish your entity's physical presence in Nevada. Your business entity will be a "lessee" at this location and address. These addresses and the related property are owned and controlled by NAFEP, not by a third party. 3. Provide a Nevada based phone and fax number, see prior page for details. 4. For an additional $100 fee per year, payable to the state of Nevada, NAFEP will obtain and then display a Nevada State Business License at your Nevada address. This service is optional, you can skip this if you are seeking privacy or tax planning only, and where limited liability (lawsuit protection) is not as important to you. 5. Privately forward all Nevada mail to your entity's home state business address. Forwarding occurs twice weekly, and can delay your Nevada addressed mail for approximately one week. 6. Assist in obtaining a Nevada bank account at Wells Fargo Bank for your entity, for either "nominal" or active use. This can provide a significant measure of privacy and is necessary to help prove your entity's financial connection to Nevada. This is your bank account, which only you control, but its address should be your Nevada business address (bank statements will be forwarded to you, see item 5 above). 7. Year to year provision of a Nevada registered agent. This is required by Nevada state law and is critical in maintaining privacy. Your registered agent will be a Nevada corporation owned and controlled by NAFEP, not by a third party. Your Nevada registered agent, as required by Nevada law, keeps on hand (for any legal inspection by a stockholder or LLC member of your entity) copies of: Certified copy of articles of incorporation or LLC organization, copy of corporation bylaws or LLC operating agreement, and stock or LLC membership ledger. With the above arrangements in place on an on-going basis, you will have a solid basis for proving in court, if necessary, that your entity has a real Nevada presence. You can demonstrate that you are personally entitled to limited liability protections under Nevada law. Anything less than these arrangements leaves you vulnerable to personal legal attacks that Nevada's courts and laws cannot help you with.
