By using www.preply.com and its sub-domains, including our platform for connecting students and parents to tutors, searching for tutors, as well as our online discussion forums and chat rooms (the Website ), and the services and features made available through the Website and any related Preply mobile device application (collectively, the Services ), you indicate your unconditional acceptance of these Terms of Service, on your own behalf and, if you are a parent/guardian ( Parent ), on behalf of each of your children that use our Services. Throughout these Terms of Service you or your may refer as applicable to the Student (as defined below), the Parent, each Tutor (as defined below) accessing or using any of our Services (each a "User"). Please read these Terms of Service carefully, as they may have changed since your last visit. We reserve the right to change these Terms of Service from time to time for any reason, which shall be effected by posting of the updated Terms of Service to our Website. Access to the Website, and use of the Services are subject to these Terms of Service and the Preply Privacy Policy available on the Website. 1. Introduction. You may be accessing and using the Website as (i) a Student, (ii) a Parent, (iii) a Tutor or (iv) a member of the general public simply using the functionality, and/or reviewing the content, that is publicly available on the Website. Preply hereby grants to you, on the Terms of Service set forth herein, a nontransferable, non-sublicensable, non-exclusive, limited right to access and use the Services solely for your non-commercial, personal use and subject to the policies and restrictions that we post on our Website from time to time. Certain of our Services are reserved for registered users on our Services. The Services include an online auction-based e-marketplace for connecting Users seeking tutoring services and materials ( Students ) and Users who provide tutoring services and materials ( Tutors ). The Services provide connections to Tutors who are willing to be engaged by Students and Parents as independent contractors. As independent contractors, the listed Tutors control the methods, materials and all aspects of the lessons. The Services allow Tutors to create subject-specific tutoring packages for certain number of hours that may occur over a number of tutoring sessions (each session individually a Tutor Session, collectively the Tutor Package ). A Tutor may submit a Tutor Package for posting on the Services by submitting a listing ( Listing ) consistent with the policies set forth by Preply on the Website from time to time. The Tutor Packages may include written materials or other learning media ( Tutor Materials ) as provided by a Tutor to assist Students in the Tutor Sessions. Upon a Tutor s Listing being posted on our Services, such Listing will be open to bids from Students and Parents during a set period of time (the Bidding Window ). Students and Parents may search and bid on Tutor Packages as offered by Tutors by entering certain parameters to search the available Tutor Packages. You are responsible for selecting the right Tutor for your needs. Before making a bid, you should review and investigate each Tutor's self-reported credentials, education, and experience, as well as reviews from other Parents and/or Students. All tutoring sessions should be supervised by a responsible adult. 2. Preply is Only a Platform. The Services include a platform for connecting Parents, Students, and Tutors. Upon bidding and winning an auction on a Listing, a Student or Parent may be referred to a Tutor. Preply does not take part in the interaction between Students and Tutors. Other than providing the platform for Students, Parents

and Tutors to connect, Preply does not monitor or have control over transactions between Users. Preply does not monitor or control Tutor Package provided by Tutors, any reviews or ratings provided by Users, nor of the actions or omissions whatsoever of any User. Preply cannot confirm that each User is who they claim to be, though Preply may conduct background checks on Tutors. WHILE WE USE GOOD FAITH EFFORTS TO CONFIRM THAT EACH TUTOR ON OUR WEBSITE IS A LEGITIMATE INSTRUCTOR, WE ARE NOT ABLE TO PROVIDE ANY ASSURANCES REGARDING THE TRUSTWORTHINESS OF TUTORS AND THE INFORMATION THEY PROVIDE VIA OUR WEBSITE. WHEN INTERACTING WITH OTHER USERS YOU SHOULD EXERCISE CAUTION AND COMMON SENSE TO PROTECT YOUR PERSONAL SAFETY AND PROPERTY, JUST AS YOU WOULD WHEN INTERACTING WITH OTHER PERSONS WHOM YOU DON T KNOW. NEITHER PREPLY NOR ITS AFFILIATES OR LICENSORS IS RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICE. PREPLY AND ITS AFFILIATES AND LICENSORS WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THE SERVICE. 3. Transactions and Our Fees. a. Bidding. You are responsible for reviewing a Listing for the Tutor Package prior to making a bid or commitment to buy, including any instructions the Tutor provides. Unless otherwise stated, by making a bid or commitment to buy a Tutor Package on Preply, you are committing to buy the Tutor Package from the Tutor listing the Tutor Package. If you make a commitment to buy or your bid is the winning bid or is otherwise accepted, you enter into a legally binding contract with the Tutor and are obligated to purchase the Tutor Package. Preply does not transfer legal ownership of tutor materials from the Tutor to the Student or Parent. Preply makes no representations about the suitability, timeliness, or accuracy of the Listings ortutor Packages requested and provided by Users through the Services. b. Student-Tutor Transactions. Users contract for Tutor Packages directly with other Users. Preply will not be a party to any contracts for Tutor Packages or any other service or materials provided by a Tutor or in any way be responsible for monitoring any transaction between Students, Parents, and Tutors. As with the purchase of a service or product through any medium or in any environment, you should use your best judgment and exercise caution where appropriate. Preply facilitates contracts for Tutor Packages between Users by supplying a platform for the payment for such services. By making a bid, Students or Parents are making an offer of payment for a Tutor Package (such payment, a Package Payment ). Upon winning a bid, the respective Student or Parent shall pay the full amount of their winning bid to Preply within forty-eight (48) hours after winning the bid. If such payment is not received by Preply within 48 hours, Preply may, in its sole discretion, either seek payment in accordance with Section 3(d) or cancel the winning bid. Upon non-payment by the User of the winning bid, Preply may provide the applicable Tutor with an option to choose to cancel the auction, re-launch the auction for the Tutor Package, or award the auction to another User who bid in the auction. All payments shall be made through the Services. Upon receiving payment from a Student (or a Parent on a Student s behalf), Preply will hold such payment and disburse it to the applicable Tutor on a pro-rata basis on a per lesson basis. When a Tutor Session is marked as closed by the Student (or a Parent on a Student s behalf), the pro-rata payment based on the number of hours of the session will be transferred to the Tutor s online account. When the tutor session is marked complete by the Tutor, which is an optional action, the Student will have three (3) days before the Tutor Session is automatically deemed complete in the system database and the Tutor is paid the agreed upon Package Payment. Students and Parents agree that Preply is not responsible for any claims for refunds of amounts paid to Tutors in accordance with the foregoing process. Tutors, Students, -2-

and Parents will be liable for all transaction taxes on the services related to the Tutor Packages (other than taxes based on Preply s income). All Users agree that they will not sell or buy tutor services or materials from another User other than through our Services. c. Our Fees. Registering to become a member of Preply and bidding on listed Tutor Packages is free. You are responsible for paying all fees and applicable taxes associated with our sites, services, and tools with a valid payment method within forty-eight (48) hours of winning a bid. We charge Tutors a commission for our Services, as we may agree separately with each Tutor from time to time. Tutor s failure to pay required fees shall be a material breach of these Terms of Service. d. Billing and Payment Policy. All information that you provide to register with Preply including your credit card information or PayPal account information is subject to Preply 's Privacy Policy. We use a third party payment service, currently PayPal, to bill you through an online account (your Billing Account ) for your Package Payments in lieu of directly processing your credit card information. By submitting your credit card information, you grant Preply the right to store and process your information with the third party payment service, which it may change from time to time; you agree that Preply will not be responsible for any failures of the third party to adequately protect such information. The processing of payments will be subject to the terms, conditions and privacy policies of paypal.com in addition to these Terms of Service. You acknowledge that we may change the third party payment service and move your information to other service providers that encrypt your information using secure socket layer technology (SSL) or other comparable security technology. e. Refunds. Other than an expressly set forth on our Website as updated from time to time, Preply has no obligation to provide refunds or credits, but may grant them in certain circumstances, as a result of specific refund guarantee promotions, or to correct any errors made by Preply, in each case in Preply s sole discretion. For any refund guarantee promotion set forth on the Website by Preply, such refund policy will only apply for Tutor Sessions for which a User notifies Preply about in writing regarding the reason for User s dissatisfaction with such Tutor Session within three days of completion of such Tutor Session. 4. Disputes; Release. Preply expressly disclaims any liability or claims that may arise between Users of its Services. You are solely responsible for your interactions with all other users and any disputes that arise from those interactions with other Users. Preply may monitor disputes between Users, but is not obligated to monitor such disputes. Because Preply is not responsible for or involved in any contact between Students, Parents and Tutors or in the assessment or provision of Tutor Packages, in the event that you have a dispute with one or more Users, you hereby release Preply (and our officers, directors, agents, investors, subsidiaries, and employees) from any and all claims, demands, or damages (actual or consequential) of every kind, known and unknown arising out of or in any way related with such disputes. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor." 5. Access and Use Terms. -3-

a. General Access and Use Rights. Certain of our Services are reserved for registered users on our Website. To become a registered user you must register on our Website for login credentials to be provided or enabled by Preply ( Login Credentials ) based on the type of access applicable to your use of the Website (whether Student, Parent or Tutor). You agree that you are responsible for protecting your Login Credentials from unauthorized use, and you are responsible for all activity that occurs under those Login Credentials. you agree to notify us immediately if you believe that any of your Login Credentials have been or may be used without your permission so that appropriate action can be taken. You may not (i) create more than one account to access the Website, (ii) share your Login Credentials with any third party nor (iii) transfer your account to any third party. Preply is not responsible for any loss or damage caused by, or expense incurred by you as a result of, your failure to safeguard your Login Credentials. You agree that you shall not rent, resell, or to remarket the Website or to provide access to the Services to any third party. We are not responsible for losses or damage caused by your failure to safeguard your login and password. We reserve the right to remove any Listings from the Website at any time in our sole discretion. Preply may terminate any Login Credentials in its sole discretion; You will not be entitled to create a new account to access the Website if your prior Login Credentials have been terminated by Preply. b. Profiles. Upon registering for our Services, a user profile may automatically be created for you. In such case, you may select a profile photo to display with your profile information. Preply is not responsible for any personal information you choose to share within your profile. c. Tutor-Specific Representations. If you utilize the Services as a Tutor, (i) You represent and warrant that for each Listing you provide to Preply for a Tutor Package you have the right to provide all Listings for the purposes of this Agreement and that you are capable of fulfilling any offers contained in such Listing for the applicable Tutor Package; (ii) You warrant that you will keep all your Listings up to date on the Website by notifying Preply of any changes that would affect the accuracy of such Listings; (iii) You hereby grant to Preply and its Users, the right to view and distribute your Listings without restriction and you acknowledge that your Listings may be widely disseminated and viewed by large numbers of people; (iv) You acknowledge and agree that Preply may display advertisements on the Services or in connection with your Listing without any payment obligation to you; and (v) You agree to use good faith efforts to coordinate how you will interact with Student online for the Tutor Sessions. d. Student-Specific Representations. If you utilize the Website as a Student or Parent, (i) You agree to honor the commitments you make to the Tutor via the Website; (ii) You agree that you will not circumvent or manipulate our fee structure, the billing process, or fees owed to Preply or the Tutor; fail to deliver payment for items purchased by you; and (iii) You agree to use good faith efforts to coordinate how you will interact with Tutor online for the Tutor Sessions. -4-

e. Independent Contractor. In all such cases, Users are acting as independent contractors and not as Preply s or any other party s employee, agent, franchisee or servant. Accordingly, you will be solely responsible for all costs incurred by you or your organization. You shall not hold yourself out as having authority to make contracts or promises on behalf of Preply. Decisions regarding whether and when to sell Tutor Packages shall be made by the Tutor only. You agree and acknowledge that a Tutor may, in its sole discretion, discontinue, change or replace any of its Listings, or withdraw the Listings from the Website, without restriction under this Agreement. f. Confidentiality. You agree and acknowledge that all of the transaction information that you access on the Website about the Tutor or Student is the confidential information of the Tutor, Student or of Preply as applicable ( Confidential Information ). You agree to not use the Confidential Information except for the purposes set forth in these Terms of Service and to not disclosure such confidential information to any third party. 6. Scope of Service. Preply maintains this Website as a service to the user community that visits the Website subject to these Terms of Service. You are responsible for obtaining any equipment and Internet service necessary to accessing our Services and for paying any fees for the equipment and service You select. We may alter, suspend, or discontinue this Website or the Services in whole or in part, at any time and for any reason, without notice. The Services may also periodically become unavailable due to maintenance or malfunction of computer equipment or for other reasons. We may provide access to third party services and products from time to time or to our own products or services. You acknowledge that the Website and any mobile applications are evolving and that the form and nature of the Website or mobile applications, including the Services, may change from time to time without notice to you. If you are using the Services in your capacity as an employee, you must have the ability to bind your employer by your use of the Services. 7. Website Content. Users have a personal, non-transferable, non-exclusive right to access and use the Content of this Website subject to these Terms of Service. The term Content means all information, text, images, data, links, software, or other material accessible through the Website or Services, whether created by us or provided by another person for display on the Website or through the Services. The Content may contain typographical errors, other inadvertent errors or inaccuracies. We reserve the right to make changes to document names and content, descriptions or specifications of products or services, or other information without obligation to issue any notice of such changes. You may view, copy, download, and print Content that is available on this Website or through the Services, subject to the following conditions: a. Content Submitted by Users. a. Accuracy. You may use the Services without volunteering personally identifiable information. Please refer to our Privacy Policy for additional information on our practices for handling personally identifiable information. However, if you choose to provide information to register for or participate in a service, event, or promotion on this Website, You agree that you will provide accurate, complete, and up to date information as requested on the screens that collect information from you. b. Liability. We are not responsible or liable for the conduct of Users or for views, opinions and statements expressed in Content submitted for public display through our website, such as through an online discussion forum or chat room. We do not prescreen information posted to online discussion forums or chat rooms. With respect to such forums and chat rooms, we are acting as a passive conduit for such distribution and are not responsible for Content. By posting a Listing on the Services, you agree to pay Preply's fees, to assume full responsibility for the content of the Listing and Tutor Package, and to accept the following listing conditions: When you -6-

list an Tutor Package on the Services, your Listing may not be immediately searchable by keyword or category for several hours, so Preply does not guarantee exact listing durations. Preply's duplicate listing policy may also affect whether your listing appears in search results. Where your Listing appears in search and browse results may be based on certain factors including, but not limited to, listing format, title, bidding activity, end time, keywords, pricing, feedback, and detailed Tutor ratings. You can read more about where your Listings appear on the information provided on our Website from time to time. 11. Prohibited Conduct. No Interference with The Website; No Manipulation. You shall not manipulate the price of any goods or services offered on the Services, in any manner. Furthermore, you shall not disrupt or otherwise interfere in any way with any other User's use of the Services. By accessing our Services or any chat room, online discussion forum, or other service provided through our Website that allow Users to communicate to other Users ( Public Areas ), You agree to abide by the following standards of conduct. You agree that You will not, and will not authorize or facilitate any attempt by another person to use our Website or any related chat room or online discussion forum to: a. Fail to deliver Tutor Packages purchased from you, unless the Student or Parent fails to meet the posted terms, or you cannot reach the Student or Parent. d. Manipulate the price of any item or interfere with other Users Listings. e. Use a name or language that Preply, in its sole discretion, deems offensive. f. Post false, inaccurate, misleading, defamatory, or libelous content (including personal information). g. Post hateful or racially or ethnically objectionable Content. h. Post Content which infringes another's copyright, trademark or trade secret. i. Advertise or offer to sell any goods or services for any commercial purpose through the Service which are not relevant to the services offered through the Service. j. Post unsolicited advertising or unlawfully promote products or services. k. Take any action that may undermine the feedback or ratings system when it becomes available (such as displaying, importing or exporting feedback information off of the sites or using it for purposes unrelated to Preply) l. Harass, threaten or intentionally embarrass or cause distress to another person or entity. -7-

m. Impersonate another person. n. Promote, solicit, or participate in any multi-level marketing or pyramid schemes. o. Exploit children under 18 years of age. p. Engage in disruptive activity such as sending multiple messages in an effort to monopolize the forum. q. Encourage conduct that would constitute a criminal or civil offense. All submissions made to Public Areas will be public, and Preply will not be responsible for the action of other Users with respect to any information or materials posted in Public Areas. 12. Minors. Preply services are available only to, and may only be used by, individuals who are 18 years and older who can form legally binding contracts under applicable law. Individuals under the age of 18 can use our Services only in conjunction with and under the supervision of a Parent. In this case, the Parent is responsible for any and all activities of the Student. 13. No Solicitation. Without limitation, the Service may not be used to solicit for any other business, website or service. You may not solicit, advertise for, or contact in any form Users for employment, contracting, or any other purpose not related to the Service facilitated through Preply without express written permission from Preply. You may not use the Service to collect usernames and/or email addresses of Users by electronic or other means without the express prior written consent of Preply. -8-

14. Employment and Withholding. The Services are not an employment service and Preply does not serve as an employer of any User unless separately subject to a signed, written employment contract. As such, Preply will not be liable for any tax or withholding, including but not limited to unemployment insurance, employer s liability, social security or payroll withholding tax in connection with your use of Users services. You understand and agree that if Preply is found to be liable for any tax or withholding tax in connection with your use of Users services, then you will immediately reimburse and pay to Preply an equivalent amount, including any interest or penalties thereon. 15.
