I acknowledge and agree with the Seller as follows: PART II. TERMS AND CONDITIONS 1. Entire Agreement These Terms and Conditions and the Sign Up Form together make up the agreement with the Seller (my Agreement ) who is licensed by the Ontario Energy Board ( OEB ) to market natural gas in Ontario under license number GM-2013-0324. 2. Seller s Appointment as Agent and Supplier I appoint the Seller to act as my exclusive agent and sole natural gas supplier in connection with the account number listed on my Sign Up Form. This will include all matters relating to the supply of natural gas, including but not limited to the purchase, transportation and storage (including volume balancing) of my natural gas supply and any other related services that may be required from time to time. I will ensure that all of the natural gas consumed by my account is purchased from the Seller and that my account remains active, in good standing, and in the name of the Buyer for the full term of this Agreement. 3. Utility Services I understand that the Seller is a marketer of natural gas and not my natural gas distribution utility (my Utility ), and that my Utility will continue to deliver my natural gas, read my meter, send me my monthly natural gas bill and provide other regulated services as approved by the OEB. I understand that I will continue to be responsible for payment of these services to my Utility. 4. My Term and Start Date The term of this Agreement is the term that I selected on the Sign Up Form (my Term ). The delivery of my natural gas supply under this Agreement will commence on the date as indicated on the Sign Up Form (my Start Date ). I agree to allow the Seller to delay the Start Date of my Agreement for a maximum period of three (3) months under the following conditions: (a) The utility account number that I provided to the Seller is not valid, or; (b) I am currently under contract with any natural gas marketer and my utility account number, when submitted by the Seller to my Utility, is still being rejected by my Utility 30 days prior to my Start Date. 5. My Rate My rate for this Agreement shall be the rate that I selected on the Sign Up Form (my Rate ) as follows: (a) If my product selection was a Fixed Rate, my Rate, expressed in cents per cubic metre ( /m3), for the entire Term of this Agreement shall be equal to the Fixed Supply Rate that I selected on the Sign Up Form, or; (b) If my product selection was a Blended Rate, my Rate, expressed in cents per cubic metre ( /m3), shall be calculated and change on the first (1 st ) day of every calendar quarter to equal RiteRate s then weighted average market cost to purchase and secure half of my natural gas supply requirements for three (3) months, including compressor fuel, at my Utility s designated receipt point(s) multiplied by fifty percent (collectively my Variable Supply Rate ) plus my selection on the Sign Up Form for the Fixed Supply Rate, or; (c) If my product selection was a Monthly Fixed Dollar amount, my Rate, expressed as a fixed dollar amount per month ($/month), shall be equal to the Monthly Fixed Dollar amount that I selected on the Sign Up Form. that my 12 most recent months of actual billed consumption must not, at any time, exceed 3,500 m3 (more than 14% higher than that used by an average home of 3,064 m3 per year). In the event that it does, I shall be deemed to have terminated early and the provisions of Section 13 of this Agreement will apply. With RiteRate, I understand that my Transportation to Enbridge will be provided by Enbridge at their regulated rate(s) as approved by the OEB. In the event that RiteRate, under Enbridge s proposed Dawn Access Settlement Agreement as approved by the OEB, provides some or all of said transportation after October 31, 2017, I hereby agree to allow RiteRate to add the cost of said transportation to my Rate over the remaining Term of this Agreement. I will see my Rate under the Gas Supply Charge on my monthly natural gas Utility bill. I understand that the rates of RiteRate are not regulated by the OEB and that the total amount I can expect to pay RiteRate for the natural gas I purchase under this Agreement, plus all applicable taxes including but not limited to HST, will vary based on my Rate and my consumption over the full Term of this Agreement. I further understand that the Gas Supply Charge of my Utility as regulated by the OEB is variable and may, at any point in time, be higher or lower than my Rate. The rates subsequently advertised by RiteRate may also be higher or lower than my Rate during the full Term of this Agreement. 6. My Rate Cap and Option to Lock-in my Variable Supply Rate at a Fixed Supply Rate on a Later Date (for Blended Rate Customers Only) If my product selection was a Blended Rate, I understand that my Rate will be capped, for any three month period during the Term of this Agreement, at four times the Fixed Supply Rate offer that was shown on the Sign Up Form on the date on which I signed up (my Rate Cap ). My Rate Cap will represent the maximum amount that I can expect to pay, irrespective of the Seller s Variable Supply Rate as defined in Section 5b, for any three month period. I also understand that I shall have the right, but not the obligation, to convert my Variable Supply Rate into a fixed supply rate on my Start Date or on any of my annual anniversary dates ( Lock-in my Variable Supply Rate at a fixed supply rate), if RiteRate receives my written request to Lock-in no more than 120 days and no less than 60 days prior to my Start Date or annual anniversary date, as the case may be. The fixed supply rate at which I may Lock-in my Variable Supply Rate shall be the fixed supply rate provided upon request or as implied by the rates and calendar quarter start dates offered by RiteRate at RiteRate.ca for Home and Small Business customers on the date on which RiteRate receives my request to Lock-in. In the event of a dispute with respect to receiving my request, I understand that I will be responsible for providing proof of delivery to RiteRate. If I choose to Lock-in, my Rate for the remaining term of this Agreement will be recalculated to equal the sum of the fixed supply rate at which I Lock-in my Variable Supply Rate pursuant to this Section plus my selection on the Sign Up Form for the Fixed Supply Rate. 7. Seller s Conditions of Approval I understand that the following conditions must be met for the Seller to accept my Agreement: (a) My annual consumption for the Utility account number listed on my Sign Up Form as provided by my Utility to the Seller (my Consumption ) must be less than fifty thousand (50,000) m3 for the immediately preceding year, and; (b) My Utility is Enbridge Gas Distribution, who must agree to process this Agreement, and; (c) I must not be committed to a conflicting arrangement with any natural gas marketer on the Start Date of this Agreement. In the event that any of the above conditions are not met, the Seller may still choose to accept this Agreement at its sole discretion and will do so in writing. If the Seller chooses to not accept the Agreement then neither the Seller nor me will be under any further contractual obligation. 8. Buyer s Right to Cancel and Consumer s Rights I may cancel this Agreement, without liability, under the following conditions: (a) (b) (c) Within ten (10) calendar days, and without reason, after receiving a copy of this Agreement, in which case I shall be entitled to a full refund of any amounts paid under this Agreement, or; Within one (1) year of receiving a copy of this Agreement if it does not contain all of the information required by Section 23.2 of the Consumer Protection Act, or; At any time if this Agreement does not meet the requirements of Section 12(1) of the Energy Consumer Protection Act, 2010 ( ECPA ) or we engage in an unfair practice under the ECPA in relation to you. I understand that cancellation can be provided by any method for which I can provide evidence of the date of delivery, including by mail, fax, or email sent to the address shown in Section 20 of this Agreement. In addition, this Agreement will cease to take effect without any liability to either me or the Seller under the following conditions: (d) If the Seller does not provide me with a copy of this Agreement within forty (40) days after I sign it, or; (e) If I fail to verify this Agreement, if required, in accordance with Section 9. Nothing in this Agreement negates or varies my rights to cancel the contract under and in accordance with the ECPA and Part I of Ontario Regulation 389/10. 9. My Requirement to Verify the Agreement In accordance with Section 17(1) of the ECPA, I understand that I am NOT required to verify this Agreement if it results from: (a) (b) My decision to contact the Seller in response to an advertisement that I hear or see, unless done so within thirty (30) calendar days of the Seller contacting me, or; My response to a direct mail solicitation from the Seller, or; (c) An internet agreement with the Seller within the meaning of the Consumer Protection Act, 2002. Otherwise, I understand that I must verify this Agreement by sending a letter or email to the Seller confirming my intention to enter into this Agreement no less than ten (10) calendar days and no more than forty-five (45) calendar days after the date on which the Seller delivers to me a copy of this Agreement. 10. Billing and Payments I understand that my Utility will be sending me a single consolidated monthly natural gas bill that includes the charges of both the Seller and my Utility. I agree to pay all amounts owing as they become due, including any late payment charges, security deposits, and applicable taxes as required by my Utility and approved by the OEB. 11. Change of Account Number If my spouse or I continue to reside at the service address I provided on the Sign Up Form and there is a change in the Utility account number for the service address, I must provide the new Utility account number to the Seller no more than thirty (30) calendar days after the date on which the change takes effect. Further, if I choose to rent my house I must make it a condition of the Rental Agreement that my tenant will honor this Agreement and I must provide the Seller with the new Utility account number for said tenant. If I fail to provide the new Utility account number in either of these instances, I will be deemed to have terminated early and the provisions of Section 13 of this Agreement will apply. 12. Moving or Selling My Property If I permanently move or am selling my property to which natural gas service is being supplied under this Agreement, I must provide the Seller with written notification, together with documentation to support my move or sale, no less than thirty (30) calendar days prior to my move or closing date. If I fail to do so, I may be deemed (in the sole discretion of the Seller) to have terminated early and the provisions of Section 13 of this Agreement will apply. I understand that the Seller will make every reasonable effort to continue to supply natural gas to me under this Agreement at my new location. I further understand that I may cancel this Agreement by providing the Seller with a written cancellation request, by mail, fax, or email sent to the address shown in Section 20 of this Agreement, no more than thirty (30) calendar days after my move date. Where a written cancellation request is received by the Seller within 30 days of my move date, and the documentation provided to the Seller supports my permanent move or sale, this Agreement shall end early without a charge for the Early Termination Amount set out in Section 13 and neither the Seller nor me shall be under any further contractual obligation. 13. My Right to Terminate Early In addition to all other cancellation rights, I may terminate this Agreement at any time prior to the end of my Term by providing the Seller a written notice of termination by mail, email or fax to the address shown in Section 20 of this Agreement. I understand that any material breach of this Agreement on my part will also constitute an early termination. In the event of early termination, I agree to pay the Seller an amount (my Early Termination Amount) as follows: (a) If my twelve (12) most recent months of actual billed consumption is greater than 3,500 cubic metres, my Early Termination Amount will equal five (5) cents per cubic metre multiplied by the total natural gas volume, expressed in cubic metres, that I am reasonably expected to consume over the remaining term of this Agreement. For the purpose of this calculation, the Seller will use my actual average monthly consumption for the twelve (12) most recent months, acting reasonably, multiplied by the number of months remaining in my Term, to estimate the total volume of natural gas that I am reasonably expected to consume over the remaining term of this Agreement (b) If my twelve (12) most recent months of actual billed consumption is less than or equal to 3,500 cubic metres, my Early Termination Amount will be equal to $100 for each year, or part year, remaining in this Agreement. I also agree to pay for any sales tax owing on the Early Termination Amount, that the Seller is legally required to collect from me, and that the amounts determined pursuant to this Section 13 will be paid directly to the Seller. Provided payment is received no less than 16 days prior to the end of a month, this Agreement will terminate on the first day of the following month. 14. My Option to Average Down my Rate on a Later Date I understand that I shall have the right, but not the obligation, to Average Down my Rate on a later date provided that RiteRate receives my written request to do so no more than 120 days and no less than 60 days prior to my Start Date as indicated on my Sign Up Form, or to the 1 st day of any calendar quarter thereafter over the Term in this Agreement, as the case may be. The rate at which I may Average Down my Rate shall be provided to me by RiteRate upon request and shall be calculated by taking my Rate for the remaining Term in this Agreement and prorating it with a rate for a term offered by RiteRate at RiteRate.ca to Home and Small Business customers on the date on which RiteRate receives my written request to do so, with said term equal to or greater than my remaining Term (my Averaged Down Rate ). If I choose to average down my Rate, my Averaged Down Rate will be activated by signing up with RiteRate at RiteRate.ca for a new agreement using a unique activation code provided to me by RiteRate. I also understand that if I do so, RiteRate will seamlessly end this Agreement early without a charge for the Early Termination Amount set out in Section 13. The date on which my Averaged Down Rate takes effect shall be the start date as indicated on my new sign up form with RiteRate. In the event of a dispute with respect to receiving my written request, I understand that I will be responsible for providing proof of delivery to RiteRate. 15. My Personal Information I authorize and direct my Utility to release information to RiteRate about my natural gas account including, without limitation, my meter information, consumption, credit and payment history. In accordance with the OEB Code of Conduct for Gas Marketers, I understand that my personal information may be used, without my consent, for the specific purposes of: (a) Billing or market operations, or; (b) Law enforcement or complying with a statute or an order of a court or tribunal, or; (c) Processing past due accounts, which have been passed on to a debt collection agency, or; (d) Complying with the Market Rules. If I signed up through a RiteRate partner program, identified by a unique promotion code that I entered when signing up, my personal information may be shared with the respective partner organization. Furthermore, if the Seller, acting reasonably, believes that one of its affiliated companies has a product or service that may be of interest to me, my personal information may be shared with the respective affiliated companies. Otherwise, the Seller will not disclose my personal information to anyone without my written consent. 16. Assignment I understand that I may not assign this Agreement without the written consent of the Seller. I understand that the Seller may assign this Agreement to a third party without my prior consent. In the event that the Seller assigns this Agreement to a third party, I understand that such third party may choose to bill me directly for the natural gas supplied to me under this Agreement. I further understand that the Seller may use this Agreement as security to obtain a supply of natural gas for me. 17. Force Majeure If the Seller is unable to perform any of its obligations under this Agreement due to events or circumstances beyond its reasonable control, the Seller shall not be liable for its failure to perform for the duration of such events or circumstances. I agree that neither the Seller nor its agents shall be liable to me for any direct, economic or consequential losses however so caused. 18. Renewing or Extending this Agreement Regulations currently provide that the Seller may renew or extend this Agreement by giving me a notice of renewal no more than 120 days and no less than 60 days prior to the end of my Term (my Renewal Notice ). My Renewal Notice must contain a proposed or extended contract, disclosure statement, price comparison, and a form for canceling my Agreement, as prescribed by Section 15 of Ontario Regulation 389/10 made under the ECPA. Upon receipt of my Renewal Notice, I may: (a) (b) Sign a new agreement, or; Notify the Seller in writing, in the manner and within the timeframe specified in the Renewal Notice in accordance with applicable regulation that I do not wish to enter into a new agreement. If I fail to notify the Seller of my intention, I understand that my Agreement will be automatically renewed or extended for a period of one (1) year from the end date of this Agreement at the rate indicated on my Renewal Notice. If my Agreement is automatically renewed, I understand that I may cancel the Agreement at any time during the one year extension period, without any cost or penalty, by giving the Seller written notice by mail, fax, or email sent to the address shown in Section 20 of this Agreement. I also understand that the Seller may choose not to exercise its right to automatically renew or extend this Agreement. 19. Governmental Approvals, Regulation, and Agreement Amendments I hereby agree, together with the Seller, to be bound by any legislation, regulations, bylaws or similar enactments, or changes thereto, of the Federal and Provincial Governments and the relevant municipalities governing the supply of natural gas. In the event that any material provisions of this Agreement become inconsistent with such enactments, the provisions of such enactments shall govern. The Seller may choose to amend this Agreement by sending me a written copy of the proposed amendment. Said amendment will only take effect if I consent to the amendment in writing, no less than 60 days prior to the effective date of the amendment. I further understand that if I consent to the amendment I have 20 days to retract my consent, without any reason, by sending written notice of my retraction by mail, fax, or email sent to the address shown in Section 20 of this Agreement. 20.
