This is a unit linked group superannuation plan for employer-employee groups. A minimum of one account is established for each individual/member under the scheme, to which employer contributions are credited. The rules pertaining to the amount of employer contributions to this account would be as per Trust Rules. Such account will be designated as Main Account. An optional account may be established for each member to allocate the voluntary employee contributions. These voluntary contributions may be regular, lump sum or transfers from previous employment or from any such other sources. Such Account will be designated as Voluntary Contribution Account. All the contributions would be received only through the trustees. The trustees shall mention the contribution allocation ratio between the voluntary contribution accounts and the main accounts. In addition, at scheme level there would be a single account under each policy termed as Company Account. This account will facilitate investment of excess money with the trust. Excess money may arise when: Minimal of charge components Simple and transparent product design Flexibilities in investment by the Employer as well as employee Switching & Redirections Employees leave the scheme before the benefit vesting period, (example: Say 5 years), or Adjustment of extra Contribution, if any, by trustees. 2

The trustees can use the amounts in the company account or to pay future contributions. Ordinary Annual Contributions Ordinary Annual contributions are required to secure the benefits in respect of the current year of service of the members. Member s Voluntary Contribution Member s voluntary contributions are required to secure benefits in respect of the current year of service of the members. What are the benefits under the plan? Superannuation benefits can only be payable on occurrence of following events, as per trust rules: Death Disablement resulting in termination of employment of a member Retirement Resignation Any other reason resulting in termination of employment of a member 3

Benefits Payable On Occurrence Of Death or Disablement: The benefit payable on the death or disablement of the member would be the account value existing in the voluntary contribution and main account of the member, on the date of intimation for occurrence of the event. The benefit payout options shall be at the discretion of the nominee or legal heir. The nominee/legal heir can choose: Either, -100% accumulations to purchase annuities Or -100% withdrawals, as lump sum benefit with no tax implications. Or - A part of the account value can be used to purchase annuities and rest can be withdrawn as lump sum benefit. Benefits Payable On Survival (Retirement & Resignation): Under insured events such as Retirement, Resignation or Termination of Employment the trustees would provide following benefit options to the members: 1. The applicable account value (as per trust rules), would be used to buy annuities from MNYL or from any other IRDA approved insurers. 2. Commute maximum up to one-third (1/3) of the account value as immediate cash payment, and rest of the amount to be used to buy annuities as per above clause. Charges Under The Plan Fund Management Charge Conservative Fund Balanced Fund Growth Fund 0.75% p.a. 0.85% p.a. 0.95% p.a. This is a charge levied as a percentage of the value of assets and shall be appropriated by adjusting the net asset value. The rate to be levied will be equal to the annual rate, as given above, divided by 365 and multiplied by the number of days that have elapsed since the previous unit valuation date. Policy Administration Charge Rs. 11 per month per member, which will increase every year by a maximum of 5% per annum. This charge is levied at the beginning of each policy month from the Main Account of each member. Surrender Charge Policy Surrendered within 1 st Policy Year 5 2 nd Policy Year 4 3 rd Policy Year 3 4 th Policy Year 2 5 th Policy Year 1 6 th Policy Year Onwards Nil Charge (% of Fund Value) If a member leaves the scheme during the first three policy years other than due to superannuation or death or disablement, a surrender charge of 2% of the total account value pertaining to the member will be levied. This charge will not be levied after third policy year. Switching Charge First two switches by a member in each policy year are free. Subsequent switches, if any, will attract a charge of 0.1% of the amount switched, subject to maximum of Rs. 1000/-. If the amount of the switch is more than Rs. 5 crores in any calendar month, the policyholder shall give a 15 days notice to the Company. The Company reserves the right to determine the time or period of period of during which the switch will be implemented. 7

Redirection Charge All redirections in a policy year are free of charge. Policyholder may redirect future contributions between available funds at any time by giving to the Company 7 day s prior written notice. If policyholder chooses to redirect contributions to more than one fund, the percentage of future contribution that can be redirected into each fund must meet the Company s minimum percentage criteria in force at that time (which is zero currently and subject to change after approval of the IRDA). Company will apply the redirection to future contributions received from the date following Company s acceptance of the redirection request. Annuity Option available from MNYL At MNYL, options available under immediate annuity are as follows: Life Annuity i.e. the annuity is paid to the employee during its entire lifetime. Life Annuity + Return Of Purchase Price On Death Life Annuity but guaranteed for 5 or 10 or 15 or 20 Years In future, MNYL may alter or add other annuity options. Tax Benefits Initial Contributions as well as ordinary Annual contribution is allowed as a business expense for the employer (Sec 36 (1) (iv)) In case ordinary annual contribution does not exceed Rs.100,000.00 per employee per annum, no Fringe Benefit Tax is payable by the employer on the amount of contribution. Income received by trustees on behalf of an Superannuation Fund is exempt from tax. (Sec 10 (25) (iii)) Ordinary Annual Contribution is not treated as income in the hands of the employees (Sec 17 (2) (v)) Any contribution by employee to a superannuation fund will be entitled for deduction under section 80C. Any payment made from an approved superannuation fund on death of the employee or to the employee in lieu of or in commutation of an annuity on or after retirement or on his becoming incapacitated prior to such retirement or by way of refund of contribution on the death of the employee is exempt from tax.( Section 10(13)) Annuity payments are chargeable to tax.(section 17(1)(ii)) If an employee commutes the annuity before retirement or being incapacitated then the commuted value will be taxable in his hands at an average rate of tax for the preceding three years at which employee was liable to pay tax on his income. Revival Provisions A grace period of 90 days will be given to the policyholder to pay the contributions beyond the contribution due dates. On non-payment of contributions in the grace period an opportunity will be given to the policyholder to revive the contract within a period of five years from the date of first unpaid contribution by paying all due Contributions to the Company. In addition, all due charges pertaining to the period from the due date of payment of contribution to the date of revival will be deducted from the members accounts by cancellation of units. However, at the end of the five-year period allowed for revival if the contract is not revived, the contract shall be terminated (by giving prior notice of 3 months) and paying the account value after recovering all applicable charges. 8

Unit Price Calculation Unit price of a fund will be determined by dividing the Account value by the outstanding number of units on the valuation date. The account value/value of a fund will be determined and based on the market value/ fair value of assets held by the fund plus the expenses incurred in the purchase of the assets less the expenses incurred in the sale of the assets plus the value of current assets plus any accrued income net of fund management charges less the value of any current liabilities, provisions, if any. The value of all funds may increase, reduce or remain unchanged accordingly. Section 41 of the Insurance Act No person shall allow or offer to allow, either directly or indirectly, as an inducement to any person to take out or renew or continue an insurance in respect of any kind of risk relating to lives or, property in India, any rebate of the whole or part of the commission payable or any rebate of the premium shown on the policy, nor shall any person taking out or renewing or continuing a policy accept any rebate, except such rebate as may be allowed in accordance with the published prospectuses or tables of the insurer. General Conditions This policy is issued on the basis of policyholder s acknowledgement and agreement that: Unit Linked Group Superannuation Plan is only the name of the policy and does not in any way indicate the quality of the policy, its future prospects or returns. The names of the funds as shown in the policy do not in any manner indicate the quality of the funds, their future prospects or returns. Company does not guarantee the value of units. Depending on market risk and the performance of the funds to which the units are referenced, the value of units may fall, rise or remain unchanged. There can be no assurance that the objectives of any of the funds will be achieved and none is given by the Company. The past performance of any of the funds of the company is not indicative of the future performance of any of these funds. The funds do not offer a guaranteed or assured return. All benefits payable under the policy are subject to applicable laws. By definition this is a non-participating policy. The employer is solely responsible and liable for making provision and for payment of benefit to its employees. The company undertakes only to manage the funds for the policyholder and assumes no liability in respect of the benefit. Liability of the insurer at any point of time is limited to the fund value less surrender penalty, if any. Evidence of age of the beneficiary satisfactory to the Company must be furnished to the Company before paying any benefits under the policy. Proof of existence and identity of the beneficiary shall be furnished to the company before the payment of benefit is made. The policy or any benefits payable under the policy are strictly personal and cannot be assigned, charged or alienated in any way by the policyholder or the beneficiary. Company will only act on advise/ instructions received from the policyholder and shall not entertain any request from a member. 9
