(hereinafter referred to as the Bank) is a principal member and licensee of MasterCard International Incorporated and is duly authorised to issue MasterCard corporate cards (hereinafter referred to as Corporate Cards) and to enter into any agreement with regard to such issue. B. Whereas the Bank shall at the request of to its corporate customer (hereinafter referred to as the Company) make available to same, Corporate Cards, whose application to this effect has been duly received and accepted, to issue to the employees of that Company who are eligible for such cards (hereinafter referred to as Business Nominees) and whose names are listed in the application form. C. Whereas the Company to whom the Corporate Cards shall be issued is formally and irrevocably bound by the present Terms and Conditions. D. Whereas the Company unreservedly accepts that the present Terms and Conditions may be amended from time to time and at any time by the Bank in its sole and absolute discretion, it shall be notified of such amendments 30 days beforehand and that unless the Corporate Cards are returned 15 days after such notification, it shall be deemed to have accepted the said amendments and be bound thereby. E. This agreement is governed in all respects by the laws of the Republic of Ghana and the parties submit to the exclusive jurisdiction of the Ghanaian courts NOW, THEREFORE, it is formally agreed and covenanted as follows: 1. Definitions and Interpretations 1.1 The PIN means the Personal Identification allotted by the Bank to each Business Nominee of the Company. 1.2 ATM means Automated Teller Machine. 1.3 POS means Point of Sale. 1.4 Transaction means any purchase made or any cash advance obtained by the Business Nominee using the Corporate Card allotted to him by the Company. 2. Card Conditions Subject to the terms of this agreement 2.1 The Bank shall issue at the Bank s sole discretion, a card to enable you t obtain facilities and benefits made available by the Bank, make purchases from merchants who accepts the MasterCard. 2.2 The card may also be issued to withdraw cash from cash dispensers and ATM operated by the bank and other members of MasterCard International up to such limits as may be notified to you by the bank from time to time. 2.3 The card is and remains the property of the Bank at all times and it must be returned to the Bank on request and may be repossessed at any time without notice by the Bank or by any person acting on the Bank s behalf. 2.4 Until and unless this agreement is terminated, the Bank shall renew the card from time to time and debit the renewal and all other applicable charges to your card account. 3 Purpose of card 3.1 The Corporate Card is accepted in Ghana and abroad and enables its cardholder to: Pay for goods and services supplied by merchants displaying the sign corresponding to that appearing on his Corporate Card; Withdraw bank notes in Ghana in local currency and abroad in the currency of the country concerned, from member banks, financial institutions and ATMs displaying the sign corresponding to the one appearing on his Corporate Card. Cash withdrawal with the Corporate Card is referred to in this document as Cash Advance. 4. Delivery of Pins and Cards 4.1 A PIN shall be allotted to each Business Nominee by the Bank The Pin shall be dispatched separately from the card. 4.2 It shall be the responsibility of the Company to delegate one of its employees for the collection of the Corporate Cards from the Bank. 4.3 The company shall formally indicate the name(s) of the employee(s) mentioned in clause 4.2 above in writing to the Bank before collection of the Corporate Cards. 5. Use Of The Card 5.1 The Nominee(s) shall comply with the following terms: Keep the card secure at all times. Do not use the card before or after the period for which it is stated to be valid or after any notification of its cancellation or withdrawal is given to you whether by the bank or any person authorised by the Bank Do not discard carelessly used carbon copies containing the card details as that information could be used to perpetuate fraud. When making a purchase, ensure that the merchant destroys any spoilt vouchers or receipts in your presence

Upon expiry there is no need to return the card to the bank, destroy the card by cutting it The card is not transferable and is valid for use only by the person whose name is printed on it during the validity period. A card should not under any circumstances be used for any unlawful purpose including the purchase of goods and/or services prohibited under Ghanaian laws or the laws of any country where the card is used The bank at its discretion may withdraw the right to use the card or refuse any request for authorisation of any card transact ion at any time and without prior notice. 6. Pin Security 6.1 The Company shall inform each Business Nominee that, once in possession of his PIN, he must: Keep same secret, Not impart it to any person whomsoever. Memorise the PIN and destroy the slip advising you of it or keep the PIN separate from the card. Never write his/her PIN on the Corporate Card or anything usually kept with it. 6.2 The Company should also inform the Business Nominee that, in case he suspects the PIN to have been known to any person other than himself, he shall immediately notify the GCB Electronic Banking Centre on the telephone numbers +233302246025 and +233302254101. The company shall however be liable for any transaction effected with the use of the card by any other person who acquired possession thereof with or without the Business Nominee s consent before such notification is received at the Bank. 7. General Conditions 7.1 The Bank agrees to issue Corporate Cards to the Company for onward delivery by the Company to the designated Business Nominees on the understanding that The distribution of the Corporate Cards and relative PINs to the respective Business Nominees shall be upon the sale and entire responsibility of the Company as mentioned in clauses 4.1, 4.2 and 4.3 in the foregoing. Under no circumstances whatsoever shall the Company hold the Bank liable in the event a Corporate Card is willfully or mistakenly handed over to any Business Nominee to whom the Corporate Card is not ed. 7.2 Any Business Nominee designated by the Company to receive and use a Corporate Card, will be provided with one so long as the Company meets the Bank s requirements. 7.3 The Company shall be responsible for any unauthorised use of the Company s Corporate Cards, which may occur before notification to the Bank. Any loss, theft or unauthorised use should be reported to the Bank by calling the GCB Electronic Banking Centre on phone numbers +233302246025 and +233302254101. Such notification by telephone shall, on pain of nullity, be confirmed in writing to the Bank by registered mail at P.O. Box 134, Accra. 7.4 The Company further agrees and acknowledges that all Corporate Cards shall remain at all times the property of the Bank and are neither assignable nor transferable and may be cancelled by the Bank at any time for any reason whatsoever without any notice. Any Corporate Card cancelled shall be immediately surrendered to the Bank upon due request. 7.5 Payments effected through the Corporate Cards in pursuance of the present agreement shall be subject to Ghana s Banking Act 2007 and together with its amendments as regards all accounts maintained by the Company with the Bank. 7.6 The ATM records or their reproduction on a computer base shall be conclusive and irrebuttable evidence of the amounts withdrawn by the Business Nominees and fully entitle the Bank to debit such amounts from the Company s Corporate Card account. 7.7 In any action before Court for the recovery of any sum due to the Bank by the Company in connection with the use of a Corporate Card by a Business Nominee, the documents relating to the said transactions or certified photocopies thereof shall be conclusive and irrebuttable evidence of the transactions. 7.8 The relevant documents and information referred to in clauses 7.6 and 7.7 shall be retained by the Bank for a period not exceeding one (1) year. 7.9 No claim or action whatsoever relating to any transaction of a Business Nominee shall be entertained after the expiry of a period of 45 days as from the date of the statement of account whereby the transaction is recorded. 7.10 The Bank shall in no circumstances whatsoever be liable for any malfunctioning, temporary breakdown or misuse of the machine which may result in the retention of the Corporate Card or it being torn, destroyed or damaged. 7.11 If any part, term or provision of this Agreement not being of a fundamental nature should be held invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision of this Agreement which shall remain in full force and effect. This Agreement shall be binding upon the company s representatives and assigns. 7.12 The Company formally agrees and acknowledges that it shall have sole responsibility for notifying the Bank of any withdrawal of the Corporate Card from any Business Nominee whose name is listed in the Corporate Card Application Form. It shall be the sole responsibility of the Company to retain and return the Corporate Card to the Bank in case of such withdrawal. The Company shall be fully liable for any and all charges made prior to the return of the Corporate Card to the Bank. 7.13 This agreement shall come into operation as from the date of signature of these presents and shall, subject to the provision of clause 7.14 hereunder, remain in full force and effect unless terminated by either party upon its giving 90 days prior written notice to the other. 7.14 The Bank shall have the right to terminate this agreement, with immediate effect upon any material breach or violation by the Company or by any of its Business Nominees of any obligation contained herein. 8. Fees and Charges 8.1 The Company shall be liable for all charges arising from the use of the said Corporate Card. The Bank shall provide the Company with monthly statements showing all charges relating to individual Business Nominees Corporate Cards. 8.2 All costs, fees and expenses that may be incurred by the Bank for the recovery of any sum due as a result of the use of a Corporate Card by a Business Nominee shall be due and payable by the Company. The commission payable to the Bank s attorneys shall not exceed 10% of the amount recovered as capital and interest. 8.3 The Company shall pay an entrance/activation fee for each Corporate Card issued pursuant to this Agreement and the Corporate Card Application Form. Such fees may be increased or reviewed from time to time by the Bank upon its giving 30 days prior written notice to the Company. 8.4 The Company shall remain liable for all charges resulting from the use of any Business Nominee s Corporate Card following the termination of his employment with the Company, until notice of such termination has been duly received by the Bank and the relative Corporate Card returned with such notice. 8.5 Transaction effected in foreign currency shall be converted into Ghana Cedis on the date the transaction is processed as follows: For transaction effected by means of a corporate GCB MasterCard Card, the transaction amount shall be converted at the international rate applicable on processing date by MasterCard International inclusive of a markup. 9. MasterCard International Regulations This 9.1 The use of the card is regulated by the terms and conditions of MasterCard International and you shall abide by the said terms and conditions, which shall be available at the Electronic Banking Centre as and when received from MasterCard International. 9.2 Any charges made by MasterCard International on foreign currency transactions shall be debited to your card account. The amount of card transactions and charges rendered involving foreign currency shall be converted into Ghana Cedis at the exchange rate quoted by MasterCard International plus a markup on the date the debit is received and any exchange loss is debited to your account. Under no circumstances whatsoever shall the Company hold the Bank liable in the event a Corporate Card is wilfully or mistakenly handed over to any Business Nominee to whom the Corporate Card is not ed. 7.2 Any Business Nominee designated by the Company to receive and use a Corporate Card, will be provided with one so long as the Company meets the Bank s requirements. 7.3 The Company shall be responsible for any unauthorised use of the Company s Corporate Cards, which may occur before notification to the Bank. Any loss, theft or unauthorised use should be reported to the Bank by calling the GCB Electronic Banking Centre on phone numbers +23321246025 and +23321254101. Such notification by telephone shall, on pain of nullity, be confirmed in writing to the Bank by registered mail at P.O. Box 134, Accra. 7.4 The Company further agrees and acknowledges that all Corporate Cards shall remain at all times the property of the Bank and are neither assignable nor transferable and may be cancelled by the Bank at any time for any reason whatsoever without any notice. Any Corporate Card cancelled shall be immediately surrendered to the Bank upon due request. 7.5 Payments effected through the Corporate Cards in pursuance of the present agreement shall be subject to Ghana s Banking Act 2007 and together with its amendments as regards all accounts maintained by the Company with the Bank. 7.6 The ATM records or their reproduction on a computer base shall be conclusive and irrebuttable evidence of the amounts withdrawn by the Business Nominees and fully entitle the Bank to debit such amounts from the Company s Corporate Card account. 7.7 In any action before Court for the recovery of any sum due to the Bank by the Company in connection with the use of a Corporate Card by a Business Nominee, the documents relating to the said transactions or certified photocopies thereof shall be conclusive and irrebuttable evidence of the transactions. 7.8 The relevant documents and information referred to in clauses 7.6 and 7.7 shall be retained by the Bank for a period not exceeding one (1) year. 7.9 No claim or action whatsoever relating to any transaction of a Business Nominee shall be entertained after the expiry of a period of 45 days as from the date of the statement of account whereby the transaction is recorded. 7.10 The Bank shall in no circumstances whatsoever be liable for any malfunctioning, temporary breakdown or misuse of the machine which may result in the retention of the Corporate Card or it being torn, destroyed or damaged. 7.11 If any part, term or provision of this Agreement not being of a fundamental nature should be held invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of any other part or provision of this Agreement which shall remain in full force and effect. This Agreement shall be binding upon the company s representatives and assigns. 7.12 The Company formally agrees and acknowledges that it shall have sole responsibility for notifying the Bank of any withdrawal of the Corporate Card from any Business Nominee whose name is listed in the Corporate Card Application Form. It shall be the sole responsibility of the Company to retain and return the Corporate Card to the Bank in case of such withdrawal. The Company shall be fully liable for any and all charges made prior to the return of the Corporate Card to the Bank. 7.13 This agreement shall come into operation as from the date of signature of these presents and shall, subject to the provision of clause 7.14 hereunder, remain in full force and effect unless terminated by either party upon its giving 90 days prior written notice to the other. 7.14 The Bank shall have the right to terminate this agreement, with immediate effect upon any material breach or violation by the Company or by any of its Business Nominees of any obligation contained herein. 8. Fees and Charges 8.1 The Company shall be liable for all charges arising from the use of the said Corporate Card. The Bank shall provide the Company with monthly statements showing all charges relating to individual Business Nominees Corporate Cards. 8.2 All costs, fees and expenses that may be incurred by the Bank for the recovery of any sum due as a result of the use of a Corporate Card by a Business Nominee shall be due and payable by the Company. The commission payable to the Bank s attorneys shall not exceed 10% of the amount recovered as capital and interest. 8.3 The Company shall pay an entrance/activation fee for each Corporate Card issued pursuant to this Agreement and the Corporate Card Application Form. Such fees may be increased or reviewed from time to time by the Bank upon its giving 30 days prior written notice to the Company. 8.4 The Company shall remain liable for all charges resulting from the use of any Business Nominee s Corporate Card following the termination of his employment with the Company, until notice of such termination has been duly received by the Bank and the relative Corporate Card returned with such notice. 8.5 Transaction effected in foreign currency shall be converted into Ghana Cedis on the date the transaction is processed as follows: For transaction effected by means of a corporate GCB MasterCard Card, the transaction amount shall be converted at the international rate applicable on processing date by MasterCard International inclusive of a markup. 9. MasterCard International Regulations 9.1 The use of the card is regulated by the terms and conditions of MasterCard International and you shall abide by the said terms and conditions, which shall be available at the Electronic Banking Centre as and when received from MasterCard International. 9.2 Any charges made by MasterCard International on foreign currency transactions shall be debited to your card account. The amount of card transactions and charges rendered involving foreign currency shall be converted into Ghana Cedis at the exchange rate quoted by MasterCard International plus a markup on the date the debit is received and any exchange loss is debited to your account.
