CARETAKER TERMS AND CONDITIONS 1: DISCLAIMER OF WARRANTY: Although this software and documentation have been fully tested and reviewed, both are provided solely 'as is' and without warranty of any kind. Farmbaye Pty Ltd (herein after referred to as the Company ) specifically disclaims all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose with respect to defects in the diskette(s), CD(s), documentation, software, and the licence granted herein. 2: TERMS OF PAYMENT : The amount shown on the face of the Purchase Order shall be paid prior to the installation of the software at the venue of the Purchaser. 3: OBTAINING A LICENSE:: Once payment is received in full as per section 2, you will be required to complete a property information form which must be sent to the Company; you will then be issued with a valid electronic license file and given instructions on how to load. This electronic license is for the exclusive use of the purchase. 4: PROTECTION AND SECURITY: The PURCHASER acknowledges that the software package provided is of a confidential nature and that the COMPANY will not be obliged to provide source code. 5: NON TRANSFERABLE This software is for the exclusive use of the purchasing property, the licensee on site and the ABN or PTY LTD nominated as licensee and is not transferable. Name changes may be possible, but address changes will not be made. Name changes, if made, will be chargeable. Sale of management rights to new managers is available at a fee of $250. Notification of the change of management should be made at least 14 days prior to settlement. 6: MODIFICATIONS: Any software not described in this Purchase Order shall be regarded as a modification or addition and will be subject to a separate agreement, and charged for at the COMPANIES then current rate. The Company is not obliged to make any modifications. 7: LICENCE AGREEMENT: Caretaker software and users guide ("documentation") are copyrighted by the owner of the software. Use of the software indicates your acceptance of the terms and conditions as stated in this document. 8: ONGOING SUPPORT AND UPGRADES: Software support is provided by the COMPANY as outlined in the Software Support Documentation. The attached Software Support Agreement must be signed and an option for software support indicated to allow the Company to provide software support on the Purchasers request. 9: CHOICE OF LAW: This statement shall be construed, interpreted, and governed by the laws of Australia. This statement along with the license and disclaimer notes contained in the HELP section of the Caretaker product, represents the entire understanding between the two parties and shall only be altered in writing, by mutual consent. SOFTWARE SUPPORT AND UPGRADES. Farmbaye Pty Ltd would like to welcome you as a user of Caretaker. Farmbaye Pty Ltd is totally committed to ensuring that each user is fully satisfied with the product and gets the most from it. Our aim is to provide you with a facility through which you can discuss any problem or any issue relating to the use of Caretaker. Maintenance Levy. The Caretaker software is a simple product to use, but there are always unusual circumstances which arise in Rental Management / Trust Accounting and it is often necessary to phone for help. For us to man an office, train staff and keep the lights on, a very modest yearly maintenance levy of $100 is built into the license. This will either be invoiced or can be payable on line, depending on the version of the software being run. WHAT IS NOT COVERED? Technical support is limited to the Caretaker software and its regular, intended use. The software maintenance fee covers those items of Software actually provided by Farmbaye Pty Ltd. It does not cover hardware or operating systems. These would normally be covered under separate warranty or maintenance agreement. The software's intended use includes, but is not limited to, only one installation location on each single Computer. Farmbaye Pty Ltd does not provide technical support for operating systems, Hardware or any other items not supplied directly by Farmbaye Pty Ltd. You are responsible for maintaining, administering, testing and restoring backups when needed of your Caretaker Data files. HOW DO I GET SUPPORT? Email for support: support@farmbaye.com Fax for support: 03 97285506 Call for support: 03 97281544 (during office hours) UPGRADES / NEW VERSIONS: Upgrades for those Caretaker users who are paid up with the Maintenance Levy will be covered under the maintenance agreement with no additional cost. Upgrades for Sites who are NOT on the Maintenance Levy will be chargeable. The current cost is $250.00 per upgrade. This cost may be subject to review. It is not madatory to upgrade Caretaker. MANAGEMENT CHANGEOVER. The software is licensed to the property management and is not transferable to another property or company. The licence number is an algorythm of the Property name, licensee, ABN and address. This is a security measure in Caretaker. Changing the details of the property, which will occur from time too time if there are management or ownership changes, is possible, but means a new licence has to be issued. The cost of re-licensing Caretaker to a New entity is currently $250.00. Address changes are not permitted. ALL management companies running Caretaker must make a new manager aware that the changeover needs to occur on settlement and that the documents must be signed and returned with the payment change of license cannot occur without.

TRAINING: Farmbaye Pty Ltd offer REMOTE TRAINING SERVICES whereby we use an on line connection to your business via TeamViewer. It s an easy quick downloadable on line meeting site where we send you an invitation to meet us on line at an appointment time, can show you how to set up using our training database OR we can switch the view so that we instruct you on the setup on your machine. Its really very easy and gives you excellent software training in the comfort of your own office with the people who created the software. Training is in increments of 30minute appointments at a cost of $30 per increment. This is so that you can get started with your setup after the initial time then take up further training as you need it including assistance at end of month.
