INSTRUCTIONS TO BIDDERS 1. BACKGROUND AND PURPOSE OF THE PROJECT Punjab National Bank IT Division is involved in development/maintenance/testing of various software applications for computerizing different work areas. IT Division has its own in-house development cell comprising of experienced IT officials. The needs of bank for development of in-house software are comparatively higher than its strength in software development cell. Further, IT Division in-house team has to provide maintenance support across the bank for software which are already implemented. As such bank is planning to create a panel of software companies/firms that will supply qualified IT professionals to support software development/maintenance/testing in our bank. The purpose of RFP is to solicit proposals from qualified bidders for providing qualified IT professionals who will give support to our software development/ maintenance/testing team during development/maintenance/testing of software in our bank. Technical and commercial bids are invited from bidders for providing IT professionals with expertise in software development/ maintenance/testing as per the terms and conditions mentioned hereunder. The bidders will have to submit the technical bid in banks e-procurement system as well as in hard copy and commercial bids in only online form through bank s e-procurement system. 2. INDICATIVE NUMBER OF RESOURCE The indicative number of support engineers may vary between 5-7 depending upon the requirement of the bank at given point of time. However, this number is indicative only and may increase or decrease depending on the requirement of the bank in future. 3. ELIGIBILITY CRITERIA a) The company participating in the bid should be registered in INDIA as per the companies act or have its registered office within the jurisdiction of INDIA. b) The bidder s Technical Support centre should be located at Delhi/NCR. In case bidder is not having support centre at Delhi/NCR, bidder should give undertaking to open the Technical support centre in Delhi/NCR within 1 month from award of tender. c) The bidder should be in software development business for at least three years out of which the company should have provided software professional resources to atleast two Banks/ PSU/ Govt. Organizations during last two years. The number of such professional resources supplied to different institutions may be indicated. Bidder should provide Satisfactory Performance Certificate from Page 9 of 36
atleast 2 Clients referred in their proposal (attach supportive documentary evidence). The proof of implementation will be in the form of a Certificate from the client giving details of the implementation and the present status. In case a bidder fails to provide the same the bid would be summarily rejected. d) The bidder should have at least 100 IT professionals having the qualifications in its roll as defined in Annexure D. (List of names, designation, experience (in years) and qualification of IT professionals duly signed by authorized official to be attached.) e) The bidder should have minimum Rs.10 Crore turnover for the last three financial years. Audited Balance sheet of last 3 years should be submitted in this regard and should have positive net worth in last financial year i.e.2012-13. f) The Bidder should provide Company s Technical HR Information as per Annexure- C g) The bidder should not be involved in any litigation which threatens solvency of company (Undertaking to be provided). The documentary proofs for qualifying the prequalification criteria should be submitted along with the technical bid. 4. SCOPE OF WORK The Software Company/ Firm should be capable of providing the support engineers as described in Annexure D. A brief overview of the requirement is outlined below: a) IT professionals will support in development/ maintenance/ testing of software as per requirement specification given by the bank. b) IT professionals will work in one/ more projects under the supervision of PNB officials. c) Hardware and software platforms will be finalized by PNB for these software projects. d) IT professionals will be supplied purely on contractual basis for specific period at the approved rate. e) Bank will only deal with the short listed vendor. Bank will not make any direct payment to the officials provided by the vendor. f) The engineer which the vendor will provide should be a permanent employee of the company and should be on Company s payroll. g) The requirement of resources is dynamic and may change from time to time as per need in projects undertaken. h) The engineer/s selected for support for PNB s development team may be engaged in all activities of system development life cycle (SDLC) as per requirement of the bank (e.g. User interaction, preparation of SRS, installation of Database/ front end, system design, coding, functional testing, implementation, maintenance etc.). 5. VALIDITY OF EMPANELMENT Two year from the date of empanelment of the vendor. However, can be extended as per the requirements by the bank for further terms of one year each with mutual consent between PNB and selected bidder. 6. ACCEPTANCE OF ORDER The bidder shall give acceptance within 7 days from the date of order. However, Bank has a right to cancel the order, if the same is not accepted within the stipulated period from the date of the order. 7. COST OF BIDDING The Bidder shall bear all the costs associated with the preparation and submission of its bid and Bank, will in no case be responsible or liable for these costs, regardless of the conduct or outcome of the bidding process. 8. BIDDING DOCUMENT The Bidder is expected to examine all instructions, forms, terms and conditions in the Bidding Documents. Failure to furnish all information required by the Bidding Documents or submission of a bid not substantially responsive to the Bidding Documents in every respect will be at the Bidders risk and may result in the rejection of its bid without any further reference to the bidder. Bidder should strictly submit the bid as per RFP failing which bid will be rejected as non-responsive. 9. POWER OF ATTORNEY OR RESOLUTION COPY In case of company, Notarized Power of attorney and Board resolution in favour of authorized person signing the Bid documents is to be submitted with bid documents. 10. AUTHENTICATION OF ERASURES/ OVERWRITING ETC. Any inter-lineation, erasures or overwriting shall be valid only if the person(s) signing the bid initial(s) them. Page 11 of 36
11. LOCAL CONDITIONS The bidder must acquaint himself with the local conditions and factors, which may have any effect on the performance of the contract and / or the cost. 12. AMENDMENT OF BIDDING DOCUMENTS At any time prior to the last Date and Time for submission of bids, the Bank may, for any reason, modify the Bidding Documents through amendments at the sole discretion of the Bank. All amendments shall be uploaded on the Bank s websites (www.pnbindia.in and https://pnbindia.biz ) and will be binding on all who are interested in bidding. In order to provide prospective Bidders a reasonable time to take the amendment if any, into account in preparing their bid, the Bank may, at its discretion, extend the deadline for submission of bids. 13. CONTACTING THE BANK Any effort by a bidder to influence the Bank in evaluation of the bid, bid comparison or contract award decision may result in the rejection of the Bidders' bid. Purchaser's decision will be final and without prejudice and will be binding on all parties. 14. BANK S RIGHT TO ACCEPT OR REJECT ANY BID OR ALL BIDS The Bank reserves the right to accept or reject any bid and annul the bidding process or even reject all bids at any time prior to award of contract, without thereby incurring any liability to the affected bidder or bidders or without any obligation to inform the affected bidder or bidders about the grounds for the bank's action. The bank reserves the right to accept or reject any technology proposed by the bidder. The bank reserves the right to select more than one bidder keeping in view its large requirements. 15. CANCELLATION OF BID/ BIDDING PROCESS PNB reserves the right to accept or reject any bid and annul the bidding process and reject all bids at any time prior to award of contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the ground for its action. 16. MODIFICATION AND WITHDRAWAL Bids once submitted will be treated, as final and no further correspondence will be entertained on this. No bid will allowed to be modified after the submission of bid. No bidder shall be allowed to withdraw the bid. Page 12 of 36
17. REVELATION OF PRICES The prices in any form or by any reasons should not be disclosed in the technical or other parts of the bid except in the commercial bid. Failure to do so will make the bid liable to be rejected. 18. TERMS AND CONDITIONS OF THE BIDDING FIRMS The bidding firms are not allowed to impose their own terms and conditions to the bid and if submitted will not be considered as forming part of their bids. The bidders are advised to clearly specify the deviations, in case terms and conditions of the contract applicable to this invitation of tender are not acceptable to them. 19. CLARIFICATIONS OF BIDS To assist in the examination, evaluation and comparison of bids the bank may, at its discretion, ask the bidder for clarification. The response should be in writing and no change in the price or substance of the bid shall be sought, offered or permitted. 20. BID EARNEST MONEY Bidder has to submit the Bid Earnest Money of Rs.1 Lakh either online before last date of bid submission or in the form of BG as per Annexure- H for the period of 6 months favoring PUNJAB NATIONAL BANK, IT DIVISION payable at Delhi and filling all the details in the format available for the same in our e-procurement system at website https://pnbindia.biz. The EMD will be returned on completion of tender process and no interest will be payable on EMD amount. The bidders should claim the EMD within 6 months from the completion of tender process after which the bank is not liable to return the EMD. PERFORMANCE BANK GUARRANTY (PBG): The successful bidder has to submit the Performance Bank Guarantee of Rs.5 Lakh within 15 days of award of contract, valid up to initial period of 2 years and can be extended as per the extension of agreement. 22. DEADLINE FOR SUBMISSION OF BIDS Bids must be submitted not later than the specified date and time mentioned in the Bid Document. If specified date of submission of bids being declared a holiday for the Bank, the bids will be received up to the specified time in the next working day. The Bank may, at its discretion, extend this deadline for submission of bids by amending the bid documents, in which case all rights and obligations of the Bank and bidders, previously subject to the deadline, will thereafter be subject to the deadline extended. 23. PERIOD OF VALIDITY OF BIDS Bid shall remain valid for 180 days from last date of submission of bid prescribed by PNB. A bid valid for shorter period is liable to be rejected by PNB. The bidders may be required to give consent for the extension of the period of validity of the bid, if so desired by PNB in writing or by fax. Refusal of such consent would not forfeit the Bid Security and granting of request will not allow the bidder to revise/ modify his bid. 24. LATE BIDS Any bid received by the Bank after the deadline for submission of bid will be rejected. 25. OPENING OF BIDS All the bids will be opened at the date, time and locations mentioned in RFP (as per tender schedule). The technical bids will be opened in the presence of representatives of the bidders who choose to attend. The bidders names, modifications, bid withdrawal and the presence or absence of requisite Bid Security and such other details, as PNB at their discretion, may consider appropriate will be announced at the bid opening. 26. BID CURRENCY The Prices in the bid document shall be expressed in Indian Rupees (INR) only. 27. LANGUAGE OF BID The bids prepared by the bidder and all correspondence and document relating to the bids exchanged by the bidder and PNB, shall be written in English. 28. BIDDING PROCESS (TWO STAGES) For the purpose of the present job, a two-stage bidding process will be followed. The response to the present tender will be submitted in two parts: Page 14 of 36
Technical bid (Stage-I) Commercial bid (Stage-II) The bidders will have to submit the technical bid in banks e-procurement system as well as in hard copy and commercial bids in only online form through bank s e- procurement system. i) TECHNICAL BID (Stage I) TECHNICAL BID will contain the Compliance statement as per the Terms & Conditions mentioned in the RFP, and NOT contain any pricing or commercial information at all. Technical bid documents with any commercial information will be rejected. In the first stage, only TECHNICAL BIDs will be opened and evaluated. Only those bidders confirming compliance to all the terms & conditions of RFP document shall be short-listed for commercial stage. ii) COMMERCIAL BID (Stage II) In the second stage, the COMMERCIAL BID of only those bidders, whose technical bids are short listed, will be opened. 29. SUBMISSION OF BIDS The bidders shall duly complete the formats of Technical Bid (submit in system as well as hard copy) and Commercial Bid will be submitted only online through our e- Procurement System using their Digital Signature (Signing & Encryption) at website https://pnbindia.biz. The bid Submitted by the bidder using Digital Signature is binding the bidder to the contract. 30. CONTACTING PNB OR PUTTING OUTSIDE INFLUENCE Bidders are forbidden to contact PNB or its Consultants on any matter relating to this bid from the time of submission of commercial bid to the time the contract is awarded. Any effort on the part of the bidder to influence bid evaluation process, or contract award decision may result in the rejection of the bid. 31. SIGNING OF CONTRACT The successful bidder(s) shall be required to enter into a Service Level Agreement (SLA) and Non Disclosure Agreement (NDA) with PNB, within 30 days of the award of the tender or within such extended period as may be permitted by the bank on the basis of the Tender Document, the Tender of the successful bidder, the letter of acceptance and such other terms and conditions as may be determined by the Bank to be necessary for the due performance of the work in accordance with the Bid and Page 15 of 36
the acceptance thereof, with terms and conditions shall be contained in a Memorandum of Understanding to be signed at the time of execution of the document of Contract. 32. EVALUATION AND AWARD CRITERIA a. After opening of the technical bids, all the documents and annexure (except commercial documents/offer) will be evaluated first by the bank. First, received bids will be evaluated based on the eligibility criteria. Technical bids of only those bidders satisfying the eligibility criteria will be evaluated. b. Only those bidders satisfying the technical requirements and accepting the terms and conditions of this document shall be short-listed for further steps. c. PNB will determine to their satisfaction whether the bidder selected as having submitted the best evaluated responsive bid is qualified to satisfactorily perform the contract. The decision of PNB will be final in this regard. d. The determination will take into account bidder s financial, technical and support capabilities, based on an examination of documentary evidence submitted by bidders. e. The commercial bids for only those bidders will be opened who have qualified on the basis of technical evaluation and reviewed to determine whether the commercial bids are substantially responsive. Commercial bids that are not substantially responsive are liable to be disqualified at PNB s discretion. The L1 price for the awarded contract will be decided as per reverse auction 33. REVERSE AUCTION Bank may hold Reverse Auction in the event of 2 or more bidders as technically eligible. The procedure for the same is available on our e-procurement website. It will be mandatory for all the bidders to quote rates of all optional components that may be required. 34. GUIDELINES FOR REVERSE AUCTION a) Initiation on the Bid Process Opening bid price and bid decrements will be intimated at the start of the bidding process by the means of on-line messages. In case of not receiving the details, the supplier has to inform PNB system administrator one hour before the scheduled event time through email and request for the details. Page 16 of 36
b) Opening Price Opening price is the upper/ceiling price of the contract value fixed by PNB for the lot /item. Suppliers can bid only lower than the opening price in case of Reverse Auctions (Bid price would be based on the total price arrived at multiplying specified quantities with unit rates and summing up for the entire requirement). c) Weightage / Loading Factor This factor shall be incorporated by the System Automatically during the event. This factor is the effect of financial implication arising out of the deviation taken by the Bidder in his Bid. d) Auction Types Bank may either go for Price Base Auction when the price quoted by each bidder is shown to all the participants or Rank Base Auction when only rank of the particular bidder is visible instead of price. e) Alias Name Each bidder will be given a unique alias name, generated by the system and informed by system generated email. Bidders can see the bids of other suppliers but the real name will not be visible on the screen. Complete, schedule of the auction will be intimated through a system generated emails to the participating suppliers. Flash messages between the event and at the end of the events. The normal duration of Reverse auction will be 1 hour (60 minutes) with provision of auto extension as per auction rules to be decided by the Bank before start of auction. The Bid Extension rules shall be governed after the expiry of the Auction Time earlier set & decided before start of Event. In the event a bidder is placing his bid in last 5 minutes of the scheduled end time of the event, the event will get automatically extended for next 5 minutes infinitely. The auction time will get automatically extended so as to allow other the bidder an opportunity to supplier to participate and give better offer to win the bid. In the event of any typographic error while posting the bid, the auction would still get extended so as to allow the bidder an opportunity to correct the mistake. Screen will refresh automatically in every seven (7) second. It is recommended to manually refresh screen by pressing F- 5 from keyboard, if no changes are seen on screen for unusual period. f) Bid Decrement Bid Decrement is the minimum fixed amount by which, or by multiples of which, the next bid value can be decreased. Bid decrement is usually calculated 0.25% of the opening price. However PNB reserves the right to decide appropriate bid decrement factor. Bidders should enter the next bid price considering the Bid Decrement, with reference to self bid for Rank Auction and L1 bid with reference to Price Auction. However in no case would the system accept modification to a higher value. Page 17 of 36
g) Auto Bid Auto Bid is enabled from the start time of bidding. Once the bidder activates this feature in the system, the system places bid on behalf of the bidder as per the next bid decrement until the time the auto bid amount gets out bided by another participating bidder. This is particularly useful in case of un-reliable internet connection h) Surrogate Bidding Surrogate bidding is not allowed. i) Price Variation Factor If a bidder quoting higher prices, higher by more than 40% as compared to the average quoted prices (of all technically qualified bidders) for all items in aggregate, the same bidder shall not be called for reverse auction process. j) Price Break Up Bidders are required to submit the price break up of the final bid price just after the event on to the formats/ price breakup sheet. k) Mistake Proofing If a bid placed X times below or higher of the bid decrement / increment as decided by PNB, a warning message will be flashed on screen to confirm the placed bid, Bid once placed will not be deleted in any circumstances and the supplier will be bond to deliver the item on the quoted bid. The following term and conditions are deemed as accepted by bidder on participation in the bid event Bidders/ participants are deemed to have accepted the auction rules on participation at the bid event. Participation in a bid event is by invitation from PNB. Any other supplier does not automatically qualify for participation. PNB will make every effort to make the bid process transparent. However, the award decision by PNB would be final and binding on supplier. 1. Bidders agrees to non-disclosure of trade information regarding the purchase, identity of PNB, bid process, bid technology, bid documentation and bid details. 2. Bidder cannot change price or quantity or delivery terms (or any other terms that impact the price) post the bid event. 3. Deed to furnish the item rate form within the stipulated time after the bid event. Page 18 of 36
4. Bidder cannot divulge either his bids or those of other suppliers to any other external party. 5. Technical and other non-commercial queries (not impacting price) can be routed to the respective PNB contact personnel indicated in the RFP. 6. Bidder is advised that he will understand auto bid process is to safeguard them in case of technical failure. Inability to bid due to telephone line glitch, Internet response issues, software or hardware hangs will not be the responsibility of PNB. 7. Bidder should be prepared with competitive price quotes on the day of the bidding event. Participate in the online bidding event as per the schedule. Submit the item wise price break up for all the items as per his last bid price in the stipulated time as per the schedule immediately after the online sourcing event. The bidder has to necessarily quote for all the items listed in the BOQ. In case of incompleteness of the bid, same may be rejected. 35. PRELIMINARY EXAMINATION The Bank will examine the bids to determine whether they are complete, whether any computational errors have been made, whether required information has been provided as underlined in the bid document, whether the documents have been properly signed, and whether bids are generally in order. The bid determined is not in order as per the specifications will be rejected by the Bank. 36. PAYMENT TERMS a) If the services of the Support engineer are required on Sunday or holiday the company would be compensated proportionately on the basis of man month rate. Specific requirements will be communicated by the bank to the professional provided by the vendor. b) The professionals should provide prior notice to the Bank, if they are proceeding on leave and will go on leave only with the concurrence of Bank. c) If the professional is absent on any of the working days of the Bank up to a maximum period of 03 consecutive days, proportionate amount on the basis of man month rate will be deducted. Beyond 03 consecutive days the company would make alternate arrangements and shall depute equally competent engineer. d) Person Month will be calculated as 25 Days/Month. The person month rate will be inclusive of all applicable taxes. TDS as applicable will be deducted by the bank at the time of release of payment. Page 19 of 36
e) Bank will not make any direct payment to the officials provided by the vendor f) Deduction for absence in duty will be calculated based on the number of days of absence in a calendar month divided by the number of days in that calendar month & multiplied by one month salary decided for that professional. g) Payment will be made only after completion of the period of the services specified in the order of the professional and receiving invoice for the same. 37. PERIOD FOR PROVIDING ENGINEERS AFTER PLACEMENT OF ORDER & PENALTY CLAUSE Any delay in providing the supply and services shall attract penalty besides cancellation of order with consequences as provided herein below for the mention cases: a) Case I: Delay in providing resource(s) after placement of order. b) Case II: Delay in providing the substitute resource(s) when the assigned resource goes on leave without notice to the selected bidder or without consent of the Bank and if the professional goes on leave for more than 03 days, the concerned professional will be replaced after the consent of the bank. c) Case III: If the professional gives notice of 45 days to leave the services to the selected bidder, alternate professional is to be provided to bank within 10 days from the date of notice. d) In all the above mentioned cases, failure to provide professional/ substitute resource/ replacement resource(s) within 07 days from placement of order/ written communication shall attract penalty at double of person day(s) cost for the period/day(s) of delay. This amount shall be deducted from the bill/payments to be made to the company. Delay more than 15 days may lead to cancellation of order and the vendor may be black listed by the Bank. PBG is liable for forfeiture in such cases. e) Further salary for the knowledge sharing time of the substitute/ replacement/alternate professional will not be paid as new professional will take time for being equipped with the systems/operations. 38. SUPPORT ENGINEERS QUALIFICATION/ CERTIFICATIONS AND EXPERIENCE AS REQUIRED The educational qualification, certifications and experience required of the support engineer/s is as defined in Annexure D. 39. SELECTION PROCEDURE OF SUPPORT ENGINEER The Support engineer, whom the selected bidder will provide, shall be on selected bidder s payroll on the date of deployment of resource to PNB. PNB will conduct interview for selecting support engineer as per Bank s requirements. However, after selection if it is found that the engineer/s is/are not suitable for the task, selected bidder will provide suitable substitute engineer within 07 days notice period. The selected bidder will be liable for the conduct of the engineer/s deployed at PNB site. 40. BACKGROUND REFERENCE CHECK IN RESPECT OF PROFESSIONALS PROVIDED The selected bidder will conduct the background reference of all employees whoever are being deputed at PNB for providing support to software development team. 41. RESPONSIBILITY OF VENDOR For any misconduct done by the support engineer/engineers, vendor will be completely liable for the same. 42. COMPLIANCE OF REGULATIONS It will be responsibility of the selected bidder to comply with all the requirements of various Govt. /Statutory regulations relating to employer and employee in respect of personnel s arranged to the Bank. 43. DUTY HOURS OF SUPPORT ENGINEER Deployed support engineer/engineers have to work 6 days a week (Monday to Saturday). Duty hours will be 9.30 AM to 6.30 PM from Monday to Friday and 9.30 AM to 3.30 PM on Saturday. However, depending upon the requirement of Bank the engineer may be required to work in shift duties of same duration i.e. 9 hours from Monday to Friday and 6 hours on Saturday. No extra payment will be made for such shift duties. 44. TA/DA & OTHER ALLOWANCES If Support engineer/engineers are required to visit any site/pnb Offices outside Delhi/NCR, Bank will reimburse TA/DA as per entitlement of scale-i officer of PNB. All such payments will be reimbursed by the bank to selected bidder. No other allowances will be paid by the bank. The bank will not provide any accommodation/ food/ lodging to Support engineers. 45. INTELLECTUAL PROPERTY RIGHTS All Intellectual property rights in the works, developed hereunder including any software and documentation, developed and any additional or new development or Page 21 of 36
inventions made in the course of performance of services by the Support person involved in the project/s of PNB shall absolutely belong to Punjab National bank. Neither selected bidder nor their engineers will have any rights to such material described as above. Selected bidder shall ensure that each Support engineer provided to PNB shall give an undertaking: a) that he / she will not have any claims towards the Intellectual Property Rights to any software, system, idea or any such, produced with the help, supervision of the Support engineer during the period of his/her assignment to PNB. b) that, during the term of his/her assignment with PNB, he/she will not use any software, system, idea or any such, which is an intellectual property of any other person or body corporate, without the prior permission of such person or body corporate. Prior permission of PNB should be taken in such an event. 46. SOURCE CODE Source code of the software will be exclusive property of Punjab National Bank. PNB shall remain the exclusive owner of its proprietary information and all patents, copyrights, trade secrets, trademark and other intellectual property rights therein. 47. GOVERNING LAW AND DISPUTES All disputes or differences whatsoever arising between the parties thereof shall be settled amicably. If, however, the parties are not able to solve them amicably, the same shall be settled by arbitration in accordance with The Arbitration and Conciliation Act 1996, and the award made in pursuance thereof shall be binding on the parties. The Arbitrator/Arbitrators shall give a reasoned award. Any appeal will be subject to the exclusive jurisdiction of courts at State of Delhi. The bidder shall continue work under the Contract during the arbitration proceedings unless otherwise directed in writing by the Bank or unless the matter is such that the work cannot possibly be continued until the decision of the arbitrator, as the case may be, is obtained. The venue of the arbitration shall be State of Delhi. 49. USE OF CONTRACT DOCUMENTS AND INFORMATION The bidder shall not, without the banks prior written consent, make use of any document or information provided by Supplier in Bid document or otherwise except for purposes of performing contract. 50. TERMINATION OF CONTRACT The quality of services given by the bidder will be reviewed time to time and if the services are not found satisfactory, the bank reserves the right to terminate the contract by giving 30 days notice to the bidder. The decision of the bank regarding quality of services shall be final and binding on the bidder. 51. TAXES The Unit Cost should be inclusive of all Taxes. TDS as applicable will be deducted from the payments.
