UNIVEST BANK AND TRUST CO. UNIVEST DEBIT MASTERCARD BUSINESSCARD AGREEMENT This is the UNIVEST Debit MasterCard BusinessCard ("UNIVEST BusinessCard ") Agreement (the "Agreement") with you which governs your request for, receipt or use of a UNIVEST BusinessCard. This Agreement is applicable only to transactions made through the use of a UNIVEST BusinessCard. All other electronic fund transfers, such as those made through our funds transfer and ACH services, as examples but not as an exclusive list, are governed by separate agreements applicable to such services. The UNIVEST BusinessCard may be used for business purposes only. The UNIVEST BusinessCard may not be used for family, household or personal purposes. If the Account(s) used with the UNIVEST BusinessCard are changed from business to personal purpose, we will close your UNIVEST BusinessCard and issue a personal card upon your request. This Agreement will not apply to your personal debit card. This Agreement is subject to the provisions of your business account agreement(s) governing your Accounts and Account opening resolution with us (such accounts and resolutions are incorporated by reference herein and made a part of this Agreement). In the event of a conflict between these agreements, the terms of this Agreement shall govern. Use of your UNIVEST BusinessCard verifies your acceptance of the terms and conditions contained in this Agreement for all current and future transactions. 1. Definitions. In this Agreement the following words shall have the definitions stated: "Account(s)" will mean each of your commercial or business checking accounts which you have arranged with us to access with the UNIVEST BusinessCard. You will not be permitted to access personal accounts with the UNIVEST BusinessCard. "Application" shall have the meaning set forth in the UNIVEST Debit MasterCard BusinessCard Application. "Authorized Signer" shall have the meaning set f01ih in the Resolution. "Authorized User(s)" will mean any employee, representative or agent which you have authorized to conduct Transfers. Both the name of the Authorized User(s) and your name shall appear on the UNIVEST BusinessCard. "ATM" will mean automated teller machine or banking machine. "BusinessCard " will mean the UNIVEST BusinessCard(s) issued to you for use in performing Transfers to your Accounts unless stated otherwise. "Company" shall have the meaning set forth in the Resolution. "Maximum Dollar Limitation" means the limit set forth in Section 2(a) herein. "PIN(s)" will mean the confidential personal identification number(s) or other 1
confidential code(s) provided to you by UNIVEST or selected by you for identification purposes in connection with the use of the UNIVEST BusinessCard, and may include where the context requires, the UNIVEST BusinessCard number itself. "UNIVEST" means Univest Bank and Trust Co. "UNIVEST BusinessCard " means an electronic debit banking card issued and owned by Univest Bank and Trust Co. "Transfer(s)" means any banking transaction, which includes but is not limited to deposits, withdrawals or point-of-sale purchases, made electronically, as well as all Transfers resulting from the use of the UNIVEST BusinessCard(s), even if an ATM is not involved at the time of the transaction. "You" or "Your" means your business, the Company, the Authorized User, and the Authorized Signer. "We", "Us", "Our" means Univest Bank and Trust Co. 2. Types of Available Transfers: Maximum Dollar Limitations; and Limitations of Transfer. (a) Dollar Limit Per Card. The "Maximum Dollar Limitation" for each UNIVEST BusinessCard we issue to you is set forth on the Application. (b) Transfers. You may use the UNIVEST BusinessCard at any ATM bearing any ATM network logo that appears on the UNIVEST BusinessCard to make Transfers up to the Maximum Dollar Limitation including but not limited to: (i) making deposits to your Account(s); (ii) withdrawing cash from your Account(s); (iii) performing balance inquiries on your Account(s); and (iv) making purchases with merchants who have agreed to accept the UNIVEST BusinessCard. You may be able to withdraw cash only in certain multiples, as indicated at each ATM. Deposits may not be available at all ATMs. Additional charges may be imposed by owners of non- UNIVEST ATMs for use of their ATMs. You may avoid those fees by using only UNIVEST ATMs. 3. Limitation of Liability. (a) We will be liable only for our own gross negligence or willful misconduct and will not be responsible for any loss or damage arising from or in connection with (1) any inaccuracy, act or failure to act on the part of any person not within our reasonable control or (2) any error, failure or delay in execution of any Transfer resulting from circumstances beyond our reasonable control, including, but not limited to any inoperability of communications facilities or other technological failure. Provided we have complied with our obligations under this Agreement, you agree to indemnify, defend, and hold us harmless against any claim of a third party arising from or in connection with this Agreement or the service we provide hereunder. 2
(i) We make no warranties, express or implied in connection with the services we provide you under this Agreement, including, without limitation, the warranties of merchantability and fitness for a particular purpose. (ii) In no event will we be liable for any consequential, incidental, special or indirect losses, damages, including dishonor of checks or other items, or expenses (including counsel fees), which you may incur or suffer by reason of this Agreement or the services we provide hereunder, whether or not the possibility or likelihood of such loss, damage or expense is known to us. (b) We will issue you the number of UNIVEST BusinessCards with PINs that you request. Subject to the provisions in paragraph 3(a) above, we shall have no liability for transactions performed using the UNIVEST BusinessCard and a PIN issued to you regardless of whether you deem such transactions to be authorized or unauthorized. (c) Any security procedures applicable to the UNIVEST BusinessCard and disclosed to you are strictly confidential and should be disclosed to only Authorized Users or your employees or agents on a need to know basis. You shall instruct those individuals that they should not disclose the security procedures to anyone. You must establish and maintain procedures to insure the confidentiality of the PINs and the security procedures. You also agree that our security procedures are commercially reasonable based on security procedures adopted by other financial institutions in our marketplace. (d) We assume no responsibility to discover or audit any possible breach of security or unauthorized disclosure or use of the UNIVEST BusinessCards or PINs by your employees, agents or representatives or Authorized Users. You agree to contact UNIVEST immediately if the BusinessCard has been lost or stolen, or if any unauthorized Transfer or other transaction from the Account has occurred or might occur, by phoning 1-877-440- CARD, and confim1ing such information in writing to UNIVEST, Card Services, P.O. Box 64197, Souderton, PA 18964-0197. 4. UNIVEST's Liability for Failure to Complete Transactions. If UNIVEST does not complete a Transfer on time or in a correct amount, according to UNIVEST's agreement with you, UNIVEST will not be liable for your losses or damages to the extent that such losses were incurred as a result of: (a) through no fault of UNIVEST, you do not have enough available funds in your Account to make the transaction; (b) the ATM where you are making the Transfer does not have enough cash; (c) the ATM was malfunctioning and you had knowledge of the malfunction when you initiated the Transfer; or (d) circumstances beyond UNIVEST s control (such as fire, flood or theft) prevent the Transfer despite reasonable precautions that UNIVEST has taken. 5. General Provisions. (a) The UNIVEST BusinessCard may, but need not, be retained by any ATM or merchant if: (i) the PIN is wrong after repeated attempts; (ii) the UNIVEST BusinessCard was reported lost or stolen; (iii) all of your Accounts linked to the UNIVEST BusinessCard(s) have been closed; or 3
(iv) the ATM is malfunctioning. (b) We may refuse to issue the UNIVEST BusinessCard to you or to reissue the UNIVEST BusinessCard to you if you have previously received one. Each UNIVEST BusinessCard issued by us remains our property, is not transferable (other than to your Authorized User(s)) and may be canceled, revoked or limited by us at any time without prior notice to you. For your protection, the UNIVEST BusinessCard also may be retained in situations where it appears to us that there is or may be a danger of loss, theft or unauthorized use. (c) No Transfer may be made and no Transfer that you attempt to initiate will be completed if the UNIVEST BusinessCard is damaged, has expired, has been canceled or revoked or is retained for any reason or your Account(s) has (have) been closed. (d) Upon receipt of a request for authorization of a Transfer made with the UNIVEST BusinessCard, you (or your Authorized User) authorize us to deduct the amount immediately from the available balance in your Account(s). You understand and agree that you may not place stop payment orders on any Transfers originated by use of the UNIVEST BusinessCard. (e) You may not be able to use the UNIVEST BusinessCard to make Transfers in the following cases: (i) your Account is overdrawn; or (ii) you have reached or your request would exceed the Maximum Dollar Limitation. (f) We reserve the right at any time and without notice to eliminate any or all of the services that currently are available to you by use of the UNIVEST BusinessCard or to add new services. (g) Notwithstanding the Maximum Dollar Limitation and notwithstanding the amount in your Account(s), we may, from time to time, limit the type, number and dollar amount of any Transfers made by use of the UNIVEST BusinessCard, and terminate or suspend the operation of any or all UNIVEST BusinessCards, ATMs or merchants, without notice. (h) In the event that you have an Authorized User, your authorization shall be considered by us to be unlimited in amount and manner in which the UNIVEST BusinessCard is used and will be effective until you have notified us in writing that you have revoked the authorization, and have taken all other necessary steps to revoke it and we have had a reasonable opportunity to act on such notification. (i) These terms and conditions are subject to the laws and regulations of the Commonwealth of Pennsylvania and any other applicable federal regulations amended from time to time, and shall be deemed automatically amended to the extent necessary to comply therewith. (j) You agree that this Agreement is the entire statement of the terms and conditions which apply to the subject matter hereof. If any term or condition of this Agreement should be invalidated or unenforceable, all other terms and conditions will continue in full force and effect. Section headings have been inserted for convenience only and do not define or limit the provisions thereof. This Agreement supersedes any prior agreements between us relating to these services for your Account. You and we agree that all warranties, indemnities, 4
confidentiality requirements, representations, acknowledgements and understandings will survive the performance and termination of this Agreement. 6. Amendments. UNIVEST may amend or change any of the terms and conditions of this Agreement at any time upon at least 5 days written notice to you prior to the effective date of any change or amendment. If you do not agree to the change or amendment, you must notify UNIVEST prior to the effective date of the change or amendment and cancel the Agreement and surrender the UNIVEST BusinessCard(s). 7. Lost Or Stolen Cards; Unauthorized And Fraudulent Use Of Cards. (a) In the event of a lost or stolen UNIVEST BusinessCard you will immediately report the lost or stolen UNIVEST BusinessCard to us. Such reports will be in writing, via fax, or verbally with written follow-up. We shall provide for immediate cancellation and emergency issuance of a replacement for the reported lost or stolen UNIVEST BusinessCard(s). You shall be responsible for every Transfer until we receive written notification of the loss or theft. (b) You are responsible for all Transfers made by the UNIVEST BusinessCard whether authorized or unauthorized. You agree that by allowing anyone to use the UNIVEST BusinessCard or any unauthorized or fraudulent use by any Authorized User, you will be responsible for all Transfers made through the use of the UNIVEST BusinessCard until we receive written notification as set forth above. (c) You agree to assist UNIVEST in the investigation and prosecution of claims for unauthorized transactions by completing the appropriate statements and reports reasonably requested by UNIVEST. (d) You agree to notify UNIVEST not later than the close of the following business day in writing of any user of the UNIVEST BusinessCard who is no longer employed by you or authorized to conduct business on your behalf. (e) YOU AGREE TO CONTACT UNIVEST IMMEDIATELY IF THE BUSINESSCARD HAS BEEN LOST OR STOLEN, OR THAT IF ANY UNAUTHORIZED TRANSFER OR OTHER TRANSACTION FROM THE ACCOUNT HAS OCCURRED OR MIGHT OCCUR, BY PHONING 1-877-440- CARD, AND CONFIRMING SUCH INFORMATION IN WRITING TO UNIVEST, CARD SERVICES, P.O. BOX 64197, SOUDERTON, PA 18964-0197. 8. Fees. All fees will be charged in accordance with the most recent service charge schedule. All such fees are subject to change. 9. Termination. UNIVEST may terminate the Agreement, in whole or in part, at any time without prior notice. If you or UNIVEST cancel this Agreement you must surrender the UNIVEST BusinessCard or any other access device issued to you. In the event that you terminate this Agreement you must 5
provide us with at least 3 days written notice. 10. Other Agreements. In addition to this Agreement, you agree to comply with the requirements of Univest s deposit account rules (incorporated herein by reference and made a part of the Agreement) and state and federal laws and regulations. 11. International Transactions. The exchange rate between the transaction currency and the billing currency used for processing international transactions is: "A rate selected by MasterCard from the range of rates available in wholesale currency markets for the applicable central processing date, which rate may vary from the rate MasterCard itself receives, or the government-mandated rate in effect for the applicable central processing date, in each instance, plus or minus any adjustment determined by UNIVEST." Additionally, the currency conversion fee collected today from UNIVEST issuers through an adjustment to the conversion rate will be eliminated (currently a 1% mark-up of the currency conversion rate for settling cross-currency transactions). Effective April 2, 2005, this fee will be replaced with an International Service Assessment (ISA) fee that is 1% of the transaction amount on all international transactions. 12. Miscellaneous Terms. (a) Other than the normal monthly statements distributed in connection with your Account(s) there shall be no additional reports provided to you in relation to any Transfers made under the UNIVEST BusinessCard. (b) This Agreement constitutes the entire agreement between you and UNIVEST concerning use of the UNIVEST BusinessCard. If there is a conflict between what a Bank employee tells you and the terms of this Agreement, the terms of this Agreement shall control. UNIVEST may assign this Agreement or its rights hereunder. You may not assign this agreement and any attempted assignments shall be void. 13. Notices. All notices shall be submitted to UNIVEST, Card Services, P.O. Box 64197, Souderton, PA 18964-0197. 6
