Many of these projects will require formal competitive bidding procedures. (RFP or Tender) The prequalification process is designed to ensure fair and equal treatment is provided to all qualified Construction Management Companies. This Request for Qualifications (RFQ) will be reissued every 6 months to allow new service providers an opportunity to be included in the prequalified process. Profile of the Fraser Health Authority From Burnaby to White Rock to Hope, Fraser Health serves 1.5 million people. We are a community of people who share a common goal -- the goal of ensuring every resident in the health authority has access to quality care when they need it. Our quality health care services range from acute care hospitals to community-based residential, home health, mental health and public health services. The Fraser Health Authority (FHA) is the fastest growing and most populous of the health authorities and has almost doubled in size since 1981. Between 2004 and 2010, the population is expected to increase to over 1.62 million. Fraser Health represents 22 municipalities and a large number of communities ranging in size from small rural communities such as Hope, to large, rapidly growing suburban centers such as Surrey. Request for Qualifications (RFQ) Submission Process Note: A response must be submitted in order to maintain your firms standing. Construction Management Companies who do not respond by the closing date & time will be removed from prequalified lists. Construction Management Companies may resubmit in 6 months during the next RFQ process. Information within this document will be used to assess the qualifications of Construction Management Companies who wish to do business with the Fraser Health Authority and Vancouver Coastal Health. Competitive Bidding Policies 1. As required in accordance with the provisions of the Agreement on Internal Trade (AIT) and the Trade, Investment and Labour Mobility Agreement (TILMA), if the expected contract value is over the construction threshold, the Construction Management Company is to be selected through a formal competitive process between all Construction Management Companies on the prequalification list that meet the criteria for a specific project (i.e. specialization). The competitive process will evaluate each candidate s proposed approach, history, references and pricing or other elements required for the project 2. When Construction Management costs are estimated to be under $75,000: Construction Management Companies from the prequalified list will be invited to submit an informal proposal. (Business Opportunity Request) 3. When Construction Management costs are estimated to be over $75,000: The formal competitive process (RFP) will be open to all Construction Management Companies from the prequalified list. RFQ Process Details 1. Issuance of this Invitation to prequalify in no way constitutes a commitment by Fraser Health or Vancouver Coastal Health to award contracts to any Construction Management Companies or to pay any costs incurred by the Construction Management Companies in preparing a response. 2. Fraser Health and Vancouver Coastal Health reserve the right to conduct a second prequalification for specific projects. 3. The responses and accompanying documentation submitted by Construction Management Companies become the property of Fraser Health Authority and will not be returned. 4. The Construction Management Company is obligated to inform Fraser Health, in a timely manner, of any changes to key personnel, ownership, financial position or any other information which may affect its pre-qualified status. 5. Responses are retained for a minimum period of six months after which time a renewal prequalification will be requested by Fraser Health Authority. 6. Fraser Health Authority and Vancouver Coastal Health reserve the right to update prequalification information at its discretion using commercially available information. 7. Fraser Health Authority and Vancouver Coastal Health reserve the right to contact owners, owner's representatives and/or consultants on construction projects that have been identified as well as the references provided in this prequalification. 8. This prequalification excludes all P3 initiatives. Receipt Confirmation Construction Management Companies intending to submit a response shall complete the Receipt Confirmation Form and return the document to FHA as soon as possible. (Enclosed) All subsequent information regarding this RFQ including changes made to this document will be directed only to those Construction Management Companies who return the Receipt Confirmation form. FHA will distribute subsequent information (if applicable) to the Construction Management Companies by the method and to the contact person as indicated on the form. Page 6 of 23

It is the Construction Management Companies sole responsibility to ensure their submission is received when, where and how it is specified in the RFQ. General Qualifications For the purposes of this prequalification process the following definitions will apply: 1. Construction Management Means a construction delivery method in which an owner contracts with a single entity to provide site management, advise, administrative and technical services for the benefit of the owner. The owner contracts directly with the trade contractors. 2. In addition CCA 26 states in part that: The Construction Manager acts as agent for the Owner rather than as an independent contractor. Under this Construction Management arrangement, the traditional roles and relationship of owner / general contractor disappear. The Owner engages the trade contractors directly and thereby assumes much of the role and responsibility of the traditional general or prime contractor. The Construction Manager works in conjunction with the Owner and the Consultant as part of a Construction Management Team which works together from the pre-construction or design development stage through to completion of the Project. The Construction Manager serves as the Owner s adviser and agent, providing site management and administrative and technical services solely for the benefit of the Owner and in the support of the Owner s interests. We encourage the respondent to read all these documents to understand the fundamental nature of the Construction Management process involved in this Request for Qualifications. Page 8 of 23

Terms and Conditions Advertisement-The successful Candidate, Supplier, Construction Management Companies will not use the name of the Fraser Health Authority or any of the individual Hospital/Facility site names or any contents of this document in any advertising or publications without prior written consent from the Fraser Health Authority. Agreement on Internal Trade- (AIT) The Fraser Health Authority is subject to the terms and conditions of the Agreement on Internal Trade Annex 502.4 as of April 1, 2002. Amendments-Any revision/amendments should be made in writing, before the closing date. Telephone communication will not be accepted. Appendices-If noted and attached to the RFP, RFQ or RFT are considered as part of the RFP, RFQ or RFT for all purposes. Changes to Response Wording- The Contractor will not change the wording of its response after closing and no words or comments will be added to the response unless requested by the Fraser Health Authority for purposes of clarification. Confidentiality- Responses submitted in confidence to the Fraser Health Authority shall so be honoured. The FHA will not release to the public, any specific information regarding any submitted responses except as may be required under law. Contract awards that equal or exceed ten thousand dollars ($100,000) are posted on external media bulletin boards or sites. Construction Management Companies shall treat all information received through the competitive process as confidential. Cost of Response Preparation-The Fraser Health Authority will not assume any responsibility or liability for any costs incurred by the Contractor in the preparation of their response submission. Cross Reference- All questions or statements that cannot be answered in the space provided, or if the Contractor needs to elaborate on a particular question or statement and requires additional documentation space, they may submit the additional information as an appendix and shall ensure they have clearly cross-referenced the appendix back to the appropriate question or statement. The FHA will not read or interpret Contractor submitted information that is not clearly cross-referenced to the appropriate question or statement. For example, See Standard Company Brochure or Overview, Financial Statement, Service Agreement or Purchase Agreement will not be accepted as a response to a question or statement in the RFQ. Debriefing- Unsuccessful Construction Management Companies may contact the FHA for a debriefing. Only their submission will be reviewed. Elaboration of Response Content-Construction Management Companies may attach further written elaboration of their Response. If they are included as an appendix, the Construction Management Companies are to ensure they are cross-referenced to the appropriate question or statement in the RFQ. Electronic Copy Vs Paper Copy Discrepancy-In the event of a discrepancy between the Fraser Health Authority s electronic copy of the RFQ and the paper copy, the paper copy will prevail. Freedom of Information and Protection of Privacy Act ( FOIPPA ). The Fraser Health Authority (the FHA ) is subject to legislation governing the protection of personal privacy. FOIPPA governs the collection, use, retention, security and disclosure of Personal Information managed by public organizations. Personal Information is any recorded information about an identifiable individual, including name, home address and medical history. The proposed Agreement may involve the collection, use, retention, security and disclosure of Personal Information as defined in FOIPPA. All Construction Management Companies upon request shall provide, information about their Personal Information Protection Policies, explaining how they, and any subcontractor they propose to use, will comply with FOIPPA and the FHA Privacy and Protection Schedule to ensure storage of or access to Personal Information remains within Canada. Under FOIPPA, any FHA records are subject to access by the public. The FHA shall keep confidential all such information provided by the Contractor to the greatest extent permitted under FOIPPA and shall comply with the provisions of FOIPPA relating to third party information. The Contractor shall at all times comply with all requirements of the FHA to protect confidential information from disclosure. Governing Law-Any contract resulting from the RFQ will be governed by and will be construed and interpreted by the laws and courts of the Province of British Columbia. Included Words- Wherever the singular or masculine is used, the same will be deemed to include the plural or the feminine or the body corporate where the contract so requires. Industry Meanings- Words and phrases used in the RFQ or any resulting Contract that have acquired special meanings in the health care industry will be interpreted in accordance with the special meanings attached to those words and phrases in the health care industry. Irrevocability of Responses- By submission of a clear and detailed written notice, the Contractor may amend or withdraw its response prior to the closing date and time. Upon closing time, all responses become irrevocable. For a period of 60 days and if required by the FHA, the Construction Management Companies shall enter into good faith negotiations with the FHA as described in this RFQ. Late Responses Submissions- Contractor responses or submissions that are received after the closing date and time specified will not be accepted for consideration. The Candidate s submission will be returned. Page 21 of 23

Law and Regulations: Construction Management Companies shall comply with and, upon request of Fraser Health Authority, furnish certificates of compliance with all applicable Provincial and Municipal laws and with all applicable rules, orders, regulations or requirements issued thereunder, and shall indemnify Fraser Health Authority against any damages by reason of violations of this paragraph. Any contract arising from this RFQ will be governed in all respects by the laws and courts of the Province of British Columbia. License and Registration- All Construction Management Companies must be incorporated and have obtained licenses where required by legislation. Corporations submitting responses shall be registered in the Province of British Columbia. Limitation of Damages- By submitting a response, tender or quotation to the FHA, the Contractor agrees that it will not claim damages, relating to the Contract or in any respect to the Competitive process, in preparing and submitting a response. The Contractor also agrees to waive any claim for damages for loss of profits if no resulting contract or agreement is completed or awarded to the candidate. No Claim - Except as expressly and specifically permitted in these Instructions to Construction Management Companies, no Contractor shall have any claim for any compensation of any kind whatsoever, as a result of participating in this process, and by submitting a response each Contractor shall be deemed to have agreed that it has no claim. Opening - RFQ s will be opened in private. Ownership of Responses- All documents will be received and held in confidence by the Fraser Health Authority, subject to the provisions of the Freedom of Information and Protection of Privacy Act (FOIPPA) and the Freedom of Information Protection of Privacy Amendment Act. (Bill 73) Working Language- The working language of the Fraser Health Authority is English and all responses to the RFQ will be in English. Definitions/Terminology "Contract" means a written agreement or Purchase Order resulting from a submission approved by the FHA Candidate, General Contractor, Respondent, Contractor, means an individual or company that submits a response to this request "FHA", FH, "Health Area", Owner, Region, Health Authority, means the Fraser Health Authority "Must, "Mandatory" means a requirement that must be met in order for the submission to receive consideration.
