Commission and Fees Schedule Effective January 1, 2013

As a client of CIBC Investor s Edge, you have agreed to pay certain charges based on the types of investments you buy, sell and hold in your account. You have also agreed to pay certain fees relating to the general operation of your account. This Commission and Fees Schedule describes the fees and charges you may incur in your account. Please read this Schedule closely as it contains important information for you. THIS SCHEDULE IS ORGANIZED IN THE FOLLOWING WAY: 1. Charges Relating to Trading in Your Account: this section describes the charges you may incur as a result of the investments you buy, sell and hold in your account. It provides you with information on CIBC Investor s Edge Loyalty and Active Trader Pricing, as well as standard commissions payable based on the type of investments you choose to buy or sell, and the channel through which you buy or sell them. 2. Interest Rates Applicable to Your Account: this section describes the interest rates which may be applicable to debit and credit balances in your account, and explains how CIBC Investor s Edge calculates interest. 3. Fees Relating to the General Operation of Your Account: this section describes the fees that will be charged depending on the type of account you have with CIBC Investor s Edge. Standard commission charges will be consolidated at our discretion when multiple orders of the same type (buy vs. sell) are executed for the same security, within the same day, on the same exchange and in the same currency. 3

Some exceptions may apply. Any consolidated trades will be treated as a single order for the purposes of trade counting. Transactions of principal value over $250,000 are negotiable for both Canadian and U.S. equities. Please note: When you place an order through one channel (for example, online), and make a change to the order using a different channel (for example, by phone with a CIBC Investor s Edge Investment Representative), you will be charged commission based on the service with the highest commission charge. Multiple charges may also apply when transacting orders through different channels or offers. For All Other Securities Over-the-Counter Equities Purchase and Sale Pink Sheets and US Over-The-Counter Bulletin Board (OTC-BB) trades must be placed by Phone with a CIBC Investor s Edge Investment Representative and may be subject to additional transfer agent fees beyond the Standard Commissions described above. Foreign Equities Purchase And Sale Trades made on exchanges outside North America are subject to different charges. For assignments and exercises, the regular equity commission schedules apply. Fixed Income And Money Market Investments Purchase And Sale For purchases or sales of fixed income securities, CIBC Investor s Edge and its affiliates will receive remuneration based on the spread (i.e., the difference between the bid and offer prices on the security for the applicable marketplace). This spread will differ based upon various factors such as the nature and liquidity of the security. A spread is charged on various fixed income securities, as well as on structured products, GICs and money market investments. You may be required to purchase a minimum amount, which may vary by security. Principal Transactions For agency transactions, which typically involve options, equity securities or certain market-linked investments, commissions are charged to clients as set out above. For principal transactions, which may include transactions in fixed income or equity securities, or certain market-linked investments, the price includes a spread, as described above. We, or our affiliates, will generally benefit from executing principal transactions as a result of the spread and may also gain or lose as a result of changes in the prices of securities held for our own account before sale to, or after purchase from, clients. Please note: Additional fees may be applied by the fund company, such as early redemption fees or deferred sales charges on back-end load funds. Mutual funds may charge fees with respect to short-term trading. These fees may vary, but will often be a fee of up to 2% of the amount you redeem, if you redeem mutual fund securities within 90 days of purchase. Please read the applicable prospectus. With the exception of CIBC funds, there is a $1,000 minimum initial investment for all mutual fund orders (unless a higher minimum is set by the mutual fund company). For CIBC mutual fund orders, the minimum investment is $500. 6

Foreign Currency Transactions If you make a trade involving a security which is denominated in a currency other than the currency of the account in which the trade is to settle, a conversion of currency may be required. In all such transactions and at any time a conversion of currency is made, we will act as principal with you in converting the currency at rates established or determined by us or parties related to us. We and the parties related to us may earn revenue, in addition to the commission applicable to such a trade, based on the difference between the applicable bid and ask rates for the currency and the rate at which the rate is offset, either internally with a related third party or in the market. Conversion of currency, if required, will take place at the trade date unless otherwise agreed. INTEREST RATES APPLICABLE TO YOUR ACCOUNT Interest Rates and Terms Interest is calculated daily based on the closing debit or credit balance in the account and charged or paid monthly. Interest will begin to be calculated as soon as there is a debit or credit balance in the account. The interest accrual period is from the 16th day of the previous month to and including the 15th day of the current month, and is posted to the account on the 16th day of the current month. Interest on debit and credit balances will be calculated separately at the appropriate tiered rates. CIBC Investor s Edge will set 7

the interest rate on debit and credit balances. Interest rates and the terms of interest rates applicable to debit and credit balances are subject to change from time to time in the sole discretion of CIBC Investor s Edge without further notice and may vary according to the size of the debit or credit balance. Interest amounts less than C$5.00 per month are neither charged nor paid on regular accounts and interest amounts less than C$1.00 per month are neither charged nor paid on registered accounts. CIBC Investor s Edge s current interest rates and terms of interest rates may be obtained free of charge from a CIBC Investor s Edge Investment Representative by calling 1 800 567-3343 or by visiting www.investorsedge.cibc.com. FEES RELATING TO THE GENERAL OPERATION OF YOUR ACCOUNT Fees For Self-Directed Registered Accounts General Administration Fees Fees charged are for the period of January 1 st to December 31 st, or any part thereof, payable on September 1 st. RRSP, RRIF, LIRA or LIF $100 There is no administration fee for any registered account maintaining a market balance greater than $25,000. RESP $50 There is no administration fee for RESP accounts maintaining a market balance greater than $15,000. FundPlus RRSP, RRIF, LIRA or LIF $25 In order to be eligible for this reduced fee, your registered account must be opened as a FundPlus account. Tax-Free Savings Account (TFSA) $0 There is no administration fee. 8

General Administration Fees are also applied to restricted accounts, regardless of account balances, where account documentation has been outstanding for more than 180 days since account opening. Please note: GST/HST/TVQ and PST are charged where applicable. Transaction fee for handling $250 CCPC shares (per transaction) * A Partial Plan Withdrawal that results in a balance of $100 or less remaining in a registered account is treated as a Full Plan Withdrawal and will be charged a fee of $100 Please note: GST/HST/TVQ and PST are charged where applicable. Mortgages Fees For Registered Accounts The Mortgage Administration Fee is in addition to the annual RRSP/RRIF General Administration Fee. The Mortgage Administration Fee is $225, payable on September 1 st, for each mortgage held in your account at any time during the period of January 1 st to December 31 st. The fee is not payable on a pro rata basis for any 9

partial year that a mortgage is in your account. Mortgage Set-Up Fee for each mortgage, payable at the time each mortgage is established in your Plan $200 Renewal Fee for each mortgage $85 Early Renewal Fee for each mortgage $100 Discharge Fee for each mortgage $100 Transfer In/Out Fee for each mortgage $100 Additional fees (such as legal, appraisal, and CMHC/GEMI application fees) are applicable for most mortgages. Fees For Investment Accounts (Non-Registered Accounts) Account Maintenance Fee $100 CDN (annually) There is no administration fee for non-registered accounts with maintaining a market balance greater than $10,000. Your account will be exempted from this fee if: you also hold a CIBC Investor s Edge registered account (RRSP, RRIF, RESP, LIRA, LIF) your account is an informal trust your account has been open for less than 90 days This fee will be assessed based on account balances at the close of business day on September 15 th of each year. This fee is also applied to all restricted accounts, regardless of account balances, where account documentation has been outstanding for more than 180 days since account opening. Transfers Out (partial/full) $135 The transfer fee is waived if your account is transferred within the CIBC group of companies. Please note: GST/HST/TVQ and PST are charged where applicable. 10

Clients are responsible for ensuring that we have their up-to-date mailing address on file. Out-of-pocket expenses incurred may be charged in certain circumstances (e.g., loss resulting from closing out a transaction, administration time, cost of funds at the prevailing margin interest rate to carry the account in a positive position, courier charges, etc.). If charges apply for additional services you request, they will be disclosed prior to implementation. Notice of fee change: If a fee applicable to your account is increased or a new fee is introduced, you will receive notification 60 days prior to the effective date of the change. If the fee relates to an activity in the Canadian dollar portion of your account, the charge will be in Canadian dollars. If the fee relates to an activity in the 11

U.S. dollar portion of your account, the charge will be in U.S. dollars, unless otherwise noted. Please note: GST/HST/TVQ and PST are charged where applicable. CIBC Investor s Edge Loyalty Pricing and Active Trader Pricing Terms & Conditions Effective January 2011 Please read this document which sets out the terms and conditions that apply to any CIBC Investor s Edge account enrolled in CIBC Investor s Edge Loyalty Pricing or Active Trader Pricing. Enrolment To be considered for enrolment into either the Loyalty Pricing or the Active Trader Pricing, you must advise us of your interest and must advise of any other accounts that you wish to enrol as part of the same household*. CIBC Investor s Edge will not assume the responsibility of enrolling a client or migrating clients into more beneficial pricing tiers. We reserve the right to remove or downgrade clients at any time and without notice if they do not meet the eligibility criteria as listed in the section Eligibility. By enrolling in either Loyalty Pricing or Active Trader Pricing, you acknowledge and consent on your own behalf and on behalf of members of your household, that CIBC Investor's Edge may collect financial and financially-related information about accounts in your household from any affiliate within the CIBC group of companies for the purpose of qualifying your accounts for Loyalty Pricing or Active Trader Pricing. *Household is defined as clients living at the same address. Eligibility The Loyalty Pricing and Active Trader Pricing plans are available to any CIBC Investor s Edge client who holds an account at CIBC Investor s Edge and meets certain 12

qualification criteria, outlined below. Loyalty Pricing To qualify for Loyalty Pricing, a CIBC Investor s Edge client must have and maintain $100,000 CDN or equivalent funds within products or accounts held at CIBC Investor s Edge, CIBC Imperial Investor Services, CIBC Wood Gundy, or any affiliate within the CIBC group of companies.* Deposits on file, investments and actual loaned funds will be considered for the determination of the $100,000 qualifying amount, subject to the exceptions listed below. Clients who reside in the same household can pool balances for the purposes of achieving the qualification amount, and Loyalty Pricing will apply to each client account pooled. Enrolment must be requested by each individual accountholder or their authorized representative. Balances in personal and non-personal accounts cannot be pooled for the purposes of householding, but may qualify separately. An example of householding and Loyalty Pricing eligibility: A husband and a wife hold CIBC Investor s Edge accounts totaling $50,000. In addition, they have a mortgage with CIBC Mortgages with a remaining balance of $80,000 and a CIBC GIC worth $10,000. Based on householding, both the husband and wife qualify for Loyalty Pricing as the combined balance in their CIBC products is $140,000. CIBC Investor s Edge will review client accounts semi-annually to ensure clients continue to be eligible for Loyalty Pricing based on account balances, but retains the right to review at any time a client s asset and liability levels and to revoke participation in Loyalty Pricing without warning if eligibility criteria are not met. Clients who are deemed, in our sole discretion, not to meet the eligibility criteria will be subject to standard commission rates. *Any account or loan balances held with President s Choice Financial are not eligible for pooling. Balances in accounts not eligible for pooling will not be included when determining if the client qualifies 13

for the $100,000 minimum amount. Active Trader Pricing To qualify for Active Trader Pricing, clients must have executed, at minimum, an average of 30 trades per quarter in the preceding six month period, or maintain $50,000 in CIBC Online Brokerage assets per household*. Those clients who execute an average of 150 or more trades per quarter will receive a reduced rate. For the purpose of determining the average number of trades per quarter, clients can include the sum of trades executed across all CIBC Investor s Edge accounts which have been identified to us and for which we deem the client to be the account owner, as well as accounts of other parties residing in the same household*. Trades in personal and non-personal accounts cannot be pooled for the purposes of householding, but can qualify separately. For the purpose of determining the qualification amount of $50,000 in CIBC Online Brokerage assets, clients can include the balance across all CIBC Online Brokerage accounts which have been identified to us and for which we deem the client to be the account owner, as well as accounts of other parties residing in the same household. CIBC Investor s Edge will review client accounts semi-annually to ensure clients continue to be eligible for Active Trader Pricing based on trading activity or asset level, but retains the right to review at any time a client s trading activity and asset level and to revoke participation in Active Trader Pricing without warning if eligibility criteria are not met. Clients who are deemed, in our sole discretion, not to meet the eligibility criteria will be subject to standard commission rates. *Household is defined as clients living at the same address. Trades Pricing, Trades include buys and sells of equity and option securities that are placed electronically via the CIBC Investor s Edge website, Automated Telephone Service or other electronic channels as they become 14

available. Certain trades executed through the CIBC Investor s Edge Contact Centre by telephone that are not available through electronic channels will also be eligible as qualifying Trades, including short sales, option strategies and the exercise and assignment of options. The following are not considered to be Trades for the purposes of Loyalty Pricing or Active Trader Pricing, and will be subject to standard fees and/or commissions: All trades executed through the CIBC Investor s Edge Contact Centre, with the exc-eption of those transactions previously mentioned. New issues (e.g., securities distributed by way of prospectus) Trades in mutual funds Trades in fixed income securities Pre- and post-market trading Debit sellouts for monies owed Trades in precious metals Full commissions and fees apply for each partial fill, except when transacted within the same business day. Commission charges will be consolidated at our discretion when multiple orders of the same type (buy vs. sell) are executed for the same security, within the same day, on the same exchange and in the same currency. Some exceptions may apply. Any consolidated trades will be treated as a single order for the purposes of trade counting. Electronic Delivery With our online Loyalty and Active Trader pricing we are actively seeking your agreement to help us do our part for the environment by reducing the amount of printed paper we generate. To this end, we will be taking your instructions to suppress the paper delivery of your account information. If you would like to continue receiving paper copies, you may change your mailing options at any time through the CIBC Investor s Edge Contact Centre or online at www.investorsedge.cibc.com. Electronic Delivery Of Documents Terms And Conditions If you agree to the electronic delivery of the Documents (as defined below) that CIBC Investor s Edge elects to deliver to you electronically, the following terms and conditions will apply. 1. Definitions a. CIBC Investor s Edge Online means the secure section of the CIBC Investor s Edge website, www.investorsedge.cibc.com, that is available upon user and password authentication of clients or their authorized representatives. b. Document means the following types of documents that are available in electronic format and able to be delivered by electronic means to you: i. Account Statement available within 10 days of the end of each month in which there is activity in the account, otherwise within 10 days of the end of each calendar quarter, ii. Annual Fee Statements available within 15 days of the end of each calendar year, iii. Trade Confirmation available within 2 business days of any trade, iv. Prospectus available within 2 business days of the purchase of securities offered for sale by way of prospectus offering, v. Tax Slips Tax reporting forms including T5s and T3s, available within prescribed government deadlines each taxation year, vi. Any other documents that subsequently are made available in electronic format, which you choose to receive via the Mailing Options Page. c. Mailing Options Page means the page on CIBC Investor s Edge Online upon which you can indicate and record your electronic delivery preferences for each account that you have with CIBC Investor s Edge and each type of document eligible for electronic delivery. 16

2. You consent to the electronic delivery by CIBC Investor s Edge of Document(s) as indicated on your Mailing Options Page, and any supplementary material that typically accompanies these Documents. You understand that this consent applies only to the copy of the Document that is mailed to the primary mailing address of record for the particular account and does not apply to any additional or duplicate copies that you have requested to be delivered to any other addresses. 3. You acknowledge that this consent will apply to all selected Documents for all accounts as indicated on your Mailing Options Page. If a Document consolidates information for more than one account (e.g. consolidated Account Statements), then the delivery preferences selected for any one of the accounts for that consolidated Document type will apply to all consolidated accounts, including any accounts that are subsequently consolidated into the same Document. However, the delivery preferences for all other non-consolidated Documents for those accounts will still be determined separately. 4. You understand that an electronic version of each Document will be made available to you via CIBC Investor s Edge Online within the corresponding time period listed above in paragraph 1(b). You understand that You will not receive any other notification as to the availability of a specific Document on CIBC Investor s Edge Online. You agree that it will be your sole responsibility to monitor CIBC Investor s Edge Online in order to check for availability of the Document(s) as they are produced. 5. You acknowledge that access to the Internet and the World Wide Web are required to access CIBC Investor s Edge Online and view your Document(s), and that you have the necessary technical ability and resources to access your Document(s). You also acknowledge that CIBC Investor s Edge Online is a secure Web site and that you must be granted and maintain your access using a private user 17

identification and password in order to view, download or print Document(s) from your computer. You also understand that in order to access Documents related to any of your CIBC Investor s Edge accounts in this way, the accounts must be linked to your user identification. Support for this access can be received by calling the CIBC Investor s Edge Contact Centre at 1 800 567-3343. 6. You understand that upon closure of your account at CIBC Investor s Edge, you will no longer have online access to Documents for that account, and therefore any Documents required to be delivered after account closure will be delivered by mail. 7. You understand that the system requirements to view and download your Documents will be specified on the Web site. Currently, electronic versions of Documents are available in Adobe Portable Document Format (PDF). The Adobe Acrobat Reader software is required in order to view a PDF file and it is available for free via the Adobe website at www.adobe.com. 8. You understand that you may receive from CIBC Investor s Edge a paper copy of any Documents delivered electronically at any time, and at no cost to you if my account is still active and the Document was issued within the preceding 12 months. However, the following requests are subject to a fee as set out in the CIBC Investor s Edge Fee Schedule: a) Request for a paper copy of Document after my account is closed; or b) Request for a Document issued more than 12 months prior to the request. 9. Subject to paragraph 6 above, you acknowledge that Documents will be maintained on CIBC Investor s Edge Online for no less than 18 months from the date the Document is first posted. 10. You understand that you will be provided with a paper copy of your Document(s) if an electronic version of the Document cannot be made available on CIBC Investor s Edge Online for any reason. 18

You understand that your consent may be revoked or changed at any time by updating the Mailing Options Page or by notifying CIBC Investor s Edge Customer Satisfaction Department by telephone at 1 800 567-3343, by regular mail to: CIBC Investors Services Inc., 800 Bay St., 2 nd Floor, Toronto, Ontario, M5S 3A9. 12. You understand that your are not required to consent to the electronic delivery of Documents and that CIBC Investor s Edge will consider this consent to be valid until otherwise notified by you. A request for a printed copy of your Documents will not revoke this consent. 13. CIBC Investor s Edge will notify you of a change to these terms and conditions by posting a notice on CIBC Investor s Edge Online. You agree that your use of CIBC Investor s Edge Online to access Documents after CIBC Investor s Edge has posted the notice means that you agree to and accept the terms and conditions as amended. If you do not agree to a change in the terms and conditions, you must immediately change your preferences on the Mailing Options Page or contact CIBC Investor s Edge in order to receive paper copies of Documents. Amendments and Termination CIBC Investor s Edge may change the terms and conditions of Loyalty Pricing or Active Trader Pricing at any time, upon 30 days notice to the accountholder. Communications to the accountholder will be made in accordance with the agreements set out in the CIBC Investor s Edge Agreements and Disclosures Booklet. The accountholder may terminate participation in the Loyalty Pricing or Active Trader Pricing plans at any time upon notice to CIBC Investor s Edge.
