conditions; we will in turn notify and inform the German agent. The commission is also due if the actual contract conditions differ from the conditions in our property offer, or if a transaction was achieved by another contract or through a purchase at auction. 7. Should you already know a property offered to you by ourselves you are obliged to immediately inform us; we will in turn inform the German agent. If you do not do so in writing and within 5 days of receiving our offer, you will, in case a purchase contract is concluded, be liable to pay the commission as if we were the agent cause of purchase. Should you, after receiving our property offer, receive details of this property offer from another agent or any other party, you are obliged to immediately inform them of having already received this offer from ourselves, and are obliged to refuse the services of the other party with regards to the property offer in question. 8. Details of property offers are intended solely at the recipient. By passing them on to third parties you become liable for damages to the German agent. In case a transaction is concluded as a result of one of the offers provided to you, you will be liable to pay damages to the German agent in the sum of the commission they would have received for the transaction. The right to claim further damages from you is expressly retained by the German agent. 9. The German agent s right to commission is retained should you (or the respective buyer, in case of linked purchase) withdraw from the purchase contract and should the contract be cancelled. The same applies should the transaction not be completed for any fault on your (or the respective buyer s) side, in case we have not been notified of such problem in advance and in writing. 10. The German agents are also entitled to act on behalf of the other party and to receive commission. 11. This agreement shall be subject to German law and the exclusive jurisdiction of the courts of Dresden. 12. Any changes to this agreement must be in writing. 13. Should any clause not be valid does this not invalidate the remaining clauses and such invalid clause is to be explained or replaced in a manner that comes to aid the intended result of the transaction. 5
