This PDS has been prepared in accordance with Subdivision 4.2C of Division 4 of Part 7.9 of the Corporations Regulations 2001 (Cth). ANZ Trustees as Responsible Entity of the Fund is responsible for operating the Fund and managing its investments. 2. How the ANZ Fixed Income Fund works The Fund is structured as a unitised registered managed investment scheme established under Section 41 of the Trustee Companies Act 1984 (VIC). Managed investment schemes pool individual investors monies which are then used to purchase assets in line with the Fund s investment objective. The interests that investors acquire When you invest in the Fund, you are allocated a number of units in the Fund. Each of these units represents a share in the net assets of the Fund. As a result, each unit has a dollar value or unit price. The unit price will vary as the market value of assets in the Fund rises or falls.
Minimum investment amounts When investing directly in the Fund you need a minimum initial investment amount of $1,000. For additional investments, the minimum additional investment amount is $100. We can vary or waive the minimum investment amounts at any time. Investing Refer to section 8 of this PDS How to apply for information on how to make an investment. Redeeming If you are redeeming directly, all requests to redeem units from the Fund must be made in writing in the form approved by us to the address at the end of this PDS. If you are redeeming indirectly via an IDPS you must follow the redemption process as advised by the operator of that service. You will normally be able to withdraw from the Fund on any business day (a day other than a Saturday or Sunday or public holiday in Melbourne on which trading banks in Melbourne are generally open for business). Redemption requests must be received by 3.00pm (Melbourne time) on any business day. Redemption requests received after that time will be treated as being received the following business day. While there is no minimum redemption amount, we generally require you to hold a minimum balance of $1,000. Redemption requests will normally be paid to you by us within 7 business days (although we are allowed longer periods under the Fund s Constitution) from receipt of a written request, and will be paid in cash unless agreed by us. We have discretion to suspend redemptions where we believe it is in the best interests of the Fund or its unitholders. Such circumstances include: when ANZ Trustees considers it impracticable to calculate unit prices, for example when ANZ Trustees believes there would be significant uncertainty over the value of the Fund s investments because securities exchanges are closed or subject to trading restrictions or because of an emergency or other extreme state of affairs; and when ANZ Trustees anticipates a significant amount of the Fund s assets must be sold to meet withdrawals. In some circumstances, such as when there is a freeze on withdrawals, unitholders may not be able to withdraw their funds within the usual period upon request. Unit prices Unit prices are normally determined each business day. The unit price is equal to the value of all assets in the Fund, including undistributed income as well as realised and unrealised capital gains, less fees and costs, divided by the number of units on issue. Unit prices will fluctuate with changes in the value of the investments held in the Fund s portfolio. Assets of the Fund are valued in accordance with the Fund s Constitution and based on market value. We have a Unit Pricing Discretions guide which sets out how we will exercise any discretion in relation to the unit price. You can request a copy of this document free of charge by contacting us. Any income received by the Fund during a distribution period will be reflected in the unit price. At the end of a distribution period, unit prices will generally fall by the amount to be distributed per unit. Distributions The Fund will generally make distributions on a quarterly basis. The amount distributed to each unitholder will be based on the number of units held at the end of each distribution period. The amount of distributions will vary from period to period and there may be periods in which no distribution is made. Distributions you receive are generally assessable and can be made up of both income and capital components. Distributions will normally be paid within 15 days of the end of a distribution period. 3. Benefits of investing in the ANZ Fixed Income fund The Fund has the following features and benefits: access to a professionally managed portfolio of primarily Australian fixed interest securities; access to ANZ Trustee s investment management expertise and experience; and exposure to a broad range of cash and fixed interest securities. 4. Risks of managed investment schemes All investments carry risk. Different strategies may carry different levels of risk, depending on the assets that make up the strategy. Assets with the highest long-term return may also carry the highest level of short-term risk. The value of investments will vary in line with movement in the value of the Fund s assets. The level of returns will vary and future returns may differ from past returns. Returns are not guaranteed and investors may lose some of their money. Laws affecting your investment in a registered managed investment scheme may change in the future. The level of risk for each investor will vary depending on a range of factors including age, investment timeframes, where other parts of the investor s wealth are invested and the investor s risk tolerance. The Fund s value and returns may be affected by a number of variable factors such as: Interest rate risk the value of a fixed income investment such as a government bond will decrease because of rising interest rates Inflation risk the buying power of your invested money may decrease over time due to inflation Business, credit or financial risk an individual issuer or counterparty may default on its obligations relating to a particular security or derivatives issued by it Political or social risk changes in government policy, laws and regulations may adversely affect the value or tax treatment of the Fund s investments, or political upheaval occurs Currency risk changes in relative exchange rates may adversely affect the value of a foreign denominated investment Market risk prices on the markets for the securities may fall, resulting in a fall in the Fund s value Liquidity risk an investment may not be able to be sold Single manager risk there can be risks involved with investing in one particular manager or investment which can be reduced by diversifying 2 3
Fund risk the risk that changes to the Fund such as changes to fees or the termination of the Fund can affect your return. An investment in the Fund may give different results, including distributions, than investing directly in the underlying assets of the Fund because of capital gains or losses associated with the mark to market impact of rising or falling yields, and the consequences of investments and withdrawals made by other investors. Withdrawal risk the risk that the Fund may not meet redemption requests within the normal timeframe, may suspend withdrawals or become illiquid. Choosing the right investment to suit your needs is an important decision. You should ensure any investment in the Fund is in line with your investment objectives, financial situation and personal needs. How we invest your money You should consider the likely investment return, risk and investment timeframe when choosing to invest into the Fund. Investment objective The Fund aims to provide investors with diversified exposure to high quality income yielding investments. Investment strategy The Fund aims to outperform the benchmark over a 3 to 5 year period. Investment approach The Fund is intended to be suitable for investors who are seeking wealth preservation (or protection) and who are looking for a core portfolio invested in high quality fixed income (government, semi-government and corporate bonds) and cash securities. Having regard to the nature of the assets of the Fund, this Fund has a low to medium risk level. Our fixed income portfolios utilise an asset selection process that takes into account the views of the ANZ Regional Investment Council (RIC) together with favoured leading economic indicators and Central Bank determinations affecting interest rates. Further analysis, including relative return analysis, technical analysis and our own market modelling, assists us in determining the value of the fixed income assets in which we invest. We focus on investing in high quality fixed income assets, avoiding lesser quality corporate paper and overly complex, non-transparent structured securities. We add value to client portfolios by actively managing the fixed income asset allocation. This is achieved by taking advantage of changes in the direction of interest rates (duration), achieving the optimal distribution of assets across the maturities spectrum (yield curve) and managing the sector mix (diversification) across Australian Commonwealth bonds, State Government bonds and selected corporate bonds. We do not have a predetermined view about labour standards or environmental, social or ethical considerations in relation to our investment making process and we do not specifically take these matters into account when making investment decisions for the Fund. We have the right to close or terminate the Fund and change the Fund s investment objective (including benchmark), asset classes and asset allocation ranges and investment approach, without prior notice to you in some cases. We will inform investors of any material change to the Fund s details. 6. Fees and costs Did you know? Small differences in both investment performance and fees and costs can have a substantial impact on your long term returns. For example, total annual fees and costs of 2% of your Fund balance rather than 1% could reduce your final return by up to 20% over a 30 year period (for example, reduce it from $100,000 to $80,000). You should consider whether features such as superior investment performance or the provision of better member services justify higher fees and costs. You may be able to negotiate to pay lower contribution fees and management costs where applicable. Ask the Fund or your financial adviser. These fees and costs may be deducted from your money, from the returns on your investment or from the Fund assets as a whole. For further information about tax, please refer to section 7 of this PDS. Estimated expense reimbursement is between 0.01% to 0.15% p.a. of the net asset value of the Fund Example of annual fees and costs for the Fund The following table gives an example of how the fees and other costs in the Fund can affect your investment over a one year period. You should use this table to compare this product with other similar managed investment products. Example Balance of $50,000 with a contribution of $5,000 during year Contribution Fees 0.00% For every additional $5,000 you put in, you will be charged $0.00. PLUS Management Costs 0.15% And, for every $50,000 you have in the Fund, you may be charged $75 each year. EQUALS Cost of Fund If you had an investment of $50,000 at the beginning of the year and you put in an additional $5,000 during that year, you may be charged a fee of $75. What it costs you will depend on the investment option you choose and the fees you negotiate with your fund or your financial adviser. Additional explanation of fees and costs Management Costs Management costs consist of the management fee and expenses. Management Fee ANZ Trustees does not currently charge a management fee. The management fee is the fee we may charge for overseeing the operations of the Fund and managing the assets of the Fund. Where the management fee is charged by us it is calculated and accrued daily as a percentage of the Fund s gross assets and is payable monthly in arrears. ANZ Trustees may also engage external investment managers who will charge the Fund a management fee for managing all or part of the portfolio. Any increase in management costs (whether because of the appointment of an external investment manager or otherwise) will be noted on our website or otherwise notified to investors. Expenses - We are also entitled to be reimbursed for expenses we incur in the proper performance of our duties and in connection with the day-to-day operation of the Fund. Examples of expenses that are reimbursed from the Fund include audit fees, banking charges and preparation of accounts. These expenses are estimated to be between 0.01% to 0.15% p.a. at the time of issue of this PDS and will vary according to the actual amount of expenses recovered from the Fund. This is paid out of the Fund s assets when expenses fall due. Abnormal expenses ANZ Trustees is entitled to be reimbursed from the Fund for abnormal expenses, such as the cost of investor meetings, legal costs of any proceedings involving the Fund and terminating the Fund. Whilst it is not possible to estimate such expenses with certainty, ANZ Trustees anticipates that the events that give rise to such expenses will rarely occur. Transaction costs The Fund may incur transaction costs such as brokerage, settlement costs, clearing costs and stamp duty when transacting to meet investment objectives. No buy/sell spread is currently charged by the Fund to investors when they invest in or withdraw from the Fund. The amount of transaction costs is dependant on a number of different variables, including the level of trading undertaking by the Fund. As such, we are unable to provide a meaningful
estimate or example of these costs. Transaction costs are an additional cost to the investor but are reflected in the unit price and so not charged separately to investors. Taxation Unless stated otherwise, the fees and costs disclosed in this section of the PDS are stated inclusive of Goods and Services Tax (GST) and net of any applicable Reduced Input Tax Credit (RITC) that is available to the Fund. The fees and costs paid in respect of acquisitions made by the Fund (such as management costs) are generally subject to GST. Where an acquisition is subject to GST, the Fund may be entitled to claim an RITC at the applicable rate. This means that the effective cost of an acquisition made by the Fund will be net of any applicable RITC. For further information about tax, please refer to section 7 of this PDS. Differential fees ANZ Trustees may at its discretion rebate, waive or negotiate lower fees with institutional or wholesale investors. Changes to fees The maximum management fee (including GST) allowable under the Constitution is 1.1% p.a. ANZ Trustees has the power to increase fees without investor s consent but will only do so with at least 30 days prior notice and within the maximum limits prescribed in the Constitution. Indirect Investors If you are investing via an IDPS, fees and expenses applicable to the IDPS (are set out in the IDPS offer document or client agreement) are payable in addition to the fees and expenses stated in this PDS. Any such fees are not paid from the Fund. ANZ Trustees may receive from the IDPS operator a portion of the fees paid by indirect investors to the IDPS operator. Indirect investors should contact their IDPS operator if they have any questions. 7. How managed investment schemes are taxed Investing in a registered managed investment scheme is likely to have tax consequences and you are strongly advised to seek professional tax advice. We intend to distribute the Fund s net income to unitholders so that the Fund will not incur a liability for income tax. The Fund does not pay tax on behalf of Australian investors. Net income will be assessable for tax purposes in the hands of unitholders who receive the distributions. The Fund s distributions may include different components (such as interest income, net realised capital gains, other Australian income, foreign income, foreign tax offsets, tax free amounts, tax deferred amounts and return of capital amounts), each of which has different tax implications for you. In addition to distributions you may also be assessed on any capital gains made when you withdraw or transfer units in the Fund. In these circumstances a capital gain arises when the withdrawal price exceeds your tax cost base. Depending on your individual circumstances you may be entitled to a capital gains tax discount of up to 50%. Accordingly, you are assessed for tax on any income and capital gains generated by the Fund. The components of your distribution and capital gains on your Fund units will be disclosed on your end of financial year Tax Statement. The tax implications will depend on your individual circumstances. You can find out more by asking your tax adviser. It is important that you seek professional advice before you invest in the Fund. 8. How to apply Invest If you are investing directly simply complete the Application Form for this Fund and return it with a cheque or make EFT payment for the amount you wish to invest. Your cheque should be made payable to ANZ Trustees Limited. If you are investing indirectly via an IDPS you must follow the application process as advised by the operator of that service. The deadline for receipt of an application is 3.00pm (Melbourne time) on any business day. Applications received after this time will be treated as received on the following business day. Interest earned on application monies are retained by the Fund. We have discretion to refuse an application where we believe it is not in the best interests of the Fund and its unitholders. The Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth) requires us to verify your identity before we can provide you with certain prescribed services. For more information, refer to the Application Form. Cooling off If you are investing directly and are not a wholesale client, as defined in the Corporations Act 2001 (Cth) (Corporations Act), you have a 14 day cooling off period starting from the earlier of the date you receive confirmation of your investment or 5 business days after the day on which your units were issued to you, during which time you can notify us in writing and cancel your investment and obtain a refund. The amount repaid will be adjusted (either up or down) for any market movement in the value of your investment up until the date of cancellation, any tax or duties payable by ANZ Trustees and administrative expenses and transaction costs associated with the acquisition and termination of your investment. If you are investing indirectly in the Fund through an IDPS, you should consult the operator of that service in relation to any cooling off rights that may or may not apply to your investment in that product or service. Other information Responsible Entity As Responsible Entity of the Fund we are responsible for the Fund s operation and for complying with the Constitution and the Corporations Act. The Constitution The Fund is governed by a Constitution, as supplemented by the Corporations Act and the general law, which sets out certain rights, duties and obligations of us. Subject to the Corporations Act and the Constitution for the Fund, we may change the Fund Constitution or any details of the Fund and the terms and conditions on which units in the Fund are held from time to time if we reasonably believe that the changes are in the best interest of unitholders and not inconsistent with our duties to unitholders. The Fund s Constitution has been lodged with ASIC and is available free of charge from us. In the future, the Fund may become a disclosing entity and be subject to regular reporting and disclosure obligations. Copies of documents lodged with ASIC in relation to the Fund may be obtained from, or inspected at, an ASIC office. The Compliance Plan The Fund has a formal Compliance Plan that sets out the procedures we must follow to ensure that we comply with the Fund s Constitution and the Corporations Act. The Compliance Plan must be independently audited annually. Indirect investors If you invest in the Fund through an IDPS, you are not a direct investor. The IDPS operator invests on your behalf and so has the rights of a direct investor. You should refer to the IDPS operator and its disclosure documents to understand your rights and interests.
