Business Debit Card Agreement Please read this Agreement carefully and keep it for your records. By using your Card, you agree to accept the terms and conditions of this Agreement. This Agreement for Business Debit Visa Card governs your use of a Citizens State Bank Business Debit (a Card ) permitting access to your deposit accounts and your making an electronic fund transfer to or from your account ( EFT ). Meaning of Some Terms. For purposes of this Agreement the term(s): (1) you and your mean each person who makes use of the Bank s EFT services; (2) we, us, or the Bank mean Citizens State Bank where you maintain your deposit account; (3) Business Day means Monday through Friday Saturdays, Sundays, and holidays are not business days; (4) Card Program means Citizens State Bank s Card program marketed to you pursuant to which you have received the Card; (5) Card Transaction means any financial transaction authorized by us whereby you use the Card at a location that accepts your Card s branded service mark of a Card network; (6) EFT Transaction refers collectively to an applicable Card Transaction; and (7) PIN means any Personal Identification Number used in conjunction with a Card for certain types of transactions. YOUR USE OF A CARD; AND LIABILITY FOR UNAUTHORIZED TRANSFERS. (e) Authorized Users. Access to your account and the types of Card Transactions permitted may be determined by you and varied for each Authorized User. You may request issuance of one or more Cards for use by Authorized Users, and may cancel any Card upon written notice actually received by us. We shall be entitled to treat all Card Transactions as fully authorized by you or your Authorized User prior to our receipt of your written notice terminating all use of the applicable Card(s). Each Authorized User must sign their signature on the reverse side of the Card delivered to you. If you are not operating a business as a sole proprietorship, you agree to give us certified copies of resolutions from your Board of Directors or other governing body, or other certificate or other evidence of authority satisfactory to us, which specifically authorizes you and each Authorized User with authority to use a Card or make any EFT Transaction on your account. Such evidence of authority must set forth the name and title of each Authorized user, and must be in form and substance satisfactory to us. You must tell us immediately by calling 888-529-5450 and confirm in writing of any change in the status of an Authorized User. We may ask you to give us additional documentation. You shall give us a reasonable time to process your notice and you shall take all necessary and appropriate action to obtain and return all Cards in the possession of such Authorized User. You must destroy such Cards. Until properly notified in writing of any change in such authorization, we may process and approve all EFT Transactions to or from your account, without inquiry and without regard to the application of the proceeds thereof or the authority of the Authorized user. Business Use. You and each Authorized User agree that all accounts linked to your Card are business accounts. You and each Authorized User agree and warrant to us that they will (i) not use, or permit the use of, the accounts, and any Service under this Agreement, or commingle funds in an account for any personal, family, or household purpose and (ii) not link any personal account or unrelated business account to the Card. Liability for Unauthorized Transactions. Tell us AT ONCE if you believe your Card or any PIN has been lost or stolen. Telephoning is the best way of keeping your possible losses down. YOU AGREE THAT IF YOU GIVE YOUR CARD AND PIN TO SOMEONE ELSE TO USE, YOUR ARE AUTHORIZING HIM OR HER TO ACT ON YOUR BEHALF AND YOU WILL BE RESPONSIBLE FOR ANY USE OF THE CARD(S) BY THEM. In order to help limit your losses, change all passwords and PINs within your control and contact us at once, if you suspect any access procedure or PIN, password or other security procedure has been lost, stolen, misused, misplaced, or improperly disclosed, or money is missing from your account. You agree to make your best efforts to protect your Card and PIN against loss, theft or unauthorized use. You agree to cooperate completely with us in any of our attempts to recover amounts from unauthorized users and to assist in their prosecution under law. Right to Receive Documentation of EFT Transactions. You will get a receipt at the time you make a Card Transaction using a terminal in the USA authorized for your Card use. We will provide you an account statement for each account cycle in which a fee is imposed, when there is any other activity in your Account or as otherwise required by applicable law. You can receive transaction information for your account by calling customer service at the number listed below. If you request a paper copy of an account statement, it will be sent to your current mailing address on file. Zero Liability Rule. The following limitations may be applicable to your accounts, except as provided by law: The zero liability limit described below only applies to debit cards that are United States issued VISA Consumer Cards or VISA Business Cards for transactions processed through a VISA network or, for ATM transactions, a Plus network. The zero liability limit described below does not apply to: other types of VISA commercial debit cards that are not VISA Business Cards; transactions using your personal identification number that are not processed through a VISA network; and ATM transactions which are not sent over VISA or Plus networks. Tell us AT ONCE if you believe your VISA debit card has been lost or stolen or if you believe any unauthorized transactions have been made using your VISA debit card. Your liability for unauthorized VISA debit card transactions that are processed through a VISA or Plus network, as applicable, will be zero dollars ($0.00). However, to the extent allowed under applicable law, we may hold you liable for the entire amount of an unauthorized transaction if we find, based on substantial evidence, that you have been grossly negligent or fraudulent in the handling of your deposit account or VISA debit card. For VISA Business Cards: in order for an unauthorized transaction to be covered by the zero liability limit described above you must notify

us within sixty (60) calendar days of the mailing of the first statement showing the unauthorized transaction; and an unauthorized transaction does not include any transaction allegedly conducted by (i) a business co-owner, (ii) the cardholder or person authorized by the cardholder, or (iii) any other person with an interest in or authority to transact business on the account. To notify us of lost or stolen cards, or of unauthorized transactions, call or write to us at the telephone number or address set forth below. This will help prevent unauthorized access to your account and minimize any inconvenience. We may require you to provide a written statement regarding an unauthorized VISA debit card transaction in order for the zero liability limit described above to apply. Cardholder Disclosure on Non-VISA Debit Transaction on Visa Branded Cards Your Visa debit card allows you to conduct transactions on the PULSE and SHAZAM debit networks, which generally requires you to enter your PIN. However, Citizens State Bank has enabled non-visa debit transaction processing that does not require a PIN number to be authenticated. These transactions are commonly referred to as Pinless debit bill payment and provide our customers with additional payment options. Please note that any provisions of our cardholder agreement relating to VISA transactions are not applicable to non- VISA debit transaction. VISA is a registered trademark of VISA in the United States and other countries. Illegal Transactions. You may not use your ATM, POS, or Debit Card, or other access device for any illegal or unlawful transaction, and we may decline to authorize any transaction that we believe poses an undue risk of illegality or unlawfulness. Notwithstanding the foregoing, we may collect on any debt arising out of any illegal or unlawful transaction. NOTE: In order to minimize the risk of losses from lost or stolen cards or PINS, we suggest that you call us immediately and then confirm in writing. IDENTIFICATION OF TERMINALS AVAILABLE TO CARDHOLDERS. For purpose of this Agreement, a terminal includes automated teller machines ( ATM ) and point of sale ( POS ) terminals (special store terminals at which payment for purchases may be made). An ATM terminal can be used without the assistance of another person and the use of a PIN is required to complete a transaction. There are two types of point of sale transactions. The first type utilizes special store terminals at which payment for purchases can be made ( POS/PIN ). POS/PIN terminals are used with the assistance of a retail store clerk or other operator and require the use of a PIN. All such persons are agents of the merchant and not of the Bank. The second type of point of sale transaction ( POS ) does not require the use of a PIN. The POS transaction is made by presenting your Citizens State Bank Business Debit Card at the time of purchase to merchants who have agreed to accept Card purchase transactions. A signature is required to authorize this type of transaction. TYPES OF AVAILABLE TRANSACTIONS AND LIMITS ON TRANSACTIONS INITIATED USING YOUR CARD Account Access. Your card will permit you to make such financial transactions as we may authorize from time to time on Checking Accounts as defined in your Deposit Account Agreement and Funds Availability Policy. You may also conduct other transactions as we add services and features to the automated bank system. Limits on Dollar Amount of Card Transactions. Separate withdrawal and purchase limits apply. Total withdrawals or purchases in any one day may not exceed the separate Daily Limits for a single Card number, regardless of the number of accounts that a single Card may access. You will be allowed to make transactions up to the available balance in your account plus any available line of credit balance or up to the maximum Daily Limit, whichever is less. The Daily Limits are as follows: ATM Daily POS/PIN Purchase Limits: Standard Card - $500.00 Debit Daily POS/PIN Purchase Limits: Standard Card - $1500.00 At some types of ATMs, the withdrawal amount may be limited to machine constraints, and multiple transactions may be necessary to obtain the total amount desired. Limits on Frequency of Transactions. There is no limit on the NUMBER of deposits, withdrawals, purchases, transfers, or inquires.

CHARGES FOR TRANSACTIONS, TRANSFERS AND OTHER SERVICES Citizens State Bank Business ATM Card, Citizens State Bank Business Debit Visa Card. For each Citizens State Bank ATM Card, Citizens State Bank Business Debit Visa Card withdrawal, transfer, transaction or balance inquiry at any electronic terminal other than a Citizens State Bank terminal, you will be charged a fee of $1.50. For a transfer between accounts, the fee is charged to the account from which the funds are transferred. Card Replacement Fee. If you request a replacement Card a charge of $7.00 will be assessed. The charge will be reflected on your statement as Replacement Debit Card Fee Possible Fees By Third Party. When you use an ATM not owned by Citizens State Bank, you may be charged a fee by the ATM operator or any network used to complete the transfer (and you may be charged a fee for a balance inquiry). TERMINATION OF YOUR CARD We may terminate your use of the Card at any time and for any reason (including but not limited to any fraudulent act of any Prohibited Activity [described in Section Other Important Terms ] without notice to you, subject to any state law limitation. You agree not to use an expired, canceled or otherwise invalid Card. The suspension or cancellation of your Card privileges will not affect your rights and obligations under this Agreement. We may suspend or terminate you from the Card Program and/or cancel your Card at any time, without notice, and for any reason. Upon cancellation of the Card privileges, you must immediately discontinue your use of the Card and promptly destroy it. You may terminate this Agreement at any time by notifying us in writing. If you do this, you also must return all Cards to us at once. Ending this Agreement will not affect your obligations under this Agreement for transactions or transfers completed with your Card or any PIN. If a court or arbitrator finds we are liable to you in connection with this Agreement, you may recover only your actual damages. IN NO EVENT WILL YOU BE ABLE TO RECOVER ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF WE ARE AWARE OF OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ERROR RESOLUTION NOTICE-IN CASE OF ERROR OR QUESTIONS ABOUT YOUR ELECTRONIC TRANSFERS. Telephone or write us using the address and telephone number provided in Section 2 of this Agreement as soon as you can, if you think our statement or receipt is wrong or if you need more information about a transfer listed on the statement, or receipt. We must hear from you no later than 60 days after we sent you the FIRST statement in which the problem or error appeared. Tell us your name and account number Describe the error or the transfer you are unsure about, and explain as clearly as you can why you believe it is an error or why you need more information. Tell us the dollar amount of the suspected error. If you tell us orally, we may require that you send us your complaint or question in writing within 10 business days. OTHER IMPORTANT TERMS Use and Care of the Card. If you use the Card at a merchant location, the merchant acts for you (as your agent) in completing the transaction. Use of the card is also subject to the rules of the government agencies, which regulate banks. You will take care of your Card and will not give the Card or any PIN to any other person or write your PIN on the Card. If it is lost or stolen, you will notify us immediately. Prohibited Activity. It is your responsibility to use the card only for valid and lawful purposes. If you use the Card for any other purpose or transaction, including without limitation unlawful gambling activities, (herein called a Prohibited activity ), you must promptly reimburse Citizens State Bank and VISA for all amounts or expenses either Citizens State Bank or VISA pays as a result of such use. Citizens State Bank reserves the right to block Prohibited Activity and/or to not approve any authorization request for a Prohibited Activity. Card transactions for any Prohibited Activity made by or for the benefit of you shall be considered authorized by you, and you assume all responsibility and liability for all losses, costs and expenses you incur as a result of such use. Legal Action. If we initiate any legal action to collect money owed to us under this agreement including any counterclaim, you agree to pay all our costs for such action, including any reasonable attorneys fees. Claims and Defenses Against Merchants. We are not responsible for goods or services you purchase or lease by using a Card for a POS transaction or POS/PIN transaction. We are not subject to any claims or defenses you may have against a merchant in connection with any POS transaction or POS/PIN transaction or the underlying merchant transaction. MISCELLANEOUS TERMS Merger Clause. The Agreement is the complete and exclusive agreement between you and us related to any EFT Transaction. This Agreement supersedes any prior agreement between you and us relating to such EFT Transaction or related service.

(e) (f) Assignment. You may not transfer or assign this Agreement without our prior written approval, and any unauthorized assignment or transfer by you will be null and void. We may assign or transfer this Agreement at any time without notice. Governing Law. All matters relating to this Agreement shall be governed by the laws of the State of Indiana and the federal laws of the USA without regard to any conflicts of law principles. Severability; Headings. If any term of this Agreement is declared invalid or unenforceable by any court, the remaining terms of this Agreement will not be affected, and this Agreement will be interpreted as if the invalid terms had not been in place for this Agreement. Paragraph headings do not limit or define either party s rights or obligations. Modification of Agreement. We can change, modify or otherwise alter the terms of this Agreement at any time by giving you notice in accordance with applicable law. When we offer new service features for an EFT Transaction, we will notify you of the existence of these new services through special notices, marketing material or promotions or our account statements or by posting a revised version of this Agreement on our website at www.citizensstatebankindiana.com or other website we may designate. Any Authorized Users use of any EFT Transaction, or any new service feature, will by your acceptance of and consent to be bound by all such changes, modifications and alterations to this Agreement and the related service features. You agree that these procedures are acceptable to you to provide you with notice of changes to this Agreement and the posting of any amendments or other modifications or changes to this Agreement at such website will constitute adequate notice to you, an effective amendment to this Agreement, and shall supersede the affected terms and conditions of this Agreement. Cancellation. We may cancel at any time your access to any service under this Agreement, including without limitation, your use of a Card without prior notice to you. Your obligations and unpaid liabilities arising prior to such cancellation, or other termination of this Agreement, shall survive any such cancellation or termination.
