Mee#ng Your Fiduciary Responsibili#es Offering a re*rement plan can be one of the most challenging, yet rewarding, decisions an employer can make. The employees par*cipa*ng in the plan, their beneficiaries, and the employer benefit when a re*rement plan is in place. Administering a plan and managing its assets, however, require certain ac*ons and involve specific responsibili*es. To meet their responsibili*es as plan sponsors, employers need to understand some basic rules, specifically the Employee Re*rement Income Security Act (ERISA). ERISA sets standards of conduct for those who manage an employee benefit plan and its assets (called fiduciaries). Mee#ng Your Fiduciary Responsibili#es provides an overview of the basic fiduciary responsibili*es applicable to re*rement plans under the law. This booklet addresses the scope of ERISA's protec*ons for private- sector re*rement plans (public- sector plans and plans sponsored by churches are not covered by ERISA). It provides a simplified explana*on of the law and regula*ons. It is not a legal interpreta*on of ERISA, nor is it intended to be a subs*tute for the advice of a re*rement plan professional. Also, the booklet does not cover those provisions of the Federal tax law related to re*rement plans.

Who is a Fiduciary? Who is a Fiduciary? PLAN SPONSORS Source: www.dol.gov/ebsa/publica*ons/fiduciaryresponsibility.html A plan s fiduciaries will ordinarily include the trustee, investment advisers, all individuals exercising discre'on in the administra'on of the plan, all members of a plan s administra*ve commioee (if it has such a commioee), and those who select commioee officials. AOorneys, accountants, and actuaries generally are not fiduciaries when ac'ng solely in their professional capaci'es. 4

What are the du*es of a Fiduciary? Fiduciaries have important responsibili*es and are subject to standards of conduct because they act on behalf of par*cipants in a re*rement plan and their beneficiaries. These responsibili*es include: Ac*ng solely in the interest of plan par*cipants and their beneficiaries and with the exclusive purpose of providing benefits to them; Carrying out their du*es prudently; Following the plan documents (unless inconsistent with ERISA); Diversifying plan investments; and Paying only reasonable plan expenses. Understanding Re#rement Plan Fees And Expenses As the sponsor of a re*rement plan, you are helping your employees achieve a secure financial future. Sponsoring a plan, however, also means that you, or someone you appoint, will be responsible for making important decisions about the plan s management. Your decision making will include selec*ng plan investments or investment op*ons and plan service providers. Many of your decisions will require you to understand and evaluate the costs to the plan. The Federal law governing private- sector re*rement plans, the Employee Re*rement Income Security Act (ERISA), requires that those responsible for managing re*rement plans - - referred to as fiduciaries - - carry out their responsibili*es prudently and solely in the interest of the plan s par*cipants and beneficiaries. Among other du*es, fiduciaries have a responsibility to ensure that the services provided to their plan are necessary and that the cost of those services is reasonable. This booklet will help you beoer understand and evaluate your plan s fees and expenses. While the focus is on fees and expenses involved with 401(k) plans, many of the principles discussed in the booklet also will have applica*on to all types of re*rement plans. Remember, however, that this booklet provides a simplified explana*on of plan and investment fees. It is not a legal interpreta*on of ERISA or other laws, nor is it intended to be a subs*tute for the advice of a re*rement plan or investment professional.

Final Regula#on Rela#ng to Service Provider Disclosures Under Sec#on 408(b)(2) U.S. Department of Labor Employee Benefits Security Administra#on February 2012 The Employee Re,rement Income Security Act (ERISA) requires plan fiduciaries, when selec,ng and monitoring service providers and plan investments, to act prudently and solely in the interest of the plan's par,cipants and beneficiaries. Responsible plan fiduciaries also must ensure that arrangements with their service providers are "reasonable" and that only "reasonable" compensa,on is paid for services. Fundamental to the ability of fiduciaries to discharge these obliga,ons is obtaining informa,on sufficient to enable them to make informed decisions about an employee benefit plan's services, the costs of such services, and the service providers. Background The Employee Benefits Security Administra*on (EBSA) is responsible for administering and enforcing the fiduciary, repor*ng, and disclosure provisions of Title I of ERISA. The agency oversees approximately 718,000 private pension plans, including 498,000 par*cipant- directed individual account plans, such as 401(k)- type plans. In recent years, arrangements for how services are provided to employee benefit plans and how services providers are compensated (e.g., through revenue- sharing and other arrangements) have become increasing complex. Many of these changes have improved efficiency and reduced the costs of administra*ve services and benefits for plans and their par*cipants. However, the complexity resul*ng from these changes has made it more difficult for many plan sponsors and fiduciaries to understand how, and how much, service providers are compensated. This final rule establishes, for the first *me, specific disclosure obliga*ons for plan service providers to ensure that responsible plan fiduciaries are provided the informa*on they need to make beoer decisions when selec*ng and monitoring service providers for their plans. EBSA published an interim final rule (IFR) on July 16, 2010, and thereaher received approximately 45 wrioen comments from plan sponsors, fiduciaries, service providers, financial ins*tu*ons, and various industry representa*ves of employee benefit plans and par*cipants. The final rule replaces the IFR with minor changes and revisions.

408(b)(2) regula*on: Actual Regula*on The Department believes that plan fiduciaries need this informa*on, when selec*ng and monitoring service providers, to sa'sfy their fiduciary obliga'ons under ERISA sec'on 404(a)(1) to act prudently and solely in the interest of the plan s par*cipants and beneficiaries and for the exclusive purpose of providing benefits and defraying reasonable expenses of administering the plan. The Fiduciary Benchmarks Fees, Plan Design, and Participant Success Measures Report provides comprehensive "apples-toapples" comparisons of a plan's fees, design, and participant success measures to those of a Benchmark Group of 41 similar plans. Note: Your report does not include performance evaluations of the plan's investment options. This important information is beyond the scope of this report and will typically be provided by the plan's advisor/consultant or recordkeeper. WHY IS IT IMPORTANT? Department of Labor regulations under ERISA and, specifically, section 408(b)(2) require that plan sponsors obtain fee disclosures for their plan and that all such fees be "reasonable" for the services being provided. The information in this report and other FBi reports can help in working with service providers to meet these requirements and improve the plan. Note: The Department of Labor (DOL) has stated that fees aren't everything. In effect, it can be reasonable to pay higher fees if a plan is receiving more or higher quality services or is attaining higher participant success measures than similar plans. Relative Plan Complexity Plan Complexity is an indicator of how the plan's design compares to other plan designs. Plan Complexity is neither good nor bad since every plan is designed to suit each employer's individual situation. What is important to know, however, is that a plan that is more complex can cost more to administer. Maximum cost impact expresses how much difficulty a certain plan provision adds to a plan's design. For example, multiple loans adds quite a bit of complexity to a plan versus an autoenrollment feature. In addition, for a provision like "Number of Investment Options," a plan with a high number of investment options compared to industry standards would receive 5 points. Alternatively, a plan with a low number of investment options would receive only 1 point.
