GALLAGHER GROUP LIMITED, 181 KAHIKATEA DRIVE, HAMILTON, NEW ZEALAND GALLAGHER GALLAGHER SECURITY SOFTWARE MAINTENANCE TERMS AND CONDITIONS PLEASE READ THESE SOFTWARE MAINTENANCE TERMS AND CONDITIONS CAREFULLY BEFORE INSTALLING THIS GALLAGHER SECURITY SOFTWARE ( SOFTWARE ). BY INSTALLING AND/OR USING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THESE SOFTWARE MAINTENANCE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE SOFTWARE MAINTENANCE TERMS AND CONDITIONS DO NOT INSTALL AND/OR USE THE SOFTWARE AND CONTACT THE AUTHORISED DISTRIBUTOR WHERE YOU OBTAINED IT FOR FUTHER INFORMATION. 1. Definitions: 'Customised Software Maintenance Fee' means the fee for Customised Software Maintenance notified as such to you by Gallagher or a Channel Partner in writing from time to time. 'Maintenance Fee' means either or both the Standard Software Maintenance Fee and/or the Customised Software Maintenance Fee as the context requires. 'Standard Software Maintenance Fee' means the fee for Standard Software Maintenance notified as such to you by Gallagher or a Channel Partner in writing from time to time. 'Channel Partner' means the Channel Partner who has arranged the Software for you in respect of a Site. Common Maintenance Period is the period that the Software Maintenance is renewed for where a Common Renewal Date is nominated by you. Common Renewal Date means the date in the year when the Common Maintenance Period will expire and a new Common Maintenance Period will begin. Customised Software means a Gallagher Software component that has been created or modified by Gallagher on a specific version of Gallagher Command Centre to meet your specific requirements. 'Customised Software Maintenance' has the meaning in clause 2 c). 'Downloadable Code' means Software which can be downloaded over the IT network to selected Gallagher Hardware devices as itemized in the Gallagher policy for One Time Programmable and Downloadable Code Devices which is published and updated from time to time in the Gallagher Product List. Electronic Key means the license file provided by Gallagher or a Channel Partner to you that unlocks the Software at a Site. Embedded Code means software which is burnt onto one time programmable (OTP) chips and incorporated into Gallagher Hardware devices as itemized in the Gallagher policy for One Time Programmable and Downloadable Code Devices which is published and updated from time to time in the Gallagher Product List. 'Gallagher Warranty Policy Documents' means the Orders, Returns and Warranties policy, which includes the Software Warranty, updated from time to time and published on the Gallagher website. 'Hardware' means the Gallagher security system hardware purchased by you from a Channel Partner. 'Maintenance Period' means (in relation to each Site respectively):
1. in respect to Standard Software Maintenance, a minimum of one calendar year from the date the license was created (as recorded on the label of the license disc) or date of electronic transmission; 2. in respect to Customised Software Maintenance, from the date the Customised Software is issued to Channel Partner or End User on the authority of Gallagher; and 3. each subsequent period of not less than one (1) year provided that the End User maintains payment of the Maintenance Fee continuously from period to period on the anniversary of the date in (1) above. 'Purchase Price' means the purchase price of the Software that you paid in respect to the relevant Site. Site means your site where the software is installed, and as the context requires may mean any of the Sites or all of your Sites. 'Software means the Standard Software, any Customised Software, Downloadable Code and Embedded Code or such software in the possession of the End User for which Gallagher has provided the Electronic Key. 'Software Maintenance' means either or both Standard Software Maintenance and/or Customised Software Maintenance, as the context requires. 'Standard Software' means Gallagher Command Centre and optional licensed software features/interfaces and Downloadable Code but does not include Embedded Code or Customised Software, for which Gallagher has provided an Electronic Key, and as subsequently advised on a Standard Software Maintenance renewal notice. 'Standard Software Maintenance' has the meaning set out in clause 2 a). 2. Software Maintenance. a. Standard Software Maintenance: Subject to clause 2 b), Gallagher will in respect of Standard Software for the duration of the Maintenance Period (or Common Maintenance Period), make available to you at each Site from time to time new releases of the Standard Software which are extensions or modifications of such Standard Software incorporating major enhancements and changes nominated by Gallagher to be regarded as maintenance of the Standard Software (excluding any software products supplied by third party vendors) ('Standard Software Maintenance'). b. Conditions: The provision of Software Maintenance to your Site/s is conditional on: i. you having a currently supported release of the Software installed at all of your sites; ii. the Software being in the form in which it was supplied and/or updated and/or upgraded by Gallagher; iii. the Software having been or being used at all times in a proper manner and in accordance with the instructions and manuals supplied by Gallagher; iv. the Software has not been altered, modified, or tampered with by you or your agents, employees or Channel Partners without the prior written consent of Gallagher; v. the non refundable Maintenance Fee being paid for the relevant Maintenance Period. c. Customised Software Maintenance: In relation to a Site and subject to the conditions in clause 2 b) having been met, Gallagher will for the duration of the Maintenance Period (or Common Maintenance Period) provide, on an as required basis, ongoing compatibility of any Customised Software with the current release of the Gallagher Command Centre software ('Customised Software Maintenance'). Please check with Gallagher prior to upgrading for availability and/or timing of Customised Software for your target version of Command Centre. For Customised Software which involves a third party system: i. Gallagher accepts no responsibility for ensuring compatibility where changes have been made to the third party system after the Customised Software was installed; ii. if requested by Gallagher, you will be responsible for providing to Gallagher at Gallagher s nominated location the third party software and/or hardware of the same version that was in existence at the time the Customised Software was installed to enable Gallagher to ensure
compatibility. Any costs associated with fulfilling this responsibility including delivery and return will be borne by you. 3. Rights Reserved: Notwithstanding clauses 2 a) and 2 c) above: a. Gallagher reserves the right to release new optional features and interfaces to the Software as new chargeable product that you may elect to purchase; b. Gallagher may in its sole discretion withdraw from Software Maintenance optional feature(s), interface(s) and/or Customised Software for whatever reason by giving notice to you. This notice may be made to you during any current Maintenance Period (or Common Maintenance Period). Software Maintenance for the feature(s), interface(s) and/or Customised Software notified under this clause will cease from the expiry of the then current Maintenance Period (or Common Maintenance Period) unless it is not feasible for Gallagher to continue to provide Software Maintenance which causes its earlier withdrawal. 4. Term: Software Maintenance will be provided for the Maintenance Period(s) (or Common Maintenance Period(s)) and will be automatically renewed for a further period of not less than (12) months on the expiry of a Maintenance Period (or Common Maintenance Period), subject to payment of the relevant Maintenance Fees. The Maintenance Period (or Common Maintenance Period) can be longer than 12 months in multiples of 12 months only by agreement in writing by Gallagher. 5. Maintenance Fees: a. First Year of Standard Software Maintenance: Each new site of yours that a license file is issued for by Gallagher will automatically be provided with Standard Software Maintenance for the period of 12 months from the date that the first new license file was created by Gallagher for that site. b. First Period of Customised Software Maintenance: The Customised Software Maintenance Fee will be calculated on a pro rata basis between the date the Customised Software is released by Gallagher and the end of the then current Maintenance Period for that site. c. Subsequent Years: For second and subsequent years of a Maintenance Period, a non refundable Maintenance Fee is payable within 30 days of the commencement of the current Maintenance Period. d. Common Renewal Date: Should you nominate a Common Renewal Date then clause 5 a) and 5 c) will not apply: i. Standard Software Maintenance will be provided for Software at each Site for the first year that the Software is installed at that Site and following expiry of that first year, the Maintenance Fee for that Site will be calculated on a pro rata basis between the date of expiry of that first year and the next anniversary of the Common Renewal Date; ii. The Customised Software Maintenance Fee for each Site will be calculated on a proportionate basis between the date the Customised Software is installed on the authority of Gallagher and the next anniversary of the Common Renewal Date; and iii. Other than for the periods referred to in clause 5 d) i) and 5 d) ii) above, a non refundable Maintenance Fee is payable for each Site for the agreed Software Maintenance Period within 30 days of the Common Renewal Date. e. Fee Adjustment: Should you purchase optional features and/or additional licenses during a Maintenance Period (or Common Maintenance Period) then the Maintenance Fee will be adjusted accordingly on the next anniversary of the commencement of the Maintenance Period or Common Maintenance Period, as the case may be. 6. Third Party Supplied Software. a. Third Party Software: Any third party software supplied by Gallagher which is subject to a third party license agreement is supplied subject to the terms and conditions of such license agreement accompanying such software. b. Third Party Software Maintenance Costs: Any maintenance costs of third party software supplied by Gallagher must be met by you and are additional to Gallagher Maintenance Fees.
7. Intellectual Property: a. Ownership: Subject to clause 6 a, you acknowledge that Gallagher owns the Intellectual Property rights in the Software absolutely and exclusively retains all right, title and interest in the intellectual property rights in the Software, including copyright and all source and object codes, software and screen displays, associated packaging and documentation (including the Electronic Key(s)), trade names or trademarks, patents, registered designs, Confidential Information and trade secrets ('Intellectual Property'). b. Gallagher warrants that it owns the Intellectual Property free of encumbrances or third party interests. c. You agree that you will not at any time question, dispute or Challenge Gallagher s ownership of or rights to the Intellectual Property or assist any third party to do so. d. You agree that your use of the Intellectual Property pursuant to this License will not create any independent right for you to such Intellectual Property. e. Modifications and Updates: Any modifications or updates, whether carried out by Gallagher, End User or any other person, remain the property of Gallagher. f. You agree to not remove, obscure, or alter Gallagher s or any third party s copyright notice, trademarks, or other proprietary rights notices affixed to or contained within or accessed in conjunction with or through the Software. 8. Termination: a. If you fail to make payment of the fees for the new Software Maintenance Period within thirty (30) days of the expiry of the immediate past Software Maintenance Period then your Software Maintenance shall terminate automatically at that time. b. Gallagher Entitlement to Withdraw: Gallagher will be entitled to withdraw the provision of the Software Maintenance from the commencement of a Maintenance Period (or Common Maintenance Period) without compensation by Gallagher to you, on giving written notice to you at least 30 days prior to the commencement of that Maintenance Period (or Common Maintenance Period). c. Your Entitlement to Withdraw: You will be entitled to withdraw from Software Maintenance without compensation for any reason on giving no less than 30 days prior written notice to Gallagher. Gallagher will have no obligation to refund any Maintenance Fees to you as a result of your withdrawal from Software Maintenance. 9. Indemnity: You agree to indemnify and hold Gallagher harmless from any loss, damage, claim or demand whatsoever that it may suffer in connection with or arising out of your use of the Software or non compliance with these Software Maintenance Terms and Conditions. 10. Exclusion of Liability: a. Consequential Loss: Under no circumstances will Gallagher be liable to you for loss (whether direct or indirect) of profits, business, revenue, goodwill or anticipated savings, or for any indirect or consequential, special, punitive or exemplary loss, damage or liability arising directly out of or related to these Software Maintenance Terms and Conditions whether in contract, tort (negligence), for breach of statutory duty, or any other principle of law. b. Limitation: In any event whatsoever that Gallagher becomes liable for any amount under this Agreement, such liability is limited to either the repairing of the Software, or the amount of the Purchase Price of the Software at Gallagher s sole discretion. 11. Confidentiality: a. Disclosure: You will not disclose any information concerning the business, affairs, data, Intellectual Property, drawings, specifications, documentation, hardware, software, source or object codes of Gallagher or information that Gallagher may have disclosed or given to or may from time to time disclose or give to you relating to the Software Confidential Information. b. Use: You agree to only use the above Confidential Information solely in accordance with the provisions of these Software Maintenance Terms and Conditions. c. Protection: You will take all reasonable steps to protect such Confidential Information and will ensure that your officers, employees, agents or contractors also protect such Confidential Information.
d. Use of your name: You agree Gallagher can use the fact of your licensing of the Software (including using your site and organisation name) for marketing and promotional purposes, unless you advise Gallagher in writing sent to Security Marketing, Gallagher Group Limited, 181 Kahikatea Drive, Hamilton, New Zealand, that you do not so agree. 12. Force Majeure: Neither Party shall have any liability or be deemed to be in breach of these Software Maintenance Terms and Conditions for any delays or failures in performance of these Software Maintenance Terms and Conditions which result from circumstances beyond the reasonable control of that Party, including without limitation labour disputes involving that Party. The Party affected by such circumstances shall promptly notify the other Party in writing when such circumstances cause a delay or failure in performance and when they cease to do so. 13. Assignment: Software Maintenance is not transferable or assignable between sites and/or customers by you without the written consent of Gallagher. 14. Waiver: The failure by either party to require strict performance by the other of any of the provisions of these Software Maintenance Terms and Conditions shall not waive or diminish the rights of that party under these Software Maintenance Terms and Conditions. 15. Governing Law. These Software Maintenance Terms and Conditions will be governed by the laws of New Zealand and under the exclusive jurisdiction of the courts of New Zealand. 16. Entire Agreement. These Software Maintenance Terms and Conditions constitute the entire agreement between you and Gallagher relating to Software Maintenance and supersedes any prior arrangement or understanding, whether written or oral, relating to the subject matter of these Software Maintenance Terms and Conditions. 17. Amendment. No amendment or modification of these Software Maintenance Terms and Conditions shall be binding unless in writing and signed by Gallagher. Any translation of these Software Maintenance Terms and Conditions is done for local requirements and in the event of a dispute between the English and any non English versions, the English version of these Software Maintenance Terms and Conditions shall prevail. Gallagher reserves the right to amend these Software Maintenance Terms and Conditions at any time and without notice, and it is your responsibility to review the terms of this License for any changes.
