CITI GLOBAL INTEREST RATES STRATEGY INDEX FUND SIMPLIFIED PROSPECTUS Dated 4 August 2010 This Simplified Prospectus contains key information in relation to Citi Global Interest Rates Index Fund (the Fund), a fund of CitiFirst Investments plc (the Company). The Company was incorporated on 1 February 2008 and is an umbrella open-ended investment company authorised by the Irish Financial Services Regulatory Authority (the Authority) under the European Communities (Undertakings for Collective Investment in Transferable Securities) Regulations, 2003 (Statutory Instrument No. 212 of 2003) as amended, supplemented, consolidated or otherwise modified from time to time (the Regulations). The Company currently has five other funds in existence, namely CitiFX Alpha 1 Fund, Citi Global Interest Rates USD Index Fund, Citi COMET Index Fund, UK Structured Growth Fund and UK Autocall Fund. Potential investors are advised to read the Prospectus of the Company dated 4 August 2010 and the Supplement dated 14 April 2010 (together the Prospectus) before making an investment decision on whether or not to invest in the Fund. The rights and duties of the investor as well as the legal relationship with the Company are laid down in the Prospectus. Capitalised terms used herein (but not defined herein) have the meanings attributed to them in the Prospectus. The base currency of the Fund is Euros. Investment objective The investment objective of the Fund is to achieve capital appreciation, to out-perform global equity and global bond investments on a risk-adjusted basis and to provide returns with low correlations to both these asset classes by providing Shareholders of each Class with a return linked to the performance of the Reference Asset (as defined below) (after accounting for applicable fees and expenses) which comprises the Underlying Strategies (as defined below) which relate to the interest rate market. The Reference Asset is the Global Interest Rates Index (the Index). Investment policy In order to achieve the investment objective, the Company on behalf of the Fund intends to invest the net proceeds of any issue of Shares (whether on the Initial Issue Date or subsequently) in Fund Assets. The Fund Assets will be Derivative Contracts entered into with an Approved Counterparty (expected to be Citi and/or its Affiliates. Such Derivative Contracts will include but not be limited to swaps, futures and/or options entered into with an Approved Counterparty. The terms of the Derivative Contracts will provide that in return for receiving the net subscription proceeds of the Shares of the relevant Classes, the Derivative Contracts will give exposure to the performance of the Currency Versions of the Reference Asset. The Investment Advisor will advise the Manager in respect of the Derivative Contracts that the Company will enter into on behalf of the Fund in order to achieve its investment objective. Prospective investors should understand that the amounts payable in respect of the Shares will depend on the performance of the Index. Performance Data Profile of the typical investor Distribution Policy Fees and Expenses The Fund is suitable for investors seeking capital gains and who are prepared to accept a medium to high degree of volatility during the term of the investment. There are no dividend entitlements for the Shares. Shareholders who are neither resident nor ordinarily resident in Ireland, subject to receipt of appropriate declaration, generally will not be subject to any Irish tax including any deductions from any payments made. Shareholders and potential investors should familiarise themselves with and where appropriate take tax advice on the tax treatment of their holdings of Shares. The Net Asset Value of each Class of Shares will be available from the Administrator and will be published on each Business Day on www.ise.ie. Such prices will reflect the Net Asset Value of the Fund at the Valuation Point on the relevant Dealing Day. SCHEDULE I Description of the Index The Index is a rules-based trading strategy sponsored by Citigroup Global Markets Limited (the Index Sponsor) which represents a number of trading strategies relating to the global interest rate market. It aims to notionally generate capital appreciation by providing notional exposure to a combination of rules-based trading strategies, namely the Underlying Strategies. This effect will be notionally achieved by hypothetically entering into swap transactions and swaption transactions. The Index is the Reference Asset. The Index is comprised of equal exposures to six rules-based interest rate strategies: the EU Macro, the US Macro, the EU Curve, the US Curve, the EU-US Cross Markets and the EU-GB Cross Markets (together, the Underlying Strategies). The Index has six currency versions (each a "Currency Version"). The determination of the Index Value in respect of each Currency Version is set out in the relevant Index Conditions. The Index Sponsor calculates and maintains the Index based on the methodology set out in the relevant Index Conditions and is also responsible for publishing the Index Value in respect of each Currency Version on Bloomberg page CGRS <Index>. The Index consists of equal exposures to each of the Underlying Strategies. Each Underlying will have its own individual volatility, but because of the diversification of the Index, the effects of the volatility may or may not be reflected in the Index depending on the volatility of the other Underlying Strategies. Whilst the Index Sponsor has agreed that it will act in good faith and in a commercially reasonable manner in making determinations and calculations and to take into account the matters referred to in the relevant Index Conditions in so doing, there can be no assurance that the making of any such determination or calculation will not affect the performance of the Index and in turn the Net Asset Value per Share of each Class. The basis on which the Index Sponsor will make determinations and calculations is respectively set out in the relevant Index Conditions. The market risk of the Fund associated with the use of Derivative Contracts will be measured using a sophisticated riskmeasurement technique, "Value at Risk", in accordance with the requirements of the Financial Regulator (which would mean, if a daily basis of calculation is used, a Value at Risk of 5% of Net Asset Value of the Fund on the basis of a 1-day holding period at a 99% confidence level). While the Index Sponsor currently employs the methodology described in the relevant Index Conditions to calculate the Index, if market, regulatory, juridical or fiscal circumstances or, without limitation, any other circumstances arise that would, in the determination of the Index Sponsor, necessitate a modification or change to such methodology, the Index Sponsor may make such modifications or changes as it considers appropriate to maintain the economic objectives of the Index. For so long as the Financial Regulator so requires, promptly upon becoming aware that any such modifications or changes which would have a material effect on such methodology are to be, or have been, made, the Company shall, if required, on behalf of the Fund, notify the Financial Regulator in accordance with the Financial Regulator's requirements and obtain the approval of the Financial Regulator.
