Using This Guide This guide is intended to help service providers understand of how to license Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV 2013 under the Microsoft Services Provider License Agreement (SPLA) to provide hosted or managed Microsoft Dynamic ERP solutions to their end customers. This guide only applies to Microsoft Dynamics Microsoft Dynamics GP 2013 (all versions) and Microsoft Dynamics NAV 2013 (all versions). This guide is not intended to influence the choice of Microsoft Dynamics products and services. The examples presented in this guide are illustrative. Microsoft Corporation reserves the right to review and/or update the existing version of this document without any advance notice. License Keys vs. License Entitlements An important distinction to make is between license keys (activation keys) and license entitlements. License keys are used to activate the Microsoft Dynamics software that the customer has licensed. License entitlements are what customers are entitled to run and use based on the licenses they have acquired. Overview of Microsoft Services Provider Licensing Agreement Microsoft Services Provider License Agreement (SPLA) is a licensing program that enables service providers with hosted services to license Microsoft products on a monthly basis to provide services and hosted applications to their end customers. Some examples of Service Providers include Web Hosters, application services providers, messaging and/or collaboration services providers, platform infrastructure providers, business process outsourcers, streaming media Service Providers, and Independent Software Vendors (ISVs) with hosted applications running on Microsoft technologies. Software services exclude any services that involve installing a Microsoft licensed product directly on any device to permit a customer to interact with the Microsoft licensed product. The SPLA provides third party commercial use rights to service providers, who will be the holder of these Microsoft licenses and provide the software service. The end customer organization (referred to as the End User ) receiving the software service from the service provider is not required to obtain their own Microsoft licenses. End Users receive the right to interact with functionalities of Microsoft software through the Service Provider s SPLA licenses. Service Providers cannot use products purchased through retail or purchased in their name through Microsoft Volume Licensing to provide software services. Licensing Model Under SPLA, Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV 2013 are licensed on a per user basis. Each individual accessing the solution requires a unique Subscription Access License (SAL). SALs are non-perpetual (subscription) licenses that can be used during the term of the agreement only. Potential Changes to Functionality With SPLA, you have the rights to use the software functionality for a limited period of time. The software made available through your SPLA licenses is always the most current version and functionality. Over time, that functionality may change, and previous versions may no longer be available. Therefore, if you deploy your solution using a certain version and then re-download your license keys at a later time, the functionality may have changed. For that reason, we strongly recommend carefully reading the SPLA Mapping Guideline and testing the new license keys in a non-production environment prior to deployment. Please understand the differences between the current functionality and your existing Microsoft Dynamics software to avoid any unexpected result. For a list of functionality included in Microsoft Dynamics NAV 2013 for SPLA, refer to Appendix B. For a list of functionality included in Microsoft Dynamics GP 2013 for SPLA, refer to Appendix C. Licensing User Access to the Hosted Solution Functionality Under the SPLA model, user access to the Microsoft Dynamics ERP solution functionality is licensed on a per user basis. Each individual user requires a Subscription Access License (SAL). User SALs are specific to an individual and cannot be shared. Figure 2: Per User Licensing Note: If a user leaves the organization, the SAL may be reallocated to another user. Available SALs The following three types of SALs are available for Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV 2013: Full User: A license type that allows the user to whom it is assigned direct or indirect access through any means to all of the functionality in the server software across the ERP solution. ERP Solution means the components of the software that control your users and financial reporting units. Standard User: A license type that allows the user to whom it is assigned direct or indirect access through any means to all of the functionality in the Starter Pack across the ERP Solution. Limited User: A license type that allows the user to whom it is assigned, direct or indirect access through any means to the ERP Solution, for purposes of completing only the tasks described below: o For Microsoft Dynamics GP 2013 SP2: Read access to data contained in the ERP Solution; or Write access via the time and expense functionality: or Access to Business Portal and Management Reporter Viewer o For Microsoft Dynamics NAV 2013: Read access to data contained in the ERP Solution; or Write access via the Timesheet functionality Write access to a maximum of 3 table objects in any range number with the following exceptions: limited users are not allowed to write to any of the following tables: General Ledger (table 17), Permission Set (table number 2000000004), Permission (table number 2000000005) or Access Control (table number 2000000053); and any table described in Appendix A as Limited User Included Tables do not count towards the 3 table objects. Choosing the Appropriate SAL Type To choose the appropriate SAL type, determine the functionality the End User requires for the ERP solution. If the End User requires only the functionality included in the Starter Pack, then license Standard User SALs (or a combination of Standard User SALs and Limited User SALs). If the customer requires the functionality of the Extended Pack in addition to the Starter Pack, then license Full User SALs (or a combination of Full User SALs and Limited User SALs). Note: You cannot mix Standard User SALs and Full User SALs for the same End User organization. Figure 3: Choosing the appropriate SAL type You do not need a SAL for users who access Microsoft Dynamics GP 2013 or Microsoft Dynamics NAV 2013 using the client software only for the sole purpose of providing supplemental professional accounting or bookkeeping services related to the auditing process. Access by External Users for Microsoft Dynamics NAV 2013 External users are customers of End Users licensing Microsoft Dynamics NAV 2013. External users are defined in the user table by assigning customer users the External User designation. External users do not consume SALs for access. External users are not available to End Users performing business processes on behalf of their customers. Figure 4: Internal vs. External Users Multiplexing Multiplexing is the use of hardware or software (including manual procedures) to reduce the number of users that directly access the Microsoft Dynamics ERP solution by pooling connections. Multiplexing does not reduce the number of SALs required. Any user that accesses the Microsoft Dynamics ERP solution even when accessing indirectly must be properly licensed. When connecting to Microsoft Dynamics through a pooling resource, users must be licensed with the appropriate SAL types in compliance with the SPUR. Note: Licensed users may manually rekey information (when coming from non-licensed users) into the Microsoft Dynamics ERP solution. This scenario is not considered to be multiplexing. Figure 5: Multiplexing Multiplexing does not reduce the number of SALs required. Components You may only run instances of discrete pieces of functionality (known as components ) on a per processor basis along with your selected SAL. Microsoft may modify the list of components. For those components licensed under the Processor License model you need to only license and report one Processor License per ERP solution, regardless of how many processors are used. For details on the additional components available, please see http://www.explore.ms. Note: You cannot use SPLA to license the ERP solution if it is deployed on datacenter infrastructure providers (such as Windows Azure or Amazon Web Services) and uses components licensed on a per processor basis. Enhancement Plan Benefits The Microsoft Dynamics solution is mission-critical to the success of your End Users businesses, and the SPLA Licensing model includes enhancement plan benefits. Microsoft provides unlimited access to resources and tools to help your End Users better understand how the software works and how to get the most out of their solution for improved business performance. The Enhancement Plan helps your End Users: Maximize value: Provides the latest upgrades, updates, hotfixes, training, and more, enabling End Users to realize the full potential of their Microsoft Dynamics solution from the moment they make their purchase decision through their full lifecycle as a customer. Protect their investment: Having an up to date solution will help your End Users maintain legal and regulatory compliance and keep their solution running at its peak performance. Increase business productivity: Self-support tools and training through our online portal, CustomerSource, enables your End Users employees to troubleshoot issues on their own, enhancing overall productivity. Note: Protected List Price and Transition Investment Credits do not apply when purchasing SPLA Licensing. SPLA service providers have the option to sign up for a CustomerSource Only account and have the ability to add all of their End Users to this CustomerSource account. Service providers will be responsible for maintaining this CustomerSource account and managing access by adding or removing their End Users from the list of authorized professionals. To request a SPLA CustomerSource Only account, the you must send an email to your local ROC and include your SPLA organization name, your SPLA Account Number, the name of your designated SPLA administrator, and his or her email address. Licenses for Additional Software Licenses for additional software that may be required for the solution (such as Microsoft Windows Server, Microsoft SQL Server, and Microsoft SharePoint Server) and their corresponding access licenses are not included with the Microsoft Dynamics GP 2013 or the Microsoft Dynamics NAV 2013 licenses.
