Pursuant to Paragraph 9 of Document 1 of the subject RFP (Addenda and Revisions), ADEC has decided to issue the following:- 1) Add Appendix 1: Additional Scope for the Office Boys for ADEC HQ and Zone Offices of this addendum 3 to the original Scope of Work provided in Document 2 of the Original RFP. 2) Revise Appendix B of the Original RFP with Appendix 2: Revised Price Schedule of this addendum 3. This document shall be read and construed as Tender Addendum # 3. All other terms and conditions shall remain the same until further notice. RFP No. ADEC/2015/1084 Tender Addendum 3 Page 2 of 9

Appendix 1: Additional Scope for the Office Boys for ADEC HQ and Zone Offices This document shall be added to the Original Scope of Work provided in Document 2 of the Original RFP. 1. Hospitality Services 1.1 Office Boys: The Contractor has to provide the office boys to the regions specified in Table A hereunder. ADEC has the right to increase or decrease the number of office boys at the Site upon 1 week written notice. Transmittal of documents between offices inside ADEC HQ building(s). Transmittal and distribution of Office Mail. Photocopying documents upon Staff request. Organizing files and folders. Daily working hours are 9 hours a day from 7:30 am to 4:30 pm hours. Reports to the Supervisor. Performing diverse physical tasks. Provide support to all Staff and assist them in performance of their official duties. Washing and cleaning of dishes and glasses. Any other task(s) related to the nature of the work mentioned above. 1.1.2 Office Boy s Minimum Qualifications: Must be proficient and able to write legibly as well as read and understand directions and instructions in Arabic or English. Has to be Male be at least 21 years of age and not more than 35 years. Having good conduct and behaviour. Having 3 or more years of experience in the hospitality field. Must have minimum of secondary education. Must be presentable and have high level of hygiene. Must be medically and physically fit. RFP No. ADEC/2015/1084 Tender Addendum 3 Page 3 of 9

Must be able to speak clearly and listen attentively. Must be able to stand for extended periods of time. Must be service and safety oriented. Must possess a sense of awareness, timelines, urgency, humour, and common sense. 1.2 Supervision: The Contractor is to provide one qualified supervisor in ADEC HQ to supervise and manage all the Services required in the Scope of Work. The job description and minimum requirement should be compliant with the below: 1.2.1 Supervisor s Job Description: Monitoring and reporting the attendance and timeliness of Office Boys. Supervising and facilitating the daily tasks of the office boys and finding solutions to any problems that occur. Managing the hospitality service for any meeting. Observes and evaluates Personnel performance according to Personnel satisfaction. Supervises and coordinates activities of Personnel engaged in customer service activities. Issues instructions and assigns duties to Personnel. Train and instruct Personnel. Interprets and communicates work procedures and ADEC policies to Personnel. Helps workers in resolving problems and completing work. Resolves complaints and answers questions of customers regarding services and procedures. Makes recommendations to assigned ADEC s Representative concerning Services. Monitors, controls, and submit a detailed weekly report of the inventory list and consumption rate of the consumables to ADEC s Representative. Reports to the assigned ADEC Facilities Supervisor to resolve problems and facilitate work. Responsible for Office boys scheduling to include: work assignments/rotations, training, vacations, breaks, overtime assignment, back-up for absent employees, and shift rotations (in coordination with ADEC s Representative) 1.2.2 Supervisor s Minimum Requirement: Basic reading, writing, and arithmetic skills required. This is normally acquired through a high school diploma or equivalent. Having 5 or more years of experience in the hospitality field. A good level of physical fitness is required to carry out duties. Excellent team work skills. A courteous and friendly manner and an ability to relate appropriately with all visitors. RFP No. ADEC/2015/1084 Tender Addendum 3 Page 4 of 9

High standards of dress and turnout. A commitment to the provision of quality service and a strong customer service focus. Ability to work with minimal supervision in a small team environment. Related experience in kitchen or fast food operation. Must be proficient in Arabic and English. 2. Contractor s General Responsibilities The Contractor should undertake the following in addition to the Scope of Work: Provision of high quality service for all aspects of the scope of work. Provision of training to all of its employees to meet customer satisfaction, job description, international safety standards, and high hygiene level. Provision of uniform to all of its Personnel. Provision of trained stand-by staff to cover in case of any absent allocated staff. Provision of transportation from and to ADEC Building for all staff, consumables, equipment, and meals associated with the Services. Insuring punctuality and order among its staff. Providing its staff of all benefits as per UAE Labour Law. Should be fully compliant with the rules and regulations of Abu Dhabi Food Control Authority (ADFCA), the Health Authority, and with the food law (20/2008). Should always be ready for an ADEC/ADFCA unannounced joint visit for inspection and assessment. All the Contractor s Workers must have Essential Food Safety Handling Certificate issued from ADFCA. NOTES (related to Schools Scope of Work): 1. It is to be ensure that the staff are allowed annual leave during the school vacation period mainly the summer vacation, any deviation from this will require replacement and special approval of ADEC. 2. There are two packages, Package 1 is combined Abu Dhabi & Western Region and Package 2 is Al Ain. 3. The distribution and allocation of ADEC Facilities to awarded Proposer(s) will be solely at ADEC s discretion. 4. Up to 20%, subject to submission of an Advance Payment Bank Guarantee equivalent amount. (other than Performance Bank Guarantee) 14. As per clause 10 of the agreement If the Services or any part thereof are not delivered within the Timeframe specified in Agreement the Second Party shall be liable to pay to the First Party as liquidated damages for delay a sum equivalent to 1% of the total Agreement Price per week or part thereof to a maximum 10% of the value of the Agreement with regards to this clause we request the client to consider the following: a. Define the time frame of default preferably it should be at least 7 days. b. To change the value for liquidated damages to 1% of the annual value of the contract per week and the cap of the total liquidated damages to 10% of the annual contract value. Contract Terms and Conditions are not subject to change. List all the non compliance to the Contract Terms and Conditions in the proposal (form Appendix D). However, please note that noncompliance may lead to disqualification. 15 As per form B pricing schedule we understand that for the IP based time attendance system we just have to provide the optional price which shall not form part of the total contract amount, please confirm. Bidders should quote for both packages 17. As per note 4 of the price schedule we understand that the client can award the project by splitting it among several bidders, please clarify what is the basis of splitting in such case. ADEC intention is to split the award between 2 service providers unless the Tender results call for single award, hence bidders shall quote considering both scenarios. 18 19 20 We understand even in case of split award the scope will only be divided in to 2 packages awarding maximum 2 bidders, please confirm. As per RFP scope of work we have to provide 1 Project manager for each package, but as per price schedule there is only 1 project manager listed, please confirm in actual how many project managers are required. With reference to clause 13 of the agreement we request to amend it to add the First Party shall be liable for all kind of damages arising out of its negligence. ADEC regret to change notice period 24 With reference to clause 30.4 of the agreement, we request to you to change the clause by adding that such amendment should be done only in agreement with the second party. See answer to Question 14 25 With reference to clause 31 please clarify the time period to exercise this option, the second party shall be given notice at least 60 days in advance if such variation is required. The first party will notify the second party within reasonable time if any extension is required. 26 Q With reference to clause 35 for requisition of additional staff, we request you to change the time period allowed to deploy up to 10 staff to 15 days and for more than 10 staff to 45 days. 1. Introduction Document 1 INSTRUCTIONS AND INFORMATION This document contains the information, requirement, and technical specification gathered and developed for this project. The content of the document is written with the intent of serving as the basis for the Request for Proposal (RFP), and eventual contract. As such, references have been made to ADEC and the Proposer. These instructions are designed to ensure that all proposals are given equal and fair consideration. It is essential that you provide all the information asked for in the format and order specified in Paragraph 22 of Document 1 to ensure compliance with all deliverables of the proposal. Failure to do so may invalidate your proposal. 2. Background The Abu Dhabi Education Council was set up in September 2005 by His Highness General Sheikh Mohammed Bin Zayed Al Nahyan, Crown Prince of Abu Dhabi and Deputy Supreme Commander of the UAE Armed Forces. The Abu Dhabi Education Council is an independent corporate body and enjoys full legal status, as well as financial and administrative independence in all its affairs. Timetable All proposals (Commercial and Technical in separate sealed envelopes) must be received no later than 9 th August 2015 (Wednesday), 2 PM. It is the Proposer s sole responsibility to ensure that proposals are received by the specified time. Language The proposal, and all correspondence and documents relating to the proposal which are exchanged between the Proposer and ADEC shall be written in the English language. Any printed literature furnished by the Proposer which is in another language must be accompanied by an English translation and for the purposes of interpretation of the proposal, the English translation shall prevail. 5. Inducements Offering an inducement of any kind in relation to obtaining this or any Government Department contract will automatically disqualify your proposal and may constitute a criminal offence. 6. Ownership of RFP Documents The Request for Proposal documents and the responses received from the bidders shall remain the property of ADEC. The documents and all related information provided to the Proposers are solely for the Proposer's use in preparing a proposal. ADEC reserves the right to request any disqualified or unsuccessful Proposer to return all documents and information related to the RFP to ADEC. ADEC reserves the right to submit any part of the proposal to its Consultants for technical assessment and evaluation. 7. Proposal Expenses Proposers will not be entitled to claim from ADEC any costs that are incurred in preparing proposals, whether or not they are successful. 8. Confidentiality of Proposals All documents, specifications and other such information provided to the Proposer by ADEC in relation to the RFP shall be treated as CONFIDENTIAL. RFP no. Such information concerning the RFP shall under no circumstances be disclosed or released by the Proposer to any third party (including but not limited to any company, government, Organization or news agency) without the prior written consent of ADEC other than to have a third party prepare a quotation or technical proposal for the Proposer specifically for this RFP. The Proposer should ensure that such third party treats any information disclosed to it concerning the RFP as similarly CONFIDENTIAL. Any disclosure, release or handling of information deemed improper by ADEC may result in summary disqualification of the Proposer. All documents, specifications and other such information provided by the Proposer to ADEC in response to the RFP shall be treated as CONFIDENTIAL. 9. Addenda and Revisions to the RFP For the purpose of addressing clarification questions, ADEC will use all reasonable endeavours not to issue further Addenda and Revisions to the RFP Document (although it reserves the right to do so at any time prior to the closing date if it deems necessary). Addenda will be issued to provide new information, interpretation or clarification which might assist the Proposer in preparing its proposal whilst Revisions will be issued to correct any errors or omissions in the RFP Document. Proposers are required to acknowledge each Addendum or Revision by email to ADEC immediately upon receipt of the Addendum or Revision. In the Proposal Letter the Proposer must acknowledge that all Addenda and Revisions have been considered in the preparation of the proposal. Only written Addenda and Revisions issued officially by ADEC shall be considered part of the RFP Document. ADEC shall not be bound by and the Proposer shall not rely on any oral statement, answer, clarification or interpretation given by any employee of ADEC or any third party. 10. ADEC Response to Proposer s Questions Proposers may submit written questions solely for the purpose of clarification of any of the points in the RFP documentation at any time up to the date specified in the above Tender Timetable. No further clarification will be considered or responded if received after the tender clarification closing date specified in the above Tender timetable. Answers to all the questions contained in all the clarification letters will be provided as soon as possible. ADEC aims to answer all clarifications within two or three working days, without identifying the Proposer who asked for the clarification. All relevant questions and answers will be given to all Proposers through the web site provided. 11. Right to Work (Permits and Licenses) RFP no. ADEC/2015/1084 Document 1 of 4 Page 5 of 13

It is essential that locally registered proposers shall include with their proposal copies of relevant documents issued by the Abu Dhabi Chamber of commerce / Municipality Registration Certificates /Licenses and permits, etc. authorizing the Proposer to perform its business. However, the successful proposer (as the Proposer) shall be responsible for applying for and obtaining all permits and licenses necessary to provide the Services. Proposers shall satisfy themselves as to the procedures and timeframes required to obtain such permits and licenses. It is emphasized that the responsibility for identifying and obtaining the consents and licenses to work shall rest solely with the PROPOSER. 12. Pricing and Currency of Proposal For the purposes of submitting Pricing Information Proposers should quote in UAE Dirham. 13. Sufficiency of Proposal The Proposer is responsible for carefully examining all RFP documents including any and all updates or revisions made or announced by ADEC prior to the deadline for submission of Proposals to ensure that the information provided is adequate and clearly understood and that all RFP documents have been received. The Proposer shall make its own interpretation of any and all information provided in this RFP and shall obtain and verify all necessary data and information including informing itself with respect to all conditions which might in any way affect the cost or the performance of the services. No relief or consideration will be given for errors and/or omissions contained in this RFP. Any failure or neglect to carry out these verifications/investigations shall not absolve the proposer from any of his obligations under the requirements of the RFP or any AGREEMENT subsequently executed. 14. Conclusions The information presented in this RFP is furnished solely for the purpose of assisting Proposers in making their own evaluation of the project and does not purport to be all-inclusive or to contain all the information that Proposers may require. Proposers should make their own investigations, projections and conclusions and consult their own advisers to verify independently the information contained in this RFP, and to obtain any additional information that they may require, prior to submitting a Proposal. No member of ADEC or any of their respective advisors and consultants make any representation or warranty as to the completeness of this RFP nor have they any liability for any representations (express or implied) contained in, or omissions from, this RFP. Whilst every endeavour has been made to give Proposers an accurate description of ADEC s requirement, proposers should form their own conclusions about the methods and resources needed to meet those requirements. 15. The Proposer must provide in its proposal full details of its main office address and telephone, and fax details and the name and details of who to contact in respect of the proposal. If the Proposer is a subsidiary or a division, state the name and address of the parent Company. State the type of company or organization (corporation, partnership, joint venture, etc). Please provide details of the Country of Registration, Date of Registration or Incorporation and the Issuing Authority and any other information relevant to the incorporation or the legal standing of the Proposer. If the Proposer is registered in Abu Dhabi or the UAE, provide copies of Trade Licences and registration with Abu Dhabi Chamber of Commerce. If the Proposer is an association of two or more companies (corporation, partnership or joint venture, etc), you must provide details: a) state the same information for each of the member companies; b) include in the proposal a legally binding copy of the association agreement including the names of the partner companies and stating the responsible portion of the proposed Contract for each party; c) A copy of an agreement signed by all member companies and duly notarized appointing one of the members as the PROPOSER for the Contract and authorizing that member to act on behalf of and to legally bind all members of the association in connection with the proposal and any Contract arising there from. 16. Bid Bond Proposers are required to furnish ADEC with official bid bond with a value of AED 200,000/- (UAE Dirham Two Hundred Thousand Only) as per the form template appended under this document (Refer to Appendix C) issued from locally accepted bank in UAE. The served bid bond shall be submitted in separate sealed envelope apart from the technical and commercial proposals (Refer the submission requirements addressed in clause 23 below). ADEC will not be in a position to consider any bidder if fails to furnish the above said Tender Bond in full compliance with RFP document. 17. Statement of Compliance, Declaration and Undertaking 17.1 Statement of Compliance: Proposers shall be required to comply with the terms and conditions set out in the Form of Agreement and all other documents provided in the RFP documents. Accordingly each proposer within his Technical proposal shall serve ADEC with a clear Compliance Statement Letter with all RFP terms and Tender scope. RFP no. Should the proposer object on any wording, clause, term or is incapable to comply with certain scope or requirement, then he shall detail all these objections and/or non-compliances and the effect on Prices and Rates (if any) as stated in Clause 27 of this document. 17.2 Declaration and Undertaking: Along with the proposer s technical proposal, All Proposers shall serve ADEC with a duly signed Declaration and undertaking letter pertaining to this tender using the Template concluded under Document 4 of this Tender document. 18. Other Relevant Information Proposers are invited to provide any other relevant information which they may wish to include in support of their proposal or which substantiates any aspect contained elsewhere within their proposal. For example, previous experience gained on other relevant contracts, company profile, Governmental support, etc. 19. Signing of Proposals The proposers shall execute proposal submissions by affixing a company seal and by the signature of an employee of the Proposer who is fully authorized to bind the Proposer to the proposal and to any resulting contract. Each page of the proposal, including all text, figures, diagrams, schedules, etc., shall be stamped at the bottom with the official company seal and initialled by the person authorized to bind the PROPOSER; or If the Proposer is a partnership, joint venture or other association of two or more companies, the Proposer shall submit satisfactory evidence of its legal status and of the agreement between the member companies. In this case the partnership joint venture or association shall appoint one of the member companies as Prime PROPOSER (referred to as the PROPOSER in the Form of Agreement) and propose the remaining member companies for ADEC's approval as sub- Proposers related to the proposal and any resulting Contract. In this case the proposer shall provide evidence that the person signing the proposal has the authority to act on behalf of all members and to bind all members to the proposal and to any Contract resulting from the proposal. 20. Basis of the Contract The Specification of Requirements, Scope of Work (Refer to Document 2) and ADEC s standard Terms and Conditions of Contract Form of Agreement (Refer to Document 3), will form the basis of the contract between the successful proposer and ADEC. 21. Validity of Proposals Proposers must state the validity of its proposal, i.e. the period during which ADEC's acceptance shall become and remain binding, and shall be a minimum of 120 days from posting. 22. Format of Proposal To ensure a comparative and competitive approach to evaluating Proposals, Proposers must present their proposals in the following format:- a. The envelope shall be clearly marked COMMERCIAL PROPOSAL : ADEC RFP No. ADEC/2015/1084 along with the title of the RFP Office Boys and Porters for ADEC Schools and Warehouses b) Three (3) hard copies (1 original + 2 copies) plus one soft copy (CD or USB) for the Technical proposal shall be submitted all in another sealed envelope other than the Commercial Proposal Envelope. The technical proposal envelope shall be clearly marked TECHNICAL PROPOSAL: RFP No. ADEC/2015/1084 along with the title of the RFP Office Boys and Porters for ADEC Schools and Warehouses c) One original Bid Bond should be submitted in a separate sealed envelope. ADEC does not undertake to consider proposals received after that time unless clear evidence of posting is available (i.e. clear postmark and/or certificate of posting, etc.) demonstrating that the proposal was dispatched in good time. 25. ADEC Rights & Acceptance of Proposals This RFP is merely a request to formulate an offer to ADEC to provide the specified Services if you wish to do so. By issuing this invitation ADEC is not bound in any way and does not have to accept the lowest proposal or any at all and reserves the right to accept a portion of any proposal unless the proposer expressly stipulates otherwise in their proposal. ADEC may re-issue this RFP; postpone or cancel at any time this RFP process. ADEC reserves the right to partially award or split the award amongst several bidders without any impact on the proposed rates. 26. Rejection of Proposals ADEC may, at its sole discretion, reject a proposal for any reason (or for no reason) including, but not limited to, the following: a) If the proposal is non-responsive to the RFP by failing to comply with the terms and conditions set out in the AGREEMENT FORM (Document 3) b) If the Proposer includes any terms or conditions unacceptable to ADEC. c) If the Proposer includes any offer to conditionally or automatically discount, reduce or modify his proposal. 27. Non-Compliant Proposal (i.e. PROPOSER's QUALIFICATION OF THE PROPOSED DOCUMENTS). The proposer is required to submit a proposal that is wholly compliant with the proposed Contract documents. Should the proposer object any wording, clause, term of condition, then it shall detail all RFP no. ADEC/2015/1084 Document 1 of 4 Page 10 of 13

these objections below, and the effect on Prices and Rates by filling and signing the Non-compliance form (Reference Appendix D). The proposer may also submit an alternative proposal that is not wholly compliant, indication on the model document below all matters (technical, commercial or contractual) and the effect on Prices and Rates. Condition Number Details of Non -Compliance Note: If the Proposer submits only a non-compliant proposal, the Council reserves the right to reject and disqualify the proposal. 28. Evaluation Criteria During the evaluation process, consideration shall be given to the Proposer s demonstrated responsiveness to RFP criteria. The proposal process will be conducted in a manner that ensures all proposals are evaluated fairly to ascertain the most economically advantageous proposal. Your response to each ADEC requirement will be evaluated under the following headings: A. B. Commercial Evaluation Criteria: Proposers shall submit their Financial Proposal Summary and detailed breakdown in full compliance with the Pricing Schedule in order for ADEC to evaluate your financial proposal. Please complete, sign, and stamp the price schedule (Form B + Excel Sheet). It is to be ensured that the staff are allowed annual leave during the school vacation period mainly the summer vacation, any deviation from this will require replacement and special approval of ADEC. ADEC may decide to split the award between 2 or more suppliers without the right for the proposer to request any additional cost to unit rates proposed. The distribution and allocation of ADEC Facilities to awarded Proposer(s) will be solely at ADEC s discretion. Please provide separate cost for IP Based Time Attendance System, per site unit basis, for ADEC to decide the future strategy. 29. Indemnity and Insurance a. The PROPOSER shall indemnify ADEC against all actions, suits, claims, demands, losses, charges, costs and expenses which ADEC may suffer or incur as a result of or in connection with any breach of these Conditions or any damage to property or in respect of any death or personal injury to any person which may result directly or indirectly from any defect in the Goods/Services or the negligent or wrongful act or omission of the PROPOSER. b. Except for liability for death or personal injury caused by ADEC's negligence, ADEC accepts no liability (whether arising from its negligence or otherwise) for any loss or damage resulting from the PROPOSER s access to ADEC s premises and/or arising from any labour and equipment that may be provided by ADEC in connection with delivery of any Goods or the performance of the Services or part of them. c. The PROPOSER shall effect with a reputable insurance company a policy or policies of insurance covering all the matters which are the subject of indemnities under these Conditions and shall at the request of ADEC produce the relevant policy or policies together with receipts or other evidence of payment of the latest premiums due. 30. Client References, Site Visits & Pre-bid Meeting ADEC requests proposers to provide a minimum of three references with a minimum of two reference sites preferably in the Education sector or major blue chip private sector organizations for on-site appraisal and to meet the proposer s previous clients (if needed), discuss their experiences in a similar project and assess their level of satisfaction. In the addition to the examination of the RFP, each prospective Proposer shall make whatever other arrangement are necessary to become fully informed regarding all existing & expected conditions & matters which might in any way affect the cost or the performance of any of the RFP no. works/services. The bidder is advised to visit & examine the site(s) of works & its surroundings and obtain for itself on its own responsibility all information that may be necessary for preparing the bid and entering into a contract for performing the works/services. The cost of the site visit including transportation shall be borne by the Proposer. Where necessary, a pre bid meeting shall be arranged by the ADEC in order to clarify issues and answer questions on any matter that may be raised by the Proposer during the preparation of their proposals. The bidder s designated representative is invited to attend the pre-bid meeting which, if convened, will take place at the venue & time stipulated in the Time Table. 31. Interview Stage ADEC may call for a post proposal presentation/clarification/interview stage with any or all proposers should it deem this necessary to assist the Proposal Evaluation Team make a recommendation for appointment of the Proposer. In this event the proposers should ensure that their presentation team is lead by the person that would manage the contract should the particular proposer be successful. 32. Key Personnel Proposers are to provide a list showing their "Key Personnel", describe their roles and provide their CV s, which details periods of engagement in delivering the Services. 33. The Services (Scope of Work) A. Scope of Work The Contractor has to provide 162 Office Boys, 390 Office Girls for ADEC schools and 26 Porters for ADEC Warehouses. Moreover, the Contractor has to provide 17 Supervisors for quality control and to maintain customer satisfaction. Below is the distribution of Contractor s required Personnel by Area. The distribution of Personnel on each of the Schools is detailed in Appendix 1 & 2 under this Document 2 Scope of Work, in line with the current system. Package 1 will include all the facilities in Abu Dhabi and Western Region and Package 2 will include Al Ain. Office & Pantry Services 1.1. Office Boy Office Boy/Girl s Duties and Responsibilities: Provide Pantry services including, but not limited to, refreshment services to schools administration and warehouses staff and visitors in accordance with good hygienic and cleanliness practices. Wash and clean pantry items (cutlery, dishes, glasses...etc.). Maintain the storage of pantry equipment and consumables. It is the duty of the contractor s team to ensure to inform in advance to school authority on the replenishment, repair, servicing, replacement of consumable and equipment s. Transmit and distribute office mail and documents between offices within the school/warehouse facility. Collect and distribute office stationery and materials. Provide reprographic services like copying, faxing & scanning, binding & laminating and replenish consumables (toner & paper) for office machines. Organize files and folders. Perform diverse physical tasks. Report to the Principal or his designee for Schools and Warehouse Manager or his designee for Warehouses. Must maintain the highest level of personal hygiene and cleanliness at all times (daily shower, daily shaving, monthly haircut, mouth wash, nail trim...etc.). Any other task(s) related to the nature of the work mentioned above in support of the performance of ADEC s Staff official duties. It is requested that the annual leave program for all the staff should be set and submitted to ADEC for review and comment, the annual leave of the staff should be assigned during the non-operational/vacation days of the school specially the summer vacation so that replacement is at the minimal and no effect on the service level, staff annual leave during the operational period to be allowed in emergency cases and as per the ADEC approval, 1.2. Office Boy/Girl s Minimum Qualifications and Attributes: HAS ADFCA Essential food safety training certificate -EFST (valid for 5 years). Completed under certification HSE awareness training Has a minimum of 3 years previous experience in working as an office assistant or in hospitality services (example: hotel, catering...etc.). Is proficient and able to write legibly as well as read and understand directions and instructions in English and preferably in Arabic. Must be Nepal or Philippine national Has ability to work with minimal supervision and stand for extended periods of time Is presentable (cleaned & ironed uniform, polished shoes...etc.). Is at least 25 years of age and not more than 40 years. Has good conduct and behaviour. Has a minimum of secondary education. Is medically and physically fit, has cleared all the medical test as per the requirement of Emirate of Abu Dhabi. Is able to speak clearly and listen attentively while maintaining a positive attitude. Is self-motivated, proactive, and service and safety oriented. Is available in his assigned place to be ready for any staff assistance. Possesses a sense of awareness, timelines, urgency, humour, and common sense. 2. Porters 2.1. Duties and Responsibilities: Load/unload goods, materials, equipment, furniture...etc. from/to vehicles. Shift, distribute, pack, and organize goods, materials, equipment, and furniture...etc. following warehousing manager s instruction. Must maintain the highest level of personal hygiene and cleanliness at all times (daily shower, daily shaving, monthly haircut, mouth wash, nail trim...etc.). Any other task(s) related to the nature of the work mentioned above in support of the performance of ADEC s staff official duties. Possesses a sense of awareness, timelines, urgency, humour, and common sense. Any nationality as long as he possesses the above qualifications. 3. Supervisor 3.1. Duties and Responsibilities: Observes and evaluates Office Boys and Porters performance. Maintains customer satisfaction and monitors the quality of the Services through conducting surveys and visiting schools and warehouses. Interprets and communicates work procedures and ADEC policies to Office Boys and Porters. Helps Office Boys and Porters in resolving problems and completing work. Makes recommendations to ADEC s Project Manager concerning Services. Responds to complaints, questions, and suggestions from the customers related to the Services in a timely and professional manner. Ensures the required training is provided to all the Office Boys and Porters. Any other task(s) related to the nature of the work mentioned above in support of the performance of Office Boys and Porters official duties. 3.2. Supervisor s Minimum Qualifications and Attributes: HAS ADFCA Essential food safety training certificate (valid for 5 years). Have basic reading, writing, reporting, arithmetic, and computer skills. Has a minimum of 03 or more years of experience in a supervisory role in hospitality services (example: hotel, catering...etc.). Has a good level of physical fitness to carry out duties. Project Manager For the purpose of managing this magnetite of project, we expect the contractor must appoint a full time dedicated Project Manager. He will be overall in charge of his allocated area of ADEC Office Boys and Porter Services Project and report to the ADEC for all purposes as first and one point of contact. He will ensure proper deployment of all the resources including man-power, impart all training as prescribed, have liaison with ADEC Facilities, ADEC and all related government institutions. He will ensure proper execution of the ADEC Office Boys and Porter Service Management & Plan. He will brief and report all incidents & project details to his management and ADEC. He will ensure the discipline, customer relations and efficient functioning of all service personnel. His time should be divided into field work and office work with ratio being 50:50. 4.1. Duties: in brief: Accomplishes human resource objectives of orienting, training, assigning, scheduling, coaching, counselling, and disciplining employees; communicating job expectations; planning, monitoring, appraising, and reviewing job contributions; planning and reviewing compensation actions; enforcing policies and procedures. Achieves operational objectives by contributing information and recommendations to strategic plans and reviews; preparing and completing action plans; implementing quality, and customer-service standards; resolving problems; completing audits; identifying trends; determining system improvements; implementing change. 4.2. Responsibilities: in brief: The Project Manager ensures that the project is stabilized and improving, to standard quality. He/she ensures the project is effectively resourced and manages relationships with a wide range of groups, Managing and leading the project team. Managing co-ordination of the partners and working groups engaged in. Managing service deliverables in line with the scope. Recording and managing services issues and escalating where necessary. Liaises with, and updates progress to ADEC & Contractor s management. Working closely with users to ensure the services meets business needs. Ensure that all service personnel receive an appropriate orientation and continual training to ensure services are deliverable in full compliance with the scope of work, fullest satisfaction of the stakeholder (schools and facilities), in full compliance with the local and international norm, rules & regulations and as per the best practices. Ensure that all project information is appropriately documented and secured. Review the quality of the work completed with the team and school and facilities team on a regular basis to ensure that it meets the service scope, compliance & standards 5. Contractor s General Responsibilities: The Contractor should undertake the following to ensure the delivery of the Scope of Work:- Maintaining efficient and effective services is the management responsibility of the Service Provider at all ADEC Schools & Facilities in The Emirate of Abu Dhabi (Abu Dhabi-Central Region, Al Ain-Eastern Region & Western Region including Delma Island) at all levels & times. The management of the Contractor is responsible for planning the service program, defining and abiding by the statutory requirement of local competent Authorities security rules & regulations, policies & procedures and must recognize that line supervision has a responsibility and authority for respective aspects of the services in their area. They have to make the service program more effective when the line supervision enlists the cooperation of Company management in assuming responsibilities for services. They should arrange to address supervising groups to discuss with them service problems and point out (or take suggestions) how they may participate and cooperate in overcoming these problems. The Contractor s Service objectives and policies should be clearly defined with appropriate delegation of authority and responsibility to service personnel. The following Guidelines should be considered in designing the ADEC Office Boys & Porter Service Project Organization Structure by the appointed Contractors: Full compliance with rules, regulations and statutory requirements of Local Competent Authorities (like ADFCA, SEHA, HAAD, LABOUR ETC) and ADEC, Dedicated Office Boys/Girls/porter staff available on duty at all times, to ensure proper implementation of the service program and provide response in all situations, The Contractor must use all reasonable possible endeavours to optimise his resources and ensure position classifications is kept to a minimum to provide broadest possible utilization of all personnel. However, the Contractor must ensure to provide additional staff as a precaution to face any shortage that might occur, Dedicated Team of Supervisors for cluster of locations/facilities, Dedicated Project Manager, one point of contact for the project the ADEC Facilities (one per package) assigned to the Contractor under the agreement An IP based time attendance system assigned at each school for recording the attendance of the staff, in and out movement, a monthly pdf version file is produced along-with the monthly report and customer satisfaction report RFP no. Dedicated Helpdesk 24 x 7 x 366 days with a dedicated telephone number and facility to attend to any query, request, circulation, and eventuality, The annual leave program of the staff should be designed to fit into the school vacation days specially the summer vacation and any deviation should be submitted to ADEC for approval, The Contractor will be deemed to have visited and examined all ADEC Facilities and satisfied himself as to the local conditions, the accessibility, the full extent and character of the ADEC facilities and operation, the supply and conditions affecting manpower, tools and systems, the housing accommodation, the transportation and the execution of the Agreement generally. ADEC will not consider any claim on the grounds of misunderstanding in this respect. The Contractor will make allowance for any additional resources, manpower and expenses which may be required due to work that the Contractor may be required to perform as per situational demand and directives of ADEC. The Contractor will make allowance for any additional tasks requested by ADEC from time to time, arising from emergencies, operational reasons or unsatisfactory duties carried out. Without the permission of ADEC or its representatives, the Contractor will not transfer any of the project managers, supervisors or service staff who are employed for the execution of this Agreement to any other site. The Contractor must document all business requirements and must prepare and document duties and responsibilities, schedule, programs under ISO, competent Authorities and ADEC requirements but not limited to following: Site Attendance Book (if manual) Site Visit Book (for supervisor and project manager) Incident Report Book Monthly Customer satisfaction report o Ensure the implementation & enforcement of EHS management system in all their activities & in competence with ADFCA other EHS management systems and standards o Provision of high quality service for all aspects of the scope of work. o Ensuring that deployed manpower is qualified and experience as the required trade. o Provision of training to all of its Personnel to meet customer satisfaction, job description, international safety standards, and high hygiene level. o Provision of training plan for its entire allocated staff to ADEC. o Provision of uniform to all of its Personnel and materials should be from good quality and must be changed yearly. o Provision of trained stand-by staff to cover in case of any absent allocated Personnel. o Provision of transportation from and to ADEC Facilities for all its Personnel. o Insuring punctuality and order among its Personnel. o Providing its Personnel of all benefits as per UAE Labour Law. o Providing its Personnel adequate accommodation with complete facilities and as per UAE Occupational Health and Safety Policy. o o Provision of office girls for female admin schools, KGs, & Co-education schools while provision of office boys for male admin schools. Customer Service course Note that any Office Boy/Girl must have Essential Food Safety Training Program from Abu Dhabi Food Control Authority (ADFCA) to enter ADEC s Schools. B. Performance Management, Adjustments & Penalties 1. Standards of Performance The Contractor shall at all times perform the Services and its obligations under this Agreement in accordance with: o this Agreement, o Good Industry Practice, o Competent Authorities of Emirate of Abu Dhabi like ADFCA, SEHA, HAAD ETC Laws and regulations and other applicable laws, o the requirements of any Insurance policies, ISO and other certifications, o any instructions and directions of the ADEC given from time to time in accordance with this Contract; and o the Key Performance Indicators set out herein, If the Contractor does not meet the Key Performance Indicators set out herein then the ADEC may charge the applicable penalty and deduct the amount from the monthly or total Fee, in accordance with this Agreement s terms and conditions. The deductions to the Fee do not in any way relieve the Contractor from any of its obligations to complete the Services or from any other of the Contractor's obligations and liabilities under this Agreement. Without limiting any other rights the ADEC may have, the ADEC may deduct from the Fee any amounts payable by the Contractor to the ADEC under this Agreement or recover the same as debt due from the Contractor without the need to prove any actual damage or loss. If the ADEC is entitled to make deductions under the terms and conditions of this Agreement, this does not limit the ADEC right to enforce any other remedy the ADEC may have against the Contractor. 2. Service Levels The Contractor will provide high standard management and administration services to enhance and maintain the performance of the Facilities in order to achieve the outcomes as described in this Part. The Performance Monitoring system determines the performance of the Operator against predefined targets. The monitoring process is structured in two components: monthly assessment and annual assessment. The achievement of the KPI targets is directly linked to the overall compensation mechanism as set out in here. All KPIs shall be measured and evaluated by ADEC s Representative whose decision shall be final and binding. 3. Key Performance Indicators The following table describes the Key Performance Indicators associated with the Services Levels herein. Results of the assessment of the Contractor s performance against these key performance indicators must be reported by the Contractor in the monthly reports. The results will be linked to the fee & schedule of rate as described herein. Undertaking the Services in accordance with the requirements of the Key Performance Indicators included in the following table will not in any way relieve the Contractor from providing the Service Outcomes or Service Levels described under this Agreement. ADEC will conduct monthly random spot assessment of the contracted schools and facilities to verify report and assess situation on site and the result of same (random sample assessment) will be applied to all accordingly, if ADEC facilities management so decide. ADEC expects Contractor to perform, manage, control and deliver the services in full compliance as per Agreement, SOW, SLA, & KPI across all the schools and facilities (contracted/assigned to contractor). The penalty will be calculated on monthly basis as described and charged per site as per the Penalty Description & Table below. Absences: Any absence of an office boy/girl or porters from any of the schools and warehouses for any or no reason will not be acceptable and the Contractor has to ensure with an immediate (within 2 hours) replacement of such absenteeism along with information and written report to school principal or warehouse manager immediately. If the Contractor does not supply ADEC with an immediate replacement, ADEC shall apply Penalty A for each occurrence against the monthly invoice & payment, accordingly. This clause has been purposely included with the KPI to highlight the importance of punctuality of duty, service RFP no. ADEC/2015/1084 Document 2 of 4 Page 12 of 27

responsibility and all time presence of staff at site, immediate replacement to ensure common absenteeism is prevented, controlled and not compromised. Penalty Grade A: AED500.00 per day per staff for each occurrence. 3.2. Late Attendance: Any late attendance of not more than an hour of an office boy/girl or porters from any of the schools and warehouses due to any reason or no reason is not acceptable and the Contractor has to inform the school principal or warehouse manager immediately along with the information and written report and to take necessary / immediate action to avoid such activity in the future. ADEC shall apply Penalty B for each reoccurrence against the monthly invoice & payment. If the late attendance exceeds an hour, ADEC shall apply Penalty A for each occurrence against the monthly invoice & payment, accordingly. Penalty Grade B: AED300.00 per staff or each occurrence. 3.3. Non-conformance: If the school principal/warehouse manager deems the office boy/porter does not fulfil his duties and responsibilities as mentioned in this section, then ADEC shall issue written warning to the supervisor giving the office boy/porter 3 working days to comply. If office boy/porter fails to rectify, then the Contractor shall supply an appropriate replacement at his own cost within 2 working days. Otherwise, ADEC shall apply Penalty A. 4. Requisition of additional staff ADEC has the right to request contractor to provide additional staff and can request to meet the requirement or required additional staff, Contractor shall provide the requirement within 10 calendar days for request of equal to and less than 10 staff, and, for equal and more than 11 staff maximum of thirty (30) calendar days. However, this can be revised to minimal days. A clear clarification with proof is required to extend this timeline. Failure to comply on the requirements on the given period of time, ADEC shall apply Penalty A per staff per day against the monthly invoice & payment, accordingly. 5. Payment and Invoicing The Contractor shall submit its proposed invoice to the ADEC at monthly intervals. The Contractor shall present the invoice at the monthly review and agree it with the ADEC. The monthly review will be held in the first week of following month. 5.1. General Responsibilities and Obligations: The Contractor shall be fully responsible for his Personnel and shall: Pay all their wages, salary, visa, medical & insurance fees and charges, accommodation, transportation, rewards, allowances, leave salary, air ticket, final dues and all dues in full compliance with the laws, rules and regulations of the Local Authority RFP no. Allow holidays provided by the laws, rules and regulations of the Local Authority, Provide them any and all the rights provided by the law, rules and regulations of the Local Authority 5.2. Performance Adjustments including Infringements & Fines and Absenteeism-non attendance The ADEC s School Services Team staff is responsible for: o assessing the Performance measurement - KPI scores; o calculating the Performance Adjustment and deductions, if any, All Contractor assessments and calculations are subject to audit, verification and approval by the ADEC s Representative. The following adjustments shall be made to the total monthly Fixed Service Fee for each of the penalty types identified in the scope of works: o Penalty grade A AED 500 per site for not achieving the target percentage o Penalty grade B AED 300 per site for not achieving the target percentage o The other fines as per clause 2.2 & 2.3 of Appendix B Absenteeism-nonattendance and infringement & fines and o The maximum Performance Adjustment-deduction in any calendar month shall not be 10% of the Total Annual Agreement Price. 5.3. Invoice Format The Contractor shall include in his monthly invoice the following: Contract Price on actual basis with proper divisions in detail as may be requested by ADEC Performance Adjustment, if any, 6. Supplementary Information The Contractor will provide the following monthly support information (in agreement with ADEC s Representative) alongside his invoice (without which the School Services team will not accept, entertain, approve and submit to ADEC finance the Invoice for payment settlement): Checklists & service completion reports (with detail of the staff attendance); necessary validation completed by ADEC representative or schools & facilities or ADEC Facilities Management team 7. Performance Bank Guarantee The Contractor will be required to submit and maintain a performance bank guarantee (as per Section 4 Annex 1 Form 1) of 10% of the Total Contract value valid until Completion of the Agreement plus 3 months. Form of Agreement This Form of Agreement is made between Section 1: Form of Agreement M/s ABU DHABI EDUCATION COUNCIL, having its address at P.O. Box 36005 Abu Dhabi, UAE (hereinafter referred to as First Party ) and M/s --------------------, (referred to as the Second Party or Contractor ) having its main or registered office at PO Box ----, UAE. The First Party and the Second Party are referred to jointly as the Parties and each as a Party. The Parties agree that:- 1. This Form of Agreement (Section 1) together with the appended Sections 2 to 5 (inclusive) are referred to collectively as the `Agreement'; 2. The Second Party shall provide the Services as detailed in the Scope of Work and in accordance with this Agreement; and shall be paid and/or compensated by the First Party as detailed in Section 4. 3. This Agreement constitutes the entire agreement between the Parties and supersedes all or any prior negotiations, representations or agreements either written or oral in relation thereto. In the event of any contradiction or inconsistency between the various documents comprising this Agreement, the terms within Section 2 Terms and Conditions, (as may be amended pursuant to Annex 1 to Section 2 Special Conditions) shall take precedent. No caveats, assumptions or reservations provided for under the Second Party s Proposal or any other documents shall be binding on the First Party unless clearly and explicitly stated under Annex 1 to Section 2 Special Conditions. 4. The Parties shall be entitled to such rights and be subject to such obligations as are imposed by the Agreement; 5. At the discretion of the First Party, the Agreement shall be binding on the Second Party s successors or its permitted assignees. Terms and Conditions Section 2: Terms and Conditions 1. Interpretation 1.1 In this Agreement, unless the context dictates otherwise, the following words shall have the following meanings: - Agreement Price Business Day Completion/ Progress Certificate Deliverables First Party Data First Party Premises First Party Representative Intellectual Property Rights KPIs The agreed price as set out in Section 4 for the provision of the Services pursuant to the Agreement. Any day on which the First Party is conducting its daily activities. For the avoidance of doubt, Business Days exclude Fridays, Saturdays and all public holidays as announced for public sector in the Emirate of Abu Dhabi. A certificate issued by the First Party Representative to indicate progress or completion (as the case may be) of the Services, or part thereof, as detailed in Section 3 Scope of Work. All documents, inventions, databases, products and any other items or materials developed or created by the Second Party or its agents, contractors and employees as part of or in relation to the Services in any form or media, including drawings, maps, plans, diagrams, designs, pictures, computer programs, data, specifications and reports (including drafts of any such things). All data, information, text, drawings, diagrams, images or sound embodied in any electronic or tangible medium, and which are supplied or in respect of which access is acquired by the Second Party pursuant to this Agreement, or which the Second Party is required to generate under this Agreement. Lands or buildings (including temporary buildings) owned, leased or occupied by the First Party where the Services are performed. The person nominated by the First Party to act as its representative and be in charge of the day-to-day management of the Agreement. The First Party Representative may also be referred as the Project Manager. Any copyright, patents, trade-marks, service marks design rights (whether registerable or otherwise), applications for any of the foregoing, know-how, rights protecting databases, trade or business names and other similar rights or obligations whether registerable or not in any country (including but not limited to the United Arab Emirates) which exist at the date of this Agreement or which may, during the course of this Agreement, come into existence. means the key performance indicators set out in Section 3 Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 5 of 40

Appendix B or such other performance indicators determined by ADEC from time to time. Location Services Provisional Certificate Applicable) Final Certificate Acceptance (Where Acceptance Such location(s) where the First Party may require the Services to be performed. For the purposes of this Agreement, the term Services shall include the provision of services and/or the supply of goods and/or the performance of works, including any Deliverables, to be provided and/or supplied and/or carried out by the Second Party under the Agreement as set out in the Scope of Work; The preliminary acceptance certificate issued by the First Party Representative after the completion of the Services, or part thereof as detailed in section 3 Scope of Work. A certificate issued by the First Party Representative indicating final acceptance by the First Party of the Services as described in section 3 Scope of Works. 1.2 Reference to the singular includes the plural and vice versa and references to any gender includes all genders where the context so requires. 1.3 The headings in this Agreement are indicative only. 2. The Agreement Period, Commencement and Completion 2.1 The Agreement Period shall be from [INSERT DATE] (Commencement Date) to [INSERT DATE] (Completion Date), unless the Agreement is otherwise terminated or extended in accordance with its terms. 2.2 The Second Party shall perform all its obligations, as per the Scope of Work, within the Agreement Period. If the Agreement includes phases, milestones or commitment dates etc (Timeframe) for the performance of certain obligations (as may be detailed under the Scope of Work), then the Second Party shall complete such obligations within their respective Timeframes. 2.3 Time is of the essence and failure by the Second Party to perform any of its obligations within their specific Timeframe shall entitle the First Party (at its option) to release itself from any obligation to accept and pay for any goods/services and/or to cancel all or part of the Agreement. 3. Services: Quality & Conformation 3.1 The Second Party certifies that it has read and fully understood the Scope of Work and that it has the capacity to perform the Services. 3.2 The Second Party warrants and represents to the First Party that the Second Party and its staff (including employees, agents, representatives, subcontractors and their staff): a.) are properly trained, qualified, and adequately skilled and competent to the levels necessary to undertake the Services; and b.) shall undertake the Services in a workmanlike manner using the appropriate level of skill, care and expertise expected from a competent supplier using good industry practice in similar contracts and circumstances. 3.3 Services shall be performed in a manner that conforms in all respects with any particulars, specifications and standards of performance set out in this Agreement and with the requirement of the applicable laws, regulations or bylaws from time to time in force. 3.4 The Second Party shall promptly review the information and\or data provided by the First Party including the information contained or referred to in the Scope of Work (Section 3) and bring to the attention of the First Party all things which in the Second Party s opinion appear to be deficiencies, omissions, contradictions, or ambiguities in such information and\or data, then if the First Party insists on compliance with its information, the Second Party shall strictly adhere to them and perform the Services accordingly. 3.5 The Second Party acknowledges that the First Party will be relying upon the Second Party's skill, expertise and experience in the performance of the Services and also upon the accuracy of all representations or statements made and any advice given by the Second Party in connection with the performance of the Services. 3.6 The Second Party shall ensure that any goods procured in connection with the Services shall be of satisfactory quality, fit for their purpose and be free from defects in materials and workmanship. 4. Agreement Price & Payment 4.1 The Price for the execution of all the obligations of the Second Party under this Agreement is detailed under Section 4, Financial Entitlements. 4.2 The Second Party shall be deemed to have: a.) satisfied itself as to the adequacy and sufficiency of the Agreement Price; and b.) based the Agreement Price on the information, inspections, examinations, interpretations and all necessary matters relevant to the Scope of Work. 4.3 The Agreement Price covers all of the Second Party s obligations under the Agreement and all things necessary for proper execution and completion of the Scope of Work. 4.4 The Agreement documents are intended to be in full harmony and compliance with each other. However, in case of any discrepancies or differences among the requirements between the Agreement documents that might have an impact on the Agreement Price, then the Second Party shall be assumed to have priced at the higher requirement. 4.5 The payments shall always be subject to successful completion of Deliverables, major milestones or major packages and their integration as applicable in accordance with Payment Schedule under Section 4 Financial Entitlements. 4.6 The Agreement Price shall be the full payment of any dues on the First Party against the successful delivery of Services inclusive of all costs and profit and taxes and duties and levies and like charges that may be payable by the Second Party on the performance of Services including, but not limited to, any corporate tax on profits. 4.7 The Second Party must provide to the complete satisfaction of the First Party full, relevant and accurate information and documentation in support of its invoices. 4.8 The First Party will make no payment to the Second Party as compensation for any Services that have not been approved by the First Party. Correct invoices with respect to the Agreement Services will be processed for payment based on signed Progress/ Completion Certificates duly signed by the First Party Representative 4.9 The First Party aims to pay all approved invoices issued by the Second Party within 30 Business Days of receipt. If any concerns relating to the issue or payment of invoices arise, the Second Party must contact the First Party Representative. The First Party aims to reply to such concerns within ten (10) Business Days. The First Party shall not be responsible for any delay in payment caused by incomplete or illegible invoices issued by the Second Party. 4.10 The Second Party shall not receive any additional payment for travel, accommodation or time spent by its Personnel engaged in travelling made necessary in the performance of the Agreement unless stated in this Agreement or agreed in writing by the First Party Representative and formally instructed through variation order. 4.11 Invoices should be addressed to: - Finance Division, Abu Dhabi Education Council PO BOX 36005, Abu Dhabi United Arab Emirates. All invoices must clearly quote the Agreement number ADEC/2015/1084 and the relevant dates, Location and name of the First Party Representative. Invoices must be prepared and submitted in accordance with Financial Entitlements Section Section 4. 4.12 The First Party shall pay the Second Party s correctly presented invoice(s) within the period stated under 4.9 above, and in the agreed currency by a wire bank transfer. 4.13 A final invoice must be submitted by the Second Party not later than 60 days after the date of completion of the Agreement howsoever arising supported by a Final Acceptance Certificate and a Release Letter (as per section four Attachments). On due payment of the final invoice by the First Party all amounts due to be reimbursed under this Agreement shall be deemed to have been paid and the First Party shall have no further liability to make reimbursement of any kind. The First Party shall not be obliged to pay the final invoice until the Second Party has carried out all the elements of the Agreement to the satisfaction of the First Party. 4.14 Except where it is expressly provided that the First Party shall carry out a contractual obligation at its own cost, all things or items to be supplied or performed by the Second Party under the Agreement must be deemed to be included in the rates and prices as included in Section 4; the Agreement Price and Rates Section. All obligations of the Second Party shall be performed by the Second Party at its sole cost and expense. 4.15 The First Party shall not be liable to any of the Second Party s staff, employees, agents, representatives, subcontractors and their staff in any form. 5. Labelling and Packaging (Not Applicable) 6. Location 6.1 The Second Party will perform the Services at the agreed Location as per the Scope of Work or as might be required by the First Party. 6.2 Where any access to any of the First Party Premises is necessary, the Second Party and its employees, agents, representatives, subcontractors and their staff shall at all times comply with the First Party s requirements in relation to access to and the use of the premises including but not limited to the security requirements. 7. Intellectual and Property Rights. 7.1 The Second Party grants the First Party an irrevocable non-exclusive licence to use and reproduce all documents, data and other intellectual property already prepared or to be prepared by the Second Party or on its behalf in connection with the Services for all purposes connected with the Services. 7.2 The Second Party agrees that the First Party is legally and beneficially entitled to any and all Intellectual Property Rights created as a result of the Agreement. must assign to the First Party any and all residual title which it may have or may otherwise wish to claim in any and all such Intellectual Property Rights. 7.3 The Second Party undertakes that it must, from time to time, take all such steps and execute all such documents required or as the First Party may reasonably require to fully vest in the First Party any and all residual title, whether legal or beneficial, to all such Intellectual Property Rights. 7.4 The Second Party represents, warrants, and covenants either (i) the originality of any items delivered under this Agreement and (ii) that it has all such rights, licences and other interests as may be necessary to allow it to perform the Services and so grant the rights agreed to be granted to the First Party under this Agreement and that no portion of the Services completed on behalf of the First Party under this Agreement violates or is protected by patent, copyright, trade secret, Intellectual Property Rights or other rights of any third party. 7.5 The Second Party must include in the conditions of its agreement with each of its personnel and where relevant its subcontractors personnel to provide to the First Party the same provisions in respect of Intellectual Property Rights as are provided to the First Party under Clauses 7.1 and 7.2 above. 7.6 It shall be a condition of this Agreement that unless Services are made up in accordance with designs furnished by the First Party none of any Services will infringe any patent, trade mark, registered design, copyright or other intellectual property rights of any third party. 7.7 All rights (including ownership and copyright) in any specifications, instructions, policies, regulations, patterns, models, documents or other material furnished to or made available to the Second Party by the First Party pursuant to this Agreement shall remain vested solely in the First Party and the Second Party shall not (unless it is the minimum essential for the implementation of this Agreement) without prior written consent of the First Party use or disclose any such specifications, policies, regulations, patterns, models or documents or any information (whether or not relevant to this Agreement) which the Second Party may obtain pursuant to this Agreement. 7.8 Without the First Party s prior written consent, the Second Party shall not: a) refer to the First Party, the Agreement, or any of its dealings with the First Party in any advertisement or other promotional material. b) publish alone or in conjunction with any other party any article, photograph or other illustration relating to the Services nor any information derived from the Second Party's participation in the Agreement. c) associate or in any way connect any name or trademark of the First Party with the Second Party's work or services herein. d) make any indication that the First Party endorses or approves or has endorsed or approved the Second Party or its services. 7.9 The obligations under this Clause shall continue notwithstanding the expiry or termination of the Agreement. 8. Working Hours 8.1 In the event that the Services, in whole or in part, are to be undertaken on the First Party Premises, they must be undertaken within the times acceptable by the First Party Representative and shall comply with the Ministry of Labour working hours, in general, the First Party working hours are from 7:30 to 4:30. Sunday to Thursday except for the public holidays as announced by the First Party. 9. Service Rejection Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 9 of 40

9.1 The Second Party shall permit the First Party or its authorized representatives to make any inspections or tests it may reasonably require and the Second Party shall furnish all reasonable facilities and assistance free of charge at its premises. No failure to make complaint at the time of such inspection or tests and no indication of approval given during or after such tests or inspections shall constitute a waiver by the First Party of any rights or remedies in respect of any goods/services. 9.2 The First Party may by written Notice to the Second Party reject any Services that fail to comply with the Agreement within a reasonable time after their delivery. In such instance, the First Party shall be entitled (at no additional cost) either: (a) to have any non-compliant Services replaced with compliant ones as quickly as possible by the Second Party; or (b) to receive a full refund of any payment made in respect of the rejected Services plus payment at cost or back charge the Second Party for any losses caused by the failure of the rejected Services within thirty calendar days. 9.3 Without prejudice to any other remedy, if any part of the Agreement is not performed in accordance with this Agreement then the First Party shall at its discretion either: - (a) require the Second Party promptly to re-perform the relevant Services until the same are in compliance with the Terms of the Agreement without additional charge to the First Party and it shall comply; or (b) assess the cost of remedying the failure ( the Assessed Cost ) and deduct from any sums due, or to become due, to the Second Party the Assessed Cost for Implementation of the remedy and for the application of the remedy during the period that such failure occurred and continued. (c) Engage a third party to perform the relevant Services and back charge the Second Party with all related costs. 10. Liquidated Damages 10.1 If the Services or any part thereof are not delivered within the Timeframe specified in the Agreement the Second Party shall be liable to pay to the First Party as liquidated damages for the delay a sum equivalent to 1% of the total Agreement Price per week or part thereof to a maximum of 10% of the value of the Agreement. 10.2 The provisions of this Clause are without prejudice to any other rights of the First Party under the Agreement and in particular, those under Clause 26: Termination, and Clause 28: Performance Bank Guarantee and the usage of the rights under these clauses. The liquidated damages payable hereunder in respect of any period of delay, which occurred during the Agreement Period, shall be paid by the Second Party notwithstanding any considerations under Clause 26. 10.3 No payment or concession to the Second Party by the First Party or any other act or omission of the First Party shall in any way affect the rights of the First Party to recover the said liquidated damages or be deemed to be a waiver of the right of the First Party to recover any damages unless a waiver has been expressly stated in writing by the First Party. 10.4 The First Party shall be entitled to request and enforce liquidation of the Performance Bank Guarantee in order to recover the liquidated damages imposed on the Second Party or any other default in provision of the goods / services on the part of the Second Party. 11. Waiver and cumulative remedies Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 10 of 40

11.1 A waiver by the First Party of any right under the Agreement is only effective if it is in writing and shall not be deemed to be a waiver of any subsequent breach or default. No failure or delay by the First Party in exercising any right or remedy under the Agreement or by law shall constitute a waiver of that or any other right or remedy, nor preclude or restrict its further exercise. No single or partial exercise of such right or remedy shall preclude or restrict the further exercise of that or any other right or remedy. 11.2 Unless specifically provided otherwise, rights arising under the Agreement are cumulative and do not exclude rights provided by law. 12 Health and Safety and Environment 12.1 The Second Party confirms and warrants that the Services will be performed without risk to health and safety and that Deliverables are designed and constructed so as to be safe and without risk to the health or safety of persons using the same. The Second Party shall provide the First Party with adequate health and safety literature and advice regarding the proper and safe use of the Deliverables. 12.2 The Second Party must at all times ensure that Services are provided strictly in compliance with the relevant industry standards, Environment and Health and Safety regulations of the First Party, and all UAE federal and local Laws and Regulations related to health, safety and the environment and shall include any subsequent amendments and additions thereto that the First Party or any other competent authority in the UAE may issue from time to time. 12.3 The Second Party must be familiar with the original equipment manufacturer s instructions regarding the safe operation, storage and maintenance of all equipment that will be used by him in pursuit of the Services. In the event that any such item of equipment becomes defective the Second Party must immediately withdraw it from use and must report the incidence to the First Party Representative as soon as possible. 12.4 The above is without the prejudice to the Second Party s obligation to comply with the requirements of the First Party Director General Circular No. 10 of 2012 Concerning Environments, Health and Safety Requirement, or any amendment thereto (ADEC Director General Circular No. 10 of 2012, Section 4, Annex 1, Attachments). 13 Indemnity and Insurance 13.1 The Second Party shall indemnify the First Party against all actions, suits, claims, demands, losses, charges, costs and expenses which the First Party may suffer or incur as a result of or in connection with any breach of this Agreement or any damage to property or in respect of any death or personal injury to any person which may result directly or indirectly from any defect in the Services or the negligent or wrongful act or omission of the Second Party. 13.2 Except for liability for death or personal injury caused by the First Party's negligence, the First Party accepts no liability for any loss or damage resulting from the Second Party s access to the First Party Premises and/or arising from any labour and equipment that may be provided by the First Party in connection with the provision of the Services or part thereof. 13.3 Without limiting any of its obligations under the Agreement, the Second Party must procure and maintain adequate insurance(s) with an insurer of good repute as required by statute or other legal requirement as detailed in Annex 2 to this Section 2. 14 Data Protection Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 11 of 40

14.1 The Second Party acknowledges that the First Party Data are the exclusive property of the First Party, and that the First Party reserves all Intellectual Property Rights, which may subsist therein. The Second Party must not delete or remove any copyright notices contained within or relating to the First Party Data. 14.2 The Parties must each comply with all relevant data protection principles and good practice and take reasonable precautions (having regard to the nature of their other respective obligations under this Agreement) to preserve and protect the integrity of the other Party's data. 15 Confidentiality 15.1 A party ("Receiving Party") shall keep in strict confidence any information which is of confidential nature which has been disclosed to, or otherwise obtained by, the Receiving Party by or from the other party ("Disclosing Party"), its employees, agents or subcontractors, and any other confidential information concerning the Disclosing Party's business or its products or its services which the Receiving Party may obtain. 15.2 Each party agrees not to use confidential information relating to any other party for any purpose other than the purpose for which it is supplied under the Agreement and the Receiving Party agrees to restrict disclosure of such confidential information to such of its employees, agents or subcontractors as need to know it for the purpose of discharging the Receiving Party's obligations under this Agreement, and shall ensure that such employees, agents or subcontractors are subject to obligations of confidentiality corresponding to those which bind the Receiving Party. The Deliverables and information comprised in the Deliverables, that is confidential in nature shall be deemed to be, and be treated as, the confidential information of the First Party. 15.3 The obligations in this Clause 15 shall not apply in relation to: a) information which is or becomes public knowledge other than as a result of a breach of Clauses 15.1 or 15.2; b) information which the party using or disclosing the information either knew prior to the other party's first disclosure to it or received from a third party entitled to disclose the same; c) information which any party is required to disclose by law, any Court of competent jurisdiction, any Government agency or regulatory body lawfully requesting the same or by the regulations of any stock exchange. 15.4 This Clause 15 shall survive termination of the Agreement. 15.5 The Second Party shall not make any announcement relating to this Agreement or its subject matter without the prior written consent of the First Party. 16 Security Compliance 16.1 The Second Party shall comply with the First Party s Information Security Management System (ISMS), Information Security Policies and follows the First Party s Security Procedures, Standards and Guidelines [Information Security Policy Acknowledgement Form Section 4, Annex 1 Attachments]. 17 Audit Access and Information 17.1 The Second Party must maintain full and accurate accounts and records in connection with the Agreement. Such accounts must be retained for at least 3 (three) years after the end of the financial year in which the last payment was made under this Agreement. 17.2 The Second Party must provide access at all reasonable times to the First Party's auditors, internal and external, any governmental authority performing audits in relation to the First Party s business, and any other duly authorised staff or agents to examine the accounts or inspect such documents and records as the First Party considers necessary in connection with this Agreement irrespective of the location of such accounts, records or documents. 17.3 In addition, the Second Party must provide access at all reasonable times to the First Party's auditors, internal and external, and any other duly authorised staff or agents to all of its IT equipment, documents, papers and records related to this Agreement for the purpose of conducting audits and ensuring compliance with the First Party ISMS. These records include licensed software, security configuration and settings of equipment, user access rights on the equipment and any records in electronic form, including but not limited to computer hard drives, tape backups and other such storage devices. 17.4 The Second Party must provide to the First Party the right to carry out examinations at all reasonable times into the economy, efficiency and effectiveness with which the Second Party has used the First Party s resources in the delivery of the Services and where appropriate interview its personnel who shall provide full and frank answers. 17.5 The requirement of this clause shall also devolve to all and any of the Second Party s subcontractors, agents, etc. 18 Variations 18.1 If a variation to the Scope of Work, whether an omission or addition, (hereinafter referred to as a Variation ) is required, during the Performance of the Agreement and until issuance of the Final Acceptance Certificate, the First Party shall initiate such Variation by forwarding to the Second Party a statement describing the Variation; the Second Party shall make an estimate of the consequences of such Variation as to: a) Time gained or reduced in respect of the time Schedule; b) Expenses or savings anticipated; Accordingly, if the First Party decides the Variation shall be carried out, it shall give the Second Party its written acceptance thereof. 18.2 The Payment Schedule shall be adjusted to the extent necessary as a result of such Variations. 18.3 No additional payments shall be made where the Variation falls within the Scope of Work or is due to the Second Party s act or omission in complying with this Agreement. 18.4 The Second Party shall submit in writing full details of any claim or confirmation of any other instruction or development affecting the Services and for which he deems a Variation is required within forty eight (48) hours of the start of any additional expense or time to which the Second Party shall consider itself entitled to. After the lapse of forty eight (48) hours no such claim shall be considered by the First Party. 18.5 The Second Party shall not postpone or delay the performance of the Services for which he intends to claim, on the grounds that it is subject to acceptance by the First Party and/or finalisation of payment amount and/or time extension to the Schedule. 18.6 The First Party reserves the right to amend the entire contents of the Agreement by increasing, decreasing or omitting any work included in the Agreement within the limit of twenty percent (20%) of the Agreement Price unless otherwise agreed by the Parties. 19 Recovery of Sums Due 19.1 Wherever under this Agreement any sum of money is recoverable from or payable by the Second Party, that sum may be deducted from any sum then due, or which at any later time may become Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 13 of 40

due to the Second Party under this Agreement or by liquidating the Performance Bank Guarantee or from dues under any other agreement(s) with the First Party. 20 Assignment and subcontracting: The Second Party shall not assign, transfer, charge, or deal in any other manner with all or any of its rights or obligations under this Agreement without the prior written consent of the First Party (such consent not to be unreasonably withheld or delayed). 21 Third Party Rights 21.1 Any person whom is not a party to this Agreement shall not have any rights under or in connection with this Agreement. 22 Notices 22.1 Any notice or other communication required to be given to a party under or in connection with this Agreement shall be in writing and shall be delivered to the other party personally or sent by prepaid first-class post, at its business addresses set out in this Agreement, or sent by e-mail to the other party's e-mail address. 22.2 Any notice or communication shall be deemed to have been duly received if delivered personally, when left at the address referred to above or, if sent by prepaid first-class post or recorded delivery, at 9.00 am on the second Business Day after posting, or if sent by e-mail, on the next Business Day provided that the recipient is not on out-of-office auto reply. 22.3 This Clause 22 shall not apply to the service of any proceedings or other documents in any legal action. 23 Force Majeure 23.1 If either Party claims that it is affected by Force Majeure it shall bear the burden of proving that it is so affected and shall promptly notify the other Party of the nature and range of the circumstances in question. 23.2 Notwithstanding any other provision of this Agreement, neither Party shall be deemed to be in breach of this Agreement, or otherwise be liable to the other, for any delay in performance or the non-performance of any of its obligations under this Agreement, if the delay or non-performance is due to any Force Majeure of which it has notified the other Party, and the time for performance of that obligation shall be extended accordingly. 23.3 The Force Majeure in this Clause shall only mean and be limited to fire, flood, earthquake, natural catastrophe, industrial action, civil strife, terrorist activity, declared war, and any Government action which prevents the Party primarily affected from performing its obligations. 23.4 The Party who is primarily affected by the Force Majeure must immediately but under no circumstances later than Seven (7) days after becoming aware of the Force Majeure which prevents or hinders its performance under this Agreement, notify the other Party of the existence, commencement date and nature of the Force Majeure and of the steps that are reasonably available to it and of the steps that it intends or is taking 24 Warranty 24.1 The Second Party guarantees good title to all materials and equipment supplied by him and the fitness of such materials and equipment for the use intended. materials, equipment, and supplies designed, specified and arranged for by him and used or installed in the Services shall conform to the specifications contained in the Agreement and that such materials, equipment, and supplies used or installed in the Services shall be procured only from good, reputable and responsible suppliers and from sources readily available to the First Party and that if any of such items shall be found defective, the Second Party shall rectify or replace such defective item at its own cost. 24.2 The Second Party shall obtain from his vendors and suppliers for the benefit of the First Party all possible warranties with respect to materials, equipment, tools and supplies delivered or installed by him, such warranties shall be assigned to the First Party or to such entity as shall be designated by the First Party, if the First Party so directs. 24.3 Such warranties shall remain in force for at least 12 months after the completion of the Services; the warranties are applied also to all replaced materials of any defect subsequently discovered. The Second Party's failure to obtain such warranties from its vendors and suppliers shall not relieve the Second Party of its obligations with respect to materials, equipment, tools and supplies procured from such vendors and suppliers. 24.4 When failure to perform in accordance with specifications results from defects in goods furnished by the Second Party's vendors, the Second Party shall take all actions available to him to enforce such warranties obtained from its vendors. The Second Party shall keep the First Party informed of all such actions. 25 Suspension 25.1 The First Party may suspend partly or as a whole at any time the performance of the Services. In such event, and provided that such suspension shall not be otherwise provided for in the Agreement or necessary by reason of default on Second Party's part, the extra reasonable cost incurred by the Second Party under this Clause shall be borne and paid by the First Party, provided that the Second Party shall not be entitled to recover any such extra cost unless he gives written notice of its intention to claim to the First Party within twenty- eight (28) days of the First Party's order. The First Party shall settle and determine such extra payment and/or extension of time to be made to the Second Party in respect of such claim, as shall by mutual agreement, be fair and reasonable. 25.2 Notwithstanding any dispute arising between the Second Party and the First Party during the Agreement Period, the Second Party shall bind himself not to suspend or delay, partly or as a whole, for any reason, the performance of the Services. 26 Termination TERMINATION WITHOUT CAUSE 26.1 The First Party may terminate this Agreement in whole or in part if the First Party deems that such a termination may be in the interest of the First Party. In the event the First Party decides to terminate the Agreement or any part thereof it may do so by giving to the Second Party a 30 days Notice of Termination specifying the extent of termination and the effective date. 26.2 After the receipt of a Notice of Termination as above, and unless otherwise directed by the First Party in writing, the Second Party shall immediately proceed with the following obligations, regardless of any delay in determining or adjusting any payments due under this Clause: Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 15 of 40

a.) Stop the Services as specified in the notice b.) Complete the performance of the Services that are not terminated; c.) If requested by the First Party, provide a written report stating in detail the part of the work completed up to the date of termination. 26.3 The First Party and the Second Party shall agree upon the payment to be made to the Second Party as a result of termination under Clause 26.1. In such case, the First Party shall only be liable to pay to the Second Party the costs incurred in completing the Services till the date stated in the notice of termination. Other than the factually incurred and documented costs until the end of the Agreement, NO claims for costs and/or damages of whatever type shall be payable as a result of such termination. The First Party shall not be liable to the Second Party for any loss, claims, damages, fees, liabilities, costs or expenses (whether direct, indirect, economic, financial, consequential (including without limitation loss of profit, loss of goodwill, loss of sales revenue, loss of Agreement, and loss of opportunity or otherwise) suffered by the Second Party other than for the proportion of the price payable for the Services as relates to the work properly and satisfactorily carried out or where the Services are charged on a time basis, for the time properly and necessarily spent on the Services prior to termination. TERMINATION WITH CAUSE 26.4 Without prejudice to clause 26.7 below, the First Party may, subject to a minimum of seven calendar days cure (remedial) notice to the Second Party, terminate this Agreement either in whole or in part, if the Second Party: a) Fails to perform its obligations within the times specified in this Agreement b) Fails to make progress so as to endanger the performance of the Services under the provisions of this Agreement; or c) Commits any breach to the provisions of this Agreement. d) tries to deceive or defraud in its dealing with the First Party. e) becomes bankrupt or insolvent or commits any act that may cause him to become bankrupt or insolvent. f) assigns the Agreement or any part thereof, and / or subcontracts the works or any parts thereof to any third party without the consent of the First Party for the same. 26.5 First Party shall enforce the termination of the Agreement as detailed in the notice of clause 26.4 above if the Second Party does not cure such failure or breach within the cure (remedial) notice period. 26.6 If the First Party terminates this Agreement for default in whole or in part, the First Party may procure, under the terms and in the manner the First Party considers appropriate, products and/or Services similar to those terminated, and the Second Party shall be liable to the First Party for all excess costs for procuring those products and/or Services, as well as all administrative costs incurred by the First Party in connection with the Second Party s default. In all events, the Second Party shall continue to perform any part of the Services, which is not terminated. 26.7 The rights and remedies of the First Party under Clauses 26.4 and 26.6 are in addition to any other rights and remedies provided by law or under this Agreement, including but not limited to, the First Party s rights to demand repayment of any payments made to the Second Party for the rejected part of the Services. 27 Sub-Contracting Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 16 of 40

27.1 The Second Party may not sub-contract any part of the Services without the prior written consent of the First Party. Such consent shall not relieve the Second Party of any of its obligations hereunder or create any contractual relations between the First Party and such subcontractors. 27.2 The Second Party shall be fully responsible for any part of the Services performed by his subcontractors and for their acts and omissions and those persons either directly or indirectly employed by them to the same extent as he shall be for the acts and omissions of persons directly employed by him. 28 Performance Bank Guarantee. 28.1 Within fifteen (15) days from the acknowledgement date of the First Party s Letter of Award [LOA], the Second Party shall provide the First Party with an unconditional and irrevocable Bank Guarantee issued in accordance with the wording of Bank Guarantee Form (refer to Section 4 - attachments) by a local bank in the United Arab Emirates and payable to the First Party on first demand and valid up to Completion of the Agreement plus three months period. 28.2 The Bank Guarantee shall be in an amount equivalent to 10% of the total Agreement Price as stated in section 4 Financial Entitlement. This amount shall be increased proportionally should the Agreement Price be increased any time throughout the duration of the Agreement. 28.3 The Bank Guarantee, the cost of which shall be borne by the Second Party, shall be to secure the Second Party's obligations under this Agreement, notwithstanding any variations, alterations or extensions of time that shall be given or agreed upon. The Bank Guarantee shall cover the entire period of the Agreement and contain the provision that it will be automatically renewed to cover any extension or delay in fulfilling the Agreement. 29 Dispute, Governing Law and Jurisdiction 29.1 This Agreement shall in all respects be construed and governed by the Laws of the UAE as applied by the Courts of Abu Dhabi. 29.2 The Parties shall exert every effort to resolve amicably by direct negotiation any disagreement or dispute arising between them out of or in connection with this Agreement 29.3 Any dispute arising out of or in connection with this Agreement, which cannot be resolved amicably by way of direct negotiation within fifteen (15) days of the dispute having arisen, shall be referred to sole jurisdiction of the Courts of Abu Dhabi. SPECIAL CONDITIONS Annex 1 to Section 2: Special Conditions The following special conditions shall amend or supplement and shall prevail over the Terms and Conditions under Section 2. 30 KPI Performance Monitoring 30.1 During the Agreement Period, ADEC s Representative will monitor and assess the performance of the Services provided by the Second Party with reference to the KPIs. 30.2 The Second Party must use all reasonable endeavours to co-operate with ADEC s Representative during KPI assessment period. 30.3 ADEC s Representative will calculate the KPI score and will advise the Second Party of the final KPI score within thirty (30) days of the end of each month (as applicable). 30.4 Without prejudice to Condition 12 (Variations), ADEC may by written notice to the Second Party amend, vary or substitute the performance regime set out in this Agreement if in ADEC s reasonable opinion such amendment, variation or substitution is in the interest of improving the level and standard of the Services provided by the Second Party. 31 Extension of the Contract 31.1 If the First Party requires extending the Original Contract, by written notice to be sent to the Second Party, the present Agreement may be extended for a period of six (6) months but not more than one (1) year, which will begin immediately upon the expiration of the original time period. For avoidance of doubt, both parties expressly clarify that the referred extension of this Agreement is solely dependent on a decision of the First Party. 31.2 All other terms and condition of the original contract remain unchanged for the duration of this Agreement. 31.3 And Unit rates/prices for manpower supply stipulated Section 4 are not subjected to change during the period. 32 Personnel 32.1 The Second Party must ensure that only appropriately qualified, experienced and medically fit personnel using only the highest professional standards while maintaining full compliance with the First Party s technical standards and procedures are employed in the provision of the Services. 32.2 If the First Party notifies the Second Party that it considers that any Personnel is not appropriately qualified or trained to perform the Contract or is not delivering the Contract to the satisfaction of the First Party, or are absent due to sickness or injury or any other unplanned event, and in the First Party's opinion coverage is required, then the Second Party must either: - 32.2.1 as soon as is reasonably practicable, take all such steps as the First Party considers necessary to remedy the situation; or Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 18 of 40

32.2.2 If so required by the First Party, remove the Personnel from performing the Contract or any part of it and immediately provide a suitable replacement within ten (5) Business Days at no cost to the First Party, however no disturbance or gap to the services will be accepted. 32.3 The Second Party must not replace any Personnel during the Contract Period without the Approval of the First Party. If the First Party gives this consent the Second Party must ensure that replacements are inducted to satisfactorily manage their responsibilities in the provision of the Services. 32.4 The First Party will conduct finale interview before deployment to ensure that all the hired staffs and its personnel are experienced and qualified as per the ADEC standards. 33 Performance Regime 33.1 During the Agreement Period, the First Party s Representative will monitor and assess the performance of the Services provided by the Second Party with reference to the KPIs. 33.2 The Second Party must use all reasonable endeavours to co-operate with the First Party s Representative during KPI assessment period. 33.3 The First Party s Representative will calculate the KPI score and will advise the Second Party of the final KPI score within thirty (30) days of the end of each month (as applicable). 33.4 Without prejudice to Clause 18 of Section 4 (Variations), the First Party may by written notice to the Second Party amend, vary or substitute the performance regime set out in this Agreement if in the First Party s reasonable opinion such amendment, variation or substitution is in the interest of improving the level and standard of the Services provided by the Second Party. 34 Vacation / Holidays 4.1 During schools vacation or holidays, Personnel should not be utilized or mobilized to any other work location without the written approval or permission from the First Party s Managers. It will be ensured that staff annual leave program will be prepared and all the staff annual leave should be taken during the school holiday season specially during the summer vacation, any deviation from this will require replacement and approval of the First Party. 35 Requisition of Additional Staff 5.1 The First Party has the right to request Second Party to provide additional staff and can request to meet the requirement or required additional staff, Second Party shall provide the requirement within 10 calendar days for request of equal to and less than 10 staff, and, for equal and more than 11 staff maximum of thirty (30) calendar days. However, this can be revised to minimal days. A clear clarification with proof is required to extend this timeline. Failure to comply on the requirements on the given period of time, the First Party shall apply Penalty A per staff per day against the monthly invoice & payment, accordingly. 5.2 ADEC makes no minimum or maximum quantity commitments (number of staffs to be hired) during the Agreement period. 36 Transferring of Staffs 6.1 Transferring of staffs or any of its Personnel from one location to the other than the designated location by the First Party is not allowed without valid reason and with the written approval from Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 19 of 40

the First Party. Along with the transfer should be the Second Party s written request for the same. Deviation to this will result in penalty A will apply for each staff so transferred. 37 Replacement of Staffs 7.1 Replacement of staffs during the contract period is not allowed without any valid reason and with the written approval from the First Party. Second Party must notify the First Party in writing regarding the same and must ensure that replacements are competent to carry out the works or services to the manner and standard prescribed in this Agreement. Deviation to this will result in penalty A will apply for each staff so transferred. 30. Penalties related to KPI s 36.1 If the Second Party does not meet the Key Performance Indicators, set out in Section 3 Appendix 2, then ADEC may deduct amounts from the Fee in accordance with Section 3 Appendix 2. The deductions to the Fee do not in any way relieve the Second Party from any of its obligations to complete the Services or from any other of the Second Party's obligations and liabilities under this Agreement. 36.2 Without limiting any other rights ADEC may have, ADEC may deduct from the Fee any amounts payable by the Second Party to ADEC under this Agreement or recover the same as debt due from the Second Party without the need to prove any actual damage or loss. 38 Travel, Subsistence & Accommodation Costs 8.1 The Second Party shall not receive any additional payment for travel, accommodation or time spent by its Personnel engaged in travelling made necessary in the performance of the Contract unless previously agreed in writing by First Party's Representative. 8.2 The First Party shall not be liable to reimburse the Personnel for any out of pocket expenditure, which may be incurred. If however due to circumstances directly connected with the work, expenses are incurred then a claim for reimbursement, accompanied by all supporting documentation, may be raised with the First Party, whose decision on such claim shall be final and binding. All such claims must be issued to the First Party before the Personnel finally leave site having completed their work with the First Party. Annex 2 to Section 2: Insurance INSURANCE [INSERT DETAILS OF REQUIRED INSURANCE POLICIES] Without limiting any of its obligations under the Agreement, the Second Party must procure and maintain adequate insurance(s) with an insurer of good reputation as required by statute or other legal requirement cover claims which may arise as a result of the Second Party's participation in this Agreement, or any other claims or demands which may be brought or made against it by any Person suffering any injury, damage or loss in connection with this Agreement. Insurance policies obtained by Second Party shall include the First Party as an additional beneficiary and contain a waiver of Insurer s rights of subrogation against the First Party, its agents, employees, suppliers, contractors or subcontractors performing works or rendering services to the First Party at the same Location as the Second Party. THE SERVICES (SCOPE OF WORK) [INCORPORATE AGREED SCOPE OF WORK] Section 3: Scope of Work NB: The Scope of Work lists the Services, which is defined under the Agreement to include the provision of services and/or the supply of products, items or goods and/or the performance of works, including any Deliverables, to be provided and/or supplied and/or carried out by the Second Party under the Agreement as set out in the Scope of Work. Accordingly, the terms: performing Services, rendering Services or providing Services, used in the Agreement shall be interpreted to that affect depending on the context and in accordance with the subject matter of the Agreement. 1. Agreement Price Section 4: Financial Entitlements Financial Entitlements [Agreement Price, Invoicing, Payment, Advance Payment, Payment Schedule] In consideration of performing the Services in full conformity with the Agreement, the First Party shall pay to the Second Party the Agreement Price of AED [in numbers], [in words], which shall be paid in accordance with the attached Payment Schedule. 2. Invoicing On a date to be mutually agreed upon by both Parties and according to the payment terms, the Second Party shall submit detailed invoices to the First Party in respect of the Services performed. The invoices shall be submitted in one (1) original, clearly stamped Original and one (1) copy. The invoices shall; Bear reference to this Agreement No. [ADEC/YYYY/SQ.NO.] Be supported by all necessary documentation to enable the First Party to review and accept them. Be associated with a Completion Certificate Clearly state the reason for which payments are required. 3. Payment 3.1 Payment, subject to the retention provisions (if any) under this Agreement, shall be payable to the Second Party on the basis of progress of Services. The First Party shall have the sole authority to judge the progress of Services. 3.2 Upon receipt of each invoice, the First Party shall review it and if deemed to be in accordance with the Agreement, the First Party shall approve said invoice and payment shall be made to the Second Party within 30 business days from the date of the invoice. 3.3 Should the invoice (the 'original invoice') be objected to wholly or in part by the First Party, the First Party shall within fifteen (15) days from receipt thereof return the invoice to the Second Party for revision, specifying the item or items to which the First Party objects and the reasons for such objection. The Second Party shall promptly revise and return to the First Party a corrected invoice (original) with one (1) copy. 3.4 Without waiver or limitation of any of its rights under the Agreement or at law, the First Party shall be entitled to deduct from any monies due to the Second Party under the Agreement any and all amounts of any debt due from the Second Party to the First Party. 3.5 Retention:- a) Unless otherwise provided for elsewhere in the Agreement or waived by the First Party, all payment to the Second Party shall be subject to the withholding of a retention amounting to 10% of any invoice amount b) Upon completion of the Services, as provided for under Section 3, hereof, fifty percent (50%) of the retained amounts shall be released to the Second Party upon issuance of Provisional Document 3 - RFP ADEC/2015/1084: Office Boys and Porters for ADEC Schools and Warehouses Page 23 of 40

Acceptance Certificate [WHERE APPLICABLE] and the remaining fifty percent (50%) shall be withheld by the First Party until issuance by the First Party of the Final Acceptance Certificate. 3.6 No payment shall be made by the First Party until receipt of the Performance Bank Guarantee. 3.7 All invoices shall be presented and shall be payable in UAE Dirham, unless otherwise agreed upon in writing. 3.8 The First Party shall make payment to the Second Party by direct transfer to the Bank nominated by the Second Party. The Second Party shall give its Bank's name and account number on or with each Invoice. 4. Advance Payment 4.1 The First Party may (if so requested by the Second Party in its bid offer) make an interest-free advance payment to the Second Party in respect of the Services for the maximum amount of 20% of the Agreement Price payable in the currency of the Agreement, but in no event exceeding the amount authorized to the First Party as per the delegation of authority. Payment of such advance amount will be due under separate invoice to be submitted to the First Party after: a) Submitting an original copy of the Agreement signed by both Parties. b) provision by the Second Party of the Performance Bank Guarantee in accordance with Clause 26 of the Agreement; and c) Provision by the Second Party of an unconditional advance bank guarantee issued in accordance with the wording of Advance Payment Guarantee form (Section 4 Attachments) by a local bank in the UAE acceptable to the First Party in amounts and currencies equal to the advance payment. Such bank guarantee shall be payable to the First Party and remain effective until the advance payment has been fully repaid pursuant to the paragraph below, but the amount thereof shall be progressively reduced by the amount repaid by the Second Party as indicated in interim payment invoices. The cost of the bank guarantee shall be borne by the Second Party. 4.2 The advance payment shall be repaid through percentage deductions from the interim payments certified by the First Party. Deductions shall commence in the next interim payment and shall be made in equal percentages until such time as the advance payment has been repaid; provided always that the advance payment shall be completely repaid prior to the time when the total amount of the Agreement Price has been certified for payment. 5.
