It sets out specific terms and conditions on which we agree to provide you with credit card products. You must read it in conjunction with our Client Terms, the product brochure and any other documents forming our banking agreement. To the extent of any inconsistency between these terms and our Client Terms, these terms prevail. These terms do not apply to any existing credit card products you have with us to the extent that they are subject to separate terms and conditions. Key words The meaning of key words printed like this and other words used in our banking agreement is explained in our Client Terms. Some additional key words which apply to the products referred to in these terms are explained at the end of these terms. 1 Choosing the credit card that is right for you We offer a variety of credit cards designed to suit your personal banking needs. The particular types of credit cards we offer are set out in the product brochures. If you need us to explain any of the features of, or the terms applying to, any credit cards, please contact us (see contact details under How to contact us at the front of these terms). 2 The credit cards Issue of credit cards 2.1 We may issue a credit card to you as primary cardholder and, if you ask, to each supplementary cardholder. You must be at least 21 years old and each supplementary cardholder must be at least 16 years old. Collection 2.2 We send the credit card (and any replacement credit card) to your address last notified to us unless you notify us in writing (and give us appropriate instructions, in case collection will be through your authorized representative) that you want to collect the credit card from us. Any loss in connection with delivery of the credit card shall be for your account. Using the credit card The terms of our banking agreement apply to each use of a credit card. If a cardholder does not agree with those terms, they should not sign the credit card or carry out any transaction. 2.3 You accept the terms of our banking agreement when you sign or first use the credit card. 2.4 You must ensure that only the person issued with a credit card uses it. Supplementary cards 2.5 We send any supplementary cards, their PIN/password and all communications relating to them to you as primary cardholder. You are fully liable for all transactions on the credit card and supplementary card as they are deemed effected by you or on your behalf. Further, only you as primary cardholder may effect cash advance transactions on the supplementary card. 2.6 You must ensure that the supplementary cardholder complies with the rules we set for use of the supplementary card, and you are responsible for any charges on, or loss incurred by us relative to the supplementary card. 2.7 Any communication we give to you or any supplementary cardholder is taken to be given to all of you. 2.8 You and each supplementary cardholder agree to be bound by the instructions that any of you give us. Corporate cards 2.9 If you have a corporate card, you are jointly and separately liable with your employer for any balance owing on your corporate card. 2.10 Your employer may give instructions in connection with, ask us to terminate or ask us to change, the credit limit of your corporate card. Co-brand cards 2.11 We may convert a co-brand card to another type of credit card. 2.12 We are not liable for any representations, promotions or undertaking made by a business alliance partner. 1

3 Credit limit 3.1 We notify you of the credit limit when your application has been approved. We may vary the credit limit at any time upon notice to you. We may consider the latest income information you have given us in connection with any product when varying the credit limit. 3.2 The credit limit is either an overall limit that applies to all credit cards issued on an account or a credit limit per credit card. Exceeding your credit limit 3.3 It is your responsibility to ensure that the credit limit is not exceeded. 3.4 In calculating whether the credit limit has been exceeded, we may take into account: any transaction made using a credit card but which has not been debited from the account for the credit card; and any authorisation we have given to a third party in connection with a proposed transaction using the credit card. Credit limit exceeded 3.5 If you exceed the credit limit or any temporary credit limit extension has expired, you must immediately pay us that part of the balance owing for the credit card which exceeds the credit limit in addition to any payment of any overlimit or similar fee we require as provided in the tariff booklet or elsewhere in our banking agreement. 4 Cash advance How to obtain a cash advance 4.1 As primary cardholder, you may, subject to the availability of facilities and applicable withdrawal limits and other requirements, obtain a cash advance using your credit card or your supplementary card at one of our branches, other financial institutions displaying the logo of a card association and any Visa PLUS or MasterCard Cirrus ATM. Maximum limit on cash advance 4.2 A cash advance is only available up to the maximum amount the person providing the advance permits. For details of the maximum amount we permit contact us. 4.3 We may treat the use of credit card at any gambling establishment as a cash advance. For more information, please contact us. 5 Balance transfer 5.1 If you ask, we may permit a balance transfer subject to any conditions we specify. For details, please contact us. 5.2 You must continue to make any required payments to the account from which you transfer a balance until we confirm that the account has been credited. We are not liable for any overdue payment or interest incurred relating to the account from which you transfer a balance. 6 Interest, fees and charges 6.1 Interest, fees and charges (including finance charges, cash advance fees, overlimit fees, annual fees and administrative fees) are set out in the product brochure and the tariff booklet 6.2 Unless otherwise specified, interest is calculated on the basis of a 365 day year and compounded on a monthly basis or such other basis we choose. 6.3 Interest is charged until the date the balance owing is paid in full. Additional fees may apply in 2

addition to interest due on transactions. 6.4 You must pay all costs such as debt collection fees we incur in connection with the credit card on demand. 7 Liability General 7.1 You are liable for: any failure by you or any supplementary cardholder to comply with the terms of our banking agreement; all transactions made using a credit card (including any supplementary card) except for disputed transactions where you prove otherwise in accordance with clause 18 of the Client Terms; the balance owing for a credit card (including all amounts debited and credited to the account for the credit card by any supplementary cardholder); all transactions made using a lost or stolen credit card before we receive notice that it is lost or stolen; and any transactions where we could otherwise have exercised chargeback rights, if you do not notify us of the transactions and provide any further documents or information we require within the time periods required. 7.2 If the supplementary cardholder is a minor, you as primary cardholder must procure compliance of all the minor s obligations under our banking agreement. 7.3 You are not liable for losses incurred due to: any unauthorised transactions which take place after you give us the required notice of a lost or stolen credit card; any use of a counterfeit card; or a fault in a terminal which is not obvious. 7.4 Our liability for those losses shall not exceed the amount of charges and interest incurred on the credit card in the circumstances mentioned above. Liability of supplementary cardholders 7.5 Each primary cardholder is liable for transactions made using their supplementary card. Disputes between you and supplementary cardholders 7.6 Our rights and obligations relating to you and each supplementary cardholder are not affected by any dispute or claim you or the supplementary cardholder may have against each other. Purchase of goods or services 7.7 We are not liable for: the refusal of any merchant, financial institution or other person to accept the credit card; and any defect or deficiency in goods or services supplied to you by any merchant, financial institution or other person. You must resolve any complaint against any merchant, financial institution or other person and no claim against any of them may be set off against us. Third party services offered with credit cards 7.8 Some types of credit cards give you access to services provided by third parties. You are liable for the cost of any medical, legal or other services provided under these third party services. You acknowledge that the third party 3

service providers do their best to provide the services to cardholders and that the services may not always be available (for example, because of time, distance or location). Neither we nor the third party service provider is liable to you for any loss in connection with any service or its unavailability. 7.9 We are also not liable to holders of a credit card with access to Emergency Cash Withdrawal for any loss they suffer if we are unable to give immediate effect to an Emergency Cash Withdrawal, replacement card or any other facilities we offer in connection with the credit card. The Client Terms include additional provisions relating to your liability to us and exclusions or limits on our liability. See, for example, You indemnify us and Exclusion of liability. 8 Additional services 8.1 We may offer additional services in connection with your credit card. These may include reward programmes, rebate or mileage programmes, redemption schemes, balance transfer schemes, funds transfer programmes, payment arrangements, card protection and any other services we advise you or which are otherwise available from time to time. You can find out more about available services by contacting us. 8.2 If you sign up for additional services, you are bound by the terms of the additional services. To the extent of any inconsistency between the terms of the additional services and our banking agreement, our banking agreement prevails unless the terms of the additional services specify otherwise. 8.3 For details of any reward or other loyalty program applying to the credit card, please refer to our banking agreement or contact us. 8.4 If you are subscribed for SMS alerts, we may terminate the service by notice and with immediate effect: you breach our banking agreement; any of your accounts are past due, terminated or closed; or to comply with legal or regulatory requirements. 9 Payments Payment by due date 9.1 On or before the due date set out in the statement we issue for your credit card and supplementary cards, you must pay at least the minimum payment due as set out in the statement. If we ask, you must authorise us to deduct any payment from a nominated account. If payment due date falls on a weekend or a holiday, the banking day immediately preceding the weekend or holiday shall be considered the due date. 9.2 Your liability to us remains even if, for any reason, you do not receive your periodic statement (whether an estatement or otherwise). Calculation of minimum payment 9.3 We calculate the minimum payment in accordance with our usual practice as notified to you. We may change the method we use to calculate the minimum payment at any time upon prior notification. Please refer to your statement or contact us for further information. Currency of transactions 9.4 If any transaction made using the credit card is not denominated in 4

the currency of the Philippines, we convert the amount of the transaction to the currency of the Philippines in accordance with our usual practice and our banking agreement. How we apply payments 9.5 We may (but need not) apply payments we receive to pay: fees, charges and interest shown on any statement; then any other balance shown on the statement; then other transactions on the account not shown on the statement. What happens if you do not pay 9.6 If we do not receive the balance owing for a credit card on or before the due date we may charge and debit from the account for the credit card finance charges and interest as set out in the tariff booklet or elsewhere in our banking agreement. 9.7 If we do not receive the minimum payment on or before the due date: you must pay a late payment charge as set out in the tariff booklet or elsewhere in our banking agreement; you must not use the credit card until the minimum payment has been paid; we may suspend your use of the credit card; we may endorse your account to any of our accredited collection agencies for collection after notification to you at least seven (7) days prior to the endorsement; we may demand immediate payment of the balance owing on the credit card, including interest on the same at the applicable interest rate, as notified to the cardholder from time to time; and we may, without need of prior notice, consider you to have defaulted on any and all other outstanding obligations (such as but not limited to personal loans and other credit accommodations) to us, resulting in the full amount of the same becoming due and immediately demandable, as well as being subject to the penalties, fees and charges applicable to the corresponding obligation. 9.8 If your account reaches 60 days past due, we may require you to pay an additional late charge at the rate specified in the tariff booklet until we receive payment in full. 9.9 We may endorse your account to any of our accredited collection agencies for collection after we notify you in accordance with the requirements of existing laws and regulations. Payment in full if we ask 9.10 Despite any other term of our banking agreement, at any time we may demand immediate payment of any amounts owing to us, whether or not already reflected in a statement and whether or not due and payable as at the date of the demand. 9.11 Interest is payable on the amounts referred to in clause 9.10 and is calculated in the same way interest is calculated on cash advances on your account and on the basis that it accrues daily, starting from the date of our demand and ending on the date of payment in full. 5

Refunds to the credit card account 9.12 We only credit a refund to the account for a credit card in connection with: Statement a transaction made with the credit card; or a payment to the account for the credit card; or any other credit owing to you, when we receive the amount to be credited in the Philippines and in accordance with our usual practice. 9.13 Unless you specifically instruct us otherwise, you may be enrolled to receive estatements for your credit card and must periodically access your estatement prior to each relevant payment date. 9.14 You must also notify us promptly, but not later than 30 days from effectivity, of any change in your email address. 9.15 If you think there is an error on your statement you must notify us in writing with details of the error within 24 days after the date of the statement. If you do not do so, we treat the statement as correct. Overpayment 9.16 You may request us in writing for a refund of any overpayment as reflected in your statement, subject to a refund fee specified in the tariff booklet. 10 Cancellation and termination How to terminate 10.1 If circumstances warrant, we may choose to: cancel or suspend your right to use a credit card or end the account for the credit card; refuse to authorise any transaction for which you want to use a credit card; and refuse to re-issue, renew or replace a credit card, without giving you any notice or reason. 10.2 At any time, you may end the account for a credit card by notifying us in writing. What happens if the account is terminated 10.3 If you or we end the account for a credit card: you and any supplementary cardholder must not use and are not entitled to use the credit card (including any supplementary card) or any benefits in connection with the credit card (including any supplementary card); you and any supplementary cardholder must cut the credit card (including each supplementary card) in half; and you must immediately pay all amounts owing to us in connection with the credit card (including any supplementary card ) (including the balance owing for the credit card). Interest is payable on such amounts and is calculated in the same way interest is calculated on cash advances on your account and on the basis that it accrues daily, starting from the date you or we end the account for the credit card and ending on the date of payment in full. Termination of use of supplementary card by cardholder 10.4 Only the primary cardholder may end the use of a supplementary card by: 6

notifying us in writing; and cutting the supplementary card in half. 10.5 If the supplementary card is not returned to us, we may take prompt action in accordance with our procedures for lost cards to prevent further use of the supplementary card. You may be liable for any transactions made using the supplementary card until it has been returned or until we are able to implement the procedures for lost cards. We may impose any charges incurred from implementing the procedures. 10.6 If you terminate any supplementary card or credit card, you continue to be liable for amounts due to us incurred in relation to such cards prior to termination. 11 Variation 11.1 If you are not comfortable with any changes we make to our banking agreement, you may terminate the account for the credit card in accordance with the procedure in clause 0. 11.2 If we notify you of any changes to our banking agreement in accordance with any applicable law and you keep or use the credit card, the account for the credit card or the PIN/password, you are taken to have agreed to the changes. 12 Suspicious transactions 12.1 We need not honour suspicious transactions (and need not notify you if this is the case). 12.2 We may publish any information in connection with the credit card in the warning bulletin notifying the merchants to seize the credit card. We need not give any reason for doing so. 12.3 We may block the account for a credit card if we consider there is any reason for doing so. 13 Meaning of words You also need to refer to our Client Terms which also define key words used in these terms. If a word defined in these terms is also defined in our Client Terms, the definition in these terms applies for the purposes of each account for a credit card. balance transfer means a transaction where we debit an amount you specify from your credit card and pay the amount to another credit card with us or another financial institution. Cardmember guide means the product brochure for credit cards. cash advance means cash issued in any currency obtained by using the credit card. co-brand card means a card issued by us in conjunction with a business alliance partner. corporate card means a card issued on the request of a company and to the company s individual employee in accordance with an agreement between the company and us. credit limit means, for an account for a credit card, the maximum amount you are entitled to have outstanding on the account for the credit card. primary cardholder means the person for whom the credit card account is opened and maintained and who shall be responsible for all obligations relative to a credit card and all supplementary cards. supplementary card means, for an account for a credit card, a credit card issued to a person you authorise as a supplementary cardholder on your account for the credit card. supplementary cardholder means each person to whom we issue a supplementary card. 7

Monthly EIR is based on the 1.99% interest rate (for Priority Banking Visa Infinite Credit Cards) or 3.5% (for all other cards), plus the Cash Advance Fee, as applicable, computed on a 365-day basis, and may vary depending on amount and date of payment. Interest is compounded monthly. Cash Advance Fee Php 375 or 4% of each cash advance amount, whichever is higher. The Cash Advance facility is not available for Credit Extra MasterCard. Late Charge Php 600 or 7.5% of the minimum amount due for the month, whichever is higher, if minimum amount due is unpaid by due date. If account is 60 days past due, an additional late charge of Php 100 per month will be imposed until full payment is made. International Transaction Fee 2.5% on the converted amount of transactions in foreign currency plus Visa/MasterCard service assessment fees. 1 Annual Fee may be waived provided cardholder is qualified under the Free Gold for Life Program. 2 Annual Fee may be waived provided cardholder is qualified under the Free Annual Fee Program. 1

The balance may include all purchases (retail or installment), cash advances, fees and other charges. Php 1,500 or 5% of unpaid balance, whichever is higher, for prepayment of unpaid balance of installment transactions. Php 500 for each refund request of any overpayment. If card account is closed/cancelled and an overpayment remains unclaimed for more than a month after the closure/cancellation date, a maintenance cost of Php 50 per month shall be charged against the card account. Php 50 for every duplicate statement of account requested to be sent via mail. Important Information Document 1. Annual Fee Annual fees are automatically waived on the first year for newto-bank customers. Annual fees will be charged starting on the 2nd year. 2. Credit Limit The Primary Card and all approved add-on and Supplementary Cards will have a shared Credit Limit. The Primary Cardholder is responsible for all transactions on, and compliance with Credit Card Terms by, the Primary and all Supplementary/addon Cards. 3. Validity Unless otherwise cancelled by the Bank, validity of each Supplementary Card will depend on validity of the Primary Card. 4. Interest / Monthly Effective Interest Rate ( Monthly EIR ) 5. Payment Due Date Interest is billed to the Card Account if the Cardholder pays an amount less than the balance due indicated on the statement of account; or if full payment is made after the corresponding payment due date. It is calculated on an average daily basis at the monthly interest rate of 1.99% (for Priority Banking Visa Infinite Credit Cards) or 3.5% (for all other Cards), which is multiplied by the daily outstanding balance (total unpaid charges less any credits). Interest shall likewise be due on each cash advance from the date of the advance until date of repayment in full (including other unbilled charges) at the monthly interest rate of 1.99% (for Priority Banking Visa Infinite Credit Cards) or 3.5% (for all other Cards). The Monthly EIR is based on the 1.99% interest rate (for Priority Banking Visa Infinite Credit Cards) or 3.5% interest rate (for all other Cards), plus the Cash Advance Fee, as applicable, computed on a 365-day basis, and may vary depending on amount and date of payment. Interest is compounded monthly. Each Card transaction in foreign currency is converted to Philippine Pesos based on Visa/MasterCard rate on the day the transaction is posted on the Card Account and is further subject to the following charges: (i) a 2.5% currency conversion processing fee on the converted amount; and (ii) any international service assessment fees imposed by Visa/MasterCard. The Minimum Amount Due is Php 200, or the total of (i) 1% of the principal amount due, (ii) the sum of all interest, fees, and other charges in the current statement, (iii) any amount in excess of the Credit Limit and (iv) any past due amounts, whichever is higher. Please note your corresponding payment due date as specified in the statement of account. If the Minimum Amount Due is not paid by Payment Due Date, a late charge computed at 7.5% of the Minimum Amount Due or Php 600, whichever is higher, is billed to the Card Account. If the Card Account reaches 60 days past due, an additional late charge of Php 100 per month will be imposed until full payment is made. 3

8. Method of Payment Payment of Credit Card bills may be made through any of the following: (1) Online Banking at www.sc.com/ph using a Standard Chartered Bank account (call 830-1111 to register); (2) online payments via www.bancnetonline.com; (3) cash or electronic payments in ATMs at Standard Chartered Bank, Bancnet-member banks and select Megalink-member banks; (4) network of accredited banks and payment centres; and (5) Bills Payment Machines at Standard Chartered Bank branches. 9. Delinquency Failure to make proper and timely payment will result in the Card Account's delinquency, blocking of the Card Account, and the full amount of the same as well as any other outstanding obligations of the Cardholder to the Bank (such as personal loans and other credit accommodations) becoming due and demandable, subject to applicable fees and charges. This will also negatively impact Cardholder's credit rating and may risk access to future loans from other lending institutions. The Bank will take action to collect any unpaid obligations, including legal action where necessary. 10. Overlimit Fee An Overlimit Fee of Php 500 will be charged per billing cycle if Cardholder s balance exceeds the assigned Credit Limit. The balance may include all purchases (retail or installment), cash advances, fees and other charges. 11. Cash Advance Fee 12. Disclosure of Information 13. Lost or Stolen Card, Disclosed PIN 14. Installment Pre- Termination Fee In addition to the interest levied on cash advance, each cash advance transaction will be charged a Cash Advance Fee equivalent to 4% of the transaction amount or Php 375, whichever is higher. The Bank may share appropriate Cardholder information to its service providers, any domestic or overseas regulator or tax authority, as well as to reputable companies whose products and services may interest the Cardholder. The Bank may verify and investigate information furnished by the Applicant / Cardholder from whatever source the Bank may consider appropriate. A lost or stolen Card or disclosure of PIN to any other person should be reported immediately to the Bank's Client Care Centre. The Cardholder will remain fully responsible for payment of all transactions incurred prior to proper report of the loss, theft or disclosure. Cardholder may request for replacement of the Card, subject to the Bank s approval and a Card Replacement Fee of Php 400 for each Card replaced. Any prepayment of the unpaid balance of installment transactions shall be subject to the approval of the Bank and payment of a pre-termination fee of 5% of the unpaid balance or Php 1,500, whichever is higher. 4

Emails / Fax / Other Forms of Electronic Communication If the Cardholder pays an amount in excess of the Current Balance, the Cardholder may request the Bank in writing for a refund of any overpayment reflected in the statement of account, subject to a refund fee of Php 500. If a Card Account is closed or cancelled and an overpayment remains unclaimed for more than a month after the closure or cancellation date, a maintenance cost of Php 50 per month shall be charged against the Card Account. Cheque payments returned to the Cardholder due to insufficient funds, uncollected deposits, stop payment order, closed account, etc. is subject to a penalty fee of Php 200 for every cheque returned. If in the course of a disputed Card transaction, the Cardholder requests for the retrieval of sales slip, a sales slip retrieval fee of Php 200 will be charged for each sales slip retrieved by the Bank in the event the relevant Card transaction is determined to be valid. By using the estatement service, Cardholder agrees to the relevant conditions in the Client Terms and Credit Card Terms, which include the following: Cardholder is considered to have received each estatement within 24 hours from the time notification is sent. The Cardholder will be responsible to make timely payments on the Card Account despite non-receipt of the corresponding estatement. This is a fee charged to Cardholders requesting for the generation of an additional copy of a statement of account to be sent via mail. A Php 50 fee will be charged for every duplicate statement requested. Verbal instructions, and notices, correspondence and other documents sent or purportedly sent, now or hereinafter, by the Cardholder to the Bank through fax or email, shall be valid and binding upon the Cardholder. The Cardholder confirms that the Bank shall be entitled (but not bound) to act on such verbal instructions or documents sent through fax or email and/or take steps in connection therewith in reliance thereupon as the Bank may in good faith determine and may further use documents transmitted by fax or email as evidence in a court of law. The Cardholder unqualifiedly waives the right to object to the presentation of any printed or written version of any correspondence, instruction, authorization or document transmitted by him/her through fax or email, on the ground that the same is not the best evidence of its contents. The Cardholder further acknowledges the risks in communicating with or issuing instructions to the Bank verbally or via fax, email or other form of electronic communication, which may include delay, non-receipt, third party interception, interference and data corruption. The Cardholder agrees to bear such risks and will 5

By signing on the Card, the Cardholder indicates that he/she has read, understood and accepted such terms and conditions governing the use of the Card. The Bank may from time to time modify, supplement or supersede such terms and conditions with notice to the Cardholder.
