1.0 Purpose TRAVEL, MEALS, AND BUSINESS RELATED FUNCTIONS EXPENSE POLICY This policy sets out the Ontario Brain Institute (OBI) guidelines and procedures with respect to travel, meals, and business related functions expenses paid by OBI. Expenses must: be workrelated; be modest and appropriate; and strike a balance among economy, health & safety and efficiency of operations. 2.0 Scope This policy applies to all OBI employees; members of the Board of Directors, members of Scientific Advisory Council (SAC); Industry Advisory Council (IAC); members of OBI-related committees; other OBI appointees; OBI workshop attendees; individuals under recruitment by OBI and other persons travelling on OBI business ( Travelers ). Individuals providing consulting or other services to OBI are not eligible for reimbursement of food, incidental expenses or to attend business related functions 3.0 Definitions 3.1 Approver refers to the person with the authority to make approvals under this policy. 3.2 Claimant refers to any person making a claim for expense reimbursement under this policy. 3.3 Delegation of Authority is a written assignment by which a person who has a power, duty, function or responsibility under this policy authorizes another person (identified by name or by position title) to exercise the delegated power, duty, function or responsibility. 3.4 Independent Consultant and Third Party Contractors are Individuals or entities under contract to OBI providing consulting or other services. 3.5 An Itemized Receipt is an original document identifying the vendor with the date and amount of each expense item paid by the claimant. Credit card receipts and photocopies do not constitute an original itemized receipt. 4.0 Responsibilities 4.1 All Travelers/claimants are responsible for:

Adhering to the OBI policy and procedures for travel expenses. Planning the travel required and obtaining the necessary authorization prior to committing any funds. Submitting complete and accurate Expense Claims, in a timely manner, for approval. Using appropriate procurement methods and exercising good business judgment. 4.2 Management is responsible for: Reviewing and approving all Expense Claims submitted by Travelers on business pertaining to their area of responsibility. Ensuring compliance with the OBI policy and procedures. Providing guidance regarding appropriate types and levels of expenses. 4.3 Finance and Administrative Services is responsible for: Ensuring that all travel expenses are properly authorized. Providing guidance regarding appropriate types and levels of expenses. Payment of approved travel expenses. Ensuring compliance with OBI policy and procedures. 5.0 Policy 5.1 Administration 5.1.1 Non Reimbursable Expenses Expenses of a personal nature will not be reimbursed. Such expenses include but are not limited to: Recreational expenses, e.g., video rentals, cost of mini-bar items; Personal items; Personal entertainment; Personal travel; Fines for traffic and parking violations or towing fees; Alcoholic beverages; Expenses incurred for accompanying friends or family members. 5.1.2 Submission of Expense Statements Travelers must pay for their travel expenses and submit a signed Expense Statement to OBI for reimbursement Appendix A: Expense Statement for Claimants). The Expense Statement must be submitted generally within 30 days of the event. All pertinent information must be completed on the Expense Statement, including the purpose of the trip, the dates, destinations and durations in each destination and the names of individuals or institutions visited.

Travelers must submit the following with their Expense Statements: Passenger boarding pass and electronic ticket for air travel; Passenger boarding pass and electronic ticket for rail travel; Hotel receipt with itemized charges and taxes; Vehicle rental receipt; Taxicab receipt; Bridge, ferry and highway tolls; Parking fees; Meal receipt with itemized charges and taxes; Laundry and dry cleaning for trips more than 5 days; Telephone bills; Receipt from a bank or foreign exchange company showing the exchange rate paid for foreign currency used to pay for travel expenses; Copy of credit card statement showing amount of the expense in a foreign currency and the amount charged in Canadian dollars; Where an official workshop or conference has been attended, the prospectus or program specifying the relevant dates. Original receipts must be submitted with all claims. Photocopies will be accepted on an exception basis and will be at the discretion of the President and Scientific Director. The photocopy must be accompanied with an explanation as to why the original receipt is not available. Credit card slips will not be accepted as proof of expense without the original detailed receipts/bills from airlines, railway companies, hotel, car rental companies, parking authority, or restaurants. Receipts must include the name of the vendor, location, date and the amount paid (including taxes). When airline tickets are purchased with the Traveler s own credit card and the credit card statement must be paid prior to travel, the traveler may submit only the credit card statement and a copy of the electronic ticket with the Expense Statement for reimbursement, and must retain the boarding passes and attach them to the Expense Statement once the trip has been completed. 5.1.3 Exceptions When an exception has been pre-approved in writing, a copy of the pre-approval form must be attached to the Expense Statement. 5.1.3.1. Principles to Guide Consideration of Exceptions Trust employees and supervisors use discretion and act in a fair and reasonable manner; Flexibility management decisions respect the duty to accommodate, respond to personal needs and consider unforeseen circumstances; Stewardship this policy is applied in a consistent, fair and equitable manner that takes into consideration all circumstances and maintains the responsibility for wise and

prudent use of public resources. Where an authorized manager exercises discretion and grants an exception, the rationale for the exception must be documented and must accompany the claim to ensure there is a proper record for audit purposes. 5.1.4 Overpayments Overpayments, which are amounts reimbursed or paid that are found not to be in accordance with the terms of this policy will be recovered from the claimant. 5.2 Travel 5.2.1 Persons Traveling Together When multiple senior employees must travel to the same destination, for the same event (by plane, train or automobile), consideration should be given to separate travel (e.g., not on the same flight), in order to mitigate risk to business continuity and to reduce the risk of a major disruption in OBI s operations. Consideration should also be given to business continuity to reduce the risk of a major disruption to OBI s ongoing operation if a number of employees are traveling together for the same event. 5.2.2 Loyalty Programs Travelers may participate in loyalty programs (e.g., frequent flyer programs), provided that they select the most cost-effective mode of travel. 5.2.3 Travel Authorization (1) Travel by OBI Employees All travel by OBI employees must be within the budget allocation provided to each department or team for each fiscal year and travel expenses must be approved in accordance with the OBI Travel, Meals, and Business Related Functions Pre-Approval Form (Appendix B). The Preapproval form will be used to document all written travel approvals. Travelers must submit a copy of the approved form with the related travel expenses when the latter are claimed. The decision on mode of travel (e.g. air, rail, road, transit vs taxi, should take into account the most reasonable cost effectiveness for travel expenses and time. Authorization is required prior to committing any funds. For travel by OBI employees: Within Ontario: requires approval of the employee s supervisor who must be at least at a director level Within North America (outside of Ontario): requires the approval of the employee s director, and the Senior Vice-President.

Outside North America: requires the approval of the employee s director, the Senior Vice- President, the President and Scientific Director, and the Board Chair. (2) Travel by the President and Scientific Director or Senior Vice President Travel by the Senior Vice-President needs approval by the President and Scientific Director. Travel by the President and Scientific Director within North America does not require preapproval. Travel by the President and Scientific Director or Senior Vice President outside of North America requires the pre-approval of the Board Chair. (3) Travel by members of the Board of Directors, the Scientific Advisory Committee, and Industry Advisory Committee Travel by members of the Board of Directors, the Scientific Advisory Committee (SAC), will be pre-approved by the Board Secretary and the President and Scientific Director. Travel for the upcoming year (including proposed dates, location, and purpose) should be outlined in advance for pre-approval. (4) Other Travelers Travel by other Travelers must be within pre-approved budgets and requires pre-approval by the relevant Director, the Vice President (if applicable) and the Senior Vice-President. Travel outside of North America requires pre-approval by the Board Chair and President and Scientific Director. 5.2.4 Spouse/Companion Travel OBI will not reimburse travel expenses incurred by a spouse or other individual accompanying the Traveler. 5.2.5 Travel Time Not Related To Business When a Traveler remains away for additional days that are not required for business purposes, that person may not claim expenses incurred during these days. They are to be treated as the Traveler s vacation or personal days and the Traveler is responsible for all expenses incurred on these days. 5.2.6 Air Transportation Travel by air is permitted when this is the most practical and economical way to travel. Tickets must be purchased sufficiently in advance of travel to obtain the most favourable rates and booked for fixed dates. Open tickets may not be purchased. All approved travel for OBI business will be reimbursed by OBI in keeping with the provisions of this policy. If the Traveler elects to travel in business or first class, then the Traveler will pay the incremental cost directly to the airline or railway company with his/her own credit card.

5.2.6.1. Air Travel Reservations Once authorization has been received for travel, the Traveler is responsible for booking transportation and accommodation in compliance with this policy. Flights will be booked based on the lowest cost economy/coach class fare that offers the most direct routing and guaranteed seating. Travelers must make full use of all available tools to ensure the most economical travel arrangements are booked. Trip cancellation insurance may not be purchased unless there is a strong possibility the Traveler will have to cancel the flight due to medical or personal (vulnerable family situation) reasons. The purchase of trip cancellation insurance requires pre- approval of should be included in the pre-approval form. 5.2.6.2. Emergency/En Route Changes In the event of an emergency or itinerary change during travel, it is at the traveler s discretion to make the changes. Reimbursement of the expenses incurred in a change is subject to approval by the responsible director, and based on an explanation of the circumstances and business need that gave rise to the changes. 5.2.7 Road Transportation When road transportation is the most practical and economical way to travel, employees may choose either personal vehicle or rental vehicle. When a private vehicle expenses exceed the costs of equivalent public transportation, economy airfare, economy rail, or rental vehicle then the most cost efficient mode should be taken unless there are valid business reasons. Should the expense of using a private vehicle exceed the costs of public transportation, airfare, rail, or rental vehicle then the most cost efficient mode of travel will be reimbursed. OBI assumes no financial responsibility for personal vehicles. However, OBI will reimburse for distances driven on business travel for a personal vehicle using the following guidelines. These will be reviewed as appropriate. Reimbursement rate (per km) Distance driven (km) $0.40 0 4000 $0.35 4001 10,700 $0.29 10,701 24,000 $0.24 24,001 and over Employees should keep daily logs to track distance driven for business use and calculate reimbursement in kilometers on the Expense Statements (Appendix A). Bridge, necessary parking fees, and ferry and highway tolls paid while driving on OBI business will be reimbursed. Receipts must be obtained and submitted with the travel claim.

For distances exceeding 200km, it is encouraged to rent a vehicle. 5.2.7.1. Reporting of Accidents Accidents must be reported immediately to local law enforcement authorities, the rental vehicle agency (if applicable), the Traveler s insurance company (if using a personal vehicle), the employee s immediate supervisor and the corporate credit card company if the rental vehicle was booked with the corporate credit card. 5.2.7.2. Vehicle Rental The size of the rental vehicle must be the most economical and practical required for the business and number of occupants. Rental of luxury vehicles or sports cars is prohibited. The rental vehicle must be refueled prior to return to the rental agency to avoid incurring refueling charges and higher gasoline rates imposed by the rental agency. 5.2.7.3. Vehicle Insurance Personal vehicles used on OBI business must be insured at the vehicle owner s expense for personal motor vehicle liability. Coverage should be equal to or greater than the minimum liability specified in the Insurance Act. OBI will not reimburse costs of business use coverage or collision and liability coverage. OBI will not reimburse expenses related damages as a result of a collision Only travelers with valid drivers licenses are authorized to drive rental vehicles for business purposes. Travelers must purchase insurance coverage for operating the rental vehicle including the collision damage waiver from the vehicle rental company and claim the cost on the Expense Statement. OBI Procurement Cards (VISA) do not include any provision for insurance. 5.2.8 Other Road Transportation Whenever practical, local public transportation/hotel shuttles must be used when traveling on OBI business. Receipts are not required for reimbursement of bus or subway fares. Taxicab expenses are justified where group travel by taxicab is more economical than the total costs of the individuals in a group traveling by public transit or where warranted based on costeffectiveness of travel time. Reimbursement for the cost of taxicabs between home and office may be claimed only where justified by exceptional circumstances and pre-approved by the responsible director, including, but not limited to: When other means of transportation are not available; When weather conditions so warrant; When health or safety warrants; or When the transport of work-related baggage or parcels is required.

5.2.9 Rail Transportation Travel by Via Rail (economy/coach class) is permitted when this is the most practical and economical way to travel. International rail travel will be at the equivalent of Canadian economy/coach class. However, an exception will be made to travel Via 1 class if traveling during meal hours and the economy class ticket plus a meal is comparable to the cost of a ticket for VIA 1 where the meal is included, there is a need to work together with a team, there are accommodation requirements, or for health and safety considerations. 5.3 Accommodation Accommodation will be for single accommodation in a standard room and no reimbursement will be made for suites, executive floors or concierge levels. Suites may be booked if this is more cost effective than booking separate rooms, if there is a need to work together with a team, and/or for pre-approved business related functions. When booking hotel rooms, Travelers must ensure that the booking is guaranteed for late arrival. Travelers are responsible for cancelling hotel rooms within the deadline stipulated by the hotel to avoid the cost of rooms not used and must notify the hotel directly of the cancellation. Travelers must request and record the cancellation number in case of billing disputes. Note that cancellation deadlines are based on the local time at the hotel. OBI will not reimburse the cost of overnight accommodation within 24 km of the claimants usual workplace. In exceptional or emergency situations that require an individual to remain close to the office for lengthy periods of time in excess of normal working hours, the cost of overnight accommodation within the vicinity of the office may be authorized. The authorization must be obtained in writing from the responsible director. For extended stays at one location, long-term accommodation should be arranged with the approval of the responsible director and the Senior Vice-President to take advantage of lower weekly or monthly rates. Travelers are advised that there may be difficulty in obtaining a detailed invoice from a hotel if the room was booked and paid through an online, tourism, or conference (third party) service prior to the trip. Travelers are still responsible for obtaining a detailed invoice from the third party service and proof of stay. If the third party service cannot provide proof of stay then the Traveler should provide proof of stay such as a letter or email from the hotel including dates of stay. 5.3.1 Gratuities Reasonable gratuities for meals, bellman service and hotel room service will be reimbursed. Receipts are not necessary to support reimbursement of these expenses. Examples of reasonable amounts for gratuities includes: 10 15% on a restaurant meal 10% on a taxi fare $2 - $5 for housekeeping for up to two nights in a hotel, up to $10 for a longer stay

$2 - $5 per bag for a porter 5.3.2 Phone Calls Home Reimbursement will be made for reasonable costs for necessary personal calls home for each night away. The most cost-effective method should be used for these calls. 5.3.3 Laundry/ Dry Cleaning Services Individuals who are away from home for five or more consecutive days on business travel may claim up to $25/day for laundry and dry cleaning. 5.4 Business Phone Calls OBI will reimburse OBI business-related telephone calls made while traveling. Travelers are asked to use the most cost-effective method for these calls. Employees travelling outside Canada should take necessary precautions to avoid incurring roaming charges, and make arrangements through IT support for roaming packages if phone use is required outside Canada. 5.5 Entertainment Expenses Entertainment expenses will not be reimbursed. 5.6 Travel Insurance OBI employees should refer to the Employee Handbook, the ENCON Insurance website, and ServiceOntario to determine if they need to purchase supplemental travel insurance. Travelers may purchase insurance coverage when required and can be claimed on the Expense Statement after pre-approval. 5.7 Other Business Expenses While traveling on OBI business, additional business expenses not otherwise covered will be reimbursed. These include phone calls, air/rail phones, photocopying, word processing services, facsimile transmissions, Internet connections, and rental and transportation of necessary office equipment. 5.8 Meals While Traveling The actual and reasonable cost of the Traveler s meals will be reimbursed. Meal claims must include an itemized receipt listing charges, taxes, and gratuities. Acceptable amounts for meal expense claims are provided in the table below. Dinner C$30 US$35 Daily Total C$55 US$65 (not to exceed) The daily limit per person, per day for all meal expense claims is $55 in Canada and $65 in the US. With a maximum of $30 for a single meal within Canada. The rate for the meal limits includes taxes and gratuities. OBI will not reimburse the cost of alcoholic beverages. If you are purchasing alcohol, costs should be itemized on a separate receipt and paid for separately by the Traveler. When more than one Traveler is present at a business meal, each Traveler should obtain a separate receipt and submit an expense report for his/her portion of the bill. Outside of continental North America, please refer to the appendices of the Treasury Board of Canada Travel Directive, July 1, 2013, or successor directive. Please refer to the Appendix D found on the federal government website (http://www.njccnm.gc.ca/directive/app_d.php?lang=eng&let=a) using their alphabetical listing of countries. The rates are in funds identified for each country; there are different rates dependent on the city; and the rates include taxes and gratuities. 6.1 Pre-approval process Travel The Pre-approval Form (Appendix B) will be used to document all written travel approvals. A signed copy of the Pre-approval Form is to be given to the Manager of Finance and Governance. Travelers must submit a copy of the approved form with the related travel expenses to the Finance Lead when the latter are claimed. 7. Responsibility and Enforcement The Traveler is responsible for complying with OBI Policies and Procedures. OBI will approve and process all business travel and expense claims that are in compliance. Any exceptions to OBI Policies and Procedures must be authorized by the Senior Vice-President with documented rationale using the Pre-Approval form in Appendix B. Approval of such exceptions must be obtained prior to the travel/business meal and related function taking place as part of the travel/business meal and related function authorization. 8.0 Business related functions Business related functions for small events (under 4 guests) may be extended at the discretion of Directors. Larger events (more than 4 guests) require pre-approval of the responsible director and the Senior Vice President.

Business related functions can be extended in an economical and consistent manner only when it is required to facilitate OBI business and to persons who are not employed by OBI or providing consulting and other services to OBI. Business related functions may include the consumption of alcoholic beverages with a meal or during a reception. The cost of alcoholic beverages cannot exceed the cost of food. Alcoholic beverages must be on a separate itemized receipt. Preference should be given to wine, beer and spirits produced in Ontario when offering such refreshment to guests. Public funds may not be spent on the purchase of alcohol. The total amount that can be spent per person, per day for meals is tabulated in Section 5.8 and shall not exceed 1.25x the total daily allowance. Hosts are responsible for obtaining required approvals, documenting expenses (with itemized receipts) which should be in keeping with the principle of value for money and documentation related to the function such as planning, date, location, reason, type of business meal (breakfast, lunch, dinner, reception, or refreshments), managing the guest list (e.g. attendees by category such as guests, OBI employees), and documenting the list of attendees for reimbursement. The number of OBI staff must not exceed the number of guests. 8.1 Staff events and training Staff events such as staff recognition events, staff development workshops, education sessions, retreats, working meetings, and corporate wide events are permitted and require pre-approval of the Director and Senior Vice-President. Any decisions regarding expenses should be made with consideration to value for money, transparency, and accountability; proper authorization prior to the occurrence of the event with respect to timing, location, number, and reasonableness. Alcohol is not an acceptable expenditure. 8.2 Gifts of Appreciation Gifts of appreciation valued $30 and under may be extended to persons who are not provided with an honorarium and have completed work for OBI on a pro bono basis with pre-approval by the responsible director. Gifts valued over $30 must be justified and approved by the Senior Vice President. 9.0 Procedure 6.2 Pre-approval process Business related functions The Pre-approval Form must be completed for pre-approval of business related functions and a list of proposed attendees must be included. Copies of the pre-approved form need to be forwarded to responsible program coordinator and to the Manager of Finance and Governance. Travelers or OBI employees providing business related functions must submit copies of the preapproved form and a list of attendees when expenses and invoices when the latter are claimed. 10.0 Other Eligible / Ineligible Business Expenses

10.1 Membership Dues Membership dues are the responsibility of the individual and any exceptions require senior vice-president or President and Scientific Director approval. 10.2 Education Reimbursement Please refer to the OBI Training and Development policy. All requests for reimbursement of education expenses must be pre-approved by the Senior Vice-President and President and Scientific Director. 11.0 Managerial Discretion For the purposes of the OBI, Travel, Meals, and Business Related Functions Policy, managerial discretion is the administrative authority to make decisions and choices with some degree of flexibility, while maintaining compliance with the intent of the Policy. When a situation arises and discretion needs to be exercised, approvers should consider whether the request is able to stand up to scrutiny by the auditors and members of the public; properly explained and documented; fair and equitable; reasonable; appropriate; and consistent with the Broader Public Sector Accountability Act and the Expenses Directive.
