Code of Business Conduct Our Employees We treat each other with fairness, respect, and dignity, offering equal opportunities to all individuals. Safety and Health At Arizona Chemical, our Safety Vision is: Nobody Gets Hurt. Safety cannot and will not be compromised at any time by Arizona Chemical employees or contractors. The Environment We are committed to the continuing improvement of our environmental performance and the communities we serve by being good environmental stewards and working to conserve valuable natural resources. The health of our employees, customers, and the public, and the protection of our natural environment are among our highest priorities. Compliance with Laws and Regulations We respect the law and proactively comply with all laws and regulations. We have a responsibility to understand the laws and how they apply to our work with Arizona Chemical. The company supports each employee in this responsibility and provides the necessary resources for compliance. All employees have an obligation to report activities that may be in violation of any applicable law or regulation. If it is found that any law or regulation has been violated, corrective action will be taken. 1

Confidential Information and Insider Trading We use confidential information only for the business purpose for which it was developed or given, and never for anyone s personal benefit. We respect the confidentiality of information about the company, its customers, employees, vendors and partners, and maintain the confidentiality of this information, except when disclosure is authorized or legally mandated. We protect the intellectual property rights, including copyrights, patents, licenses and trademarks, and other proprietary information of the company and others. We comply with the laws and regulations that prohibit insider trading of securities. Employees, officer and directors who have access to confidential information are not permitted to use or share that information for stock trading purposes or for any other purpose except the conduct of our business. All non-public information about Arizona Chemical should be considered confidential information. To use non-public information for personal financial benefit or to tip others who might make an investment decision on the basis of this information is not only unethical but also illegal, and will be dealt with decisively by Arizona Chemical. Conflict of Interest A conflict of interest occurs when an individual s private interests interfere or even appear to interfere with the interests of Arizona Chemical. A conflict situation can arise when an employee, officer or director takes actions or has interests that may make it difficult to perform his or her company work objectively and effectively. Conflicts of interest also arise when an employee, officer or director, or a member of his or her family, receives improper personal benefits as a result of his or her position in the company. Related party transactions are transactions involving the company and a related party, such as a director, executive officer, or the beneficial owner of more than 5% of the company s common stock. Related party transactions may give rise to a conflict of interest, or to the appearance of a conflict of interest, and must be disclosed in filings with the SEC under Item 404(a) of Regulation S-K. We avoid conflicts, and the appearance of conflicts, between our company responsibilities and personal interests. We ensure the efficient use of corporate resources time, employees, equipment and supplies and use these resources only for company business or company-approved activities. Theft, carelessness and waste have a direct impact on Arizona Chemical s profitability. We do not take personal advantage of business opportunities that are discovered through the use of company property, information or position, nor do we use company property, information or position for personal gain. The company s employees, officers and directors owe a duty to the company to advance its legitimate interests and to not engage in business activities in competition with the company or in transactions that may cause a conflict of interest for us. Any potential conflict of interest, including related party transactions, must be disclosed promptly to supervisors or to our law department. 2

Our Audit Committee will evaluate each related party transaction for the purpose of recommending to the disinterested members of our Board of Directors that the transactions are fair, reasonable and within our policy, and should be ratified and approved by the Board. Gifts and Gratuities We do not accept, offer or authorize gifts, entertainment, or other favors that are not a reasonable part of a business relationship. The acceptance of a gift or gratuity must comply with company policy. We exercise hospitality in a way that does not jeopardize the integrity of those with whom we do business. Political Activities We value and encourage active involvement as citizens of the countries where we live and work. Employees have the opportunity, as individuals, to support political candidates and engage in political activities of their own free choice; however company resources will not be used to support political candidates, parties, or committees unless permitted by law, and any such activity shall be approved by executive management. Because rules regarding gifts, gratuities, and entertainment to public officials can vary from state to state, country to country, and from agency to agency, we do not offer a gift of any type, including meals, to any public official unless we have determined that such a gift is appropriate and legal. Competitive Practices We compete vigorously, but fairly, on the basis of price, superior services, dependability and products. We do not enter into understandings or agreements with competitors regarding prices, terms of sales, division of markets or customers, or any other activity that restricts competition. We conduct all competitive marketing activities, including the advertising of products and services and the gathering of competitive intelligence, fairly and honestly. We do not take unfair advantage of anyone through manipulation, concealment, abuse of privileged information, misrepresentation of material facts, or any other unfair-dealing practice. Financial Integrity We are prudent in our expenditures on behalf of the company and record all business transactions in accordance with accepted accounting principles. We maintain appropriate internal controls to prevent or detect fraud and ensure every accounting or financial record, and supporting data, describes the transaction accurately without omission, concealment or falsification. 3

We maintain and retain all business records accurately and in compliance with applicable laws and company policy. We believe in making full, fair, accurate, timely and understandable disclosure in the reports we file under securities laws and in other public communications. External Relationships We are known by our customers for the quality and value of our services and for telling the truth, keeping our promises, and dealing fairly and ethically with everyone. This also extends to our customers, employees, vendors, suppliers, contractors, regulators, stockholders, and neighbors. Arizona Chemical always seeks to maintain the highest standards of integrity and objectivity in our working relationships and will not conduct business with anyone who does not operate with integrity or who compromises the company s values and ethical standards. Duty to Act Each of us is required to adhere to this Code and report promptly to management any activities that may be in violation of this Code, other company policies, or any applicable laws or regulations. Employees should talk to the appropriate personnel when in doubt about the best course of action in a particular situation. When practical, your supervisor should be the first source of assistance, but your HR representative or the Arizona Chemical Legal department are other options for reporting suspected misconduct. Issues regarding questionable accounting practices, violations of internal accounting controls or auditing matters will be directed to the Arizona Chemical Audit Committee. The Audit Committee will take all action it considers appropriate to investigate any violations reported to it. If the Audit Committee determines that a violation has occurred, it will inform the Arizona Chemical Board of Directors, which will take such disciplinary or preventive action as it deems appropriate. Retaliation against anyone fulfilling their duty to act will not be tolerated. Conclusion At Arizona Chemical, ethics means more than just obeying laws and following policies. Our Code of Business Conduct demands that we speak out when we see a possible violation of the Code. It also calls on us to encourage and help others to act ethically. Much more is expected of us today than ever before with regard to our ethical standards. We should seize every opportunity to model the values and behavior that make Arizona Chemical a respected leader in the chemical industry. 4

No waivers of the provisions of this Code of Business Conduct may be granted to employees without authorization from the appropriate compliance officer, or in the case of officers or board members, authorization from the Arizona Chemical Board of Directors [or board committee]. Waivers will be disclosed as required by applicable law, regulation, or rule. This policy does not create any contractual right to employment, employee benefits, or other terms and conditions of employment. 5
