Hotchilli will provide an unbranded ADSL Broadband service to the Reseller in order for them to in turn provide the service on to their end user. Hotchilli will invoice the Reseller at a discounted rate as agreed in advance of service provision. The end client remains the responsibility of the Reseller and as such must be billed and supported by the Reseller accordingly. Asymmetrical Digital Subscriber Line (ADSL) delivers an ultra-fast Internet connection using an existing British Telecom telephone line. There is no annual fee to become a Hotchilli ADSL Reseller all you have to do is purchase over 10 accounts. Your first 10 accounts will be charged to you at our normal retail price, once you have exceeded 10 accounts you can start taking advantage of our reseller prices. How it Works A Hotchilli Reseller requires an ADSL Broadband service for an end client. The Reseller will order the ADSL service direct with Hotchilli in order to supply it to the end user. Hotchilli will supply this service at a discounted rate to the Reseller (after the first 10 accounts purchased) who will be responsible for billing and supporting the end client. The Reseller can provide all equipment associated with the ADSL Broadband service to the end user or Hotchilli can supply all the equipment at a reduced price compared to our normal retail price. The Reseller will be given a unique link to place on their Web site; this link will have a Reseller Identifier and will also open up an Unbranded Ordering Page. The Reseller then orders the relevant ADSL account and any equipment such as modems, routers and micro-filters. It is suggested only one employee actually has permission to access this page as once an order has been submitted and the Reseller will be billed as listed on site. Hotchilli will then process the order. Payment must be made in advance by the Reseller by Credit Card or Direct Debit as per our Payment Terms which are set out in this document. Hotchilli will bill the Reseller in the following way: Set up charge / Activation Hardware Subscription from Activation Date to End of Month First Full Month's Subscription Monthly Subscription Payable in advance of activation Payable in advance of activation Payable in advance of activation Payable in advance of activation Payable in advance of second month Payment must be made by either Credit Card, Debit Card or Direct Debit. Standard Lead Time Installation usually takes 5 working days from acceptance of the order by BT. Conversion Lead Time To convert from ISDN to ADSL, the ISDN must first be ceased. The ISDN terms and conditions will state the notice period required to cease the service. Once this cease has taken affect it takes 5 days to provision your IPstream order. The cost of doing this is the standard activation fee. As long as the ISDN has no penalty charges for ceasing then there is nothing else to pay. Migration Lead Time The lead time for service provider to service provider migration is 15 working days. 35 admin charge for service provider to service provider migration. Terms and Conditions a. Acceptance: i. Hotchilli will contract to provide the service when British Telecommunications confirm that an ADSL service can be delivered to the location specified in the ADSL set up requirements form and the set up and first months payment has been received. They will confirm this by sending a technical information sheet with the set up details and installation date (effective date). ii. The customer (Reseller) shall be deemed to have accepted the service when the service is ordered. b. Usage: i. The ADSL service provides a fast permanent connection to the internet it is not designed to be used as a part of a Web Hosting Service and if it is used for this purpose Hotchilli can not support the ADSL service. ii The customer (Reseller) warrants and undertakes that their end users shall in their use of the service comply with Hotchilli's acceptable usage policy which may be found on the Hotchilli website (), any relevant legislative and regulatory provisions and shall not use the services for any illegal purpose and shall indemnify Hotchilli in respect of any liability incurred as a result of a breach of this clause. c. IP Addresses: IP addresses assigned by Hotchilli will be returned to Hotchilli when the related service ceases. Hotchilli work under the auspices of RIPE allocation of IP addresses and may only provide IP addresses to the customer (Reseller) and their end users if they adhere to the RIPE terms and conditions d. Service i. Hotchilli warrants to the customer (Reseller) that it will provide all the services ordered with reasonable care and skill but does not guarantee that this will cause the services to operate without fault or interruption. ii. In the event of a fault or interruption of service Hotchilli will provide full support Monday to Friday 0830 to 1730 and Hotchilli server and core Network support 24 by 7. iii. In the event of the customer (Reseller) or their end users hardware failure, the contracted services is still available and therefore chargeable at standard rates. Hotchilli cannot make any guarantees for service provided by a third party. e. Contract length: i. 12 months from the effective date. f. Cancellation period: i. Contracts are for 12 months and then after that first 12 months 1 months notice in writing must be given to cancel the contract. (Example: Hotchilli receive a request to cancel the contract at end of month 12 then contract would terminate 1 months later at the end of month 13.) g. Payments and VAT: i. The customer agrees with Hotchilli to pay all charges, VAT and any bank charges that may arise when they fall due. ii. Prices quoted in this contract exclude VAT. h. Data Protection i. In the case of any customer who is an individual about whom Hotchilli processes personal data (as defined by the Data Protection Act), Hotchilli may use such data to provide the customer with details of other Hotchilli products which may be of interest to the customer. ii. Hotchilli will accept liability without limitation for death or personal injury resulting from the negligence of Hotchilli, its employees or agents, or subcontractors for which Hotchilli is responsible. In all other circumstances Hotchilli shall not be liable for loss of profits, business, revenue, goodwill or anticipated savings, or for special indirect or consequential loss or any loss arising from any claim made by the customer or made against the customer by any other person. i. Liability: i. In the event of a dispute between the parties concerning this contract each of the parties, shall in the first instance bring the dispute at the earliest opportunity to the attention of a Director or similar officer. ii. All contracts are governed by and constructed in accordance with English Law and the parties irrevocably agree to the exclusive jurisdiction of the English courts. PAGE 5 OF 8
