Box 8488 Spokane, WA 99203 Flood Service Provider: CoreLogic Flood Services, LLC ( CoreLogic ) Flood Service Provider Address: 11902 Burnet Road, Austin, Texas 78758 IDENTIFICATION OF FLOOD SERVICES Customer may order through Service Provider one or more of the flood services listed below (each, a Flood Service and collectively, the Flood Services ) with respect to improved real property used or intended to be used as a single to four-family residence (a Residential Property ), improved or unimproved real property other than Residential Property (a Commercial Property ), or both. For purposes of this Contract, the term Property shall refer to a Residential Property or a Commercial Property. In connection with each Flood Service provided by CoreLogic to Customer, CoreLogic shall issue a written manifestation of its determination (a Determination ) that will be provided on the Standard Flood Hazard Determination Form promulgated by the Federal Emergency Management Agency ( FEMA ). Basic Determination. CoreLogic shall determine whether a Property is located within a FEMA designated Special Flood Hazard Area (an SFHA ) on the date of the Determination (a Basic Determination ). Life of Loan Determination. CoreLogic shall (a) determine whether a Property is located within an SFHA on the date of the Determination (the Initial Determination ) and (b) notify Customer if any of the following flood zone status changes occur during the life of the loan secured by such Property (and any renewals, extensions, or modifications of such loan): (i) if the Property was located within an SFHA on the date of the Initial Determination and a subsequent FEMA Flood Insurance Rate Map ( a Flood Map ) shows that the Property is no longer located within an SFHA; (ii) if the Property was not located within an SFHA on the date of the Initial Determination and a subsequent Flood Map shows that the Property is located within an SFHA; or (iii) if the flood zone applicable to the Property changes (collectively, the Monitoring Services ). CoreLogic shall notify Customer of any of the foregoing changes within 60 days after the effective date of the revised Flood Map or 60 days after CoreLogic s receipt of the revised Flood Map, whichever occurs later. The Initial Determination and the Monitoring Services are collectively referred to as a Life of Loan Determination. Life of Loan Determinations are transferable if the loan is transferred by Customer to another lender or servicer. Refinance Life of Loan Determination. A Refinance Life of Loan Determination is a Flood Service that is the same as a Life of Loan Determination except that it only applies to a Determination issued in connection with the refinancing of a loan (the Refinanced Loan ) that is secured by a

Property for which CoreLogic previously issued another Life of Loan Determination to Customer for the same borrower relating to the same Property. Related Life of Loan Determination. A Related Life of Loan Determination is a Flood Services that is the same as a Life of Loan Determination except that (a) it only applies with respect a Property for which CoreLogic previously issued another Life of Loan Determination (the Prior Determination ) to Customer for the same borrower relating to the same Property and (b) it is only available if Customer continues to service the loan that was the subject of the Prior Determination. FlexCert Determination. A FlexCert Determination is a Flood Service that is the same as a Life of Loan Determination except that a FlexCert Determination is not transferable if the loan is transferred by Customer to another lender or servicer. A FlexCert Determination may not be ordered with respect to a Commercial Property. Census Tract Determination. CoreLogic shall indicate a Property s location with respect to metropolitan statistical area and census tract boundaries as defined by United States Bureau of the Census data (a Census Tract Determination). ORDERED FLOOD SERVICES Customer orders the following types of Flood Services through Service Provider. A Census Tract Determination may only be ordered (a) in conjunction with another Flood Service provided by CoreLogic with respect to the same Property or (b) with respect to a Property for which Customer previously purchased another Flood Service without a Census Tract Determination. Customer must separately request a Census Tract Determination. Census Tract Determinations are provided at no additional charge. All fees for Flood Services and other services shall be paid by Customer through Service Provider. The Flood Services shall be provided from time to time by CoreLogic, subject to the terms and conditions contained in this Contract (check and initial appropriate boxes): Residential Properties Basic Determinations Life of Loan Determinations Refinance Life of Loan Determinations Related Life of Loan Determinations FlexCert Determinations

Commercial Properties Basic Determinations Life of Loan Determinations Refinance Life of Loan Determinations Related Life of Loan Determinations An order for Flood Services shall not be effective with respect to a particular Property unless Customer provides to CoreLogic all requested information pertaining to Customer, the loan, the Property, and any other matters requested by CoreLogic or Service Provider. In connection with a Refinance Life of Loan Determination or a Related Life of Loan Determination, Customer shall also provide to CoreLogic the initial loan number for the Refinanced Loan or the loan that was the subject of the Prior Determination, the CoreLogic order number for such loan, or other identifying information specific to the Refinanced Loan or Prior Determination, as applicable. Customer shall promptly notify Service Provider and CoreLogic of any change affecting a loan for which CoreLogic is providing a Flood Service (e.g., payoff, sale, etc.). Customer may provide the foregoing information to CoreLogic either directly or indirectly through Service Provider. WEBSITE SOFTWARE Subject to all other terms of this Contract, CoreLogic hereby grants to Customer a royalty-free, non-exclusive, non-transferable license, without the right to grant sublicenses, to access the Website Software from hardware owned or controlled by Customer. For purposes of this Contract, the term Website shall mean www.floodcert.com or such other CoreLogic website accessible by Customer (as modified from time to time) and the term Website Software shall mean the object code version of the software installed at the Website and accessible by visitors to such Website in ordinary use. Website Software is and shall remain the sole and exclusive confidential and proprietary property of CoreLogic. Customer may utilize the Website Software to electronically access flood data information and submit orders for Flood Services to CoreLogic. Customer agrees that it shall utilize the Website Software only for the purposes expressly authorized by this Contract. To the extent applicable, Customer may not make any copies of the Website Software. To the extent applicable, Customer agrees not to modify the Website Software, remove any notices or markings on the Website Software, or reverse compile, reverse assemble, reverse engineer or otherwise attempt to learn, use or disclose the trade secrets contained in the Website Software, transfer the Website Software in whole or in part over a network, or permit any third party to do any of the foregoing. There are no implied licenses under this Contract. Customer acknowledges and agrees that use of the Website Software is furnished to Customer on a confidential basis for the sole and exclusive internal use of Customer and not for redistribution. Customer shall not use, publish, disclose, or otherwise divulge to any person, at any time (including after the termination of this Contract), any non-public information regarding the Website Software (including, without limitation, any

passwords or other access codes provided by CoreLogic), without the prior written consent of CoreLogic. CoreLogic may use or disclose any information received in connection with the Website Software or Customer s use of the Website Software as CoreLogic deems appropriate. CoreLogic may remove or modify content, at any time without notice to or permission from Customer. CoreLogic may modify the terms and conditions upon which Customer may use the Website Software at any time upon posting of such modification on the Website, and Customer s continued use of the Website Software after receipt of such notice shall constitute Customer s acceptance of such modified terms. The license granted to Customer to use the Website Software shall automatically terminate immediately and without prior notice upon the termination of this Contract. Upon termination of the license, Customer shall, to the extent applicable, immediately destroy or delete any and all Website Software or copies thereof and promptly confirm in writing to CoreLogic that Customer has done so. CORELOGIC LIABILITY ( WATER-TIGHT GUARANTEES ) & CUSTOMER REMEDIES In connection with any Flood Services performed by CoreLogic, CoreLogic shall make a reasonably prudent Determination by diligent and good faith review of the most current Flood Maps. If CoreLogic provides an incorrect Determination that does not result from Customer s failure to provide complete and accurate information, then Customer shall have the following remedies: If CoreLogic incorrectly issued a Determination on a Property stating that the insurable structure was not located within an SFHA when the structure was in fact located within an SFHA according to the Flood Map that was effective as of the date of the Determination, then CoreLogic shall compensate Customer for the cost of any uninsured structural flood loss suffered by Customer that would have been paid by a National Flood Insurance Program ( NFIP ) policy, less any premiums that would have been paid if an NFIP policy had been in effect. If CoreLogic incorrectly issued a Determination on a Property stating that the insurable structure was located within an SFHA when the structure was in fact not located within an SFHA according to the Flood Map that was effective as of the date of the Determination, then CoreLogic shall reimburse Customer for any flood insurance premiums directly attributable to the erroneous Determination that were paid during the life of the loan and that were not refunded by NFIP. If Customer orders a Life of Loan Determination, Related Life of Loan Determination, Refinance Life of Loan Determination or a FlexCert Determination for a Property and the flood zone applicable to the Property changes as a result of the issuance of a revised Flood Map and CoreLogic fails to notify Customer of the change within the required time period, then either: (a) if CoreLogic indicated that the Property was not located within an SFHA when the Property was in fact located within an SFHA and Customer suffers any uninsured flood loss with respect to such Property, CoreLogic shall reimburse Customer for the costs of any uninsured flood loss suffered by Customer that would have been paid

by an NFIP policy, less any premiums that would have been paid if an NFIP policy had been in effect; or (b) if CoreLogic indicated that the Property was located within an SFHA when the Property was in fact not located within an SFHA and Customer does not suffer any uninsured flood loss with respect to such Property, CoreLogic shall reimburse Customer for excessive flood insurance premiums paid as a result of CoreLogic s failure to notify Customer of the flood zone change. CoreLogic shall have no continuing liability for any Determination associated with Flood Services for which Customer did not pay Service Provider in accordance with the payment terms in the agreement between Service Provider and Customer (the Service Provider Agreement ). The Service Provider Agreement sets forth the terms and conditions upon which Customer may order Flood Services through Service Provider. CoreLogic shall have no liability as to any claim, suit, action, proceeding, or demand (each, a Claim ) for which Customer is entitled to indemnification unless: (a) Customer promptly notifies CoreLogic of its receipt of the Claim; (b) CoreLogic has sole control of the defense and settlement of the Claim: and (c) Customer shall cooperate in all reasonable respects with CoreLogic and its attorneys in the investigation, trial and defense of such Claim. LIMITATIONS AND EXCLUSIONS THE REMEDIES SET FORTH IN THIS ORDER SHALL BE THE SOLE AND EXCLUSIVE REMEDIES OF CUSTOMER FOR ANY BREACH BY CORELOGIC OF ITS OBLIGATIONS TO PROVIDE FLOOD SERVICES PURSUANT TO THIS ORDER. IN NO EVENT SHALL CORELOGIC HAVE ANY LIABILITY FOR ANY LOSSES, COSTS, DAMAGES OR EXPENSES SUFFERED BY CUSTOMER, CUSTOMER S BORROWERS OR ANY TENANTS OF THE PROPERTY FOR LOSS OF RENTS OR LOST PROFITS. CUSTOMER IS THE SOLE AND EXCLUSIVE BENEFICIARY OF THE REMEDIES PROVIDED IN THIS ORDER. THERE ARE NO THIRD-PARTY BENEFICIARIES. IN NO EVENT SHALL CORELOGIC PAY IN EXCESS OF THE LESSER OF: (A) $250,000 PER FLOOD DETERMINATION; OR (B) THE INSURANCE AMOUNT MADE AVAILABLE BY AN NFIP POLICY, WITH RESPECT TO ANY FLOOD DETERMINATION ON A COMMERCIAL PROPERTY. TERMINATION CoreLogic shall have the right to terminate this Contract if (a) CoreLogic is notified by Service Provider that Customer failed to make any payment required by the Service Provider Agreement or (b) the Service Provider Agreement is canceled. CoreLogic shall have no obligation to provide new Determinations (or ongoing Monitoring Services) with respect to any order for which Customer has not paid the applicable fee to Service Provider prior to the termination date. CANCELLATION OF MONITORING SERVICES DUE TO NON-PAYMENT; REACTIVATION If Monitoring Services are canceled due to Customer s non-payment of fees due to Service Provider, then CoreLogic s Water-Tight Guarantees for each canceled loan shall be canceled as well. Upon cancellation of the Monitoring Services, Customer may reactivate the Monitoring

Services and CoreLogic s Water-Tight Guarantees for those loans only by paying all outstanding fees to Service Provider, plus a reactivation fee of $5.00 per loan. However, the Monitoring Services (and associated Water-Tight Guarantees) on a loan cannot be reactivated more than six months after the Monitoring Services were originally canceled. Once reactivated, CoreLogic shall have 60 days to bring the Monitoring Services up-to-date, and CoreLogic shall have no liability for failing to notify Customer of any flood hazard status changes that may have occurred during the period from the cancellation of the Monitoring Services through 60 days after the Monitoring Services are reactivated by CoreLogic. CONFIDENTIALITY Each party shall use its best efforts to keep the other party s confidential information secret and confidential. Confidential Information means information about a party which includes, without limitation, a party s trade secrets and proprietary information, whether identified as confidential or by its nature should be reasonably considered confidential, business volumes or usage, financial information, pricing information, information concerning a party s operations, affairs, products, marketing and systems. The terms and conditions of this Contract shall also be considered Confidential Information between the parties. The parties acknowledge that in order for CoreLogic to perform its duties and obligations under this Contract, Customer may need to disclose information concerning Customer s clients to CoreLogic ( Client Information ). CoreLogic acknowledges Customer s obligations pursuant to the Gramm-Leach-Bliley Act of 1999 (15 U.S.C. 6801 et seq.) and the regulations promulgated thereunder ( GLBA ) and the Interagency Guidelines Establishing Standards for Safeguarding Client Information (the Guidelines ). Client Information shall be maintained in confidence and not disclosed, used or duplicated other than for the purposes contemplated by this Contract or in compliance with the customer privacy requirements set forth in the GBLA and/or the Guidelines. CoreLogic agrees to implement appropriate standards with respect to Customer s Client Information designed to meet the objectives of the GBLA and Guidelines, and specifically agrees to institute measures to ensure the security of Client Information and to protect against any anticipated threats or hazards to the security or integrity of such Client Information. The parties agree (a) to hold all Confidential Information in confidence, (b) not to disclose Confidential Information of the other to any third party, other than the receiving party s affiliates, officers, directors, employees, agents or representatives which have a need to know such information in connection with this Contract (collectively, Representatives ), and (c) that the receiving party will not use or permit its Representatives to use any such Confidential Information for purposes other than those contemplated by this Contract. Neither party has any obligation with respect to any Confidential Information which (a) that party independently develops; (b) is or becomes publicly available without a breach of this Contract by either party or is known prior to the effective date of this Contract; (c) is disclosed to it by a third party who is not required to maintain confidentiality; or (d) is approved for release by the other party in writing. The party claiming any of the above exceptions has the burden of providing applicability. The obligations set forth in this Confidentiality Section shall survive termination or expiration of this Contract.

GENERAL PROVISIONS 1. All terms and conditions in this Contract shall survive the termination of this Contract except as otherwise provided above with respect to the cancellation of Monitoring Services due to Customer s non-payment of fees to Service Provider. 2. THIS CUSTOMER CONTRACT SHALL BE GOVERNED BY, AND ENFORCED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF TEXAS NOTWITHSTANDING ANY CONFLICT OF LAWS RULES TO THE CONTRARY. 3. Any Flood Services provided by CoreLogic pursuant to this Contract are provided for Customer s benefit only, and not for the benefit of any third party, including any borrower. 4. This Contract shall not become effective until executed by Customer and accepted by CoreLogic. By signing below, Customer hereby orders from Service Provider the Flood Services indicated above, subject to the terms and conditions of this Contract and the Service Provider Agreement.
