Indemnity to other persons The following persons or organisations shall at the request of the academy and subject to the written approval of the academy as indicated by the inclusion of the word yes in the applicable box next to each listed entity to be indemnified below, be included as part of the insured from the appropriate effective date shown below. The limits of indemnity and retentions are applicable unless specifically stated to the contrary. Entities to be indemnified Any person in the employment of governors, managers, head teachers and/or trustees of voluntary aided or voluntary controlled schools, in respect of claims arising from the voluntary organisation or supervision of games, athletics, other sporting activities, dramatic productions, clubs, camps, journeys and other similar activities on behalf of the academy which are complementary to, but not part of, the duties of said persons under their contract of service with the academy or such governors, managers, head teachers or trustees. The committee for the time being of the School Organisation Committee, but only in respect of any legal liability arising out of such School Organisation Committee. Endorsements These endorsements are additional clauses that form part of the policy. Endorsement 001 Professional Indemnity Inclusion - Professional Indemnity Notwithstanding Exclusion 7.2 the following clause is incorporated in and forms part of the Public liability extensions to the Public liability insured section. Professional Indemnity specified activities The insurer will indemnify the Insured against legal liability arising from any claim or claims first made against the Insured and reported to the insurer during the period of insurance stated in the schedule in respect of negligent advice or breach of professional duty committed by: a) the academy; b) any person at any time employed by the academy; provided that such negligent advice or breach of professional duty has been committed in the conduct of the business as stated in the schedule (including negligent advice given to, or breach of professional duty towards, another academy). This extension excludes negligent advice or breach of professional duty I. given, made or committed prior to the retroactive date being 01/07/2011 ; II. given, made or committed by any person acting outside the scope of their authority; The limit of indemnity applicable to this extension clause shall be GBP 1,000,000 any one claim or series of claims arising out of the same or related negligent advice or breach of professional duty and in the aggregate for all claims during the period of insurance. Provided that: 1) this extension applies only to those activities notified to and agreed in writing by the insurer; 2) this extension excludes and does not cover: (a) legal liability arising as a result of personal injury, damage, denial of access or nuisance; (b) any claim insured by any insured section of this policy or by any other endorsement added to this policy; 3) the Public liability extensions (clause 3.3) and the Coverage extensions to insured sections B, C and D (clause 6) do not apply to this endorsement; 4) the Public liability limitations and exclusions (clause 3.4) and the Exclusions to insured sections B, C, D and E (clause 7) apply to this endorsement; with the exception of the following: (a) the Advice, design or plans provided for a fee exclusion (b) the Financial loss exclusion 5) the insurer shall not be liable to pay the first GBP 1,000 of each and every claim; 6) this extension excludes and does not cover: Page 6 of 378
Existing claims any claim: a) made, threatened or intimated against the insured prior to the period of insurance; b) liability, loss or defence directly or indirectly arising out of, or in any way involving any fact or circumstance: i) of which written notice has been given under any previous policy (whether insured by the insurer or not); or ii) of which the insured first became aware prior to the period of insurance and which the insured knew or ought reasonably to have known had the potential to give rise to a claim or loss. Contractual liability any loss, liability, expenses, or defence arising directly or indirectly from any liability assumed by the insured under any express warranty, guarantee or other agreement unless such liability would have attached to the insured in the absence of such express warranty, guarantee or other agreement. Dishonesty or fraud any loss, liability, expenses, or defence made, threatened or intimated against: a) any governor, trustee or employee; b) the academy where two or more governors or trustees are alleged to have conspired or colluded together; directly or indirectly arising out of alleged dishonesty, fraud, malicious or illegal act committed by any governor, trustee or employee. For the purposes of the indemnity provided by this endorsement only, the meaning of claim is as shown in the definition below: Claim Claim means: 1. the receipt by the insured of any written notice of demand for compensation made by a third party against the insured; 2. any writ, statement of claim, claim form, summons, application or other originating legal or arbitral process, cross-claim, counterclaim or third or similar party notice served upon the insured; 3. any notice of intention in writing to commence legal proceedings against the insured; Page 7 of 378
