This service is complimentary.) 3. General Provisions Onlineaccess: the Cardholder will receive his/her username by e-mail and his/her password in a separate letter sent by post. Both are required with the SMS Code for Cornèrcard Onlineaccess. R23 Mobileaccess: the Cardholder will receive a confirmation via SMS and an information brochure by post with his/her registration code. A19 Direct debit: for payments by direct debit of a bank account. PIN: Personal code to withdraw cash from ATMs, to pay at gas stations, etc. Flight accident insurance: M67 Enrollment in supplemental flight accident insurance ACE Insurance (Switzerland) Limited, Bärengasse 32, 8001 Zurich, is the insurance carrier for Flight accident insurance. Insurance coverage: Flight accidents when traveling on a scheduled air carrier Accidents when traveling on a public carrier (bus, taxi or train) authorized to transport passengers from or to an airport, in connection with or immediately prior to an insured scheduled flight Commencement and duration: Coverage begins as soon as the registration (prior to the commencement of air travel) has been received by Cornèrcard and is concluded for a period of one year. Unless the insurance is terminated at least two months prior to expiration, it will be extended tacitly for another year. If the Card is cancelled in writing, coverage shall end when the Card expires. Conditions: Insurance applies worldwide provided at least 51% of the travel arrangements have been paid for in advance using your Climate Credit Card Business. Annual premium: Individual coverage: CHF 45/EUR 32/USD 36, depending on the currency chosen by the Company in the card application. Benefits: in case of death: CHF 500,000 in case of permanent disability: up to CHF 500,000 Insurance protection and coverage are governed exclusively by the General Conditions of Insurance for the supplemental flight accident insurance available for review at www.cornercard.ch/e/gtc 4. Determination of the Beneficial Owner (Form A Pursuant to Art. 3 and 4 VSB; Provision of Information is Mandatory.) 5. Declaration by the Company and the Cardholder * The Company and Cardholder hereby certify the information provided in this application to be accurate and acknowledge that they have received, understand and accept as binding the General Terms and Conditions (GTC) for the Climate Credit Card Business Visa and/or MasterCard from Cornèr Bank Ltd., issued by Cornèrcard. The Cardholder and the Company shall be jointly and severally liable for all obligations resulting from the use of the Climate Credit Card Business Visa and/or MasterCard. Cornèr Bank Ltd. is authorized to gather any information about the Company and Cardholder it deems necessary and is entitled to deny this application at its discretion. Upon acceptance of this application, the Cardholder shall receive the card requested for as well as the General Conditions of Insurance (GCI) for coverage provided automatically and at no charge with the Climate Credit Card Business Visa and/or MasterCard or provided upon request for a fee. By using and/or signing the card, the Cardholder acknowledges that he has received, understands and accepts in full the General Terms and Conditions as well as all applicable General Terms of Insurance. The Company acknowledges and agrees that the Cardholder accepts without reservation the provisions governing the use of Onlineaccess in electronic format and without Company action as part of the activation process for Onlineaccess, provided Onlineaccess was ordered in the card application or on a separate form. With its signature, the Company acknowledges that it has reviewed the provisions for the use of Onlineaccess (available at www.cornercard.ch/e/gtc or by calling +41 (0)844 00 41 41) and that it accepts same without reservation. Credit card annual subscription fees: Climate Credit Business Visa or/and MasterCard: first card CHF 100/EUR 70/USD 80, additional card(s) CHF 50/ EUR 35/USD 40. Exchange rates: Transactions conducted in foreign currencies shall be converted at the retail exchange rate of Cornèr Bank Ltd. as of the date of the accounting entry plus foreign currency processing fees not exceeding 0.9%. Cash withdrawals: Withdrawals are charged a commission of 2.5% but not less than CHF 6/EUR 4/USD 5 for withdrawals at ATMs and CHF 10/ EUR 7/USD 8 for withdrawals at bank counters. Notices and replacement card: Cornèr Bank Ltd. is entitled to bill an administrative charge of CHF 20/EUR 14/USD 16 for every reminder and for every direct debit order (LSV = Lastschriftverfahren) returned on the grounds of insufficient funds. Cornèr Bank Ltd. charges a fee of CHF 20/EUR 14/USD 16 for each replacement card. Insurance mediation and data protection: The Company and the Cardholder acknowledge that the insurer is liable for any errors, negligence or incorrect information in connection with the insurance contracts provided. The personal data of the Cardholder shall be treated as confidential. Cornèr Bank Ltd. shall comply with the provisions of data protection legislation in the processing and storage of personal data. Cornèr Bank Ltd. may commission third parties in Switzerland to process the card application and to administer card relations and transactions where allowed under Swiss law and subject to assurance of appropriate data protection. Personal data made available in connection with the insurance may be forwarded to the insurers and shall be processed by Cornèr Bank Ltd. and the insurers only for the purpose of concluding and administering the insurance contract as well as processing a claim. Personal data may be disclosed to authorized third parties and/or other Group companies of Cornèr Bank Ltd. for the purpose of administering the insurance contract. Data may be transferred abroad if such third country provides for equivalent data protection (recognized as such by Swiss data protection legislation). Personal data is stored in electronic and/or paper format. The Cardholder hereby acknowledges that, under the data protection legislation, he may be entitled to obtain information and, on certain conditions, to have certain data stored at Cornèr Bank Ltd. corrected, blocked or deleted. Autorisation: The Company and Cardholder hereby authorize Cornèr Bank Ltd. to forward all necessary data to the respective insurance company in the event of a claim, and to utilize e-mail addresses for its own marketing activities and to forward personal data (first name, last name, street address, ZIP code, city, telephone number, e-mail address) as well as card data (Cornèrcard ID, bar code, expiration date) to South Pole Carbon Asset Management Ltd. (hereinafter South Pole Carbon ) in order to allow it to deliver services in connection with CO 2 compensation as well as other services (electronic newsletter, etc.). CO 2 compensation: The Company and Cardholder hereby acknowledge that each year, they will receive a certificate showing all CO 2 emissions generated and compensated for through the use of all of the Company s cards or of the Cardholder s individual card. They will also receive an overall ecological footprint report displaying the Company s transactions or the personal transactions of the Cardholder and listing individual CO 2 emissions according to operator categories in terms of card usage. Cornèrcard compensates the Company s CO 2 emissions generated by the Cardholders by purchasing corresponding certificates from South Pole Carbon. There is no charge to the Company or Cardholder. For more information on calculating CO 2 footprints through the use of the Card, visit www.climatecreditcard.ch/business Services by South Pole Carbon: The Company and Cardholder hereby acknowledge and recognize that South Pole Carbon decides at its discretion whether and which services (in the area of communication, etc.) it wishes to offer. The Company and the Cardholder recognize Lugano to be the exclusive place of jurisdiction. 6. Conditions for the Use of Mobileaccess 1. Mobileaccess Functionality Cornèr Bank (hereinafter referred to as the Bank ) makes the Mobileaccess service available to principal, supplemental, and additional cardholders (hereinafter referred to as Cardholders ) authorized by the Bank to use such service in conjunction with the Bank s Personal, Business, and Direct (Prepaid) cards (hereinafter referred to as Cards ). Mobileaccess provides the Cardholder with Card information services (hereinafter referred to as Mobileaccess ) delivered via mobile devices (e.g., GSM/GPRS/ EDGE/UMTS cell phones, smartphones, etc. hereinafter referred to as cell phones ) or via telecommunication services approved by the Bank. 2. Mobileaccess Functions Mobileaccess features the following basic functions: Mobile inquiry with regard to Card balance, most recent Card transactions, etc. Mobile notification including automated, parametered messages with regard to available, unused spending limit or alerts when reaching such a spending limit. Such function is available only to those Cardholders authorized by the Bank to use Onlineaccess. Mobileaccess functions may vary with Cardholder or type of Card. 3. Technical Requirements for the Use of Mobileaccess Technical access to Mobileaccess is via the Cell Phone number selected by the Cardholder. The Cardholder s Cell Phone must support the mobile telecommunication services (SMS, WAP, etc.) used by the Bank or allow access to such services. In order to have access to Mobileaccess, the Cardholder must also (a) hold one or more Cards that provide for the use of Mobileaccess, and (b) be a valid subscriber to a provider of mobile telecommunication services that support Mobileaccess or such mobile telecommunication services. 4. Access to Mobileaccess Access to Mobileaccess is provided to those Cardholders who meet the requirements set forth in Art. 3 of these Conditions and who have registered with the Bank for the use of Mobileaccess. Registration is completed by successfully transmitting to the Bank by SMS as instructed by the Bank a valid registration code issued by the Bank to the Cardholder, directly upon written application using the Card application or by signing a separate form, or via Onlineaccess for registered users of SMS Code, or by using any other authentication provisions required by the Bank. By so registering or by submitting the signed service application, the Cardholder directs the Bank to activate Mobileaccess in connection with the respective Card and with the Cell Phone number previously indicated by the Cardholder. Any person identified by using the Cell Phone number indicated previously and by providing any other form of authentication shall be deemed by the Bank to be the person duly authorized to use Mobileaccess. The Cardholder is entitled to have access to Mobileaccess denied. In the event of suspected unauthorized use, the Bank is entitled to block access to Mobileaccess. With the activation of Mobileaccess by the Bank, Cardholders obtain access to Card and transaction data via their Cell Phones and a speed-dial number issued by the Bank, or via a specific Internet address. The Bank reserves the right to modify at any time any of the above authentication and security provisions for the use of Mobileaccess. 6. Bank Messages via SMS The Bank reserves the right to use Mobileaccess for providing the Cardholder with any relevant information in connection with the Card, Mobileaccess, and any suspicious Card transactions. 7. Charges Communication or usage charges are billed directly by the respective telecommunications provider to the Cardholder. Applicable usage charges are listed in the Mobileaccess information brochure and on the Bank s website. Roaming charges may apply when Mobileaccess is used outside of Switzerland. 8. Availability The Bank will make every effort to maintain uninterrupted Mobileaccess service but can guarantee neither unrestricted access to Mobileaccess nor unrestricted use of this service. The Bank reserves the right to temporarily or permanently suspend access to Mobileaccess and/or the availability of Mobileaccess, in particular due to intended improvements and maintenance. Also, the Bank cannot guarantee unrestricted operating capability on the part of telecommunication networks. 9. Liability The Bank cannot guarantee that the information transmitted via Mobileaccess at the Cardholder s request will in fact reach the Cardholder or be received in time to be useful. Under no circumstances shall the Bank be held liable for any defective, delayed, or failed transmission of information to the Cardholder s Cell Phone and for any losses suffered as a result. Specifically, the Bank shall not be held liable for the correctness or completeness of transmitted Mobileaccess information or data. Such information and data shall not be deemed final or binding. 10. Changes in Functionality The Bank reserves the right to modify at any time these Conditions, Mobileaccess functions, the above authentication and security provisions as well as the respective infrastructures. The Cardholder will be notified of any such changes by form letter or in another appropriate manner. They will be deemed accepted unless contested by the Cardholder within 30 days of the date of communication. 11. Application and Termination Cardholders may, individually for their own Cards, and principal cardholders also for the supplemental cards, apply for or terminate Mobileaccess at any time. Unless terminated in writing by the Cardholder, access to Mobileaccess shall be provided until the expiry, possible withdrawal, or blocking of the Card. 12. Other Provisions With respect to any other issues not addressed herein, the existing General Terms and Conditions for the Bank s Visa and MasterCard cards shall apply in their entirety. With regard to the mobile notification function, the Conditions for the Use of Onlineaccess shall also apply. V3-10-11 5. Precautions Cardholders shall safeguard their Cell Phones, SIM cards, and registration codes (where designated as part of the application process) and protect same from unauthorized use by third parties, and shall take all necessary safety precautions (in particular technical safety precautions such as activation of the PIN of the cell phone or other blocking codes, etc.). The Bank is to be notified immediately by telephone in the event of loss or theft of the Cell Phone, SIM card, or registration code, and/or suspected unauthorized use of any kind, as well as following a change in Cell Phone number. Such notification is to be promptly confirmed in writing. The Cardholder shall assume all risks and consequences resulting from the theft or loss of the Cell Phone, SIM card, or registration code, and/or from their unauthorized use. General Terms and Conditions for Cornèr Bank Ltd. Visa and MasterCard Business Cards 1. General/Card issuance On acceptance of the card application, Cornèr Bank Ltd. (hereinafter referred to as the Bank ) shall issue a personal nontransferable credit card (hereinafter referred to as the Card ) to the physical persons (hereinafter referred to as the Cardholder ) specified by the company that submitted the application (hereinafter referred to as the Company ); the Card shall be issued in the name of the Company and the Cardholder. The Card shall remain the property of the Bank and shall be issued against payment of an annual fee set by the Bank. The Cardholder must keep the Card in a safe place and protect it against unauthorized use by third parties. If the Company so desires, the Cardholder shall be sent a secret personal identification number (hereinafter referred to as the PIN ) under separate cover. The Company shall inform the Bank immediately and in writing of any changes in the information provided on the card application form, in particular of changes in the personal data or the address, regardless of whether this information relates to the Company or the Cardholder. Moreover, if the Cardholder leaves the Company, the Company shall cut the Card in two and return it to the Bank. The Company and the Cardholder the latter to the extent he/she is not able to substantiate having applied for the Card and having used the Card for professional purposes exclusively and in favour of the same Company - shall be jointly and severally liable (i.e. each is liable for his/her own part and for the whole amount) in respect of payment to the Bank of the annual fee and of all obligations arising from the use of the Card and from these General Terms and Conditions. 2. Validity of the Card The Card shall remain valid until the date embossed upon it and shall be automatically renewed unless it is cancelled in writing no later than two months before it is due to expire. The Bank reserves the right not to renew the Card, without giving reasons. The Cardholder shall sign the Card upon receipt. The Bank shall notify the Company and the Cardholder respectively of the spending limit, and reserves the right to modify the spending limit at any time. Spending on the Card above the stipulated limit shall not be allowed; should this limit nevertheless be exceeded, the amount in excess of the spending limit must be repaid immediately and in full. 3. Use of the Card The Cardholder shall be authorized to purchase goods and services from affiliated merchants as well as to withdraw cash advances from authorized banks worldwide. By using the Card and entering the PIN (where applied for), the Cardholder may make cash withdrawals from automatic teller machines. The Cardholder is strongly advised to change the PIN received from the Bank to a new PIN of his own choosing as soon as possible, at one of Switzerland s many automatic teller machines with the VISA and/or MasterCard logo. The Cardholder shall not write down the PIN anywhere or disclose it to anybody, not even to persons claiming to work for Cornèr Bank Ltd. or for the Company, or identifying themselves as such. The Cardholder and the Company shall be liable for absolutely all consequences arising from the failure to observe the duty to safeguard the PIN and/or the Cards. The amount in cash that may be withdrawn shall be set by the Bank in each individual case, irrespective of the Card spending limit. The Bank shall charge a commission of 2.5% on cash withdrawals, however with a minimum charge of (CHF 6/EUR 4/USD 5)* on withdrawals from automatic teller machines and (CHF 10/ EUR 7/USD 8)* on withdrawals at bank counters. Affiliated merchants and authorized banks shall be entitled to require proof of identity. The Cardholder and the Company acknowledge the correctness of the amounts specified on the appropriate vouchers signed by the Cardholder upon using the Card, and the correctness of transactions conducted with the use of the PIN. Moreover, the Cardholder and the Company shall acknowledge the validity of transactions carried out with the Card or with the Card details but without a signature or use of a PIN (e.g. at automatic petrol pumps, on the Internet, etc). The Company and the Cardholder shall irrevocably authorize the Bank to pay this amount to the affiliated merchant or authorized bank, thus becoming the Bank s joint and several debtors in respect of the amount paid by the Bank. The Bank reserves the right not to honor any vouchers which do not comply with these General Terms and Conditions. The Card shall merely have the function of a cashless means of payment. The Bank shall accept no liability for any transactions conducted with the Card. In particular, the Company and the Cardholder shall acknowledge that the Bank is not liable even if, for any reason, the affiliated merchants or authorized banks do not accept the Card, or accept it only partially. They shall further acknowledge that the Bank is not liable for the services of affiliated merchants or authorized banks and shall refrain from filing any complaint with the Bank in connection with the vouchers themselves and/or the transactions relating thereto. This shall also apply in the case of late delivery of, or failure to deliver, goods or services. In the event of disputes or complaints of any kind concerning goods or services, as well as the exercise of any right in this connection, the Cardholder and the Company shall contact the affiliated merchant and/or the authorized bank only. In particular, the Cardholder and the Company shall not be released from their obligation to pay the Bank the amounts shown on the statements irrespective of any disputes that may arise. The Card may only be used for lawful transactions. 4. Monthly statement/combined monthly statement/list of card usage All purchases and other transactions made using the Card or the details on it, as well as the payments, will be treated based on the value date according to the date of the accounting entry. Once a month, the Bank shall send to the Company, which shall promptly and fully notify the Cardholder, one or more monthly statement(s) or combined monthly statements (hereinafter referred to as Monthly Statement ) in the currency chosen by the Company in the card application. Depending on the options chosen by the Company in the General Agreement regarding the monthly statement, the Bank shall also send to the Company a list of card usage. Such a list of card usage shall be provided for informational purposes only. The monthly statement shall be the decisive and authoritative document that establishes the total amount owed to the Bank. For card usage conducted in currencies other than the currency chosen in the card application, the Cardholder and the Company shall accept the exchange rate used by the Bank. The Bank must receive the amount specified on the monthly statement by the date indicated on it. Should the Bank not receive payment of the indicated amount by the specified date, the Cardholder and the Company shall, without any further notice, be regarded as being in arrears for the whole balance, with all the legal consequences pertaining thereto. Any expenditure in excess of the spending limit is to be settled immediately and in full. The monthly statement shall be regarded as approved unless it is disputed in writing within 30 days of the billing date. Striking the balance and sending and/or approving the statement shall not constitute a novation of the debtor s obligation. 5. Payment procedure The Bank shall not charge interest if the total amount owed, as shown on the monthly statement, is received by the Bank within the time limit given on that statement. If payment is received late, the Bank shall charge interest at the maximum annual rate of 15% on all transactions from their entry date until they have been paid in full. Each payment shall first be used to pay off interest and fees due. 6. Credit interest conditions The Bank shall credit interest to the Card if, irrespective of the use of the Card, an average monthly balance surplus of not less than (CHF 500/EUR 350/USD 400)* remains for the entire period between two successive monthly statements. The interest rate may vary from month to month and shall be specified on the monthly statement. Any use of the Card shall reduce the credit balance from the value date of the transactions. Accrued interest, less Swiss withholding tax at the rate of 35%, shall be credited to the monthly statement. At the Company s request, the Bank shall provide a certificate for recovery of the withholding tax. Repayment of the Card credit balance must be requested by the Company in writing and for the whole credit balance and shall be effected solely by means of a transfer to the Company s postal giro or bank account. 7. Loss of the Card If the Card is lost or stolen, the Cardholder and the Company must report the event immediately to the Bank by telephone, with subsequent confirmation in writing. In the event of theft, the Cardholder and the Company must also report the theft to the police and send a copy of the police report to the Bank. Until such time as the Bank receives notification of the loss/theft, the Cardholder and the Company shall be liable for any unauthorized use of the Card. They shall not be deemed liable if they have exercised all due care in safeguarding the Card. 8. Blocking of the Card The Bank reserves the right to block and/or recall the Card at any time, without advance notice and at its discretion, on the basis of its uncontestable decision. The Bank shall decline all liability for consequences which might arise for the Cardholder or the Company as a result of the blocking or recall of the Card. The use of a blocked card is illegal and may entail prosecution, as may the obligations incurred by the Cardholder and the Company as a result. The Bank reserves the right to provide the affiliated merchants and authorized banks with any information they may require to obtain the amount owed direct by the Cardholder or the Company. 9. Clauses of consent/transferability/confirmation/place of jurisdiction/ Other conditions The Bank shall be authorized to record telephone conversations between it and the Cardholder or the Company on quality assurance and security grounds, to store these recordings on data media and to keep them for one year. Moreover, the Cardholder and the Company confirm the accuracy of the data furnished on the card application and authorize the Bank to obtain from public offices, their banks and the Zentralstelle für Kreditinformation (ZEK) (Central Credit Information Office) any information deemed necessary for the review of the credit card application and for the processing of the contract related to the Card. The Cardholder and the Company shall also authorize the Bank to report to the ZEK any blocking of the Card(s), serious payment arrears or misuse of the Card. The Bank may offer to assign all or any of the rights accruing to it from this Card contract (from use of the Card, annual fee, etc.) to third parties in Switzerland and abroad. It shall be authorized to divulge information and data in connection with this contract to such third parties at any time. If the third parties are not subject to Swiss banking secrecy, this information shall be divulged only if the recipients of the information and data undertake to keep them secret and make this obligation binding on any other contracted partners. (The information and data divulged to third parties shall, in principle, only be used for the collection and enforcement of outstanding claims.) The Cardholder and the Company have read and understand these General Terms and Conditions and accept them in full by signing the card application. In addition, the Cardholder and the Company shall receive a copy of these General Terms and Conditions together with the Card. The signing and/or use of the Card shall represent a further confirmation of the acceptance of the General Terms and Conditions. The Bank reserves the right to amend these General Terms and Conditions at any time. The Cardholder and the Company shall be informed of such changes by circular letter or in some other appropriate form. The changes shall be regarded as accepted if not disputed by the Cardholder or the Company within 30 days of notification. All legal relations between the Bank and the Cardholder and Company shall be subject to Swiss law. Notwithstanding any mandatory provisions to the contrary in Swiss law, the place of performance, the place of special proceedings for the collection of debts owed by Cardholders or Companies domiciled abroad and the exclusive place of jurisdiction for all disputes shall be Lugano, subject to compulsory dispositions of Swiss law. The Bank, however, also reserves the right to take legal action against the Cardholder or the Company in the competent court of their place of domicile or in any other competent court. * Depending on the currency chosen by the Company in the card application.
