I. Description, Objectives and Scope of the RFQ The Delaware River Joint Toll Bridge Commission (the Commission ) is a bi-state agency created by a 1934 agreement and supplements thereto between the Commonwealth of Pennsylvania and the State of New Jersey and consented to by the Congress of the United States of America. The Commission currently owns and operates 20 bridges crossing the Delaware River between Pennsylvania and New Jersey, from Trenton-Morrisville to the New York State border. Seven of the bridges are toll bridges. In addition to the bridges crossing the Delaware, the Commission also owns and operates 32 approach structures (overpasses, underpasses, toll plazas, entrance plazas, etc.) within its jurisdiction. Revenues from the seven toll bridges are the only source of funds available to the Commission for maintaining all 20 bridges and the approach structures. The Commission receives no state or federal funds for operation of the System. Additional information regarding the Commission is available on the Commission s web site at: www.drjtbc.org. The purpose of the subject Request for Qualifications ( RFQ ) is to allow the Commission to evaluate New Jersey-based insurance services professionals who can provide the following services: Design, implementation, maintenance and servicing of its risk management and insurance programs; Represent the Commission in the commercial insurance marketplace; Propose alternative risk financing and structure options where appropriate; Provide effective claims management; and Provide effective loss control services. It is anticipated that the insurance services professional would work with and under the direction of the Pennsylvania-based property & casualty insurance/risk management service provider, (currently, The Graham Company of Philadelphia, PA). II. Proposed Criteria for New Jersey-based Insurance Services Professional The insurance/risk management services professional should have the following qualifications: Licensed property and casualty insurance producer headquartered or principally located in the State of New Jersey. In operation in the State of New Jersey for at least 5 years. Page 2 of 6

Experience with providing insurance procurement, risk management and claim handling services for governmental/public entities. Placement of property and casualty insurance premiums of at least $35,000,000. Dedicated claims department of no less than 5 claims personnel. Authorized insurance producer for at least twenty (20) A- (or better) insurance companies authorized to do business in the State of New Jersey. Experience placing business with the London market. No pending material insurance regulatory complaints or investigations. Errors & Omissions Liability insurance with a minimum of $15,000,000 in Limits of Insurance. Workers Compensation insurance with statutory limits including Employers Liability limits of not less than $100,000. Commercial General Liability insurance with limits of not less than $1,000,000 per occurrence and $2,000,000 in the aggregate. Automobile Liability insurance with limits of not less than $1,000,000. Commercial Excess/Umbrella Liability insurance with limits of not less than $5,000,000 Additional Insurance Requirements: - No deductibles or self-insured retentions in excess of $50,000 on all coverages except Errors & Omissions Liability insurance, which deductible or self-insured retention shall not exceed $250,000 - All Insurance shall be maintained with Insurance Companies with an AM Best rating of A- (Excellent), Class VII or higher - The Commission, the Commonwealth of Pennsylvania and the State of New Jersey shall be added as additional insureds on the Commercial General Liability, Automobile Liability and Excess/Umbrella insurance coverages, which coverages shall be primary to and shall not contribute with the Additional Insureds own policies in the payment of any loss. Such Additional Insured status shall be maintained for the duration of the contract and for three (3) years following the termination thereof. Page 3 of 6

- Prior to performing any work (and promptly upon the renewal of any of the coverages), the insurance service professional shall provide a certificate of insurance to the Commission reflecting all of the coverages set forth above. III. Response to Request for Qualifications In responding to this RFQ, please address the following areas: 1. Provide the names, contact information (addresses, telephone and facsimile numbers and e-mail addresses), relevant experience and proposed roles of those individuals who will be directly responsible for serving the Commission on a day-to-day basis. 2. Please give a brief history of your firm, specifically discussing your firm s commitment to providing insurance and risk management services to governmental or public entities. 3. Briefly describe your firm s qualifications, knowledge and experience in serving as insurance professionals, both in general and specifically relating to claim servicing and risk management for governmental entities or other entities with potential exposures that could be similar to those of the Commission. 4. Discuss your firm s experience and presence within the State of New Jersey and Commonwealth of Pennsylvania, including all formal and advisory relationships as well as offices and employees in either State. 5. Describe your firm s policy relative to the prohibition of discriminatory employment practices and compliance with applicable New Jersey pay-to-play rules and regulations. 6. Provide a summary of your expertise in procuring Property/Casualty Insurance and providing claims processing services. 7. Describe your firm s knowledge and experience with the London market. 8. In connection with insurance placement/procurement, describe your philosophy on the insurance bidding process, details on the methods you employ to collect underwriting data, and the structure of submissions to the insurance company underwriters. 9. Please describe any other unique characteristics which your firm feels are appropriate for consideration by the Commission. 10. Describe any litigation or regulatory investigations, threatened or pending, against your firm. 11. Provide an overview of the qualifications of your Service Team (which team shall include a dedicated Marketing Representative and Claims Representative) expertise, experience, depth and tenure with your firm Page 4 of 6

12. Please provide three references from current and/or past clients and discuss the services you have provided or are currently providing to them. Planned Fee Structure The Commission will provide a proposed structure for servicing fees and/or commissions to perform the services discussed above, in conjunction with the Pennsylvania insurance/risk management services counterpart, as previously described. The fees/commissions will be based on a percentage of overall fees/commissions paid to the Pennsylvania insurance/risk management services counterpart and be commensurate with the services requested and provided. Submission of Statement of Qualifications and Fee Proposal Please limit your statement of qualifications response to twenty (20) pages or less, and use no less than 12-point font. To be given consideration, all inquiries must be received by March 29th, 2010. Responses to the inquiries, if any, will be posted on the Commission s web site as an Addendum by March 31, 2010. All questions and responses will be posted on the Commission s web site at DRJTBC.org under the DOING BUSINESS header under the Request for Qualifications tab. The Commission will not be responsible for verbal responses. Responses received after this time and date will not be considered. E-mailed and/or faxed Qualifications will not be accepted under any circumstances. Selection will be made after consideration of all information requested and received including experience, quality of response, and New Jersey presence. The Commission reserves the right to establish a fee schedule that is acceptable to the firm(s) selected and to the Commission and to negotiate fees when appropriate. Communications with representatives of the Commission concerning this RFQ, except as expressly set forth above, by you or on your behalf are not permitted during the submission process. Page 5 of 6

The Commission reserves the right to appoint any insurance/risk management services professionals as may be appropriate. The Commission reserves the right to request additional information if necessary or to request an interview with firm(s) or to reject any and all submitted responses with or without cause, and waive any irregularities or informalities in the responses submitted. The Commission further reserves the right to make such investigations as it deems necessary as to the qualifications of any and all firms responding to the subject RFQ. In the event that all responses are rejected, the Commission reserves the right to re-solicit responses. The Commission will not be responsible for any expenses in the preparation and/or presentation of the responses and oral interviews, if any, or for the disclosure of any information or material received in connection with the RFQ, whether by negligence or otherwise. All information submitted in response to this RFQ will become the property of the Commission and may be open to inspection by members of the public. In the event the Commission determines that additional clarification or information to this RFQ is necessary, the Commission reserves the right to issue an addendum to this RFQ.
