N ADOPTED NOVEMBER 13, 1956 AMENDED OCTOBER 28, 1980 AMENDED OCTOBER 27, 1981 AMENDED OCTOBER 26, 1993 AMENDED FEBRUARY 8, 2005 AMENDED OCTOBER 13, 2006 AMENDED SEPTEMBER 30, 2012 ARTICLE I NAME The name of this Association shall be the Texas Association of Mutual Insurance Companies. ARTICLE II PURPOSE The purpose of this Association shall be to further the interests of Mutual Insurance Companies doing business in Texas. ARTICLE III OFFICERS The officers of this Association shall be a President, a President-Elect, a Vice President and an Executive Secretary/Treasurer. A term of office of President and President-Elect shall be two years; they shall be elected at the annual meeting. The President shall not succeed himself in office. The President-Elect shall act in the absence or inability of the President; and provided he or she is qualified and able, shall assume the presidency at the close of the annual meeting coinciding with the end of the two-year term of the President. The terms of office of Vice President and Executive Secretary/Treasurer shall be one year and they shall be elected at each annual meeting. The Vice President shall act in the absence or inability of the President or President-Elect.

ARTICLE IV MEMBERS Any Mutual Insurance Company doing business in Texas under Chapter 911 of the Texas Insurance Code or under repealed Chapter 12 of the Insurance Laws of Texas, may become a member of this Association upon approval by the Executive Committee of this Association. ARTICLE V MEMBERSHIP FEES The annual membership fees of member companies with direct written premiums less than $1.5 million shall be calculated by multiplying their direct written premium by the factor of.001. The annual membership fees of member companies with direct written premium of $1.5 million or more shall be determined by the Board of Directors. ARTICLE VI ASSOCIATE MEMBERS Any Mutual Insurance Company not a Texas Farm Mutual or a company not operating under repealed Chapter 12 of Texas Law or any Re-Insurance Company doing business in the State of Texas or any other interested company or organization, may become an associate member without delegate status or voting rights by contributing an annual membership fee of $500.00. ARTICLE VII VOLUNTARY CONTRIBUTIONS Voluntary contributions by any company may be made in excess of the minimum amounts set out above and will be accepted by the Association as such voluntary contribution. ARTICLE VIII VOTES Each member Association or Company shall be entitled to send as many delegates to any meeting as desired; however, each member shall be entitled to only TWO VOTES. These TWO VOTES shall be cast by such persons as may be designated by the President of the Member Association or Company. The voting delegates for each member of this Association shall be designated at the registration of those attending the convention. The President of TAMIC shall not be a voting delegate, but shall vote only in the event of a tie vote. The list of those to vote for each member company shall be read prior to the business session of the convention.

ARTICLE IX SALARIES AND EXPENSES The officers of the Association with the exception of the Executive Secretary/Treasurer shall serve without pay but shall be reimbursed for necessary travel expenses only by a majority vote at a regular meeting of the Association. ARTICLE X COMMITTEES 1. The Executive Committee shall consist of the Officers and five Directors to be elected by the membership at the annual meeting. The election of Directors shall be on a staggered basis and they shall serve a three-year term. The Executive Committee shall also serve as the Finance Committee and the Salary and Appropriations Committee. 2. Each company shall be entitled to select one representative to serve on the Legislative Committee. The Legislative Committee shall consist of the President and at a minimum, the individuals selected by each member company. Each member company shall be entitled to one vote. This committee shall elect their Chairman and Vice Chairman. The Executive Committee and Legislative Committee, acting in concert, shall appoint the Association Attorney and/or legislative representative and draft a contract(s) for his or her services. The contract(s) shall be reviewed annually. 3. The Membership Committee shall consist of a minimum of seven members. 4. The Program Committee shall consist of a minimum of five members and be chaired by the President-Elect. 5. The Seminar Committee shall consist of a minimum of five members and be chaired by the Vice President. 6. The Nominating Committee shall consist of three members that are past presidents or past officers of the Association. The President shall appoint the above committees, where applicable. The President shall name a Chairman and Vice-Chairman for each committee, excluding the Legislative Committee and Program/Seminar Committee. All committees shall be appointed immediately after the closing of the annual convention, except the Legislative Committee shall be named within 15 days after the convention closes. The President may appoint other committees as needed.

ARTICLE XI SECRETARY/TREASURER The Executive Secretary/Treasurer shall be in charge of the funds of the Association, and the Association shall furnish the necessary bond. The salary of the Executive Secretary/Treasurer shall be set at the annual meeting. ARTICLE XII ANNUAL MEETING The annual meeting shall be held in the first quarter of the fiscal year. A quorum shall consist of the delegates from at least seven member companies. ARTICLE XIII AMENDMENTS This constitution may be amended by two-thirds majority vote of the delegates attending any regular annual meeting, or a special meeting called for that and other purposes. ARTICLE XIV FISCAL YEAR The fiscal year of the Association shall be from September 1 to August 31. ARTICLE XV STATE SEMINAR AND ANNUAL CONVENTION The Executive Secretary/Treasurer shall have his or her expenses at the Annual TAMIC Mutual Seminar and Annual TAMIC State Convention and either the NAMIC SAO Workshop or the NAMIC Convention paid by the Association. ARTICLE XVI NATIONAL DELEGATE AND DIRECTOR The President shall serve as the Texas Director and Delegate to the National Association. In case of inability of the President to serve as Texas Director and Delegate at the National Convention, the President-Elect shall serve as such Director and Delegate and be entitled to perform all functions of such offices. The Delegate and Texas Director to the National Convention shall have his/her expenses paid by the Association.
