Candidates for Election to the 2012/2013 Council Eric C.H. Chan FCIS FCS(PE) Eric Chan is the Chief Consultant of Reachtop Consulting Limited, which provides services in solving business, financial, tax, HR management, corporate governance, information technology and other business issues for SMEs. Eric has over 18 years business experience and has worked in one of the four major international accounting firms performing statutory and computer audits, and also in listed companies performing reporting functions. Eric was one of the first holders of the Institute s Practitioner s Endorsement (PE). He served on the Exemption Sub-Committee from September 2010 to December 2011 and has been serving the Membership Committee & IT Sub-Committee since January 2012 and October 2011 respectively. He has been a mentor of the Student Ambassador Programme since 2006/07. His company has participated in the Summer Internship Programme for many years. Eric was a speaker at the SME Corporate Government Seminar in November 2009 & October 2010. He was a speaker at the IQS information session held in November 2010. He was one of the lecturers at the Examination Technique Workshops during all four examination seasons in 2010 & 2011. Eric has participated in various community services helping youngsters get to know the business world. He has been a mentor of the CUBA Undergraduate Mentorship Programme since 2007; a business advisor to the Junior Achievements Company Programme for 2011/12 & 2012/13; and Mentor of Youth Business Mentorship Programme under The Hong Kong Federation of Youth Groups since 2006. He is the Honorary Auditor of Kowloon Junior Chamber, Victoria Junior Chamber and Queensway Junior Chamber. As well as being a Fellow of the HKICS & ICSA, Eric is a fellow member of HKICPA & The Taxation Institute of Hong Kong, and is a Certified Tax Advisor. The PROMISES, if elected as Council member: 1. Bridge the gap between the members & the Council; 2. Bring into views of small to medium sized enterprises to the Council; 3. Help members to understand the philosophical aspects of the Council decisions; & 4. Enhance and Strengthen the benefits of the members. 1

Dr Eva Y.W. Chan FCIS FCS(PE), FCPA, FCCA, MBA, DBA Eva Chan is the Head of Investor Relations of C C Land Holdings Limited. She is mainly responsible for formulating the IR strategies for the company and conducting meetings with investors and fund managers all over the world. She also leads in a number of corporate finance exercises and corporate restructuring activities. She has more than 25 years experience and has been part of the senior management team of various listed companies in Hong Kong. Eva was admitted as an Associate of the ICSA in 1990 and elected fellow of ICSA & HKICS in 2006. She has been the Vice-Chairman of Membership Committee of HKICS since 2009. She actively participates in all the Institute s initiatives in various capacities, such as being a speaker and chair person at various CPD programmes organised by the Institute. She has been a member of the Membership Committee since 2007 and a member of Student Disciplinary Sub-Committee since 2010. She has represented the Institute on the Accountancy Training Board of Vocational Training Council since 2011; acted as a panel judge for the Corporate Governance Working Paper Competition 2011 and 2012; and was an author of the Guidance Note for HKICS Investor Relations Part 1 published in 2008. Eva is an Independent Non-Executive Director of New Environmental Energy Holdings Limited and is appointed as an Adjunct Professor in the School of Accounting and Finance of The Hong Kong Polytechnic University. She is the Chairman of Hong Kong Investor Relations Association. Eva graduated from The City University of Hong Kong with a Bachelor of Arts in Accounting. She then earned her MBA degree from The University of Nottingham, UK; and obtained a DBA degree from The Polytechnic University of Hong Kong. She is a Fellow member of HKICS, as well as of the ICSA, HKICPA & ACCA. If elected as a Council member, Eva will make suggestions to promote and market HKICS to employers and the business community in Hong Kong so as to raise the professional status of HKICS members. 2

Susie S.F. Cheung LL.B., LL.M. (University College, London), Solicitor, FCIS, FCS(PE) Susie Cheung was admitted as a Fellow of ICSA and HKICS in 2006. She was first elected to the HKICS Council in 2007, and is currently Chairman of the Membership Committee and a member of the HR Committee. Susie joined The Hong Kong Mortgage Corporation Limited (HKMC), which is wholly owned by the Hong Kong SAR Government, as its General Counsel when the HKMC was set up in 1997. She has also served as Company Secretary to five successive Financial Secretaries of Hong Kong who, ex officio, become Chairman of the Board of the Corporation. Susie has just been voted (November 2012) as recipient of the Outstanding Achievement Award at the Asia Women in Business Law Awards 2012 organised by the Euromoney Legal Media Group. Market Reform Initiatives and Community Project Contributions: Susie was instrumental in convening the project on the Standardisation of Mortgage Origination Documents in Hong Kong, which standardised documents are now widely adopted by mortgage lending banks in Hong Kong. In July 2011, Susie initiated the collaboration with The Law Society of Hong Kong under the Reverse Mortgage Programme launched by the HKMC for solicitors to act as counsellors to the elderly applicants to assist the elderly on their understanding of the implications of taking up a reverse mortgage loan. In June 2012, Susie was involved in structuring/ documenting the Microfinance Programme which aims to assist disadvantaged borrowers aspiring to become small business starters or to attain self-enhancement through training or upgrading of skills. Firm Proponent of Corporate Governance: Susie is a firm proponent of corporate governance, and actively participates in promoting amongst HKICS members the enhancement of their overall skillset. As Chair of the Membership Committee for the last 2 years, Susie has provided steer and support for the setting up of networking events for members with different needs which include Fellows-only events, Happy Friday for Chartered Secretaries and other social events relating to IT, personal development and environment. With the steady increase of the retired population in Hong Kong, the Membership Committee is now working towards galvanising the valuable experience of its retired senior members to provide mentorship to the younger fellow members on skillset issues and work challenges. Susie is also a Fellow of Hong Kong Institute of Directors, a Co-Convenor of the Asia-Pacific Structured Finance Association, and a member of the Land Titles Ordinance Steering Committees. She is a frequent speaker and contributor of articles on issues relating to corporate governance. Education Background: She obtained her LL.B. and LL.M. at University College in London. Before joining the HKMC, she practised as a solicitor with City law firms in London, specialising in banking, structured finance, aircraft financing and securitisation. Aspirations: Susie hopes to continue fostering the ethos of corporate governance and promoting skillset enhancement amongst members of the Institute and the community at large. 3

Jack S.L. Chow FCIS FCS Jack Chow is currently the Managing Director (Private Equities) of VMS Investment Group. Prior to joining VMS Investment Group, he was the Partner in charge of one of the three audit groups of KPMG China in Hong Kong. Jack has extensive experience in assisting Chinese companies in raising funds on Hong Kong and overseas stock exchanges. He has an in-depth knowledge of the different accounting standards and business regulations in the Mainland and Hong Kong and the listing requirements in the Mainland, Hong Kong, Singapore, the UK and the US. He advises companies on group restructuring arrangements and leads due diligence exercises in connection with mergers and acquisitions. Jack has developed very good relationships with central and provincial government bodies in the Mainland. Jack was admitted as an Associate of ICSA in 1987 and elected as a Fellow of ICSA & HKICS in 2009. He has actively participated in the Institute s ECPD seminars organised in Hong Kong and the Mainland. Jack was first elected to Council in 2009; he is currently the Treasurer and Chairman of the Professional Development Committee. Jack is a council member of the HKICPA, the Chairman of its Professional Conduct Committee and a member of its Registration and Practice Committee. He is also a fellow member of the ACCA. Jack is an Adjunct Professor of The Hong Kong Polytechnic University; he speaks regularly in seminars on issues relating to corporate governance and restructuring. He is also an appointed manager and supervisor of a number of primary and secondary schools in Hong Kong. He is the Chairman of Qi Chuang (Hong Kong) Social Network which provides social services through 20 centres in the Guangdong region. 4

Dr Gao Wei FCIS FCS Gao Wei is currently the Board Secretary and General Counsel of Sinotrans Limited. He is responsible for discharging company secretarial functions and co-ordinating with regulatory bodies to ensure compliance with the relevant rules and regulations and corporate governance standards. Dr Gao joined the Institute s Affiliated Persons Programme in 2004. He completed the IQS examinations in Beijing and was admitted to Associateship in 2009. He became a Fellow of the HKICS & ICSA in May 2011. He is a member of the PRC IQS Working Group and has been one of the co-ordinators of the Beijing regional board secretaries panel since 2010. He provides support and contributions to the Institute s Affiliated Persons Programme and has acted as speaker to the AP ECPD seminars and functions. He was co-opted as a Council Member in January 2012 and is a member of the Mainland China Focus Group and HR Committee. Dr Gao holds a bachelor s degree in engineering from Beijing University of Science and Technology; a master s degree in economics from the Central University of Finance and Economics; a doctorate degree in law from University of International Business and Economics; and a legal professional qualification. He is one of the pioneering board secretaries to have completed the IQS examinations in Mainland China. In view of the development of our IQS programme in China, he will contribute to the Institute in promoting the Chartered Secretary profession and the development of the PRC IQS examination on the Mainland. 5

Frankie H. Ho FCIS FCS Frankie was admitted as an Associate and Fellow of ICSA & HKICS in 2001 and 2004 respectively. He had served the Institute as reviewer of the Hong Kong Financial Accounting examination from December 2005 to December 2007. He is now a member of the IT Sub-Committee. Frankie is currently the Financial Controller of BDO Limited, the Hong Kong member firm of BDO International Limited, the world s fifth largest accountancy network. Before joining BDO Limited, Frankie worked in a number of international banks for more than 30 years in senior management positions up to Deputy Chief Executive Officer level and was responsible for finance, compliance, control, risk management, company secretarial functions, taxation, administration and information technology. Frankie has served as a Committee member of the ACCA since 2003. During the eight years to 2011, he has been the Co-chairman of following ACCA sub-committees: Tax, Student Affairs, Professional Development and Activities & Community Services. He was also a Council member of The Taxation Institute of Hong Kong for 2011/2012. As well as serving professional bodies, Frankie also actively participates in community services. He was appointed by The HKSAR Government as a Panel Member of The Board of Review from 2005-2010. Frankie has a master s degree in business administration, a master s degree in international accounting and a bachelor s degree with honoursin business studies. He is a fellow member of HKICPA, ACCA, AIA, the Institute of Chartered Accountants in England & Wales and the Taxation Institute of Hong Kong. He is also a member of The Chartered Institute of Marketing. If elected, Frankie would contribute his services to the Institute based on his good experience gained from the banking sector and other professional bodies. 6

Patrick H.K. Sung FCIS FCS Patrick Sung has been the Executive Director and Chief Financial Director of Guangnan (Holdings) Limited since March 2008, and was also its Company Secretary from June 2008 to April 2009. He is responsible for the group s finance and accounting, and legal and compliance matters, and for investor relations. After being the assistant CFO of Guangdong Investment Limited for two years, he was internally transferred to Guangnan in March 2008. Before that, he worked in the audit department of KPMG, a major international accounting firm, for over ten years, with extensive experience in restructuring, IPO and M&A exercises, in particular in the PRC context. Patrick graduated from The University of Hong Kong with a bachelor s degree in business administration, and he is a fellow member of the HKICPA, ACCA, a Chartered Financial Analyst (CFA) charter holder, and a member of CFA Institute in the United States and The Hong Kong Society of Financial Analysts. Patrick has been a member of the Institute s Education & Examination Committee since December 2011; and he also actively participates in the Institute s activities including being a mentor of the Student Ambassador Programme since 2009, a panel judge in the HKICS Corporate Governance Paper Presentation Competition, and a guest speaker in the IQS Information Session. Patrick believes that introducing and promoting the importance of Chartered Secretaries to university students, legal and accounting professionals, and in the PRC context will gradually raise the general awareness and professional status of the HKICS. With his enthusiasm for the profession and working experience in listed companies, he would like to contribute further to the Institute, and wishes to seek your support through your vote so as to get a new voice and thoughts on the Institute Council. 7

Polly O.Y. Wong FCIS FCS(PE) Polly Wong is a senior Chartered Secretary with over 20 years professional and extensive experience in corporate governance, regulatory, compliance and legal affairs of listed groups as well as keeping abreast of relevant technical and legislative developments. She is currently the Company Secretary and Financial Controller of Dynamic Holdings Limited. She has previously worked as assistant company secretary of Chen Hsong Holdings Limited and in senior company secretarial positions of blue-chip and Global Forbes 100 companies. Polly joined the Institute Council in 2007. She is currently the Vice President of the Institute, Vice-Chairlady of the Education Committee, Chairlady of the Exemption Sub- Committee and a member of the Audit Committee. She was the Vice-Chairlady of the Membership Committee in 2011 and has previously been a member of Professional Development Committee. She has been a Fellow of the Institute since 1996 and is also a holder of its Practitioner s Endorsement. Polly is a Fellow of the HKICPA and a member of the Advisory Peer Group of Marketing, Management and Decision Science Strand (Marketing Concentration) of The Open University of Hong Kong. She has been an instructor on company secretarial practice and corporate management subjects at Hong Kong Baptist University. She holds master s degrees in business administration and information system management awarded by Andrews University in the US and The Hong Kong University of Science and Technology respectively; and a bachelor s degree with honours in accountancy conferred by City University of Hong Kong. Polly s aspiration for the Institute is to extend the professional standing of its members, particularly in Mainland China, and to reinforce the worldwide recognition of its members professionalism, strengthening the awareness of corporate governance so as to sharpen the sustainable competitive edge of professionals in Hong Kong as a leading global financial centre. 8
