When signed by yourself, and accepted by the institution, this Student Enrollment Agreement ( Agreement ) forms a legally binding contract between yourself ( Student ) and SVBS Co. ( SVBS ). If you do not feel that you understand all the provisions, you are advised to hire a lawyer to advise you as to how your obligations and rights are affected by signing this Agreement. Program Description: Masters of Business Administration ( MBA ) Institution: SVBS Co. Silicon Valley Business School. The SVBS MBA program is designed to prepare graduates for careers in Silicon Valley and in industries adopting modern, hightechnology approaches to business. This unique MBA teaches contemporary topics such as startup management, entrepreneurship, raising venture capital financing, patent strategies and digital marketing. The Internet and advanced technology have transformed more traditional business functions such as accounting, advertising, customer relationship management and all the SVBS courses reflect how the latest technologies are adopted and business is conducted in Silicon Valley and the high-tech sector today. With this program, students are exposed to the legal aspects of business, gaining a practical understanding of important business topics like patents, contracts, the structuring of debt and equity financings, mergers, acquisitions, IPO s, company formations and the roles and duties of corporate officers and directors. With this legal knowledge, SVBS MBA graduates are able to structure and negotiate their own transactions and make strategic decisions based on understanding the legal as well as the financial and marketing aspects of modern business. Admissions Requirement: Bachelor s degree. Minimum time to complete program: 12 months. Maximum time to complete program: None. Educational Program: Masters of Business Administration MBA. Total Credits Required for Completion: 40. Program Start Date: Today s Date. Scheduled Completion Date: 12 Months from Today s Date. Period Covered by this Agreement: From Today Until Course is Completed or Date of Cancellation & Withdrawal. Deadline for Full-Refund Cancellation & Withdrawal: Seven Days from Today s Date. Schedule of Fees Entire Educational Program The total charges for the entire MBA educational program are $5,550. The total charges for the entire MBA educational program are $5,550. The costs are broken down as follows: Total Cost Of Course Enrolments: $4,050. Graduation Fees $1,500. Total Charges For M.B.A Program: $5,550 (all students outside California). Diploma Fees No Charge. Application Fees No Charge. Registration Fees No Charge. Question & Answer Message Boards No Additional Charge. Transfer Credit Fees Not Applicable. Parking Fees No Driving, No Parking, No Fees. California Residents California protects its student residents via the Student Tuition Recovery Fund ("STRF"). Students residing in California are responsible for paying the state assessment amount of the Student Tuition Recovery Fund ("STRF"). These fees are nonrefundable. However, the STRF rate is subject to change based upon the balance in the state s STRF account and effective January 1, 2015, the STRF assessment rate was reduced be zero ($0) per $1,000. Hence, at this time, there is no fee to students. So, if you reside in California you can expect to pay California $0 for the entire $5,550 SVBS M.B.A. tuition. If you do not reside in California or you reside in California and your course is funded by a third party, such as your employer, you may not be required to pay the STRF fees, and you may not be eligible for protection under and recovery from the Student Tuition Recovery Fund. 3 Total Charges for Period of Attendance SVBS departs from tradition when it comes to the financial commitment required of students. As a student, you decide which courses you will enroll upon in the upcoming period of attendance, and in any subsequent period of attendance. The courses you select to enroll upon during this upcoming period of attendance will determine the total charges you will incur during this period. You enroll on an SVBS course by paying for that particular course with your credit card online. In order to qualify for graduation from the MBA program, you are obliged to complete all the required courses, and you will incur the total charges specified above ($5,550, currently also $5,550 for California residents). However, you have the right to withdraw from a course, or withdraw from the MBA program at any time without incurring any fees beyond those you have already incurred at the time of withdrawal. If you wish to withdraw from the program at any time, you will incur no further costs, and may be eligible for refunds of the enrollment fees already paid (see Refund Procedures for details). Hence, the fees you are obliged to pay in this and future periods of attendance are determined by the courses you enroll upon, and you are not required to pay any minimum level of tuition fees during any period of attendance. In other words, your minimum total charges for this period of attendance, and any subsequent period of attendance is $0. Non-refundable fees: All SVBS fees are refundable in accordance with the Students Right to Cancel, below. For California residents who are required to pay the Student Tuition Recovery Fund fees, these fees are not refundable. Non-refundable fees and obligations to the California Student Tuition Recovery Fund (for California-residents): You must pay the state-imposed assessment for the Student Tuition Recovery Fund (STRF) if all of the following applies to you: 1. You are a student in an educational program, who is a California resident, or are enrolled in a residency program, and prepay all or part of your tuition either by cash, guaranteed student loans, or personal loans, and 2. Your total charges are not paid by any third-party payer such as an employer, government program or other payer unless you have a separate agreement to repay the third party. You are not eligible for protection from the STRF and you are not required to pay the STRF assessment if either of the following applies: 1. You are not a California resident, or are not enrolled in a residency program, or 2. Your total charges are paid by a third party, such as an employer, government program or other payer, and you have no separate agreement to repay the third party." The State of California created the Student Tuition Recovery Fund (STRF) to relieve or mitigate economic losses suffered by students in educational programs who are California residents, or are enrolled in a residency program attending certain schools regulated by the Bureau for Private Postsecondary Education. You may be eligible for STRF if you are a California resident or are enrolled in a residency program, prepaid tuition, paid STRF assessment, and suffered an economic loss as a result of any of the following: 1. The school closed before the course of instruction was completed. 2. The school's failure to pay refunds or charges on behalf of a student to a third party for license fees or any other purpose, or to provide equipment or materials for which a charge was collected within 180 days before the closure of the school. 3. The school's failure to pay or reimburse loan proceeds under a federally guaranteed student loan program as required by law or to pay or reimburse proceeds received by the school prior to closure in excess of tuition and other costs. 4. There was a material failure to comply with the Act or the Division within 30-days before the school closed or, if the material failure began earlier than 30-days prior to closure, the period determined by the Bureau. 5. An inability after diligent efforts to prosecute, prove, and collect on a judgment against the institution for a violation of the Act. 3 P a g e

4 However, no claim can be paid to any student without a social security number or a taxpayer identification number. STUDENTS RIGHT TO CANCEL You have the right to cancel this Agreement and obtain a refund of charges paid through attendance at the first class session, or the seventh day after enrollment, whichever is later. Cancellation & Withdrawal Procedure Following notice of cancellation and withdrawal from a course, depending on how much of the course has been completed you are possibly eligible for a pro-rata refund from SVBS. Refund Procedures If you wish to withdraw from a course, please send an to info@svbs.co informing SVBS that you request immediate withdrawal from such course. Your notice of cancellation and withdrawal from such course will be effective when you successfully transmit this message. SVBS administration staff will unenroll you from such course and you will no longer have access to the course materials online. Refund Calculations Instructor-Led Courses In the event that your notice of cancellation and withdrawal from a course takes place before the first class session, or the seventh day after the date of enrollment, whichever is later, SVBS will provide you with a full (100 percent) refund of the fees you paid for such course. In the event that your notice of cancellation and withdrawal from a course takes place before 61% of the course attendance has been completed, SVBS will provide you with a pro-rata refund of the fees you paid for such course. As an illustration, if your withdrawal takes place during week 5 of a 10 week course, you will be eligible for a 50% refund. In the event that your notice of cancellation and withdrawal from a course takes place after 61% of the course attendance has been completed, you will not be eligible for any refund of the fees you paid for such course. However, you will remain enrolled on such course, and you will continue to have access to the course materials. As an illustration, if your withdrawal takes place during week 7 of a 10 week course, you will be eligible for no refund but you will continue to have access to the course for the full 10-week period of time. If you have received federal student financial aid funds, you are entitled to a refund of moneys not paid from federal student financial aid program funds. Refund Calculations Self-Paced Courses A course comprises a number of sections. A section comprises a heading, learning materials, a Q&A Messageboard and a quiz. Your progress through the course, and each section of the course, is tracked in the SVBS online learning management system and this data will be used to determine which sections of the course you have accessed. If you have accessed less than 10% of the sections of a course, you will be eligible for a full (100%) refund. If you have accessed between 10% and 60% of the sections of a course, you will be eligible for a pro-rata refund. So, by way of illustration, if you have accessed 30% of the sections of a course, you will be eligible for a 70% refund. Once you have accessed more than 60% of the sections in a course, you are no longer eligible for a refund on that course. Refund Payments Should you withdraw from a course and be eligible for a refund, SVBS will pay or credit the refund to you within 30 days. California Student Tuition Recovery Fund ("STRF") Payments Non-Refundable Residents of California paying their own tuition fees are required to pay into the California Student Tuition Recovery Fund ("STRF"). These fees are retained by the State, and are non-refundable. 4 P a g e

5 NOTICE CONCERNING TRANSFERABILITY OF CREDITS AND CREDENTIALS EARNED AT OUR INSTITUTION The transferability of credits you earn at SVBS is at the complete discretion of an institution to which you may seek to transfer. Acceptance of the master s degree you earn in business administration is also at the complete discretion of the institution to which you may seek to transfer. If the credits that you earn at this institution are not accepted at the institution to which you seek to transfer, you may be required to repeat some or all of your coursework for that institution. For this reason you should make certain that your attendance at this institution will meet your educational goals. This may include contacting an institution to which you may seek to transfer after attending SVBS to determine if your credits will transfer. SVBS does not accept credits from other educational institutions. If you have been studying at another institution, your studies there may have helped prepare you for the examination modules that you are required to pass in order to complete your course at SVBS. However, you will be required to earn a passing score in the SVBS examination modules in order to complete your course. Passing scores in courses from other institutions will not eliminate the necessity of taking and passing the SVBS examination modules. Student Loans If you obtain a loan to pay for an educational program, you will have the responsibility to repay the full amount of the loan plus interest, less the amount of any refund. If you are eligible for a loan guaranteed by the federal or state government and you default on the loan, both of the following may occur: (1) The federal or state government or a loan guarantee agency may take action against you, including applying any income tax refund to which you are entitled to reduce the balance owed on the loan. (2) You may not be eligible for any other federal student financial aid at another institution or other government assistance until the loan is repaid. California Student Tuition Recovery Fund (STRF) You must pay the state-imposed assessment for the Student Tuition Recovery Fund (STRF) if all of the following applies to you: 1. You are a student in an educational program, who is a California resident, or are enrolled in a residency program, and prepay all or part of your tuition either by cash, guaranteed student loans, or personal loans, and 2. Your total charges are not paid by any third-party payer such as an employer, government program or other payer unless you have a separate agreement to repay the third party. You are not eligible for protection from the STRF and you are not required to pay the STRF assessment if either of the following applies: 1. You are not a California resident, or are not enrolled in a residency program, or 2. 6 Notice to Prospective Degree Program Students This institution is provisionally approved by the Bureau for Private Postsecondary Education to offer degree programs. To continue to offer this degree program, this institution must meet the following requirements: Become institutionally accredited by an accrediting agency recognized by the United States Department of Education, with the scope of the accreditation covering at least one degree program. Achieve accreditation candidacy or pre-accreditation, as defined in regulations, by (date two years from date of provisional approval), and full accreditation by (date five years from date of provisional approval). If this institution stops pursuing accreditation, it must: Stop all enrollment in its degree programs, and Provide a teach-out to finish the education program, or provide a refund. An institution that fails to comply with accreditation requirements by the required dates shall have its approval to offer degree programs automatically suspended. Institutional Representative Initials: Date: Catalog and Performance Fact Sheet Student Initials: Date: Prior to signing this enrollment agreement, you must be given a catalog or brochure and a School Performance Fact Sheet, which you are encouraged to review prior to signing this agreement. These documents contain important policies and performance data for SVBS. SVBS is required to have you sign and date the information included in the School Performance Fact Sheet relating to completion rates, placement rates, license examination passage rates, and salaries or wages, prior to signing this agreement. Student Signature: Date: I certify that I have received the catalog, School Performance Fact Sheet, information regarding completion rates, placement rates, license examination passage rates, salary or wage information, and the most recent three-year cohort default rate, if applicable, included in the School Performance Fact Sheet, and I have signed, initialed and dated the information provided in the School Performance Fact Sheet. Student s Obligations Your obligations under this Agreement are to make reasonable progress toward completion of the program and to meet all your financial obligations, subject to your right to cancel and withdraw (see STUDENTS RIGHT TO CANCEL, page 4). SVBS Obligations SVBS has obligations under this Agreement to deliver the program, to maintain a website where courses can be delivered and materials accessed, to maintain student records permanently, and to comply with your rights to privacy and other rights you are entitled to under the terms of this Agreement. SVBS will transmit the first lesson and any materials to any student within seven days after SVBS accepts the student for admission. 6 P a g e

THE TOTAL CHARGES THE STUDENT IS OBLIGATED TO PAY UPON ENROLLMENT: $5,550. Note: the Period of Attendance is the entire period of time taken by the student to complete the M.B.A. program. Note: the student enrolls on courses individually, and is obligated to pay for each course upon enrollment of such course. I understand that this is a legally binding contract.
