1 Page 1 This agreement will be modified from the existing Casino Contract, and will have its own book, which is currently being prepared. (1) Three year agreement effective March 1, 2014 (expiring March 5, 2017) with a first rehearsal date of March 31, 2014 (2) Contract based on a seven show week. All applicable pro rations will be in 1/7ths instead of 1/8ths. (3) Financial Package o Salaries (year 2, 2% increase / year 3, 3% increase) Base Actor Salary Base SM Salary Base 1 ASM Salary Base 2 ASM Salary o Terms Principal/SM Term 200 Chorus Six Mo Rider 80 Chorus 2 nd /subsequent Six Mo 40 o All others on a 4 week notice provisions, such notice to be applicable to Producer as well as actors/sms, with Just Cause beginning four weeks after the first paid public performance. o Parts, Increments, Etc. Principal u/s 40 Chorus Part 20 Chorus Part u/s 15 Partial Swing (per #) 15 Set/Prop Move 7 Dance Captain 20% Asst Dance Captain 10% (at Producer's sole discretion to have/not have) Swing Premium 5% Overtime rate 15 payable in 1/2 hour increments o Payroll To be paid one week behind Any actor who requests 1/2 week, 1/2 week at start can have that option o Benefits Pension: 8% Health: break even rate, capped at $175/week, inclusive of $4 SWC 401k: Producer agrees to allow/process voluntary deductions from actors into AEA fund. No producer contribution. Vacation One week at a time, only, until everyone has gotten a week. No more than one man/woman at same time.

Illness and Sick Leave: Unpaid absence days may not be used consecutively with vacations o Relocation/Housing/Transportation Housing All actors who do not have a residence in Las Vegas shall be provided with a choice of the following, which choice shall be made at time of contract signing: Option A: $7,500 relocation allowance. Payable in installments directly to actor (1/3 on first week of rehearsals, 1/3 on final week of rehearsals, 1/3 on opening night) o Producer agrees to make direct payments of rent or security deposits in lieu of relocation allowance, capped at allowance total. Option B: Actor shall receive producer provided single occupancy housing for the period commencing with actor's arrival in LV through 60 days following actor's first performance. Additionally, at the conclusion of the 60 days, actor shall also receive $1,000/month for the next 4 months as a housing allowance. Housing for OOT actors during NYC rehearsal period: Where pre production or rehearsal prior to the first paid public performance Producer shall provide, at Actor s option, any Actor who is more than 70 miles away from Actor s Place of Residence, either: (1) $61 per day, as reimbursement for housing costs ($62, effective June 2, 2014; $63, effective June 8, 2015); or, (2) Single occupancy housing within reasonable commuting distance to rehearsal, at no cost to the Actor. Said housing or per diem shall be provided from the first day of rehearsal up to the time the company leaves the pre production location or the first paid public performance, whichever is earlier. Transportation Producer shall have no obligation to provide actors with per diem or local transportation (under either option). Air travel pre approved. Producer agrees to give any actor the cost of the air ticket rather than requiring them to fly, as long as the actor arrives as required by the production. Allowable hours 7 am 9 pm instead of 8 am 9 pm. No requirement that the Producer provide all expenses usually paid or furnished the traveler under first class air travel in the event of a delay. Producer will pay for one checked suitcase (airline limitations apply) on the plane plus 400lbs shipping both ways, by producer's choice of shipping method. (an additional 100 pounds shipping on the return for those who have been with the show at least one year.) Producer will reimburse for ground transportation to and from the airport up to $40. Producer will reimburse for meals on travel days up to $20.

3 Page 4 Tropicana perks: Actors will have access to the Tropicana Employee Dining Room for one meal per shift pre Opening and one meal per day on twi night shows. Actors will have access to the employee parking area Term of Employment Reduce required health payment to one week in those circumstances in which one week of employment is the guarantee. Agents No requirement that Producer pay commission should it invade minimum salary. (4) Auditions o Initially all to be held before any New York appointment calls, but in any order among them: One day of EPAs in Las Vegas One day of Chorus Calls in Las Vegas (1/2 day singers; 1/2 day dancers) One day of EPA in Los Angeles Two days of Chorus Calls in Los Angeles (one day singers; one day dancers) o Ongoing Once/year One day of EPAs in Los Angeles Once/year One day of Chorus calls in Los Angeles (1/2 day each) Las Vegas auditions only as needed. There will be a mechanism for local actors to request to be seen when appropriate personnel are in town and available. The details of that are still being resolved, but staff will distribute the information widely as soon as it is finalized. o Personnel No specific title requirements Production to provide personnel with decision making authority. o Ability to tape 'call backs' provided at least one decision maker is in the room. o Payment due after the fourth audition (excluding the initial one) at the rate of one seventh of minimum. (5) Chorus o Delete restriction of when principal understudy assignments may be added (currently not later than two weeks after the first paid public performance). o Insert Swing Committee (two from each side), rather than AEA sole determination Add Company Manager to Shoe Committee Determination of Classification The original breakdown will apply, which has not been changed or amended since the original done for the Broadway opening in 2001.

4 Page 5 (6) Stage Managers/Assistant Stage Managers o Reduce required rehearsal time for replacements from one week to two days. (7) Safe and Sanitary o There will be a rake, not steeper than previous rakes in Las Vegas & New York (.6 to the foot.) o All performers qualify for "extra risk" determination if rake is used, but no payment is required. o Smoke and haze as previously used, with appropriate testing for new venue. (8) Schedule o 3 and 1/2 hours between curtains on twi night shows (one hour inclusive of half hour). (i.e. 5:30pm & 9pm). See above re EDR access. Stage Managers will also receive one hour at double overtime each time this schedule occurs. o Tech: A total of six 10/12 days o If there is an 8th show in a week, payable at 1/7 th ; 9th show in a week payable at 2/7ths. o A maximum of two invited dress rehearsals (without admission charge), which will not count as the first performance. (9) Layoffs o Ability to layoff for up to four weeks per calendar year. o Producer will use best efforts to give four weeks notice of any layoff weeks. Should scheduling by the Hotel make this impossible, the General Manager will confirm that. o Producer will use best efforts to schedule two playing weeks between layoff weeks (pending Hotel approval). o No salary during layoff weeks, but sick pay continues to accrue as does the weeks toward vacation qualification. o If there are any layoffs scheduled in a year, Producer will provide up to one plane ticket (capped at $300) one time/year for actor to use. This ticket has no cash value. (10) Media/Taping/Etc. o Producer shall have the option to utilize current media rules as they exist under both the Producion/SET contracts by paying all actors an additional "media fee" of 3% of actor minimum. If Producer makes such election after the first paid public performance, the media fee shall be retro to the first paid public performance of the current contract year. o Ensemble recordings: Ability to record usual MAMMA MIA tracks, with a buyout of one week's minimum salary to continue use after an actor leaves the production. o Photographs: Photo calls after the first paid public performance are limited to four hours for each principal cast change.

5 Page 6 Exclude paid advertising from the requirement for photo credits. Photos used in advertising can be used in perpetuity around the world (excluding non union productions). Rate for commercial use to be $300 for use OR $200 per hour if special call. (11) Replacement of Actor o Alumni of other productions will only be required to have one day of rehearsal plus a put in. (12) Costume Calls o Replace with the following: (A) Once a contract has been issued by the Producer, the Actor shall be available prior to the rehearsal period for up to five costume calls, at mutually convenient times, for purposes of measuring and trying on all items including, but not limited to, hats, shoes, wigs and costumes. Such calls scheduled contiguously at a distinct location shall count as one costume call. A call scheduled on the same day as a call at another location shall be counted as a separate call. Any calls beyond five shall be paid at one and one half times the overtime rate for each half hour or part thereof, to be paid with the Actor s first paycheck. If given his notice prior to the third week of rehearsal, Actor shall receive onesixth of Rehearsal Salary, for each such day or part thereof applied to costume measuring in addition to other sums provided for in the Contract of Employment. (B) After the First Day of Employment. Actors may be called for up to five hours of costume calls in addition to the rehearsal period herein prescribed. In no event may a costume call be less than one hour. Should the total time of costume calls exceed five hours, the Actor shall be paid at the overtime rate (see Rule 58(D)(3)) for each hour of part thereof beyond five. Said costume calls shall be permitted in addition to the rehearsal period herein described, provided they are consecutive. After the Actor's first paid public performance, costume calls shall be considered part of the rehearsal hours and span of day. (C) When a costume call under (A) or (B) above occurs locally at a place other than the place of rehearsal, the Producer shall provide, or reimburse the Actor for, transportation to and from such costume call. The manner of transportation shall be determined by the Producer. (D) When an Actor is required to travel to another city or town for measurement or fitting, the Producer shall pay the cost of airfare and ground transportation and shall pay the Actor full per diem for each night the Actor is away from his current residence or onehalf per diem if the Actor can return to his current residence the same day. If the Actor has not yet begun employment, the Producer shall also pay the Actor no less than onesixth of minimum salary for each day the Actor is required to be away from his current residence. If the Actor is already employed by the Producer, the Actor shall be paid all salary due for the week, including salary for any rehearsals or performances missed because of the travel. If travel or measuring/fitting takes place on the Actor s scheduled day off, Actor shall be paid no less than one sixth of Actor s current salary in addition to all other salary due or be provided a compensatory day off in the workweek.

6 Page 7 (13) Announcements / Billing o Changes in cast will be posted outside the theatre on an understudy board (not stuffed or announced). o The production will provide a free playbill that will include actors pictures (headshots) and brief (no less than 25 words) bios. o A cast board will be outside the theatre listing the full company (but no headshots). o Playbills will be printed monthly (approx.), and Producer will use best efforts to make all casting changes with each playbill printing. No penalties will apply for casual and inadvertent printing errors. o Souvenir Books are TBD. o Actors images in advertising are in perpetuity, excluding non Equity productions (14) Contracts o If the Actor has not returned the signed contract to the Producer, it is not a breach if the Producer has not filed the contract. (15) Grievance and Arbitration o Amend so that the parties agree on the arbitration location. o Add the Production Contract list of arbitrators. o Add a provision that prior to going to Grievance or Arbitration, the parties mutually agree to try to resolve the dispute in good faith.
