EXECUTIVE SUMMARY Action Proposed: Staff proposes that the Board of Education authorize staff to negotiate and enter into a Power Purchase Agreement (PPA) and related agreements with SunEdison Corporation or its affiliate to install a photovoltaic solar panel array of approximately 603 kw at three schools and to provide electricity from the array that will result in cost savings to the District as compared to the utility rates paid to Southern California Edison in accordance with Government Code Section et seq. The three schools proposed for this installation are: Parmelee Elementary School Southeast Senior High School Carson Senior High School 123 kw 170 kw 310 kw It is further recommended that the Board of Education approve retaining 100% of the renewable energy credits associated with the solar project. Staff Recommendation and Rationale: Background: It is recommended that the Board of Education approve the PPA so that District staff may initiate design and construction at each of the three schools identified in the proposed action and thereby offset energy purchases from the utility at these facilities using a renewable resource, and follow the intent of Assembly Bill 32 (AB 32), to reduce greenhouse gas emissions through energy conservation. It is further recommended that the Board of Education approve retaining 100% of the renewable energy credits associated with the solar project. This project will be a part of the District s program to install 50 MW of renewable technology at schools and other facilities by 2012 and will reinforce the strong commitment of the Board of Education to Sustainability Programs in the District. 2 the District s desire to reduce greenhouse gas emissions as intended by AB 32. AB 32, Nunez. Air pollution: greenhouse gases: California Global Warming Solutions Act of Policy Implications: Budget Impact: The requested actions are consistent with the implementation of the Sustainability Resolutions adopted by the Board of Education in October 2007 and May The requested actions do not involve the expenditure of General Funds except for approximately $12,000 as a deposit to the State operated California Solar Initiative Program that will be refunded upon project completion; the project is designed to result in lower electricity costs than the projected bundled utility rates that the District will pay to Southern California Edison (SCE). Issues/Considerations: This project is subject to Field Act compliance, and therefore will require DSA review. Effect of yes vote: Effect of no vote: The authorization to enter into a PPA would provide for approximately 603 kw of solar energy to SunEdison Corporation at a cost per kilowatt hour that is less than projected bundled SCE utility rates for a period not less than twenty years. If approval for this project is denied, the District may not be able to meet its objective to have this solar installation completed in In addition, the Federal Investment Tax Credit for solar installations is scheduled to expire at the end of 2008 and is a significant part of the cost savings to the District. Given the estimated installation time period of 3 months, if this project is not approved, there is a strong likelihood that future projects will not be completed by the end of 2008 and therefore, those projects will not result in cost savings to the District. BOARD REPORT Action Proposed: Staff proposes that the Board of Education authorize staff to negotiate and enter into a Power Purchase Agreement (PPA) and related agreements with SunEdison Corporation or its affiliate to install a photovoltaic solar panel array of approximately 603 kw at the three schools listed in the proposed action and to provide electricity from the array that will result in cost savings to the District as compared to the utility rates paid to Southern California Edison in accordance with Government Code Section et seq. It is further recommended that the Board of Education approve retaining 100% of the renewable energy credits associated with the solar project. Expected Outcomes: The solar array will provide the District with approximately 603 kw of solar energy in a twenty year program that is projected to be lower than bundled SCE utility rates throughout the life of the project. Board Options and Consequences: Staff has structured the project to result in lower energy costs to the District compared to bundled SCE utility rates. Using the projected savings, the District has the option to purchase the Renewable Energy Credits (RECs) associated with the solar power. RECs are certificates that represent the environmental attributes or greenness of renewable power. RECs can be separated from the associated electricity and sold to other entities that may claim them as a demonstration of its commitment to green power or to satisfy a legal requirement to purchase electricity from renewable sources. Since there is not an established market in California for RECs at this time, the price of RECs is very low, however it is anticipated that a market will be created with the development of regulations under California s Renewable Portfolio Standard and AB 32. For example, by retaining the RECs, the District will be able to demonstrate that it is using green power or sell the RECs at a later date if and when the REC market is created. In addition, the District may be able to offset the greenhouse gas emissions of its other operations by retaining the green attributes of the solar power, rather than selling them. Bd. of Ed Rpt. 4 There are three different options available under the proposed Power Purchase agreement with respect to ownership of the RECs: 1. The first option would sell 100% of the RECs to the third party holding the PPA. Under this option, the District would realize an estimated $532,780 in utility cost savings over a 20 year period, but would not be able to take any credit for renewable energy generation, nor would the District be able to reduce its greenhouse gas footprint. The RECs could be sold by the PPA holder to any other entity for the purpose of offsetting that entity s greenhouse gas emissions. This option would also prevent the District from using the RECs to offset emissions from its Transportation fleet until such time as the fleet could reduce its emissions through fuel source conversion. 2. The second option would sell 50% of the RECs to the third party holding the PPA. Under this option, the District would realize an estimated $368,088 in utility savings over a 20 year period, and would be able to take half of the credits generated by the facility as renewable energy credit. 3. The third option involves the District retaining 100% ownership of the renewable energy credits. Under this option, the District would realize an estimated $203,395 in utility savings over a 20 year period, and would be able to take all of the renewable energy credits generated by the facility. In both the second and third options, the District would reserve the right to sell its RECs at a later date. Staff recommends that the Board of Education approve retaining 100% of the renewable energy credits associated with the solar project. Policy Implications: The requested actions are consistent with the implementation of the Sustainability Resolutions adopted by the Board of Education in October 2007 and May Bd. of Ed Rpt. 5 Budget Impact: Staff estimates that there will be savings to the General Fund, regardless of the option the Board chooses: Option 1 Option 2 Option 3 Sell 100% of Renewable Energy Credits to Third Party Power Purchase Agreement Holder Sell 50% of Renewable Energy Credits to Third Party Power Purchase Agreement Holder 100% Ownership of Renewable Energy Credits by the District Approx. $532,780 Approx. $368,088 Approx. $ 203,395 Issues and Analysis: No legal issues Legal informative attached The installation of photovoltaic solar panel arrays through a PPA is authorized by California Government Code et seq. which requires that the Board make a determination in a public hearing that the anticipated costs of the project is less than the electricity that the District would otherwise need to purchase from the local utility. If the project satisfies that requirement, the Board can select a vendor without going through a competitive bidding or negotiation process. In July 2008, Facilities Contracts conducted a Request for Qualifications (RFQ) process to select qualified vendors to provide renewable energy products and services. This process provided additional suppliers from the original RFQ process issued in Bidders from both the 2008 and 2006 RFQ were eligible to submit proposals. Subsequently, Facilities Contracts conducted an informal bid process to engage competitive bids for this project. Consequently, the District has done more than is required under the law to select a vendor. In addition, the project generates cost savings as compared to the projected SCE bundled utility rates and therefore satisfies the requirements of California Government Code et seq. As part of a PPA transaction, the solar array is owned by a third party and the District receives the electrical output from the array. As part of the financing requirements of the third party, the PPA may be with a special purpose entity affiliated with SunEdison Corporation, however the installation, maintenance and operations of the array will be performed by SunEdison Corporation employees. As background, SunEdison Corporation is a large contractor of large scale solar photovoltaic systems. It is a publicly traded company with sales in excess of $160,000,000 for their 2007 fiscal year, and has designed and Bd. of Ed Rpt. No /09 Page 5 of 7 Board of Education

6 installed more than 60.9 MW rooftop solar installations in the US, 20.8 MW of which was installed in California. The Office of General Counsel and Facilities Contracts have monitored this process to ensure full compliance with the appropriate laws and internal District policy. Committee Information: Reporting Requirements and Benchmarks: This item did not appear on the agenda of any Board Committee. Staff has concluded that this proposed project will help facilitate implementation of the renewable energy program toward the stated objective of 50 megawatts of renewable energy by 2012, and that the project will generate operational savings as compared to the estimated otherwise applicable tariff rates from Southern California Edison for this facility. Progress on both the construction phases and the subsequent operation of this project will be reported quarterly as part of the updates provided by Existing Facilities for the Sustainability Initiatives program.
