2 OVERVIEW This document outlines a proposed 630 kw system on the Overland parking structure for Sony Pictures Entertainment ("SPE") as part of Southern California Edison's ("SCE") Solar Photovoltaic Program ("SPVP"). SPVP is a five-year utility procurement program adopted by the California Public Utilities Commission (CPUC) to advance the development of distributed solar projects in SCE's service territory. This program allows property owners to sell 100% of the power generated from solar installations in a 20- year contract. Why Solar Now? The green revolution is fully underway and here to stay in the US as states and local communities and utilities, with federal support, work together to reduce our dependency on fossil fuels and foreign energy sources. New technologies, falling panel prices and tax benefits have paved the way for rapid growth in the solar industry (76% annually since 2007). Further, SCE is required by the state of California to generate 33% of its power from renewable sources by 2020, and the SPVP is instrumental in achieving this. Why Solar Provider Group? Solar Provider Group has extensive experience in the mature solar markets of Canada, Germany, Italy and the UK. We have a strong track record in executing solar projects cost efficiently. To date, our team has installed over 50,000 kw of solar capacity, 20,000 of which on rooftops. We recently finished constructing the very first project in LADWP's recently launched CLEAN LA Solar Program, which speaks to our ability to execute quickly and efficiently. As a fully vertically-integrated company, we are a "one-stop shop" and will be SPE's single point of contact. We take responsibility for and ensure project quality throughout the entire development and construction process. This includes executing all required agreements with SCE; obtaining necessary permits; arranging financing; and completing system design, installation, interconnection, and commissioning. SPVP OVERVIEW SPVP is a five-year utility procurement program adopted by the CPUC to advance the development of distributed solar projects in SCE's service territory. In order to qualify, solar systems must be at least 500 kwdc and not greater than 10 MWdc. The PPA rate is established through a confidential competitive offer process, where the lowest bids are generally awarded contracts. The established rate is subject to an annual escalator as well as a time-of-delivery multiplier.

3 630 KW SOLAR CANOPY INSTALLATION Per our initial site visits, we have estimated that the Overland parking structure can support a 630 kw system, or enough to power 125 homes. Solar Provider Group would enter into a lease with SPE. Ordinarily, the lessor would receive 10% of the annual revenues generated by the solar installation as a lease payment. However, given the high cost of a solar canopy installation, the PPA rate offered through SPVP will not be high enough to support an annual lease payment to Sony. We can, however, provide a modest upfront lump-sum, which will be determined upon confirmation of the PPA rate with SCE. Based on current assumptions, we believe that we can provide Sony with an upfront payment of $30-45k to be paid upon project completion. It should be noted that the solar canopies will provide non-monetary benefits to Sony, specifically, they will make a very visible and powerful "green" statement to both employees and guests, and those parking on the top level of the parking structures can enjoy covered parking. SPVP PROJECT TIMELINE AND NEXT STEPS Applications for SPVP are currently being accepted through December 2, SPG has already submitted a pre-application to SCE, and SCE has confirmed that the grid capacity near the Sony lot can accommodate up to a 1 MW solar installation. Prior to submitting the SPVP application, an interconnection study must be completed by SCE, which will take business days. In order to submit a request for the interconnection study, SPE must provide a copy of the grant deed for West Washington Blvd. The entity on the grant deed will be the official "Applicant" on the interconnection request form, which must be signed by SPE. This does not obligate SPE to anything--it is simply a request to SCE to complete the interconnection study. Given the fast-approaching December 2nd deadline and the time required for SCE to complete its study, the study request should be submitted by the end of October. The SPVP application also requires an executed lease option agreement. All other application requirements, including associated fees, will be submitted by Solar Provider Group. SCE will notify bidders by mid-january 2014 if they have been awarded. PPAs will be signed shortly thereafter in February. Simultaneously, SPG will commence the permitting process, which will likely take 8-12 weeks. Therefore, construction could begin as early as late-april or May That said, SCE allows 18 months (and 24 upon written approval) for construction from the time the PPA is signed, so SPG will work with Sony to determine the most convenient time for construction. Construction will take 4-8 weeks for a 630 kw system.

6 Common Questions 1) Does the system have a warranty? Yes. We guarantee our work for one year and the hardware (e.g., panels, inverters, etc.) carries a year warranty, depending on the manufacturer. 2) Does Solar Provider Group carry insurance? We provide full liability and business interruption insurance. To date, we have had zero property-related insurance incidents. 3) Who will operate my system? Once installed, a solar system is pretty hands off. However, we will continue to stay involved and service the project through an O&M contract. 4) What if I need to replace my roof during the 20-year contract? We can easily remove and reinstall the system. Typical roof replacements take a week or two, so lost solar revenues are minimal. Further, the contract with SCE allows outages with advance notice. 5) Will this damage my roof? No. Flat rooftops require minimal penetrations, leaving your roof s warranty intact. Small repairs to your roof are complimentary and all improvements will be documented. 6) Will my tenants be disrupted during construction? No. The construction process will be minimally invasive to day-to-day operations. 7) Will my property taxes increase? No. 8) Will the solar panels be visible? Only if you want them to be. Lease Contract Summary 1. Lessee shall have access to the rooftop and relevant ground sites to install the solar facility, as well as repair and maintain the facility, when necessary. Lessee shall give Lessor reasonable prior notice and shall perform installation, repair and maintenance during pre-determined hours. 2. Lessee shall be entitled to transfer ownership of the solar facility to another party. 3. The term of the lease agreement is 20 years with a renewal option for an additional 10 years. 4. Lessor shall maintain roof in good workable conditions during the 20-year term.

7 5. In case of an emergency repair on the rooftop, Lessor shall inform Lessee within three business days. 6. In case of scheduled repairs on the rooftop, Lessor shall inform Lessee in advance, at least 30 days prior to start of repairs. Lessor shall perform such repairs in less than 30 days. During the Term, Lessor has the right to fully replace the roof once between the months of October and April. 7. Except in the case of emergency repairs, no routine roof maintenance and repairs shall be scheduled during the summer months. All such work shall be completed between October and April to minimize lost revenue of the solar facility. 8. Insurance: Lessee will cover all insurance costs related to the solar facility. Lessor will continue to hold property, damage and liability insurance for the building (excluding solar facility). 9. Removal: Lessee will remove solar facility at own expense at the end of the lease or Lessee and Lessor agree to renew the lease. 10. Change of Ownership, Bankruptcy or Default: In the event that Lessor sells building, goes bankrupt, or is in default, the Solar Facility shall remain the Lessee s property at all times, and the Lease shall remain intact and transfer to the new building owner. Customer Quotation Checklist At Solar Provider Group, our goal is to provide you with as much assistance as possible in order to help you get your solar PV installation completed quickly and smoothly. Not only will we provide you with a turnkey solution for your solar needs, but we will also provide you with any information required in order to help you make the best possible decisions. Because there are a large number of new companies with less experience than Solar Provider Group, we have developed a checklist for you to use to ensure that you are getting what you are promised. At Solar Provider Group, we quote conservatively to ensure that when it comes time to interconnect, you will not find any hidden costs and will be pleased with the returns you receive. In order to ensure that you are comparing "apples to apples," please check the following points when comparing quotes: 1. Company History (important for assessing the validity of the company) Has the company installed or interconnected any projects to date? Will the company provide you with reference letters from past customers?

8 Does the company have a plan to remain in business in California and hold true to any maintenance contracts if the LA FiT program is cancelled for new applicants in the future? Does the company have investors already lined up if you are considering the Roof Lease option? 2. Technical Questions (important to ensure system design and predictions are accurate) Is the company s roof mounting system penetrating or non-penetrating? What is the additional weight load to the roof? Is the company planning to use central, string, or micro inverters? If using micro inverters, can the company provide you with sufficient reasons why, as there can be a number of associated problems? What is the annual irradiation value that the company has used to calculate system productivity and returns (we ve used values of around 1,670 kwh/kwp, which are based on 20-degree inclination and which vary depending upon system azimuth)? Has the company had its technical documents approved by the SCE? 3. Financial Questions (important to consider when comparing prices and rates of return) What is the price of the system in dollars per DC watt ($/Wp)? Has the company included the cost of debt in the quote? Has the company included panel degradation when calculating returns over the 20 years (~0.3%/yr)? Are maintenance and other costs included or extra, and if so what do they entail? Have insurance, accounting and legal fees been considered? We hope this list can help you more easily navigate the solar PV installation process. Clarifications & Assumptions This quote is to be considered in connection with the Solar Provider Group EPC Contract, which can be provided should discussions continue. Due to the lengthy nature of the SPVP application process, it is difficult to predict which components will be available upon construction with 100% certainty. In the event that the proposed components are not available we will provide an alternative of equal or greater quality for your approval. The quote is based on assumptions from the initial and preliminary site assessment and may be adjusted depending on availability of components and any unforeseen conditions discovered at further site visits or during construction.

9 Solar Provider Group is not liable for any tax considerations included in this quote. Please get a certified accountant to oversee this. Depreciation can be a great opportunity for your tax shield. Delivery will start approximately two to six weeks after finalizing all of the required permitting, as discussed in the milestones in the EPC. The price quoted in dollars/watt ($/W) is a turn-key price.
