2 February 13, 2015 RESPONSES DUE BY 5:00 PM FRIDAY, MARCH 13, 2015 REQUEST FOR PROPOSALS ( RFP ): Loan Underwriting Services ISSUING ENTITY The Tacoma Community Redevelopment Authority ( TCRA ), a Public Development Authority established by the Tacoma City Council, and overseen by City of Tacoma Community & Economic Development department staff is seeking Contractor responses to a Request for Proposals for loan underwriting services pertaining to small business loans. The TCRA administers a handful of revolving loan programs (hereafter referred to as Loan Program) funded with federal monies derived from the Economic Development Administration Title IX program and Urban Development Action Grant program. The Loan Program is a gap financing mechanism which offers low interest loans to small business owners who have established their business in Tacoma and are now growing or expanding their business. Loans typically range from $5,000 to $250,000. Proceeds may be used for activities such as the acquisition of property, tenant improvements, purchase of machinery or equipment, working capital, façade improvements, fire safety measures, and repair or rehabilitation of historical properties. The Loan Program requires all loans to be fully secured through liens on personal or commercial property, assumptions of rent, personal guarantees, and otherwise. SCOPE OF WORK TCRA seeks underwriting services necessary to close approximately five (5) and potentially modify approximately two (2) small business loans annually. The selected Contractor will provide underwriting services as follows: A. Program Promotion 1) Assist City of Tacoma Community & Economic Development staff in the promotion of the Loan Program by providing information to commercial lenders and prospective commercial loan candidates during the course of regular business and a limited number of special events. B. Technical Assistance 1) Assist or perform on behalf of City of Tacoma Community & Economic Development staff, a review and assessment of potential loan candidates, loan candidate screening information, Loan Program applications and accompanying exhibits

Business and Financial Review 1) Assist or perform on behalf of City of Tacoma Community & Economic Development staff a business and financial review to include, but not be limited to, evaluation of the loan applicant, applicant s business performance and credit worthiness as well as the risk involved and the security required such that any loan to be made to the applicant is equivalent to the standards of the Loan Program. A) The business and financial review will include the collection, review and analysis of at least the following: i. Credit report, including credit score, of the individual and/or business entity owner(s) of the subject property as appropriate; ii. iii. iv. Title Report for real property involved and Uniform Commercial Code filing status for other security interests as appropriate; Loan candidate s business balance sheet and income statements and/or tax returns for the previous three fiscal years; Current tax assessments, or appraisal, of the subject property; v. Personal financial statements on business principal(s) if necessitated by reason of the business structure involved; vi. vii. Basic current and historic business statistics and information; Interim financial statements, current within 6 months of loan application 2) Among other things, the business and financial review will be used to determine the following: i. Loan to value and debt coverage ratios; ii. iii. iv. Private to public funding ration; Financial well-being of the applicant business and principal owners; Collateral available to secure a TCRA loan; v. Strengths and weaknesses of the applicant business and principal owners; vi. Applicant s credit history; 3) Written and oral communication with City of Tacoma Community & Economic Development staff regarding the business and financial review and the potential risks involved in underwriting the loan.
4 D. Loan Approval/Denial 1) Upon completion of the business and financial review, make an initial written recommendation to the TCRA for loan approval or denial. A) Such recommendation will include a summary of the information utilized in making the recommendation, addressing at minimum the following areas: i. Business background and ownership/management structure; ii. iii. iv. Adequacy of historical cash flow to service the new loan debt; Business owner s personal financial information; Leverage ratios; v. Collateral loan-to-value ratios; vi. vii. viii. ix. Tax assessed value or appraised value of collateral; Underlying liens; Job creation or retention (Public Benefit); Use of loan proceeds (if loan approval is recommended); x. Terms of the loan; xi. Strengths and weaknesses of the business and its ownership 2) Present loan application and recommendation to approve or deny loan to the TCRA. E. Loan Set Up and Recording If requested by or in coordination with the City of Tacoma Community & Economic Development staff: 1) Using standardized loan document forms, including the Deed of Trust and Promissory Note, complete all necessary procedures for underwriting and closing the loan, including the following: A) Drafting and recording loan documents; B) Perfecting all liens; C) Any other actions recommended or usually performed by a loan underwriter in processing and closing loans of similar value
5 2) Identify additional needed loan document forms as recommended on a case-by-case basis. 3) Notify City of Tacoma Community & Economic Development staff when all documents have been recorded and thereafter promptly forward the completed loan file to the City. Upon receipt of such file, the City of Tacoma will then disburse loan funds. F. Records 1) Ensure and provide to the City of Tacoma Community & Economic Development staff in a timely manner appropriate documentation of individual loan files, both approved and denied. G. Servicing A) Approved loan files shall be maintained up through and including the recording of all loan documents, at which time the borrower s loan file shall be transferred to the City. B) Denied loan files shall be documented and transferred to the City with the loan denial recommendation. 1) In coordination with or on behalf of City of Tacoma Community & Economic Development staff accept and thoroughly review quarterly financial reports from existing borrowers. Contractor shall contact City Staff before contacting the Borrower if the financial reports prompt questions or concerns. 2) Provide technical assistance to City staff when necessary to ensure existing and future loans are conforming with Loan Program standards. H. Loan Modifications Review and, when appropriate, underwrite loan modifications to existing loans. I. Loan Program Modification and/or New Loan Program Development 1) Assist City of Tacoma Community & Economic Development staff in modifying, amending or creating loan programs that meet current and future market needs. This includes, but is not limited to, drafting of program guidelines, templates used for underwriting, procedures and pro-forma tools. TERMS OF SERVICE The Contractor selected will enter into an agreement with the TCRA consisting of three one-year contracts renewable annually based on need and mutual agreement. It s anticipated that any such renewal will be authorized through an administrative letter issued by the TCRA.
6 REQUIRED QUALIFICATIONS Minimum of three years of experience in the commercial lending industry, as a commercial lender or credit analyst Minimum of three years of experience in commercial loan documentation Contractor should have familiarity with government loan programs (e.g. Small Business Administration, Housing & Urban Development) PROPOSAL COMPONENTS Responses to this RFP shall include, but are not limited to: 1) Contractor name, address, and overview; 2) Names and contact information (including telephone number and address) of proposed individual underwriter(s)for this project; 3) Resumes of proposed underwriter(s) identified in #2 above; 4) Three professional references for the Contractor. At least one reference should come from a public agency; 5) A list of business loans, not to exceed 10, the Contractor has underwritten in the past three years. Include the loan amount, current loan status, use of loan proceeds and location of the business assisted; 6) A list of current contracts, including organization name, address, contact and contact s phone number, for services similar to those requested herein this RFP. If no current contracts exist, identify and provide specific examples of small business loan underwriting provided in the past; 7) Proof of Insurance; 8) A listing of any consultants anticipated to be used for this project and the services those consultants are anticipated to provide; 9) Written statement detailing whether the Contractor and its employees have been the subject of legal action within the last 36 months. Please explain the legal matter if the Contractor or an employee of the Contractor has been the subject of legal action; 10) A proposal for performance-based compensation to be paid at an hourly rate SUBMISSION OF PROPOSALS Please submit the following no later than 5:00 pm, Friday, March 13, 2015:
