3 Executive Summary Lawyers On Demand, Inc. will be one of the first companies to connect everyday consumers with lawyers instantly from either there cell phone, tablet or computer. Consumers will be able to filter searches to their preferred field of law, to have their legal questions answered, or to just consult or hire a new lawyer. The service will eventually be available in all 50 states*. Lawyers On Demand, Inc will be available via an application or App, which will be downloaded via iphone, Android or tablet; as well as, accessible from any computer via the Lawyers on Demand website. A consumer will be able to select the category in which they need to seek legal advice in and then be instantly connected to a lawyer live via audio/video chat. Consumers will also have the option to submit a legal question to a lawyer and receive an answer back in minutes for a lessor price. For the audio/video chat service consumers will be charged $49 per 15- minute session. Consumers may chat with the Lawyer for as long as they need. For the Ask a Question feature, consumers will be charged $25 per question submitted. Lawyers On Demand believes that it will now give consumers anywhere the ability to be able to use their phone, tablet or laptop and be instantly connected to a live, licensed and experienced lawyer face- to- face to get their legal questions answered. Lawyers get an easy, flexible way to earn income and obtain new clients; and the consumer gets an easy, cost- effective method for legal help and advice. To become a Participating Lawyer, there is a flat fee of $ a month to be listed in one category, plus an additional $49 per legal category in which the lawyer wishes to be listed for consumers to contact and communicate with. The lawyer will be able to set his/her status as available or unavailable whenever they choose. For example, if the lawyer has a client cancel a meeting at the last minute and has an hour to spare, they can set their status as available to quickly and easily gain a new client during that time. After the first 15- minute interval with a consumer, the lawyer will be the one receiving the $49 per 15- minutes income. In addition, lawyers will be able to set up appointments and retain those clients for long term legal work if the consumer so desires. Lawyers On Demand will have NO LIABILITY, as clients will electronically agree to the terms and conditions on the website or mobile app, which will require the consumer to agree to hold Lawyers On Demand harmless, and to agree that Lawyers On Demand will have no liability for legal advice provided by the participating lawyers. In addition, Lawyers On Demand will have no liability, as consumers will connect to the lawyers directly, of who will actually provide the legal service and advice to the consumer. Lawyers On Demand will be nothing more than a live, interactive, face- to- face software system that instantly connects consumers with lawyers. *Service available in California for the first 90 days** with the expectation of expanding to 10 major states in the first year. 3

4 ** Lawyers On Demand plans to have a soft launch just in California for the first 90 days. In this time, we will only market and advertise to California- based lawyers and consumers. This soft launch will give us a chance to work out any technical bugs, issues and/or complaints. Objective Our objective is to launch Lawyers On Demand in California within the next Days, with the intention of expanding to 10 states within the first year. The first 90 days in California will be concentrated on addressing any problems that hinder the consumer from being smoothly connected with the lawyer. The main areas that would be focused on in this launch would be the app itself, the ease of use for consumers and lawyers, the website, the IT department, app solutions, back up, payment and maintenance. Our minimum goal for each state will be to have 50 attorneys in each of 40 categories signed up as a participating attorney. It is assumed that some categories such as criminal law, family law and civil law will have a overwhelmingly amount of participating attorneys, and others such as patent, trademark and military law might now have as many. The categories will include, but are not be limited to: Business Contracts Trusts Wills & Estate Planning Probate Employment Law Family Law and Divorce Law Civil Litigation Criminal Defense Business Disputes Tax Law Personal Injury Patent Trademark & Copyright Environmental Public Interest Entertainment Law Real Estate Law Civil Rights ADA/ Disability Sexual Harassment Corporate Law Business Disputes Eviction DUI/DWI Military Lawyers On Demand would like to secure a well- known public figure to act as a spokesperson to promote our business; preferably, someone in the legal field such as Judge Alex, Judge Mathis, or Judge Marilyn Milian. Signing up lawyer participants will be the first area of focus for Lawyers On Demand. Utilizing well- established and respected publications directed only towards lawyers, various other social media, door- to- door sales, web advertising, and direct mail will be used to reach lawyers to set up the first round of lawyer participants. 4

5 Consumers will be the second area of focus for Lawyers On Demand. Advertising will be directed to a vast range of clients seeking legal counsel. This will occur in the form of television and radio advertising, web advertising, social media, publications, lawyer referral services, and billboards. Having a spokesperson will aid in assuring clients of the dependability of the company and promote the progressive idea that Lawyers On Demand is the way to go. Mission The mission of Lawyers on Demand is to become the number one resource and service for instantly connecting consumers, businesses and organizations to any type of lawyer that they need. Keys to Success - Be the first company to provide a working "app" and web based live lawyer connection service - Make the process as easy and user friendly as possible - Having an adequate amount of participating lawyers, and generate enough calls monthly to those lawyers to make it cost effective for them - Effective and aggressive Advertising & Marketing - Consumers must be able to find/hear about us easily. SEO, Goolge Adwords, News, Media, Etc Income Streams Lawyers On Demand will have three separate revenue streams: 1. Lawyer Participants: Lawyers will be able to connect with consumers by becoming a participating lawyer with Lawyers On Demand. Initially, Lawyers On Demand will have one level of participation. Each lawyer will have unlimited access to Lawyers On Demand for the fee of $ per month plus, if they would like to be listed in additional categories, they can pay an additional $49 for each. 2. Consumers: Consumers will be charged $49.00 for each 15- minute interval spent consulting with a lawyer. 3. Ask a Question: Consumers will also have the option of submitting a legal question(s) to a lawyer who specializes in the legal field in which they seek advice. This service will only cost $25.00 per question. Advertising: We can sale advertising slots inside our app 5

One service will be connecting consumers to lawyers to obtain legal advice and guidance with respect to their legal needs. The second service will allow lawyers to become participating members with Lawyers On Demand, giving them an advantage in the market to gain new clientele. Why will Lawyers sign up? Lawyers will now have the ability to work from their office 24/7 generating revenue. Lawyers will receive the $49 per session, which could translate to $196 per hour. In addition to the hourly revenue, the real incentive for the lawyers will be retaining those consumers as clients. For example, a lawyer speaks with 30 consumers in a one month timeframe and only 3 of those turn into clients. Just one of those retainer charges will result in at least a $1,000 retainer fee paid by the consumer to that lawyer. Not only will the lawyer make his monthly membership fee back within 10 calls, but supersede his investment or ROI by signing up just one client. It is clearly a win- win no brainer situation for the lawyers and Lawyers On Demand. In theory, a lawyer could work solely through Lawyers On Demand every day for 8 hours and make approximately $33, per month by just providing online legal advice/support. Why will consumers use Lawyers On Demand? Under current custom and practice, most lawyers offer one- hour consultations. These consultations range from free (if a free consultation, generally no legal advice is given, and no action is taken by the lawyer) to $ or more for the hour. Generally, consumers just need some quick legal advice or direction at an affordable cost. Typically, when a consumer contacts an lawyer for a consultation, they can expect to get an appointment in the next 1-2 days. With Lawyers On Demand, clients will be able to instantly access any type of attorney, live, face- to- face, at an extremely reduced cost and attractive rate. Another motive to take into consideration will be our marketing message to consumers, which is Why go through the hassle of searching online through numerous lawyer websites, yellow pages, and referral services, when you can talk to a live licensed lawyer now? Generally, consumers make appointments with lawyers/law firms and take a day off work just to drive down to that lawyers office, wait, and then finally meet with the lawyer just to find out that lawyer doesn t handle that type of law or isn t interested in taking on their case or worse, that 6

7 they don t like that lawyer and already paid for the consultation. With Lawyers On Demand, consumers get to talk to a lawyer instantly all from the comfort from their home, work or even while on vacation or at their local Starbucks. Market Analysis Summary Lawyers On Demand clientele will be consumers who are in immediate need of legal counsel and/or advice. At some point in everyone s life, there is an urgent need to consult with an lawyer; Whether it is for a civil dispute, filing for bankruptcy, or needing a criminal defense lawyer for a DUI, or any other situation that could arise. Currently, there is no such legal service to instantly meet this demand at a cost effective rate. Lawyers On Demand provides the option to consult with an lawyer at an affordable cost, or to perhaps retain an lawyer for the long term, and the ability to do it now! Last year, lawyers did over $260 Billion of business in new client services (isbisworld.com). Lawyers On Demand would help usher in a completely new way for lawyers to deliver legal services to consumers, and to help build relationships between with those consumers. A competitor of ours (avvo.com) currently has over 160,000 attorneys as members and services over 6,000,000 consumers every month. And this is only for the Ask a Question feature. Yet, the cons of this service are that, it is not instant and what type of legal advice are you getting from these attorneys who are participating for free? I believe that with Lawyers On Demand offering Lawyers a way to capitalize on their time, promote themselves and grow their business it would be a no brainer to switch over. Additionally for consumers, I believe that they would be willing to pay to have their questions answered immediately. Harvard Law review states that professional services, like lawyers, are essential as they intersect with virtually every other segment of the economy. Legal matters can also affect every area of a consumer's life. Lawyers On Demand will facilitate a new and novel way for consumers/clients to instantly connect with Lawyers to obtain legal help and advice "on demand". 7

8 Competition There are two companies who are in slight competition with Lawyers On Demand, providing one service (the ask a question feature), which we also provide. The service that this company provides is not the main service that Lawyers On Demand is designed to provide. The first company is called Pocket Attorney App and the other is called LawZam. This company allows the client to download their app and submit a legal question to a lawyer that will in return be responded to within 1-2 days. It is not accessible via a website only by downloading their app, and it is not instant connection like Lawyers On Demand. Additionally, both of these apps don t have the best reviews. Consumers complain about the app and software crashing all of the time. Our app was built from one of the best app developing companies. We spared no expenses when it came to building a great product. However, there is another app called "Doctor on Demand" which is growing rapidly. Doctor on Demand is literally the same type of app that we have, but just for the medical industry. The Doctor on Demand company has already received over 3 million dollars in investments from Google Ventures, Venrock, Andreessen Horowitz and more. This Doctor app is gaining lots of publicity (featured on Dr. Phil, Dr. Oz, Entrepreneur, Forbes, Business Week, The Wall Street Journal, USA Today and lots of more publications and media) and is quickly becoming a method of connecting patients and doctors that is revolutionizing the medical industry. And the amazing thing about it is, this app just launched in December 2013! California Attorney Data California currently has 181,000 active attorneys (Data: State Bar of California): At least 77% (139,370.00) of the 181,000 active attorneys practice private law (Not State, DA, County, Government Service lawyers): Survey Law Firms in the US did over $266 Billion in new business last year: The top two attorney publications for attorneys are California Lawyer and Super Lawyers. Each have over 100,000 active and licensed attorney subscribers. 8

9 Sales Forecast Once a lawyer selects a participation level, he/she will have access to be listed in one or more areas of practice in Lawyers On Demand. Each lawyer will be required to create a profile which will include a picture, background information, specialty and general pricing information. Once a lawyer is connected to a client through our "app" or website, we will manage the time intervals and payment information. Our first income stream will be from Lawyer participation. Our initial goal is to get 50 Lawyers to sign up for our monthly fee of $ per month, in each of the listed 40 areas of practice as categorized previously. If we get 50 Lawyers in each category, at $ per month participation fee, in 40 different categories, that will generate a total of $998, per month in gross revenue. If we launch into 5 additional states, after our initial launch in California, that would be $5,988, per month in gross revenue. Once in all 50 states, it would be $49,900,000 per month. Our second source of income will be from ASK. Consumers will have the opportunity to submit a legal question to a lawyer for only $ After submitting a question, attorneys will be able to review and answer the question. At this time, we have no data to make projected estimates of income that we will generate from this source of income. Web Plan Summary The Lawyers On Demand website and phone app will be the main source that consumers will use for the services provided. Consumers will be able to log onto the website or App, and after providing their information and making payment, they will immediately be connected live with a lawyer. The website and app will be the core business; it will handle the service, payments, consumer intake, and lawyer participants. The goal when creating the website and App was to be and use the best software, technology and services available to launch an amazing product. No expense was spared when it came to this. We are now only weeks away from a final product. Website & App Marketing Strategy The main way our website will be marketed to consumers is via search engines (Google, Yahoo and Bing Adwords), news, social media and main publications (USA Today, Wall Street Journal, Entrepreneur, Etc.). Anyone who searches main keywords, such as attorney, lawyer, law firm, or legal advice, will immediately see Lawyers On Demand at the top of the page. This will ensure our site is the focus for anyone looking for legal services. 9

10 Development Requirements Uptown Studios and Metova (app development company) (Currently building and working for Lawyers On Demand). With the website and phone app being the means of obtaining services from Lawyers On Demand, building a user friendly website and app is essential. This will require building a website with video and audio capabilities, real time feeds, information fields, payment capabilities, and an overall professional appearance. The app will be a mirror of the website requiring the same capabilities but in a more compressed form. Lawyers On Demand has contracted with a new App Development called Metova. They are truly one of the top App Development companies in America. They have built numerous Fortune 500 Apps. Management Summary TBD Strategy and Implementation Summary The main strategy for getting Lawyers On Demand up and running will be to advertise and promote the idea and the service. The first phase will be getting lawyers signed up. We plan to start this phase in June and continue it from there on, always focusing on locating and signing up new lawyers. With Lawyers On Demand being the first business of its kind, there will be no real competition. To promote Lawyers On Demand we will coordinate with a public figure such as Judge Alex, Judge Mathis, or Shark Tank to act as a spokesperson for the company. Other means of promoting the company will be the usual forms of advertising, such as television, radio, Google, publications and promotions. Lawyer Verification Lawyers On Demand will need to verify that the lawyers signing up for participation are currently licensed to practice law. The method for verification will be: 1) Lawyer signs up for participation 2) We verify the lawyer is licensed through the State Bar Association Online License System 3) Upon verification, the lawyer will provide a copy of his/her State Bar Card or License/ID 4) Upon successful verification, the lawyer will be issued a login and password and will begin paying the monthly service fee to be a participating lawyer. 10
