4 4 Important information about lease protection Important information about lease protection The following information is provided to you under the requirements of the Uniform Consumer Credit Code and at the request of the Australian Securities & Investments Commission. 1. Before you buy Lease Protection policy, you should: Find out what the Policy covers and what it does not cover. Carefully read the Table below and ask the seller if you do not understand it. Be aware that if you are unable to make your lease repayment due to a pre-existing medical condition that you knew about at the time you took out the Policy, the insurer may not pay your claim. Read the Policy carefully to understand when the Policy covers your lease repayment and when it does not. Table: Some important benefit limits in your Policy depending on which covers you selected. Death Involuntary Unemployment Involuntary Unemployment GAP Cover is available Cover is available (not to self employed) Cover is available (not to self employed) Benefit limit is the Written Down Value less arrears in excess of two months subject to maximum of $75,000. Benefit limit is the lower of $1,000 per month or your monthly lease payment limited to 3 monthly lease payments. Benefit limit is the excess of the Written Down Value over the net sale price of the vehicle subject to a maximum limit of $10,000 or 15% of the initial amount financed, whichever is lower. 2. If you decide to buy Lease Protection, you must: Answer all questions on the application form truthfully and accurately; and Tell the insurer everything that you know about your health that may increase the likelihood of your making a claim under the Policy in the future. (If you don t do that, the insurer may not have to pay claims under your Policy) 3. Be aware that you may be able to arrange Lease Protection through a different insurer. Note also Lease Protection may only be available as part of a lease arrangement. 4. Some of your insurance premium, up to twenty per cent, may be paid to the seller of the Policy as a commission. 5. Cooling-off period. When you purchase Lease Protection, you will receive the policy document. You will then have 14 days to check that the Policy and benefits meet your needs. This is known as the cooling-off period. Within this period you may return the Policy and receive full refund of all premiums paid*. The cooling-off period starts from the day when you received the policy document or from the end of the 5th day after the day on which the seller sent the policy document to you, whichever is the earliest to occur. To return your Policy in the cooling-off period, please send us: Your request to cancel the Policy either by letter, fax or or in any manner permitted by law; and The policy document. *Note: You will lose the right to return your Policy within the cooling-off period when you first exercise any right or power you have under the terms of your Policy.

5 Lease protection Policy terms and conditions 5 Lease protection Policy terms and conditions Importance notice This document sets out the terms and conditions for the benefits provided under Lease Protection, which is underwritten by AIA Australia Limited (ABN ). This Policy is designed to assist you with monies owing to the Lessor on your lease in the event of your Death or Involuntary Unemployment. Before you decide to buy this insurance, please read this document carefully. This will help you make an informed decision about the benefits you are buying. You should also be aware that your lease approval is not contingent upon your having this insurance. Furthermore, this insurance is available through the insurer of your choice and is not compulsory. In accordance with and subject to the provisions of this Policy, we will pay the benefits provided for under this Policy to the Lessor to be applied to your lease. All premiums paid are used to meet the cost of insurance and costs associated with the issue and administration of this Policy. This Policy is issued from our Statutory Fund No. 1 and is a non-participating policy for the purposes of the life insurance legislation. 14 Day cooling-off period Please read this Policy carefully. If you are not satisfied with this Policy and wish to cancel it, you may return it to AIA Australia within 14 days of receiving it. The Policy will then be cancelled from the Entry Date and AIA Australia will refund all monies received from the Policyholder. Part I Definitions For the purpose of this Policy the following Definitions apply unless the context dictates otherwise: 1. Company shall mean the AIA Australia Limited (ABN AFSL ). 2. Lessee shall mean the person named in the Application. 3. Eligible Members shall mean all Lessees who have met the eligibility requirements set forth in Part II of this Policy. 4. Entry Date shall mean the date of acceptance of the Eligible Member s Lease Protection application. 5. Insured Members shall mean Eligible Members who are participating in the insurance plan under this Policy. 6. Involuntary Unemployment (IU) shall mean termination of the Insured Member s employment where the Insured Member: a) has been retrenched or made redundant at the instigation of his or her employer; and b) has registered as unemployed with CentreLink or equivalent government authority; or can provide other satisfactory evidence of unemployment and c) is in receipt of unemployment benefits unless the Insured Member is not eligible to receive unemployment benefits because of the level of income earned by the Insured Member and/or the Insured Member s spouse or the level of the Insured Member s assets; and d) is actively seeking work. But does not include termination of employment due to: a) the Insured member s unsatisfactory work performance, misconduct or breach of his or her employment contract; or b) voluntary redundancy or termination (i.e. resignation) by the Insured Member; or c) constructive termination due to disciplinary action by the employer, demotion or transfer to another Position. 7. Lessor shall mean ORIX Australia Corporation Ltd. 8. Medical Practitioner shall mean a legally qualified and registered medical practitioner other than the policy owner or the Insured Member, or a family member, business partner, employee or employer of either the policy owner or the Insured Member. 9. Permanent full-time employment shall mean the Insured Member working for at least 25 hours per week in continual, permanent and regular employment for salary or wages where such employment is not temporary, seasonal, casual or under a contract based upon a specified period or completion of specified work. 10. Policy shall mean this agreement, any supplementary contracts or endorsements herein, any amendments hereto signed by the Company, the individual applications for membership, required statements to the Company s medical examiners, and questionnaires of the Insured Members, which shall together constitute the entire contract between the parties. 11. Self-employed shall mean a person who has power or control over a business or enterprise because you own it, or are a shareholder in the company that owns it, or are a partner in the partnership that owns it. You are not working as an employee of another. Part II Eligibility Each Lessee shall be eligible for insurance under this Policy subject to the following conditions and final acceptance by the Company: 1. Your being at least 18 years of age and not over 60 years of age at the commencement of this Policy; and 2. Your being in good health and not a hospital patient and not suffering from a medical condition for which you could otherwise have claimed for any benefits at commencement of this Policy; and 3. Your being an Australian resident; and 4. Your being engaged in permanent full-time employment for a continuous period of at least 12 months and not under notice or have knowledge of dismissal when either the Policy or lease agreement commences; and 5. The payment of the required premiums.

6 6 Lease protection Policy terms and conditions Part III benefit provisions Part IV premium provisions Section A Death Benefit On the death of the Insured Member, the Company shall pay to the Lessor, subject to the provisions of this Policy, the written down value under the lease agreement, subject to a maximum of $75,000. Charges due to early repayment and any arrears of repayments in excess of two months are not covered by this Policy. Section B Involuntary Unemployment (IU) In the event that the Insured Member is deemed by the Company to be Involuntarily Unemployed as defined herein the benefit period will start from the date the Insured Member registers as unemployed with Centrelink or from the date 30 days after the Insured Member became unemployed, whichever is the later. The Company will not pay for any period prior to an Insured Member registering with Centrelink. The Company shall pay to the Lessor 1/30th of the monthly lease payment for each day of the benefit period while the Insured Member continues to be Involuntarily Unemployed subject to a maximum of 3 monthly lease payments. After each period of Involuntary Unemployment, to be eligible for any further benefit on account of Involuntary Unemployment the Insured Member must have returned to permanent full time employment for a continuous period of at least 12 months. The maximum total payment over the duration of the Policy is limited to 3 monthly lease payments. The maximum monthly payment is the monthly lease payment stated in the lease agreement or $1,000 (GST-inclusive) whichever is the lesser. Section C Involuntary Unemployment GAP (IU GAP) Immediately upon the payment of the maximum 3 months Involuntary Unemployment benefit as stated in Section B above, and while the Insured Member is still Involuntarily Unemployed, the Insured Member must, prior to the next lease payment due date, make an election, informing the Lessor accordingly, to either terminate the lease agreement and return the vehicle to the Lessor or continue with the lease and meet the lease obligations personally. Should the Insured Member elect to terminate the lease agreement and return the vehicle to the Lessor prior to the next lease payment due date, the Company shall pay to the Lessor an amount equal to the written down value under the lease agreement less the net sale price of the vehicle, or the written down value less the amount paid by the vehicle s comprehensive insurer in the event that the vehicle is deemed a total loss. Charges due to early repayment and any arrears instalments are not payable. The maximum payment for this benefit is the lower of $10,000 and 15% of the lease amount initially financed. Section D Maximum Benefit Payable The maximum benefit payable under this Policy is $75,000. Section E Payment of Benefits All benefits will be payable to the Lessor to be applied to the Insured Member s Novated Lease account. The receipt of such benefits by the Lessor will be a discharge to the Company with respect to all claims under this Policy. Section A Premium Payments Premiums are due and payable in respect of each Insured Member, on the Entry Date either to the Company, at the Issuing Office or at its Head Office, or to an authorised agent of the Company. Section B Tax, Stamp Duty and other Government Imposts The premium applicable to this Policy is input taxed for the purposes of the Goods & Services Tax (GST). No GST is payable by the Insured Member in respect of the purchase of this Policy. Stamp Duty may be payable on this Policy by the Company in accordance with the stamp duty rates applicable in the State or Territory the Insured Member is ordinarily resident in. The rate will vary between 0% 10% depending on the State or Territory. The amount of stamp duty payable is included in the premium and is not an additional charge to the Insured Member. Where the Company is, or believes it will become, liable for any other tax or imposts levied by any Commonwealth or State government, authority or body in connection with the Policy, the Company may reduce, vary or otherwise adjust any amounts (including but not limited to premiums, charges and benefits) under this Policy in the manner and to the extent the Company determines to be appropriate to take account of the tax or impost. Section C Fees and Charges All the fees and charges are fully described in this section. The Company undertakes not to apply any other charges without the Insured Member s specific consent. Part V General provisions Section A The Contract 1. All written statements in the application forms made by the Insured Members shall in the absence of fraud, be deemed representations and not warranties. No statement shall be used by the Company to void this Policy or in defence to a claim under it, unless it is made in writing pursuant to an application of this Policy. 2. The rights of the Insured Member under this Policy shall not be affected by any provision other than those contained in this Policy. 3. No alterations, modifications or changes to and in the Policy shall be valid unless agreed to in writing and signed by the Company. Section B Misstatement 1. If the age or other relevant facts relating to the Insured Member shall be found to have been misstated and if such misstatement affects the scale of benefits or has anything to do with the terms and conditions of this Policy, the true age and facts shall be used in

7 Lease protection Policy terms and conditions 7 determining whether insurance is in force under the terms of this Policy and the benefits payable therefrom, and an equitable adjustment of premium shall be made. 2. Where a misstatement of age or other relevant fact has caused an Insured Member to be insured hereunder when he/she is otherwise ineligible for insurance, or where such statement has caused an Insured Member to remain insured when he/she would otherwise be disqualified from further insurance in accordance with the terms and limitations of this Policy, the insurance shall be void. AIA Australia shall return premiums paid in respect of such Insured Member. Where there is fraud on the part of the Insured Member, any premiums paid are not refundable. Section C Applicable Law This Policy, and all rights, obligations and liabilities arising hereunder, shall be construed and determined and may be enforced in accordance with Australian law. Section D Currency All amounts payable under this Policy either to or by AIA Australia must be in Australian dollars (AUD). Section E Exclusions No benefits are payable under this Policy resulting from any event or circumstances indicated by an X in the following table. Events or Circumstance Any injury, illness, disease or sickness of which you were aware at any time before the date of policy commencement; or which you should have been aware at any time before the date of policy commencement; or for which you have consulted a qualified Medical Practitioner during the 12 month period prior to policy commencement. You become unemployed before the date of policy commencement or within 30 days from policy commencement. IU/ IU GAP Death Events or Circumstance Any ailment or injury arising directly or indirectly from taking part in a criminal activity. Any ailment or injury arising directly or indirectly from or related to any aerial activity except as a passenger in a fixed wing, motored aircraft owned and operated by a licensed airline or charter company. Any ailment or injury arising directly or indirectly from or related to war or warlike activities, riot or civil commotion, strike, lockout or civil war. Any ailment or injury arising directly or indirectly from or related to the use, existence or escape of nuclear material or waste, or ionising radiation. Minus equity transfer contract (ie lease agreement where financed amount is greater than market value of vehicle at inception of lease). Increased liability due to variation to initial lease agreement. You are self-employed. You retire early or abandon your employment. You participate in a professional sport; parachuting; mountaineering or rock climbing; underwater diving; martial arts of any kind; racing of any kind other than foot. You are engaged in work of a seasonal nature. You are employed for a specified period of work and you become unemployed at the expiration of the period or on completion of the work. IU/ IU GAP Death Any ailment or injury arising directly or indirectly from or related to alcoholism, drug addiction, or the influence of liquor or non-prescribed drugs. You become unemployed due to being dismissed for unsatisfactory work performance, misconduct or breach or your employment contract. Any ailment arising directly or indirectly from or related to Human Immunodeficiency Virus (HIV)/Acquired Immune Deficiency Syndrome (AIDS). You are not residing in Australia. Suicide within 13 months of the commencement date of this Policy. You become unemployed due to your voluntary redundancy or resignation. You become unemployed due to constructive termination due to disciplinary action by your employer, demotion or transfer to another position. Any ailment or injury arising directly or indirectly from or related to a deliberate self inflicted injury or illness.

8 8 Lease protection Policy terms and conditions Section F Termination The insurance hereunder of any Insured Member shall automatically cease on the earliest of the following dates: 1. The anniversary of an Insured Member s Entry Date at which he attains or has attained age sixty-five (65). 2. The date of the expiration of the period for which the last premium payment is made on account of the Insured Member. 3. The date the lease agreement is terminated, discharged or refinanced. 4. The restructuring of the lease agreement that affects the termination amount and/or duration of the lease. 5. The full benefit payment is made to or for the Insured Member. 6. The receipt by AIA Australia of the written notice from the Insured Member directing the insurance be cancelled. Section G Cancellation The Insured Member may cancel this Policy at any time by giving the Company notice in writing. Such cancellation shall be effective from the date specified in the written notice. Upon cancellation, provided that there has never been a claim on this Policy, AIA Australia shall refund the portion of the unexpired period of cover as calculated in accordance with applicable laws. Section H Claims All conditions necessary to entitle a claim to be made must be met during the currency of this Policy. Written notice containing full particulars of any circumstances in respect of which a claim is to be made must be given to Freeman McMurrick Pty Ltd as the distributor of this insurance. All claims must be submitted to: Freeman McMurrick Pty Ltd Level 50, 80 Collins St Melbourne Vic 3000 Fax: claims@freemanmcmurrick.com.au All certificates and evidence required by the Company will be furnished by the Insured Member or any claimant at his or her expense within 30 days of the date of the written notice and will be in the form and of the nature as the Company may request. Section I Dispute Resolution If you have any questions or concerns about your Policy please contact the Company. The company will endeavour to respond to any questions or complaints as soon as possible. In any event, complaints will be considered and processed within 45 days as is required by legislation. In special circumstances the Company may take longer. If this is the case AIA Australia will advise you. Should you still not be satisfied with the Company s response to your concerns after they have been ruled on by the appropriate Internal Customer Dispute Resolution Committee, then you may take the matter up with the independent Financial Ombudsman Service (FOS). If you do not pay premiums within 30 days from the premium due date your Policy will lapse and cover will cease. How much does the policy cost? For details about premiums, a copy of our premium rates or an indicative personalised quote, please contact your adviser or us. What about tax? Generally premiums payable for your cover are not tax deductible, nor are Benefits assessable for income tax purposes. Any tax enquiries should be referred to your tax adviser who can take into consideration your personal circumstances. Privacy statement AIA Australia Limited (ABN AFSL ) is required under the National Privacy Principles of the Privacy Amendment (Private Sector) Act 2000 to provide you with the following information. Purpose Of Collection AIA Australia collects personal information about you to: a) Process your application(s); b) Administer and manage your Policy including claims; c) Facilitate AIA Australia s business operations; and d) Market AIA Australia promotional material. (The Privacy Declaration contained in your Application allows you to elect whether you wish to receive direct marketing material from AIA Australia.) If you do not wish to provide us with all or part of the personal information we request to collect from you, we may not be able to provide you with insurance cover. Access To Your Information You are entitled at any time to request access to your personal information held by AIA Australia. In some instances, AIA Australia may not permit access to your personal information. Circumstances where access may be denied include where access would be unlawful or denying access is authorised by law. In these cases, AIA Australia will provide you with written reasons for denial of access or a refusal to correct personal information.

9 Lease protection Policy terms and conditions 9 Disclosure Of Information AIA Australia may disclose your personal information to:- a) Another member of the AIA Group of companies (whether in Australia or overseas); b) Your adviser; c) AIA Australia contractors and third party service providers, ie medical practitioners and reinsurers; d) Your employer (for employee superannuation products); e) Financial institutions you nominate; f) Mail houses (only for purposes of sending AIA Australia mail) and archive companies. We will only disclose your personal information to these parties for the primary purpose for which it was collected. In some circumstances AIA Australia is entitled to disclose your personal information to third parties without your authorisation, such as law enforcement agencies or government authorities to protect our interests or to report illegal activities. This dispute resolution mechanism is designed to be fair and timely to all parties and is free of charge. If you have a complaint about AIA Australia s National Privacy Principles, you should submit it in writing to the Compliance Manager. You will receive a letter from AIA Australia within 5 working days which documents AIA Australia s complaints handling process. Your complaint will be referred to AIA Australia s Internal Disputes Resolution Committee who will resolve your complaint within 45 days of receipt. Should your complaint not be resolved to your satisfaction by AIA Australia s internal dispute resolution process, you may take your complaint to the Privacy Commissioner. There are some significant risks associated with life insurance: Insurer Fails Your insurer may become insolvent and therefore may not pay your claims. Life insurers are supervised by the Australian Prudential Regulation Authority and are regulated under the Life Insurance Act As at the date of this Product Disclosure Statement, the reserves in our Statutory Fund No. 1, which back this product, are in excess of the solvency and capital adequacy requirements that apply to life insurers. Selection of Wrong Product You may choose an insurance product that does not meet your needs. You should read the Product Disclosure Statement and the policy document for an insurance product carefully to prevent this. It may also be advisable to consult an adviser for assistance. Inadequate Amount Of Insurance You may select the correct insurance product for your needs, but you might not choose enough cover. This might cause you to suffer financial hardship after receiving your benefit payment. You will need to assess your needs carefully to ensure that this does not occur. Again, an adviser may be able to help you. Inability To Get Increases In Cover You may not be able to obtain the cover that you need because of your particular health or circumstances, now or in the future. You should therefore not relinquish any existing cover you may have until new insurance cover is firmly in place. You should also think about your future insurance needs while you are still healthy. Premium Rates Your premium is not guaranteed and may be varied from time to time. A table of premium is available on request. Premium payable varies depending on the term of the Policy and lease amount. The premium allows for the cost of cover and the life insurer s expenses, including commission payable to your adviser. Your premium may not be altered individually but only for all policies in a group. Your Policy cannot be singled out for an increase.

You have the same duty to disclose those matters to the insurer before you renew, extend, vary or reinstate this contact of insurance. Non-Disclosure If you fail to comply with your duty of disclosure and the insurer would not have entered into the contract on any terms if the failure had not occurred, the insurer may avoid the contract within three years of entering into it. If your non-disclosure is fraudulent, the insurer may void the contract at any time. An insurer who is entitled to avoid a contract of insurance may, within three years of entering into it, elect not to avoid it but to reduce the sum that you have been insured for in accordance with a formula that takes into account the contribution that would have been payable if you had disclosed all relevant matters to the insurer. I am not under notice of dismissal; and I understand that this Policy does not cover any Pre-Existing Condition of which I am or should be aware, or for which I have consulted a doctor in the last 12 months prior to the commencement of my cover under this Policy. I declare that the information contained in the attached statements (whether written in my hand or not) is true and correct and that no information material to the insurance has been withheld. I agree that any personal statements made together with other relevant documents shall form the basis of the proposed contract of insurance with AIA Australia. I have read the Product Disclosure Statement including Your Duty of Disclosure notice set out in the What Are The Significant Risks? section and understand its contents and what is meant by my duty of disclosure. I also understand that my duty to disclose continues after I have completed this application form until AIA Australia has accepted the risk.
