2 CORPORATE SOCIAL RESPONSIBILITY We recognise that we must integrate our business values and operations to meet the expectations of our stakeholders who include our customers, employees, suppliers, partners and the community and environment. We recognise that our social, economic and environmental responsibilities to these stakeholders are integral to our business. We aim to demonstrate these responsibilities through our actions and within our corporate policies. We take seriously feedback that we receive and where possible maintain an open dialogue to ensure that we fulfil the requirements outlined within this policy. We shall be open and honest in communicating our strategies, targets, performance and governance to our stakeholders in or continual commitment to sustainable development. Integra Contracts Limited recognises the importance of Social Responsibility in business and Corporate Governance for the effective management of the Company. The company s approach to Corporate Governance is to ensure the Company is focussed on its responsibility to ensure that the business is managed in a manner that enhances the company s value whilst adhering to Company policies. Directors Roles and Responsibilities The Managing Director is responsible for the implementation of this policy and will make the necessary resources available to realise our corporate responsibilities. The Directors take an active role in setting policies for the Company and overseeing the management of the company s business and affairs. In discharging their responsibilities, the Directors owe the following fiduciary duties to the Company: a duty of loyalty: they must act honestly and in good faith with a view of the best interests of the Company a duty of care: they must exercise the care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances. CODE OF CONDUCT The responsibility for our performance to this policy rests with all employees throughout the company. Integra is committed to conduct business with respect, integrity, honesty, excellence and trust. This Code of Conduct has been approved by the Company Board, it sets out the standards of conduct expected within Integra no matter what the location or operation. The Code applies to all Directors, Managers, Supervisions, Employees and anyone working on behalf of the Company. The Code incorporates our core values, our policies, procedures and expectations. The purposes of our Code are to deter wrongdoing and to promote: o Honest and ethical conduct, including ethical handling of actual or apparent conflicts of interest. o Full, fair, accurate, timely and understandable disclosure in all reports filed and other public communications made by the Company. o Compliance with all applicable laws, regulations and rules. o Protection and proper use of Company assets and opportunities. o Equality of Opportunity. o Confidentiality with respect to corporate and personal information. o Fair dealing with security holders, customers, suppliers and competitors. o Accountability for adherence to the Code and prompt internal reporting of violations of the Code. o Support our employees to help local community organisations and activities. o Encourage suppliers and contractors to adopt responsible business policies and practices for mutual benefit Managing Director Date: 10 th March 2015

4 About Integra Established for more than twenty years, Integra Contracts specialises in the installation of Interior Suspended Ceiling and Partitioning Systems, Drywall, Screed and Fire Stopping. Our Staff are Qualified Craftsmen and Professionals who undertake Projects for the Company s three Divisions; Major Works, where projects include Commercial Refurbishment and Fitouts of Office Buildings, Industrial and Sports Facilities and Retail Shops & Spaces. An Airport Division covering all of London s main airports. Core Works which carries out Fit-out and Refurbishment Projects mainly in the Health Care and Education Sectors Our reputation We have earned an excellent reputation within the industry for achieving exceptional results; For bringing projects in on budget and on programme. Our scope From our Headquarters in Kent we are well situated to undertake projects within The City of London, the M25 and the Home Counties. We are also well sited for Gatwick, Heathrow and Stanstead Airports. The Company s Logistics Depot in Kent not only has storage facilities, which helps us to co-ordinate long lead material deliveries to site, but we can also use part of the building for mock-ups to help architects and specifiers to identify any problems or issues with installations before procurement. Our current Financial, Managerial and Technical Resources enable us to handle high value contracts. We have full Design Facilities and an experienced Design Team available.
