2 Introduction Freedom Wireless Broadband is an S corporation of four partners formed in Feb The company has three primary areas of business. 1. Wireless ISP providing high-speed data and VoIP (future) services to small businesses in Carroll County Maryland. ( The FWB network is currently under construction in Baltimore and looking for areas of business opportunity and expansion. 2. Wireless network design consulting and project management. Bruce Hall, CTO is the primary for all FWB consulting business. Bruce has been in the wireless telecommunications industry since He retired from Verizon Communications in 2000 to begin his consulting practice. Bruce has designed and built wireless broadband networks in Mexico, Zambia, China, Philippines and Malaysia. His current client portfolio includes the Federal Emergency Management Agency (FEMA), Andrew Corporation, Hargray Communications, Adept Group and Applied Learning Solutions. 3. Web design. Brian Oleksa, CIO is the primary for all FWB web design projects. Brian has designed numerous sites for partner companies and clients. 2

3 Proposal Overview: Freedom Wireless Broadband (FWB) proposes to construct network facilities in the vicinity of The Client Group properties for the purpose of providing high-speed Internet connectivity to the following subscriber locations: 1429 Xxxxxxxxx Street, 604 Exxxxx Street, 1000 Lxxxxxxxx Street, and Exxxxx Street New Restaurant. This proposal includes all wireless subscriber end equipment, design and engineering, site surveys, installation materials and labor. The equipment, detailed below, will provide wireless connectivity from the subscriber location to the FWB network. Service on the FWB network will provide voice, data and Internet connectivity from the Administration Office at 1429 Xxxxxxxxx St, to the other three (3) above named subscriber end locations. The FWB network hub will be connected to a T1 service from a Tier-2 Internet service provider with facilities currently in place at 1000 Lxxxxxxxx Street Xxxxxxxxx Street, Site A A wireless subscriber modem will be mounted on the roof of 1429 Xxxxxxxxx Street, herein referred to as Site A. It will communicate to the FWB network through FWB repeater located on the high roof at Site B. The subscriber modem provides an Ethernet interface which will be connected via a CAT 5 cable to the router / switch located in the telephone closet in the second floor Administration Office. Xazo is also served via connection to the router / switch Exxxxx Street, Site B A wireless subscriber modem will be mounted on the high roof of the building housing Bin604, herein referred to as Site B. It will communicate directly with the FWB network hub located on the roof at Site C. Bin604 will be served via a CAT 5 Ethernet cable from the subscriber modem to the router located within Bin604 (exact location TBD). The roof of this building will also serve as an FWB network repeater site. It is necessary to build a repeater at this location because it is the only one of the four at which wireless communications can be established to all 3 other sites Lxxxxxxxx Street, Site C A wireless subscriber modem will be mounted on the roof of 1000 Lxxxxxxxx Street, herein referred to as Site C. It will communicate directly with the FWB network hub, also located on the roof at Site C. The Client Restaurant will be served via a CAT 5 Ethernet cable from the subscriber modem to the router located within the Client Restaurant (exact location TBD). FWB proposes to construct our network hub at this location. Internet connectivity via a T1 service is available in the 1000 Lxxxxxxxx Street building via a fiber ring network to a Tier-2 Point-of-Presence (PoP). FWB will execute an interconnection agreement with the fiber network provider and extend that service to the roofmounted wireless hub equipment. 3

4 4. Exxxxx Street New Restaurant, Site D. A wireless subscriber modem will be mounted on the roof of the building across Exeter Street from the Client, herein referred to as Site D. It will communicate directly with the FWB network hub located on the roof at Site C. The New Restaurant will be served via a CAT 5 Ethernet cable from the subscriber modem to the router located within the New Restaurant (exact location TBD). An alternative client may want to consider is to present this proposal to your landlord. The landlord may want to be the FWB service subscriber, instead of client, and resell the service to his tenants. With client as the anchor tenant on the service, his may provide an attractive value add for the landlord and a capital cost savings for the client. Network Connectivity Diagram 4

5 Service Quality & Acceptance Freedom Wireless Broadband guarantees the quality and reliability of our service. Our network hub and repeater locations are on Universal Power systems and our network database is backed up on a secure server. The wireless network provides a 24 Megabits data rate between network nodes, more than adequate to support the anticipated services and total subscriber traffic load. The hub site will be connected to a T1 back-bone routed to a Tier-2 Internet Service Point-of Presence (PoP). The T1 service rate of Megabits is significantly greater than the service rates currently required by TCG. As FWB adds subscribers to the network, we will increase the back-bone speed to support service demand and Quality of Service (QoS) expectations. Our network is engineered for five 9s reliability. That computes to les than 10 minutes of outage per year. The wireless network will be tested for connectivity between all sites. FWB will conduct tests with the TCG telephone system, and computers to verify voice communications quality, data networking and Internet access to and from all 4 locations. Satisfactory shall be defined as: 1. Voice call connections completed and call sound quality comparable to existing service call quality. Tested from any telephone at all of the five working locations. 2. Credit card transactions shall complete as normal. Tested at all locations 3. Internet access linking to any public web site. Tested from any computer at all of the five working locations. The service billing date shall begin on the date that tests are completed. Assumptions & Contingencies 1. This quotation assumes available and appropriate roof-top space for installing the wireless subscriber modem and access to cable race-ways and equipment closets. 2. Freedom Wireless Broadband shall have the right to sell services to other interested parties in the Fells Point area via wireless access to the FWB Hub and Repeater equipment. 3. Freedom Wireless Broadband shall have the right to install additional wireless equipment has necessary to provide the above services. Such additional equipment shall be described fully to the property owner and shall not require significant additional space on the roof. 4. A complete site walk and roof-top survey at all four locations must be performed at least two weeks prior to installation. This is required to verify exact hardware requirements, cable lengths and cable route access work. 5. Should roof, floor or wall coring or drilling be required, the installation labor price will be adjusted accordingly. 6. Freedom Wireless Broadband reserves the right to revise this proposal if necessary to accommodate conditions determined in the final site surveys. 5

7 Technical Support The FWB provides free technical support of the wireless subscriber units. See the Equipment Detail and Pricing table. The FWB technical support does not include the Toshiba telephone system, the Cisco 2920 router, the US LEC T1 service, computers, telephone sets, credit card machines or other peripherals. FWB will bill at the rate of $75.00 / hour, including travel, on a call out for trouble traced to equipment other than that provided by FWB. FWB will provide both and telephone contact numbers for the FWB Technical Support Center. FWB initial response to a trouble report will be to access the wireless network through the web interface to diagnose and isolate the trouble. FWB will reset the subscriber unit at this point if possible. FWB will respond with a call to the calling party within one hour to report the status of our findings. When a dispatch is required, FWB will have a service technician on site within 3 hours of initial response and status call during normal work hours of Monday through Friday, 7:30 am to 5:00 pm. Off hours (nights after 5:00 pm, weekends and holidays) response time will be within 4 hours of initial response and status call. TCG is responsible for roof access when required to perform the repair work. FWB will document all trouble reports and resolutions. This report will be provided to the designated TCG person and kept for future reference. 7

8 TERMS AND CONDITIONS PAYMENT Certified check or wire transfer 100% of equipment price due with firm order Balance (installation, Support Plan option, etc.) due 15 days after system turn-up RESPONSIBILITIES All space and power preparation are TCG responsibility Building access for appointed installation dates are the TCG responsibility Licenses, construction permits and/or code inspections are TCG responsibility Roof-top access and any agreements with the property owners, or costs related to such are the responsibility of The Client Group. Freedom Wireless Broadband shall use reasonable commercial efforts in the performance services rendered, which shall be consistent with standard professional practices. MISCELLANEOUS Freedom Wireless Broadband is not responsible for equipment delivery delays. The vendors used in this proposal usually deliver within 14 days ARO. Freedom Wireless Broadband will begin installation within 14 days of equipment delivery. The client and/or building property owner shall grant roof rights to Freedom Wireless Broadband for the purpose constructing and maintaining the wireless network described herein. Said rights shall not be terminated, nor access to the equipment denied, without prior written notice. Such notice shall permit Freedom Wireless Broadband up to six (6) months time to relocate their equipment to another location. All wireless equipment installations shall be performed such that they do not cause an unsightly appearance in the neighborhood. Freedom Wireless Broadband is not the equipment manufacturer. The Purchaser agrees it is relying solely on the manufacturer's representation and warranties. Products ordered under the terms of this agreement may not be returned to Freedom Wireless Broadband, other than those determined to be defective on arrival (DOA) by the manufacturer. Freedom Wireless Broadband does not warranty against degraded system performance due to interference from other Unlicensed Band systems, present or future. 8

9 In no event will Freedom Wireless Broadband be liable to TCG for consequential indirect, incidental, special, punitive, or any other non-direct damages including, without limitation, lost profits or future revenues, cost of capital loss of business reputation or opportunity or any claim or demand against TCG by any other party due to any cause whatsoever. Freedom Wireless Broadband shall not be liable for products or services not being available for use or for lost or corrupted data or software. Freedom Wireless Broadband s liability under this agreement or otherwise arising out of this agreement regardless of the form of action shall not exceed the total amount paid by the client to Freedom Wireless Broadband as shown on the applicable purchase order. 9
