We offer you the opportunity to join us in our long term goal of one day becoming one of New Zealand s foremost general insurance companies. 1.2 Your insurance policy Your insurance policy consists of: Your proposal and any other information you supplied us, and This policy wording, and The policy schedule 1.3 Your free look period We will give you a full refund of your premium within the first 30 days if you are not completely happy with the policy. You can only do this if you never make a claim under it. 1.4 Your duty of disclosure When arranging this insurance, you must tell us everything you know (or could be reasonably expected to know) that a prudent insurer would want to take into account in deciding: Whether to accept your proposal, and If so, on what terms. Examples of what you must tell us include: Anything that increases the risk of a claim Any criminal offending or convictions Any previous insurance claims Any refusal by another insurer to insure you on standard terms, or to continue to insure you on standard terms. You must also tell us this every time this policy renews, and when you make any changes to it. If you fail to do this, we may avoid the policy back to when it started as if you were never insured at all. When in doubt, disclose. We treat all information confidentially. 1.5 Your rights under the Fair Insurance Code We are members of the Insurance Council of New Zealand. It promotes a code of ethics amongst its members. This is called the Fair Insurance Code The Code sets out some of your rights when dealing with us. We view these as a minimum only. Please contact us if you would like to receive a copy of the Code. Alternatively, it can be located at: Premium Once you have paid, or agreed to pay, the premium, we will insure you on the terms set out in this policy ELI/CTPNZ/010110
3 2 HOW TO CLAIM UNDER THE POLICY 2.1 To make a claim You must: (a) Tell us as soon as you are aware of any circumstances likely to result in a claim under this policy. (b) Take steps to minimise your claim, and try to avoid any further claim (c) Complete our claim form in full if we request it. (d) Allow us to investigate the circumstances of the claim and provide any other information or assistance that we need. (e) Authorise the disclosure to us of your personal information held by any other party that relates to your claim (f) Forward to us all relevant information and correspondence as soon as you receive it. (g) Provide a statutory declaration to verify the claim, if we request it (h) Where appropriate: Lay a complaint with the Police if you suspect criminal activity, and Take reasonable steps to obtain details of any other person, property or vehicle involved, and any witnesses. You must not: (a) Dispose of any property that you intend to claim for under this policy (b) Start any repairs without our permission unless it is necessary to prevent the claim increasing. (c) Say or do anything that may prejudice our ability to: Defend, negotiate or settle any liability you face, and Make recovery from any person who may be responsible for your loss or liability. 2.2 After you have made a claim After you have made a claim: (a) We may take over in full any legal right of recovery that you have. If we do so, you must fully assist us at no cost.. This includes completing court documentation and attending hearings if necessary. (b) If any lost or stolen property for which we have paid a claim is later found or recovered, you must: Tell us immediately, and Hand the property over to us if we request it. (c) You must reimburse us if you receive any money from any person ordered to make reparation to you. (d) We have the sole right to act in your name and defend, negotiate or settle any liability on your behalf at our expense. (e) We appoint the lawyers to defend you. They will report to us. (f) We may pay the maximum amount payable under this policy (or any lesser amount for which the liability can be settled), plus the defence costs incurred to date. This meets our obligations under the policy in full. 2.3 Dishonest or fraudulent claims If your claim is dishonest or fraudulent in any way we may, at our discretion: (a) Decline your claim, wholly or partially, or (b) Declare this policy unenforceable from the date of the dishonest or fraudulent act. 3 COVER ELI/CTPNZ/010110
4 3.1 Civil liability We will indemnify you against your liability arising out of any of your employees sustaining bodily injury in New Zealand after the retroactive date in connection with your business, provided: (a) The claim is first notified to you, or you first become aware of the claim, during the period of insurance, and (b) You first notify us about the claim either During the period of insurance, or Within 30 days after the period of insurance ends. 3.2 Effect of notifications Once (a) and (b) above have occurred, this policy covers your liability, arising out of that bodily injury, whenever it may be established, but based on the terms of this policy. 3.3 Defence costs In addition, we will indemnify you for defence costs. 4 AUTOMATIC EXTENSIONS 4.1 Advancement of defence costs (a) 4.2 Continuous cover If your claim is initially accepted, we will advance defence costs to you as and when they are incurred. If your claim is subsequently declined, you must repay these advanced defence costs to us immediately. The cover is extended to claims first notified to you, or which you first became aware of, during previous periods of insurance that we have issued this policy to you, as long as: (a) (b) This policy has been continuously issued to you between that previous period of insurance and this period of insurance, and You first notified to us during: This period of insurance, or Within 30 days after the end of this period of insurance. Provided, cover shall be on the terms of the policy current when the claim was first notified to you, or which you first became aware of. Exclusion 6.1 does not apply ELI/CTPNZ/010110
5 5 OPTIONAL EXTENSIONS 5.1 Civil liability exemplary damages (optional) If your schedule shows that you have Exemplary Damages cover, this policy is amended as follows: (a) Exclusion 6.2 does not apply to liability for exemplary damages, and (b) Exclusion 6.8 is deleted, and (c) General Condition 8.9 is deleted. 6 EXCLUSIONS 6.1 Prior claims Any claim first notified to the insured prior to the period of insurance, or which the insured first became aware of prior to the period of insurance. 6.2 Accident Insurance This policy does not insure any liability arising from bodily injury for which compensation: (a) Is available under the Injury Prevention, Rehabilitation and Compensation Act 2001, or (b) Would have been available under that Act except for your decision to share some of the accident risk yourself. 6.3 Overseas Judgments This policy does not insure any liability that has been determined by judgment or decision of a Court outside of New Zealand. This is regardless of whether that judgment is enforceable in New Zealand or not. 6.4 Dishonesty / Fraud / Malice This policy does not insure any liability that involves an act or omission by you, that is: (a) Dishonest, or (b) Fraudulent. 6.5 Exposure before the commencement of this policy This policy does not insure any liability arising from bodily injury where: (a) The injury is caused by a disease, and (b) Your employee was first exposed to the conditions leading up to the disease before the first start-date of this policy. 6.6 Asbestos This policy does not insure any liability connected in any way with asbestos. 6.7 Fines This policy does not insure any fine or penalty imposed on you. 6.8 Exemplary damages This policy does not insure any punitive or exemplary damages awarded against you. 6.9 Employment Contracts Act This policy does not insure any liability arising under the Employment Relations Act War/Confiscation/Nuclear This policy does not insure any insured event directly or indirectly caused by: War, invasion, act of foreign enemy, hostilities or warlike operations (whether was is declared or not), civil war, mutiny, rebellion, revolution, insurrection, military or usurped power, Confiscation, nationalisation, requisition or destruction of, or damage to property by order of government, public or local authority, Nuclear power generation or nuclear weapons, Ionising radiations or contamination by radioactivity from any nuclear fuel, or from any nuclear waste from the fusion or fission of nuclear fuel ELI/CTPNZ/010110
6 6.11 Terrorism This policy does not insure loss, damage, death, injury, illness, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with: An act of terrorism regardless of any other cause or event contributing concurrently or in any other sequence to the loss, damage, death, injury, illness, liability, cost or expense. Any action taken in controlling, preventing, suppressing or in any way relating to an act of terrorism Computer Virus This policy does not insure any liability connected in any way with loss or damage to electronic data, and any liability arising from this, directly or indirectly caused by a computer virus. This includes the loss of use, reduction in functionality or any other associated loss or expense in connection with the electronic data Leaking Building This policy does not insure liability connected in any way with any building or structure: Containing moisture or being penetrated by external moisture or water, Containing mould, fungi, mildew, rot, micro-organisms, bacteria, protozoa or anything similar that is caused directly or indirectly by: (i) Non-compliance with the New Zealand Building Code, or (ii) Faulty or defective design or specification, or (iii) Faulty materials, or (iv) Faulty workmanship when the building or structure was constructed, altered or repaired. 7 HOW MUCH YOU RECEIVE 7.1 Maximum amount The most we will pay under clauses 3.1, 3.3 and 5.1 above in total, shall not exceed in the aggregate during the period of insurance the Sum Insured shown in the schedule. 7.2 Excess The excess will be deducted from each event. 8 GENERAL CONDITIONS 8.1 Comply with the policy You must meet the following conditions before we pay you: You must comply with all the policy terms, and All statements and answers, whether by you or anyone else, must be true when you: Apply for this insurance, and Notify us about any change in circumstances, and Make any claim. These conditions apply equally to anyone else entitled to claim under the policy. 8.2 Cancellation You may cancel the policy by giving us notice. We will refund to you 80% of the unexpired portion of any premium you have already paid to us We may cancel this policy at any time by giving notice to you. Cancellation will be effective from 4.00pm 14 days after the notice is given. The 14-day period starts on the day the notice is delivered or posted to you. We will refund to you the unused portion of any premium you have already paid to us. 8.3 Change in circumstances After the start of the policy, you must tell us immediately if you know about any material fact that will: Increase the risk insured, or Alter the risk insured ELI/CTPNZ/010110
7 8.3.2 After you have told us, we may immediately amend the terms of your policy, including the premium If you fail to tell us, we may: Declare this policy unenforceable, or Refuse to pay any subsequent claim. 8.4 Double insurance You must notify us immediately of any other insurance policy that covers any of the risks covered under this policy If there is such a policy, we will only pay over and above the limit payable under that policy. 8.5 Goods and Services Tax Where GST is recoverable by us under the Goods and Services Tax Act 1985: all Sums Insured exclude GST (unless otherwise stated), and GST will be added, where applicable, to claim payments. 8.6 Governing Law The law of New Zealand applies to this policy Any disputes about the policy are subject to the New Zealand Courts' exclusive jurisdiction. 8.7 Insurance Law Reform Acts The exclusions and conditions in this policy are subject to your rights under the Insurance Law Reform Acts 1977 and Notices Notices from you to us must be delivered personally, posted or ed to us Notices from us to you must be delivered personally, posted or ed to your last known address, or that of your insurance broker. 8.9 Take reasonable care You, and anyone else covered under this policy, must take reasonable care at their own expense to avoid circumstances that may result in a claim The claim will not be covered if you, or they, are reckless or grossly irresponsible Parties with security interests If we are advised of any party that holds a security interest over any property insured under this policy, that party is not insured under this policy unless we expressly say so However, we may pay all or part of any claim relating to that property to the holder of that security interest. Our obligations to you under this policy are satisfied to the extent of that payment You authorise us to disclose personal information about you to any holder of such a security interest Acts of Parliament Where this policy refers to any Act of Parliament, this includes any Statutory Regulations made under it. It also includes any Act or Regulations enacted in substitution Separate insurance If more than one person or entity is named as 'Insured' in the schedule, then all the parties are insured separately (as though a separate policy had been issued to each person/entity) However, the limits contained in this policy are the most we pay to all persons and entities combined Headings Headings in this policy are for ease of reference only. They do not form part of the policy, and are not to be used as an aid to interpretation ELI/CTPNZ/010110
8 9 DEFINITIONS 9.1 When the following words (and any derivatives) are marked in bold in this policy, this is what they mean: Accident means an event or omission that is unexpected and unintended from your point of view. Act of terrorism means an act, including but not limited to the use of force or violence and threat of any person or group, whether acting alone or on behalf of or in connection with any organisation or government that from its nature or context is done for, or in connection with political, religious, ideological, ethnic or similar purposes or reasons, including the intention to influence any government and, or, to put the public or any part of the public in fear. Bodily injury means the accidental death of, or accidental bodily injury to any person. This includes sickness, disease, disability, shock, fright, mental anguish or mental injury. Business means the business described in the schedule. Claim means (a) A civil proceeding commenced against you alleging liability, or (b) A notice received from any person of an intention to make a claim against you alleging liability, or (c) Any circumstance of which you become aware that is likely to give rise to (a) or (b) above. This is regardless of whether the claim amount exceeds the excess. Computer virus means a set of corrupting, harmful or unauthorised instructions or code, including a set of maliciously introduced and unauthorised instructions or code, programmed or any thing else, which duplicates itself through a computer system or network. This includes, but is not limited to Trojan horses, worms, and time or logic bombs. Defence costs means necessary and reasonable defence costs you incur to defend the alleged liability. However, that liability must be of a nature that is covered under this policy if proven. Event means a claim or series of claims arising from the one source or original cause. Employees means employees directly employed by you in the business. It does not include independent contractors. Excess means the amount stated in the policy or shown in the schedule. Liability means civil legal liability to pay damages. It includes: Interest, and Claimant's costs and expenses, and Settlements approved by us. Period of insurance means the period of time shown in the schedule. Retroactive date means the date shown in the schedule. Schedule means the most recent Schedule to this policy that we issued to you. We/us/our means China Taiping Insurance (NZ) Company Limited ELI/CTPNZ/010110
9 You means the person or entity named in the schedule as 'Insured'. Where this is a company, the directors and employees are also deemed to be named in the schedule as 'Insured', but only whilst acting in that capacity for the company ELI/CTPNZ/010110
