1 HEALTHY ST. MARY S PARTNERSHIP BYLAWS The Healthy St. Mary s Partnership Bylaws were adpted by the Steering Cmmittee n May 6, Article I. Name Sectin 1.1 The fficial name f this rganizatin is the Healthy St. Mary s Partnership, als knwn as Healthy St. Mary s r HSMP. Article II. Missin Sectin 2.1 The Healthy St. Mary s Partnership (HSMP) is a cmmunity-driven calitin f public and private partners wrking tgether t address pririty health issues fr St. Mary s Cunty, Maryland. Article III. Purpse and Pririty Areas Sectin 3.1 The Healthy St. Mary s Partnership serves as the lcal health imprvement calitin fr St. Mary s Cunty. Thrugh calitin prcedure and peratin, the HSMP addresses pririty health areas identified by the mst current cycle f the lcal health imprvement prcess. Sectin 3.2 Pririty health areas are identified by calitin members thrugh a cllabrative cmmunity health needs assessment prcess. This prcess invlves evaluatin f bth quantitative public health data, qualitative input frm residents and partners, and statewide health imprvement pririties. Lcal health pririty areas may align well with statewide health pririties, thugh are nt restricted by the latter. Article IV. Membership and Vting Sectin 4.1 Membership Eligibility Membership is pen t any rganizatin r individual interested in supprting the HSMP missin and cllabrative lcal health imprvement prcess. Sectin 4.2 Membership Expectatins HSMP members will: Maintain an updated HSMP membership frm Supprt the HSMP missin and cllabrative prcess Participate in at least ne HSMP actin team Attend calitin-wide HSMP meetings Elect HSMP leadership Adpted Healthy St. Mary s Partnership Bylaws Page 1 f 6
2 Participate in the prcess f cmmunity health needs assessment (determining the health pririties fr St. Mary s Cunty) Participate in cmprehensive lcal health imprvement planning (identifying achievable actin t imprve cmmunity health utcmes) Identify and implement strategies as feasible that align with the lcal health imprvement plan Share infrmatin abut hw HSMP strategies are being implemented lcally (within their wn rganizatins and/r in cllabratin with anther rganizatin if applicable) Sectin 4.3 Member Respnsibilities when Vting Each member individual member and each rganizatin designated representative are entitled t ne vte, as lng as membership is current. Any rganizatin with multiple representatives must designate ne representative t act n behalf f their entity as the vting member during actin team meetings. Organizatins may designate ne vting representative fr each actin team. Other members f the rganizatin may jin, participate, and vte as individual cmmunity members but nt n behalf f the rganizatin. The calitin crdinatr will maintain a list f designated representatives fr rganizatinal partners. A designated representative f an rganizatin cannt vte as bth an rganizatinal representative and an individual member. The utcme n vtes shall be determined by a simple majrity f thse present. Sectin 4.4 Membership Term The term f membership is indefinite unless withdrawn by the member. Members reserve the right t resign at any time. Membership status and designated representative fr rganizatins will be reaffirmed by the calitin crdinatr every tw years. Article V. Officers and Staff Sectin 5.1 HSMP C-Chair (ex ffici) The St. Mary s Cunty Health Officer will serve as the HSMP C-Chair (ex ffici) per delegated rle as fficial cnvener. Sectin 5.2 HSMP C-Chair (elected) Electin Prcess Nminatins fr HSMP C-Chair will be submitted electrnically by the HSMP members. The HSMP C-Chair must have been an HSMP member fr at least ne year. The HSMP C-Chair will be elected at the annual meeting by written ballt f individual members and the designated rganizatinal representatives present. Vting members will receive a pre-identified ballt during the registratin fr the annual meeting. The ballt will distinguish whether Adpted Healthy St. Mary s Partnership Bylaws Page 2 f 6
3 Term the individual is vting as an individual member r a designated rganizatinal representative. The HSMP C-Chair term shall last ne year and is renewable fr anther year if the membership s vtes. If the HSMP C-Chair resigns, the HSMP Vice-Chair shall succeed as HSMP C-Chair fr the remainder f the term, and shall be eligible fr electin t tw full terms as HSMP C-Chair. Successive years serving as HSMP C-Chair cannt exceed three. Individuals cannt serve in mre than ne leadership rle simultaneusly, including: HSMP C-Chair, HSMP Vice-Chair, and/r HSMP Actin Team C-Chair. Duties Prviding verall leadership fr HSMP. Exercising general pwers f management usually vested in the ffice f the C-Chair. Serving as a spkespersn fr HSMP. Cnvening and leading calitin-wide meetings f HSMP. Assist with nminatin f Actin Team Chairs. Serve as the Chair fr the Steering Cmmittee. 4 Sectin 5.4 Re-electin fr elected fficers After serving three terms, an HSMP C-Chair r Vice-Chair must wait ne year befre being eligible t serve in the same leadership rle. Sectin 5.5 Calitin Crdinatr As resurces allw, the Lcal Health Department will prvide calitin crdinatin supprt thrugh the Lcal Health Imprvement Crdinatr and will als prvide public health expertise and technical assistance t the calitin and its actin teams. Lcal Health Imprvement Crdinatr cntributins Ensuring implementatin f a cmprehensive cmmunity health needs assessment fr St. Mary s Cunty by wrking with calitin partners t crdinate their effrts n health needs assessments Guiding calitin partners in develpment f a cmmunity health imprvement plan respnsive t the cmmunity health needs assessment Mnitring and evaluating implementatin f the cmmunity health imprvement plan by calitin partners Oversee calitin cmmunicatins, including newsletters and annuncements Maintaining recrds and calitin membership database Maintaining a list f designated representatives fr rganizatinal partners. Participating as a nn-vting member f all cmmittees and/r actin teams Assisting steering cmmittee and actin team c-chairs in setting agendas. Other respnsibilities as determined by the Lcal Health Officer Article VI. Cmmittees and Meetings Sectin 6.1 Steering Cmmittee Steering Cmmittee meetings shall take place quarterly, unless therwise scheduled by the HSMP C-Chair r St. Mary s Cunty Health Officer. The Steering Cmmittee is cmprised f the HSMP C-Chair (ex ffici), HSMP C-Chair (elected), HSMP Vice-Chair, and the elected c-chairs f each f the HSMP pririty actin teams. The Steering Cmmittee will be respnsible fr cnvening any ther cmmittees as called upn by the HSMP C-Chairs r membership such as bylaws, membership, fundraising, r nminatin cmmittee. The Steering Cmmittee has the authrity t identify and establish actin teams as needed t fulfil the lcal health imprvement prcess The Steering Cmmittee shall act fr the partnership between meetings f the calitin Adpted Healthy St. Mary s Partnership Bylaws Page 4 f 6
5 Every member f the Steering Cmmittee has ne vte during Steering Cmmittee meetings by virtue f their elected rle, regardless f rganizatinal affiliatin. A qurum f the Steering Cmmittee fr the purpses f vting shall be cnstituted f 2/3 f the Steering Cmmittee members eligible t vte. The vting prcess may be carried ut in persn r electrnically, at the discretin f the HSMP C-Chairs. The members f the Steering Cmmittee have the authrity t designate, at the time f electin, a prxy member frm their Actin Team t attend a Steering Cmmittee meeting n their behalf in the circumstance that they are unable t attend. The calitin crdinatr will maintain the list f designated prxy members. Prxy Steering Cmmittee members shuld have decisin making authrity and are expected t vte n behalf f the Steering Cmmittee member when necessary. The prxy must be able t speak fr and represent the interest f the actin team. A prxy member may represent n mre than ne Steering Cmmittee member at a time. Steering Cmmittee members cannt send a prxy fr mre than 2 meetings f the Steering Cmmittee. Sectin 6.2 Actin Teams There will be an Actin Team fr each f the calitin s health pririty areas. Each Actin Team will nminate and vte n their c-chairs. Members f each Actin Team will decide their wn meeting dates and times. Sectin 6.3 Actin Team C-Chairs Term The term f Actin Team C-Chairs shall last ne year and is renewable fr anther year if the membership s vtes. If an Actin Team C-Chair resigns a new c-chair will be elected by the Actin Team membership and shall be eligible fr electin t tw full terms as Actin Team C-Chair. Successive years serving as Actin Team C-Chair cannt exceed three. After serving three terms, Actin Team C-Chairs must wait ne year befre being eligible t serve in the same leadership rle. Individuals cannt serve in mre than ne leadership rle simultaneusly, including: HSMP C-Chair, HSMP Vice-Chair, and/r HSMP Actin Team C-Chair. Duties Prviding verall leadership fr the actin team. Exercising general pwers f management usually vested in the ffice f the C-Chair. Serving as liaisn fr the actin team t the Steering Cmmittee and verall HSMP. Cnvening and leading actin team meetings. Vting Actin Team C-Chairs are allwed t vte during actin team meetings, as members f the team. Adpted Healthy St. Mary s Partnership Bylaws Page 5 f 6
6 C-Chair vtes are nt priritized ver vtes frm ther members f the actin team. Actin Team C-Chairs may be the designated vting member fr their rganizatin, if applicable. The utcme n actin team vtes shall be determined by a simple majrity f thse present. Actin Team C-Chairs have the right t table any vte until all members can be infrmed f the impending vte. Article VII. Parliamentary Authrity HSMP shall be gverned by the mst current editin f Rbert s Rules f Order in thse cases that are applicable r cnsistent with these bylaws. HSMP shall als be gverned by any rules it chses t adpt. Article VIII. Amending Bylaws These bylaws may be amended at any calitin-wide meeting by a tw-thirds majrity f the membership. Any changes t the bylaws must be presented fr review t all members at least 30 days prir t any vte t change. Adpted Healthy St. Mary s Partnership Bylaws Page 6 f 6
