3 Company History and Methodology ProAir Training Systems was founded in 1973 as the Corporate Aviation facility of a major (Fortune 1000) manufacturing company. Initially, the company operated several Cessna Twin Engine aircraft (340,402,414) upgrading with time to Cessna 425 and 500 series aircraft. ProAir was spun off from its parent in 1982 and continues to operate today as an aircraft management and training business specializing in the training of professional and business pilots in high performance single engine, multi-engine and light turbo-prop aircraft. Early on, it became evident that the high performance training market presented opportunities in several areas. While there is no question that the highly developed simulator operations such as SimCom and SimuFlite as well as Flight Safety, Inc. offer high quality training programs utilizing the latest in simulator technologies, many operators, particularly business operators flying their own aircraft, simply do not have the time and/or the motivation to attend a several days long program at a site far from that of their business. Thus, a market has developed for the on-sight (or nearly so) training seminar programs offered by Pro-Air. Pro-Air instructors are all highly qualified Airline Transport Pilots with Flight Instructor Certificates rated for Instrument and Multi-Engine training. Some of our instructors have more than 25,000 hours of flight experience with many thousands of hours in high performance multi-engine aircraft. Instructors assigned to a particular client have recent experience in the very same type of aircraft flown by the client. All instructors attend regular recurrent training and are periodically updated on the latest avionics and modifications available. While each program follows a proven syllabus containing mandatory learning modules, programs are customized as necessary to meet particular client needs and desires as well as to properly train the client in the safe and efficient use of all of the equipment installed in the client s aircraft. Wherever applicable, ProAir stresses Crew Resource Management and teaches the proper application or CRM techniques, including the Single Pilot environment. ProAir Training Programs have been accepted for recurrent training by major insurance underwriters such as Signal Aviation Underwriters, United States Aviation Insurance Group, Aviation Office of America, AVEMCO, and others.

4 Instructors William R. DiBiasio is Chief Flight Instructor as well a principle of ProAir Training Systems. He was one of the original founders of the firm in 1973 and has been with the firm continuously since. Originally certificated as a pilot in 1963, Mr. DiBiasio currently holds an Airline Transport Pilot Certificate and a Certified Flight Instructor certificate. He holds ratings for single and multi engine aircraft, landplanes and seaplanes, as well as gliders. He is a Gold Seal Flight Instructor and has Ground Instructor Advanced and Instrument Ratings. With 30,000 hours of flight experience, Mr. DiBiasio has given more than 10,000 hours of flight instruction in high performance single-engine and multi-engine landplanes and seaplanes. He has more than 10,000 hours of experience in Beechcraft, Cessna, and Piper twin-engine aircraft. Mr. DiBiasio has held the positions of Chief Pilot and Director of Operations for several Air Carriers and has been a Designated Check Airman. An experienced lecturer, Mr. DiBiasio is frequently called upon to speak at Safety Seminars conducted by the Federal Aviation Administration. Mr. DiBiasio holds a Masters Degree in Business Administration with a specialty in Finance. He is on the adjunct faculty at the University of New Hampshire, Bryant College, and Roger Williams University.

5 Multi-Engine Cessna Recurrent Training This curriculum is designed to provide a thorough refresher training program for pilots currently flying Cessna 300 and 400 series aircraft. The program is usually conducted at the client s location and is custom designed to cover the particular Cessna model operated by the client. It is assumed that the pilots have previously attended an initial Cessna training program or have attained equivalent experience. Pilots should have been regularly flying the same type aircraft in the previous six months prior to attendance. Ground Training The first five hours of the program are devoted to ground training and must occur before any flight activity. Three hours of the session are devoted to the aircraft, its Systems and its Performance and Operations. Two hours are devoted to a review of pertinent changes to regulations, procedures, charts, and meteorology. Appropriate written and oral evaluations of the student s progress are taken during the sessions. Material will be reviewed and repeated as necessary to assure clear understanding by the student of all concepts discussed. Flight Review Normal, abnormal, and emergency procedures are an integral part of the ground training sessions. The flight review allows the instructor to ascertain the student s grasp of these in-flight concepts as well as the student s ability to manage the flight environment. This review is conducted under actual or simulated instrument weather conditions, as appropriate and will be to the criteria established for the certificates held by the student. Satisfactory completion of this module will comply with the flight review requirements of FAR 61. Flight Training The remaining time in this module is directed to proficiency improvement in both visual and instrument flying with emphasis on areas determined by the instructor to be weak or below standard. In addition, training will be given in areas where the client pilot may feel not sufficiently prepared as well as training on new or modified equipment in the aircraft. Time Required Recurrent training programs normally require two days unless additional flight training is found to be necessary. In certain circumstances, the program can be accomplished in one and one half days although in all cases, an extra day should be scheduled if, in the opinion of the instructor, additional flight training is required.

6 Records and Reports Each pilot who satisfactorily completes the recurrent training program receives a certificate, a flight review logbook endorsement, and a copy of the pilot s flight training record sheet which summarizes performance. Any aircraft discrepancies noted by the instructor will be noted as well. Cost Tuition charge for the Cessna Multi-Engine Recurrent Training Program is $2, for the first pilot student. Additional pilots may participate in either /or the Ground Training module and the Flight Training module for an additional $ per student per module. In addition, the client will be charged the net cost of transportation, lodging, and meals for the instructor. For first time clients only, payment of tuition and estimated expense charges is expected before the course begins.
