2 What is HyperKVS? HyperKVS is an application for data exchange, for audit-proof storage and for file conversion of CAD data to the format that is needed. HyperKVS is used by all parties that are involved within the process of product creation. Due to the worldwide use by more than suppliers and partner companies HyperKVS connects design engineers, methods engineers, purchasers as well as quality managers of the corporate group with their partner companies. 1 Scope of Service The scope of services for the CSN-Application-Service for HyperKVS contains the complete userservice for the IT system HyperKVS at Volkswagen or Audi. Furthermore it contains the basic support (1st Level) and the processing of defined service requests during the defined service times of the Service Support Center of operational services as well as a defined education and training program. Premise: - The contract for the CSN-Application-Service HyperKVS is only valid in connection with a signed contract for CSN-services of Volkswagen. The premises of the contract for CSNservices must be fullfilled. operational services provides the following services: - Acceptance and recording of incidents and requests by the Service Support Center. - Classification, assignment of incidents and monitoring of the incident management process also in case of forwarding to external back-offices (2nd Level). - Analysis and diagnosis to resolve incidents by the 1st Level. - Application of users and resources after approval of Volkswagen resp. Audi, unless the partner company is responsible for that because of centralized processes of the corporate group, for example B2B-identity - Consulting of KVS administrators regarding technical questions, setup of KVS and administration of KVS user accounts - Consulting and support of users regarding general use of HyperKVS. - KVS on-site training in Wolfsburg, Ingolstadt and further training locations (one day and one participant per contract year) or two online trainings (in each case one day and one participant per contract year). The customer has to pay own travelling allowances. - Supply of information regarding changes (release or patch). Service times of Service Support Center of operational services : - 7 x 24h - Telephone number: (national) and (international) Other service provisions (e.g. comprehensive briefing into KVS or individual KVS trainings) are no components of this scope of service but can be ordered separately. At the time of termination of the first contract, the second contract replaces the first contract from the date of the termination. The former second contract will be charged then to the same conditions like the first contract. Optional services can be provided by separate contract. The invoicing will be made on an hourly basis with a hourly rate of 100,00. 3 Inception of the contract The contract period starts with the signing by operational services but not before the setup of the technical connection. In case of changing to a lower valued contract type, the change will be valid after the expiry of the notice period pursuant to 4. 4 Contract period and termination of the contract The contract is concluded for an indefinite period of time. The contract can be terminated quarterly with 3 months notice. Notice of termination must be given in writing (via post or fax). Due to company requirements of Volkswagen and Audi we will perform a double-stage process of deactivation of application access to the systems of Volkswagen and Audi. Furthermore, we will completely deactivate your connection and therefore cancel the CSN contract in case of the following conditions: no prompt prolongation of the confidentiality agreement of Volkswagen AG and AUDI AG or violation of these confidentiality agreements as well as delayed payment of the contract charges. If operational services receives the information from Volkswagen and/or Audi after which CSN network access of the supplier from the viewpoint of Volkswagen and/or Audi is not longer required, operational services is entitled to cancel the contract any time with immediate effect. 4 5 Accounting Choosing the payment method annually the charges will be invoiced quarterly in advance. The invoice will be rendered at the beginning of the quarter in which the service will be provided. If the contract period starts within a current quarter, the proportional charge from the contract period until the end of this quarter will be charged in the following quarter. Choosing the payment method quarterly the charges will be invoiced annually and in advance at the beginning of each year. If the contract begins within a current year, the proportional charge from the beginning of the contract until the end of the current year will be invoiced in the quarter following the conclusion of the contract Individual charges as well as miscellaneous services will be charged directly after implementation. All payments need to be done without deduction within 30 days from the date of the invoice and have to be free of transaction costs for operational services. If any tax or duty has to be withheld or deducted from any payment under this agreement, the customer will increase payments under this agreement by such amount as shall ensure that after such withholding or deduction the contractor (OS) receives an amount equal to the agreed prices. 6 Price setting and price change The price quoted is net plus the statutory sales tax applicable at the time the relevant invoice is issued. 7 General Terms and Conditions This contract is subject to operational services GmbH & Co. KG General Terms and Conditions for Works and Services. 8 Customer's obligation to provide assistance and support The customer (supplier) is obliged to immediately notify operational services of any occurrences or changes that could have an impact on the implementation of the contract, with particular regard to any changes of company s legal status or company s or any staff changes at customer s company which tear material for the contract and user administration. 9 Confidentiality of Information The contractor (OS) is obliged to treat information received from the partner company as strictly confidential to third parties and only to use for provision of services according to this contract.
