1 REQUEST FOR PROPOSALS (RFP) PORTABLE PRACTICAL EDUCATIONAL PREPARATION, INC. OF CALIFORNIA ONLINE CHARTER SCHOOL MANAGEMENT AND OPERATION RFP # E-Proposal Deadline (Adobe PDF Format): Thursday, December 5, 2013, 3:00 p.m. PST rfp02@ppep-ca.org Attn: Ramon Miramontes, PPEP-CA Board President SUMMARY Portable Practical Educational Preparation, Inc. of California ( PPEP-CA ) is soliciting sealed proposals from qualified Agencies ( AGENCY ) to assist in the management and operation of an online charter school that PPEP-CA has in place with the Antelope Valley Union High School District located in Los Angeles County California. PPEP-CA intends to submit a renewal of the charter on or before January 1, 2017 on the same terms as it now has with the District. The successful AGENCY will be required to have a contract in place with PPEP-CA by January 1, 2014 with implementation of the curriculum and services set to begin on July 1, The length of the contract shall be for three (3) years. Renewal of the contract will be conditioned upon renewal of the existing charter and will be for a term of five (5) years. Additionally, PPEP-CA is seeking AGENCY s earliest available date to provide transitional services in the event that current services are lost prior to June 30, BACKGROUND PPEP-CA received a charter (the Charter School ) from the Antelope Valley High School District (the Sponsor ) to provide an online high school that was granted pursuant to the Charter Schools Act of 1992 (section et seq. of the California Education Code). The charter allows PPEP-CA to operate a California public charter school for students in high school (i.e., 9 th through 12 th grade). The Charter petition was approved by the Sponsor on May 23, 2007 for a five (5) year term that became operative on July 1, 2007 and renewed for an additional five (5) year term on June 30, A copy of the current Memorandum of Understanding between the Sponsoring District and PPEP-CA agreement is attached as Exhibit A. The charter school is known as Los Angeles County Online High School. Under the charter agreement the online high school may enroll students that reside in counties adjacent to the County of Los Angeles. OF CALIFORNIA (PPEP-CA) ONLINE CHARTER SCHOOL MANAGEMENT AND OPERATION RFP # PPEP-CA is soliciting digital proposals from a qualified AGENCY to assist in the management and operation of an online charter high school during the term as follows: The successful AGENCY will be required to have a signed contract with PPEP-CA by January 1, 2014 and have operations and curriculum in place by July 1, The AGENCY must be available for providing services to an online high school until June 30, The length of the contract between PPEP-CA and the AGENCY shall be for three (3) years. If the contract is renewed in 2017, the term of the renewed contract will be five (5) years. AGENCY shall assist with the direction, supervision, management and operation of all aspects of the Charter School. However, at a minimum, the Principal, other school administration, and teachers shall be PPEP-CA employees and the Board of Directors shall have the ultimate authority over the school. 1.0 SCOPE OF WORK 1.1 Supplies. AGENCY will, at its expense, provide each full-time student enrolled in the Charter School with a suitable computer and printer, and service and support for that computer and printer. 1.2 Budget. AGENCY will be primarily responsible for ensuring that the Charter School s budget and actual expenditures are consistent with applicable California law for obtaining 100% annual funding under California laws applicable to charter schools. 1.3 Enrollment. AGENCY will be primarily responsible for managing student admissions to the Charter School. 1.4 Special Education. AGENCY will be primarily responsible for ensuring compliance with IDEA, Section 504 and other Applicable Law and with Charter School, Sponsor and SELPA policies with respect to special education services to students enrolled in the Charter School. 1.5 Federal Law. AGENCY shall provide all testing and remediation mandates and other actions required under the No Child Left Behind Act of 2001, 20 U.S.C. section 6301 et seq. and its implementing regulations and related State Laws. 1.6 Graduation Requirements. AGENCY will recommend graduation requirements to PPEP- CA that will meet, at a minimum, State requirements, as well as the A-G standards set by the California State Board of Regents. 2

3 1.7 Liaison. AGENCY shall designate an employee who shall be the Liaison to the Charter School, who shall have the authority and required experience to work with PPEP-CA s administration and act on behalf of the Charter School to effectuate the scope of work required under any contract. 1.8 Board of Directors. The PPEP-CA Board of Directors serves as the Board of Directors for the Charter School and shall have the ultimate governing authority over the Charter School. 1.9 Auditor. AGENCY shall cooperate fully with the PPEP-CA Board designated auditor General Information. PPEP-CA s estimated total budgeted income for the FY is $4,356,415. Expenditures for are estimated to be $4,168,324. Enrollment is estimated to be 842, with an estimated Average Daily Attendance of Budget documents ( Board Adopted Budget) are attached as Exhibit B Corporate Offices. AGENCY will be required to provide office space in the Los Angeles County area beginning July 1, 2014 for PPEP-CA. 2.0 INSTRUCTIONS TO BIDDERS 2.1 GENERAL INFORMATION. All responses shall conform to instructions provided in the RFP document Delivery Address: Address: rfp02@ppep-ca.org Subject Line: RFP Online Charter School Management and Operation, RFP # RFP Submission. It is the sole responsibility of AGENCY to ensure that their proposal is ed and receipt of confirmed by the Board President in a response . Proposals received after the deadline will not be considered. All proposals shall be complete and final with no additional information accepted after the close of the submittal date, unless specifically requested by PPEP-CA. No faxed or hard copy paper submissions will be accepted Request for Proposal Preparation Cost. Costs for preparing responses and any other related material is the responsibility of the AGENCY and shall not be chargeable in any manner to PPEP-CA Acceptance or Rejection of Responses. Responses shall remain valid and Agency agrees any responses shall be valid up to and within thirty (30) days after the deadline, unless a longer period of time is mutually agreed to by the parties. PPEP-CA 3

4 reserves the right to reject any or all responses, or may waive any informality in a response. 2.2 EVALUATION PROCESS Evaluation Criteria. AGENCY will be evaluated based on its responses to all questions and requirements in this RFP. The Board of Directors of PPEP-CA shall be the sole judge in the ranking process and reserves the right to reject any or all proposals. False, incomplete or unresponsive statements in connection with this proposal may be sufficient cause for rejection Oral Presentations. Finalists may be required to make an oral presentation in Los Angeles, CA and answer questions from PPEP-CA. These presentations provide an opportunity for the individual, agency or organization to clarify its proposal and answer additional questions of PPEP-CA. Invitations for presentations will be extended by telephone Background Review. PPEP-CA reserves the right to conduct a background inquiry of the selected AGENCY which may include collection of contractual and business associations and practices, employment histories and reputation in the business and education communities. By submitting a proposal AGENCY consents to such an inquiry and agrees to make available such books and records deemed necessary to conduct the inquiry. 2.3 TIME TO START. The successful AGENCY will be required to have their operation and curriculum systems in place by July 1, The length of the contract shall be three (3) years Additionally, PPEP-CA is seeking AGENCY s earliest available date to provide transitional services in the event that current services are lost prior to June 30, It is not anticipated that transitional services will be necessary, however AGENCY is asked to submit its earliest start date for transitional services so that PPEP-CA may plan for contingencies. 2.4 QUESTIONS REGARDING REQUESTS FOR PROPOSALS. Questions concerning this RFP should be reduced to writing and ed to: rfp02@ppep-ca.org. 2.5 SUBMISSION REQUIREMENTS Proposal Content. AGENCY is asked to submit one (1) electronic copy (PDF Format) of the proposal with index tabs separating the sections identified in the Table of Contents. Pages must be numbered. Proposal is to be no more than 20 pages total, 4

5 excluding the Table of Contents and appendices. Any proposal attachments, documents, letters and materials submitted by the AGENCY shall be binding and included as a part of the final contract should your proposal be selected. The information an AGENCY is requested to submit is identified in Attachment A Supportive Material. Additional material may be submitted with the proposal as appendices. Any additional descriptive material that is used in support of any information in your proposal must be clearly identified Signature Page. See attached form Notarized Non Collusion Affidavit. See attached form Workers Compensation Certification. See attached form. 3.0 INTERPRETATION OF DOCUMENTS. Any interpretation or correction of the RFP document will be made only by addendum duly issued and a copy of such addendum will be delivered to each person who received the RFP document. No person is authorized to make any oral interpretation of any provision in the RFP document to any AGENCY and no AGENCY is authorized to rely on any such unauthorized oral interpretation. 4.0 GENERAL CONDITIONS 4.1 Independent Contractor. In all matters relating to service performed under this RFP, AGENCY shall be acting as an independent contractor to PPEP-CA. The employees of the AGENCY and its subcontractors are not employees of PPEP-CA under the meaning or application of any federal or state unemployment insurance laws, other social security law or any workers compensation law, industrial law, or otherwise. AGENCY shall assume and pay all liabilities and perform all obligations implied by any such laws with respect to the services performed under this RFP. Pursuant to any contract for services, AGENCY shall have a limited power, or authority to create certain obligations, express or implied, on behalf of PPEP-CA and shall have limited authority to represent itself as an agent of PPEP-CA. 4.2 Subcontractors. If a subcontractor is proposed, complete identification of the subcontractor and his tasks shall be provided. The primary AGENCY is not relieved of any responsibility by virtue of using a subcontractor. 4.3 Hold Harmless. AGENCY shall be requested to hold PPEP-CA, its officers and employees, harmless and indemnify and defend PPEP-CA, its officers and employees, against the payment of any and all costs and expenses, claims suits, and liability resulting from or arising out of or in any way connected with any negligent or wrongful acts or omissions of AGENCY, its officers 5

6 and employees, or failing to perform any work, services, or functions provided for or referred to or in any way connected with any work, services or functions to be performed under this proposal. 4.4 Assignment. Any contract or any interest therein entered into between the agency and PPEP- CA may not be assigned without the prior written consent of PPEP-CA. 4.5 Claims and Disputes. Unless otherwise agreed to by the parties, any Claims, disputes, or other matters in question between the parties to the contract or breach thereof shall be subject to mediation under the auspices of a recognized, neutral third party professional mediation services, or other mediation method acceptable to both parties, prior to undertaking any legal action. The cost of the mediation services shall be borne equally by the parties. 4.6 Provisions Required by Law Deemed Inserted. Each and every provision of law and clause required by law to be inserted in a contract applicable to charter schools in California shall be deemed to be a public document and the contract shall be ready and enforced upon execution by both parties, and if through mistake or otherwise any material provision of the contract is not inserted, or is not corrected prior to execution, then upon application of either party the contract shall forthwith be physically amended to make such insertion or correction. 4.7 Governing Law. Any contract between the Agency and PPEP-CA shall be governed and interpreted in accordance with the laws of the State of California. 4.8 Laws and Regulations. AGENCY shall give all notices and comply with all laws, ordinances, rules and regulations bearing on conduct of work as indicated and specific. If AGENCY performs any work knowing it to be contrary to such laws, ordinances, rules and regulations the Agency shall bear all costs. 4.9 Severability. If any provision of the contract shall be unlawful, void, or for any reason, unenforceable, it shall be deemed severable from, and shall in no way effect the validity or enforceability of the remaining provisions of the contract, which shall remain valid and enforceable according to this term Covenant Against Gratuities. AGENCY warrants by signing and submitting its proposal in response to this RFP that no gratuities (in the form of entertainment, gifts, or otherwise) were offered or given by AGENCY or any agent or representative of AGENCY to any officer or employee of PPEP-CA with a view toward securing the contract or securing favorable treatment with respect to any determinations concerning the performance of the contract Covenant Against Contingent Fees. AGENCY warrants that no person or selling agency has been employed or retained to solicit or secure the contract to be executed as a result of this 6

7 RFP upon an agreement or understanding for a commission, percentage, brokerage or contingent fee, except bona fide established commercial or selling agencies maintained by AGENCY for the purpose of securing business. For breach or violation of this warranty, PPEP-CA shall have the right to terminate any contract that may be entered into with the AGENCY and in its sole discretion to deduct from the contract price or consideration or otherwise recover the full amount of such commission, percentage, brokerage or contingent fee. 5.0 INSURANCE REQUIREMENTS 5.1 Professional Liability and Errors and Omissions Insurance. AGENCY shall maintain professional liability and errors and omissions insurance in an amount deemed acceptable by PPEP-CA, but not less than One Million Dollars ($1,000,000). AGENCY shall not commence work under this contract until all other required insurance has been obtained and certificates of insurance have been delivered to and approved by PPEP-CA. Certificates and insurance policies shall include the following clause: This policy shall not be canceled or reduced in required limits of liability until notice has been given to PPEP-CA of such cancellation or reduction. Date of cancellation or reduction shall not be less than sixty (60) days after the date of notice is given. As to the operation of the charter school, Certificates of insurance shall name PPEP-CA as an additional insured. In addition, said certificate shall state the extent of insurance, the locations, and operation to which insurance applies and the expiration date of the insurance. 5.2 Workers Compensation. In accordance with the provisions of Section 3700 of the California Labor Code, each AGENCY shall sign and file with PPEP-CA the following certificate before performing the work under the contract: I am aware of the provisions of Section 3700 of the Labor Code which required every employer to be insured against liability for workers compensation or to undertake selfinsurance in accordance with the provision of the code, and I will comply with such provisions before commencing the performance of the work of the contract. 6.0 NON-COLLUSION. Any efforts to restrain competition and the making of false sworn statements in connection with the submission of proposals are unlawful. Public Contract Code 7106 requires all AGENCIES to submit a non-collusion affidavit. 7.0 AWARD OF CONTRACT. PPEP-CA reserves the right to reject any or all responses, or to waive any irregularities or informalities in any responses in the RFP. The award, if made by PPEP-CA, 7

8 will be to the AGENCY who meets all evaluation criteria. Any agreement will be negotiated once an AGENCY has been selected. 8.0 LENGTH OF CONTRACT. The successful AGENCY will be required to have a contract in place with PPEP-CA by January 1, The length of the contract shall be for three (3) years. 9.0 TERMINATION OF REQUESTS FOR PROPOSALS. In the event Antelope Valley Union High School revokes its charter, PPEP-CA shall have the right, upon fifteen (15) days prior written notice to AGENCY, to terminate this Agreement at any time and without cause prior to complete delivery. Such termination shall be without any obligation or liability to AGENCY other than payment of charges for the value of work performed, and for necessary expenditures which can be established by AGENCY as having been reasonably incurred prior to the time that notice of termination is given. In no event shall the termination charges exceed the purchase price of the equipment/services. In the event of any termination, PPEP-CA shall be entitled to all materials, work in process and completed work included as value of work performed and necessary expenditures in determining the charges referred to above and paid by PPEP-CA FEES/PRICES. AGENCY S fees/pricing must include all costs associated with this RFP. Fees/prices shall remain firm for the length of the contract EQUIPMENT AND SUPPLIES. AGENCY shall provide all equipment, labor, software and materials necessary to perform the required service. No equipment, material or personnel shall be provided by PPEP-CA CONFLICT OF INTEREST. PPEP-CA hereby finds that the duties in this contract are limited in scope and thus do not necessitate compliance with disclosure requirements as stated in the Fair Political Practices Commission, Regulation Title 2, California Code of Regulations section CONFIDENTIALITY. AGENCY shall not disclose information about PPEP-CA s business or business practices and safeguard confidential data which AGENCY staff may have access to in the course of system implementation. 8

The content and sequence of the proposals will be as follows: I. TITLE PAGE. Indicate the name of the AGENCY, local address, an authorized contact person, telephone, and address. II. III. IV. AGENCY/INDIVIDUAL DATA (5 POINTS) a) Provide an overview of your firm. b) Provide a current VITAE or resume of the person or persons that would be assigned to this project. 1. Explain the role of each person or persons. 2. Explain where the person or persons will be based. 3. Explain the role, if any, of the liaison to the Charter School. 4. Explain whether the liaison will oversee only the Charter School or multiple schools. c) Describe what additional support (office, personnel, etc.) would be provided to the key individual(s). d) Has your company ever been terminated or replaced as a charter school operator during the last five years? If so, explain in detail and provide results of any litigation and/or settlement on the project. e) Provide relevant and current financial statements for your firm for the past two (2) years. REFERENCES (10 POINTS). Provide three (3) school client references with names, addresses, and telephone numbers of appropriate contacts where you have performed similar work relevant to this RFP. Additional public entities may be listed as well. 9

CURRICULUM (25 POINTS). a) Provide a general overview of the Provider s Curriculum and Instructional Philosophy. b) Describe how Agency s course content and assessments are aligned to the California Department of Education Content Standards. c) Describe how Agency s course content is aligned to UC Regents A-G standards. d) Describe options for a project-based learning. e) Explain how the curriculum has the ability to create and personalize instructional paths. f) Explain the available data management/data reporting package and if it can generate electronic reports based on student achievement data including individual student reports, teacher/mentor reports, and district reports. g) Explain how the curriculum has the ability to accommodate different learning styles. h) Explain if there are Universal Design options to meet the needs of students with disabilities. i) Provide a complete list, including descriptions, of Course Offerings. j) Explain if teachers have course customization flexibility. k) Explain if your curriculum has proven success with English Learners VI. Describe any online charter school management and operation you have facilitated or provided in the last five years. a) Include a short description of the scope of work provided, including the number of online charter schools your firm has managed and operated in the last five years. b) Explain what educational software had been used by the online charter schools. c) Describe the academic success of the students enrolled in the online charter schools your firm has managed and operated. d) If applicable, provide the enrollment of any online charter schools you have managed for the and school years, and the projected enrollment for e) Identify in the geographical areas/counties/states your firm provided online charter school management and operations. f) Explain whether any online charter schools managed and operated by your firm had been targeted toward a particular academic focus (e.g., math, science, etc.). g) Explain whether any online charter schools managed and operated by your firm had been targeted toward a particular student audience (e.g., high achieving, underperforming, ethnic group, Long Term English Learners, etc.). DESCRIPTION OF PROPOSED PRODUCTS & SERVICES (25 POINTS). a) Describe the Agency s Student Success model. b) Provide a statement of the Agency s understanding of the work to be performed. c) Based on that understanding, describe the services the Agency proposes to provide PPEP- CA for online charter school management and operations. 10

11 d) Describe how the Agency proposes to staff the Charter School, including the following positions: Administration, Academic Support Staff, Enrollment Support Staff, Operations Staff, e) Provide a statement of the level and nature of support that will be required of PPEP-CA by the Agency. f) Describe the proposed schedule for the Agency to meet with PPEP-CA Board of Directors to keep them apprised of the statues applicable to charter school management and operations. g) Provide a statement of the Agency s understanding of the transitional services, which may be requested prior to June 30, h) Based on that understanding, describe the transitional services the Agency could provide PPEP-CA, and provide the earliest available start date for such services. i) Describe what marketing support the Agency has available. j) Describe the software platforms provided by the Agency to support the curriculum/learning management system, enrollment application process and procedure, and student information system, including student/parent/teacher communication. k) Explain the training and professional development the Agency will provide the administration, teachers and staff on the use of the software. l) Explain whether the online system(s) is single or multiple platform. m) Describe the technical requirements of the Agency s platform(s). n) Identify available processes for student intake, advising, contact and enrollment. VIII. FEE DISCLOSURE (10 POINTS). a) Describe all fees, charges or other expenses. Explain in detail the basis for the fees. Provide maximum fee to be charged for the online charter school management and operation, including any incidental or out of pocket expenses, including a breakdown of what equipment or services are provided with student fees and teacher fees.
