1 ! Membership Terms and Conditions 1. These Terms and Conditions 1.1 Any person wishing to make available, sell and administer Venue Membership services through the ClubSpark portal must accept the terms and conditions of this agreement with LTA Operations Limited and Sportlabs Technology Limited. These terms and conditions shall apply to the operation of the Service and the ClubSpark Portal (as defined in each case) as between You, the LTA and Sportlabs to the exclusion of all other terms and conditions with the exception of the LTA Terms of Use (defined below). 1.2 The LTA has commissioned Sportlabs to provide, as part of the ClubSpark Portal, an online tool to facilitate the promotion, purchase and administration of, and payment for, Venue Membership services by venues. Information about Your Venue Membership services will be provided by You to the LTA which will assist You as appropriate in publication on the Membership Management module. The Membership Management and transactional modules, however, are licensed directly to You by Sportlabs and not the LTA and it is Sportlabs which facilitates transactions between You and Members, and accepts payments on Your behalf. 1.3 By ticking the terms and conditions box as part of Your registration for the Membership Management module on the ClubSpark Portal, You acknowledge that You have read, understand and accept these terms and conditions. 2. Definitions In these Terms and Conditions the terms below have the following meanings: Access Information means the password and/or user identity unique to You which provides access to the ClubSpark Portal; Agreement means the agreement between LTA, Sportlabs and You for the provision of the Service, governed by these Terms and Conditions and the Terms of Use; "Venue Membership" means affiliation to and membership of a tennis club, in order to receive membership benefits such as special offers and discounts, priority booking of tennis courts, access to sporting and social events, etc. Venue Membership Information means information about You, Your Venue Membership services and any other details relating to Your Venue Membership offering which a Member may need or reasonably wish to know before booking Membership Services from You, including Your Membership Terms;
2 ClubSpark Portal means the system, made available by Sportlabs, for the promotion, purchase and administration of Venue Membership services and other services provided by tennis clubs, and the Membership Management website through which Members may review, select, apply to receive and pay for Venue Membership services and You can advertise and manage the Venue Membership Information; Logo means Your name and logo, a copy of which shall be provided by You to the LTA in JPEG or gif format; the LTA means LTA Operations Limited of The National Tennis Centre, 100 Priory Lane, Roehampton, London SW15 5JQ (registered in England No ); Members means individuals who apply to receive Venue Membership services through the ClubSpark Portal and shall include, for the purposes of these Terms and Conditions, any individual who is not yet a member of a tennis venue because they are applying for Venue Membership for the first time (and Member means any one of them); Membership Fee means the final price (if any) the Member will pay for the Venue Membership services including the Transaction Fee and VAT; "Membership Terms" means Your terms and conditions on which you sell and regulate Your Venue Memberships, which may include rules and regulations about Members' conduct, etc. Registration Form means the form which You must submit before You are granted the Access Information; Service means (i) the advertisement of Your Venue Membership services using the ClubSpark Portal and (if agreed) (ii) facilitation by Sportlabs of a Member's booking of Venue Membership services and payment for those Venue Membership services through the ClubSpark Portal; "Sportlabs" means Sportlabs Technology Limited of 101 Barnett Wood Lane, Ashtead, Surrey KT21 2LR (registered in England No ); "Terms of Use" means the terms and conditions governing use of the LTA website, a copy of which is available at Transaction Fee means the fee applied to each order for processing the transaction of a Membership Fee (where a Membership Fee is applied); You means you, the provider of the Venue Membership services as stated on the Registration Form, and "Your" shall be construed accordingly; 3. Duration 3.1 This Agreement, and the provision of the Service, shall only come into force when You are issued with the Access Information having completed the Registration Form. 3.2 This Agreement shall remain in force until it is terminated under clause 10.! 2

Registration, provision of Venue Membership Information and licence to use the Membership Management module of the ClubSpark Portal 4.1 You must provide true, complete and accurate information when registering on the ClubSpark Portal to provide Venue Membership services and must ensure that it is maintained and updated immediately in the case of any change to it. You authorise Sportlabs to use any registration information to verify Your information and to obtain credit reports and credit authorisations. 4.2 You shall be responsible for providing, and updating as is necessary, all Venue Membership Information in the form specified by the LTA, whether on the Registration Form or otherwise or directly through the ClubSpark Portal. 4.3 The LTA reserves the right (but shall not be obliged) to check and edit all Venue Membership Information before it publishes it on the ClubSpark Portal. You shall amend or provide further details as may reasonably be requested by the LTA prior to such Venue Membership Information being published or after its publication. 4.4 On receipt of the Venue Membership Information the LTA shall upload and make available such Venue Membership Information on the ClubSpark Portal. 4.5 You shall provide the Logo in the format specified by the LTA and grant LTA a nonexclusive, royalty free licence to reproduce the Logo and the Venue Membership Information on the ClubSpark Portal for the purposes of advertising Your provision of Court bookings. 4.6 Following registration, (a) the LTA grants You a limited, non-transferable licence to use the Membership Management module of the ClubSpark Portal for the purposes of making available Venue Membership Information; and (b) Sportlabs grants You a limited, non-transferable licence to make use of the transactional modules of the ClubSpark Portal for the purposes of concluding sales agreements with Members for the purchase of Venue Membership services. 4.7 Each of Sportlabs and the LTA reserves the right to reject registration at its reasonable discretion. 5. Purchases of Venue Membership services 5.1 Members shall purchase Venue Membership services directly from You. Sportlabs facilitates the transaction between You and any Member by means of the ClubSpark Portal but neither Sportlabs nor the LTA is the buyer or seller of any service offered and/or made available by You through the ClubSpark Portal. Notwithstanding conclusion of contracts between You and Members by means of the ClubSpark Portal, Sportlabs acts as limited agent for each Member to conclude the sales contract with You and enforcement of any contractual obligation relating to the sale of any Venue Membership services is the exclusive responsibility of You and the Member concerned. The Venue Membership Information shall make it clear to Members that Sportlabs is merely responsible for facilitating purchases of Venue Membership services. 5.2 All requests to purchase Venue Membership services received from Members shall in addition be subject to Your Membership Terms.! 3
4 5.3 It shall be Your responsibility to monitor and honour all requests to purchase Venue Membership services made through the ClubSpark Portal. 5.4 Once a Member has completed the payment process through the ClubSpark Portal You shall be responsible for communicating with the Member including providing any further information about or materials relating to the Venue Membership services, and for providing the Venue Membership services in accordance with the preferences of the Member in question. 6. Payment and refunds for Venue Membership services, and fees payable to Sportlabs 6.1 Venue Membership services will (where a Membership Fee applies) be priced by You and should be inclusive of VAT, if appropriate, and inclusive of the Transaction Fee. 6.2 It shall be Your responsibility to send any VAT receipts to the Member if requested to do so by the Member, or if You are registered for VAT. 6.3 It shall be Your responsibility to pay any VAT due on any Venue Membership services. 6.4 Sportlabs will provide You with a statement on the day a purchase of Venue Membership services is made. The statement will contain confirmation of any person who has made a purchase of Venue Membership services and the costs deducted for the Transaction Fees. 6.5 Sportlabs will (where a Membership Fee applies) collect payment from Members who purchase Venue Membership services from You, through the ClubSpark Portal and in accordance with its requirements on Your behalf. Sportlabs shall be entitled to deduct from payments remitted to You (i) any fees due to Sportlabs under clause 6.6; (ii) any refunds paid or due to Members under clause 6.7; (iii) any other amounts due to Sportlabs. 6.6 Members who request a refund within 14 days of making a purchase of Venue Membership services are entitled to a full refund. Members will contact You directly if they require a refund for Venue Membership services they have purchased. It shall be Your responsibility to process valid refund requests in a timely manner and respond to the Member within 24 hours. Members are not entitled to a refund if they request the refund after the period set out above. You may however process a refund at Your discretion in such circumstances. 6.7 In the event You need to cancel a sale of Venue Membership services, it shall be Your responsibility to contact the Members concerned, make alternative arrangements with those Members and refund Members where required. In such circumstances, Sportlabs shall keep the Transaction Fee and you must bear the cost of refunding the Members the Transaction Fee. 6.8 By completing a Registration Form, You agree to pay to Sportlabs the Transaction Fee (including VAT) and consent to Sportlabs debiting your Sportlabs account for all amounts due.! 4
5 6.9 The Transaction Fee includes the cost of processing the payments and an administration fee, including VAT. The Transaction Fee is a fixed amount of up to 1.8 per cent of the Membership Fee Sportlabs reserves the right to alter the Transaction Fee subject to provision of notice. 7. Your Warranties 7.1 You warrant, agree and undertake that: (a) the reproduction and/or publication of the Venue Membership Information by the LTA and Sportlabs as originally submitted or as amended pursuant to clause 5 will not breach any contract or infringe or violate any copyright, trade mark or any other personal or proprietary rights of any person or render the LTA or Sportlabs liable to any claim or proceedings whatsoever; (b) all Venue Membership Information shall be, and shall remain at all times, accurate, complete and true. It shall be Your responsibility to update the Venue Membership Information; (c) all Venue Membership Information submitted to the LTA shall be legal, decent, honest and truthful and not misleading; (d) the Venue Membership Information shall comply with the requirements of all applicable law, rules or regulations and all reasonable instructions and directions of the LTA; (e) You shall ensure all communications with Members are completed in a timely and prompt manner, to a professional standard, and in accordance with clause 8; and (f) You shall at all times during which You promote the availability of Venue Membership services through the ClubSpark Portal and administer Venue Membership services through the ClubSpark Portal provide those Venue Membership services yourself and provide the Venue Membership services with all reasonable care and skill and to the standard reasonably to be expected from an LTA-affiliated tennis club; (g) the terms on which You make Venue Membership services available through the ClubSpark Portal shall be at least as favourable as those on which you offer Venue Membership services through any other sales channel; (h) Your Membership Terms shall not be inconsistent with the provisions of this Agreement (including any warranties contained herein); and (i) You shall comply with the Terms of Use when accessing the LTA s website. 7.2 You warrant, agree and undertake that You will not use the ClubSpark Portal: (a) for any purpose other than those set out in clauses 8.7(a) and (b) below;! 5
6 (b) to disseminate any unsolicited or unauthorised advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation; (c) to disseminate any material that contains software viruses or any other computer code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; or (d) in any way that is unlawful, that might infringe any third party rights or that might bring the LTA, Sportlabs or the sport of tennis into disrepute. 7.3 You shall be liable for, and keep each of the LTA and Sportlabs indemnified against, any third party claim brought against, or loss, damage or expenses incurred by, the LTA or Sportlabs as the case may be that results from a breach by You of this clause Use of Access Information and Personal Data 8.1 You shall keep the Access Information secure and confidential in accordance with clause 11.1 and effect such security and technical measures as may be necessary to keep the Access Information secure and confidential. 8.2 In this clause 8 the terms "personal data", "sensitive personal data", "process" and "data subject" shall have the meanings given to them in the Data Protection Act 1998 ("the DPA"). 8.3 Each of Sportlabs and You shall comply at all times with all relevant obligations under the DPA, the Privacy and Electronic Communications (EC Directive) Regulations 2003 (as they may be amended or re-enacted from time to time) and any other applicable legislation, regulation or code of practice relating to privacy, data protection and/or direct marketing from time to time (together "the Data Protection Legislation"). 8.4 Where required by the Data Protection Legislation, You shall obtain and maintain all necessary notifications or registrations with the Information Commissioner's Office. 8.5 You shall not (unless otherwise permitted in writing by the LTA) access or attempt to access or process in any way any personal data on the ClubSpark Portal except relevant personal data about Members who have purchased Venue Membership services (whether via the ClubSpark Portal or otherwise) ("Member Personal Data"). 8.6 Where a Member purchases Venue Membership services other than via the ClubSpark Portal, and where You decide to input that Member's details into the Membership Management module, You shall: (a) inform that Member that his/her personal data may be used by Sportlabs for the purposes of providing the ClubSpark Portal; and (b) accurately record that Member's name (and such other personal data as the LTA may permit or require) on the ClubSpark Portal in the manner directed by the LTA, and keep such information regularly updated.! 6
7 8.7 You shall process Member Personal Data via the ClubSpark Portal or which has been exported from the ClubSpark Portal solely: (a) for the purposes of administering and providing the Venue Membership services, including by contacting Members using the ClubSpark Portal for the purposes set out in clause 5.4, and as otherwise required for the proper administration and delivery of the Venue Membership services; and (b) in accordance with consents in place from time to time from the Member concerned, and in the case of any marketing communication You shall: (i) ensure that every such marketing communication complies with the Data Protection Legislation and contains an easy means of unsubscribing from future marketing communication; (ii) diligently record any request from a Member not to receive further marketing communications, and not send any further marketing communications to that Member (regardless of the consents recorded on the ClubSpark Portal); (iii) promptly inform the LTA of any request of the kind referred to in 8.7(b)(ii) which is received from a Member who purchased Venue Membership services via the ClubSpark Portal. 8.8 Without prejudice to the generality of clause 8.3 above, each of Sportlabs and You shall (unless otherwise permitted in writing by the LTA): (a) not export Member Personal Data from the ClubSpark Portal except in the circumstances and for the purposes set out in clause 8.7(b), not retain any exported Member Personal Data longer than necessary for those purposes, and ensure any exported Member Personal Data is kept accurate and up to date; (b) take appropriate technical and organizational security measures against unauthorised or unlawful processing of, or loss or destruction of or damage to Member Personal Data; (c) not access the ClubSpark Portal nor access, process or transfer Member Personal Data via or exported from the ClubSpark Portal outside the European Economic Area; and (d) promptly inform the LTA of any complaint or request received in relation to Member Personal Data, and (at the LTA's option) either respond to such complaint or request in accordance with the Data Protection Legislation, or provide all reasonable assistance to the LTA in doing so. 8.9 Your obligations under this clause 8 shall survive termination of this Agreement in respect of any Member Personal Data exported by you from the ClubSpark Portal, or to which you continue to have access via the ClubSpark Portal pursuant to clause Your access to all other Member Personal Data shall cease on termination of this Agreement.! 7
8 9. Limitation of liability 9.1 So far as is reasonably practicable the Service is made available by Sportlabs on a 24 hour 7 day basis. As it is technically impossible to provide a fault-free uninterrupted service, the Service is provided as is and 'as available' without warranties of any kind, express or implied (other than warranties not capable of exclusion as a matter of law). Whilst Sportlabs will use reasonable efforts to ensure that the Service is available at all times, to keep unavoidable interruptions to a minimum and to give notice at log-in of anticipated interruptions, there will inevitably be times when the Service is unavailable. 9.2 The LTA and Sportlabs shall not be liable to You for any loss or damage whatsoever or howsoever caused arising directly or indirectly in connection with the Service or Your use of the ClubSpark Portal, or from any misrepresentation, whether innocent or negligent, except to the extent that such liability may not be lawfully excluded. 9.3 Notwithstanding anything else contained in this Agreement, the LTA and Sportlabs shall not be liable to You for: (i) loss of profits or contracts or goodwill or statutory penalties or indirect or consequential loss, whether arising from negligence, breach of contract or howsoever caused; (ii) any and all costs related to the procurement of any substitute service(s); (iii) third party claims of any kind; or (iv) any loss or damage arising from Your failure to use the Service strictly in accordance with the terms of this Agreement or to provide accurate and up to date Venue Membership Information. 9.4 Neither the LTA nor Sportlabs excludes liability for death or personal injury caused by its negligence. 10. Termination 10.1 Either the LTA or Sportlabs may terminate this Agreement and remove the Service from You forthwith by notice in writing if: (a) You commit a material or persistent breach of its obligations which if capable of remedy shall not have been remedied within fourteen (14) days of written notice to do so; or (b) You are unable to pay Your debts as they fall due or are the subject of a bankruptcy petition or enter into compulsory or voluntary liquidation or compound with or convene a meeting of Your creditors or have a receiver, manager, administrator or administrative receiver appointed of Your assets (or are subject to a similar event or set of circumstances in the country where You principally carry on business) or cease for any reason to carry on business; or (c) You are in material or persistent breach of any other agreement or contract You have entered with the LTA, including the Terms of Use; or (d) the agreement between the LTA and Sportlabs under which Sportlabs agrees to provide the purchase and administration facility for Venue Membership services is terminated.! 8
9 10.2 On termination of this Agreement the LTA and/or Sportlabs shall be entitled to take down the Venue Membership Information and disable Your Access Information. You and Sportlabs agree however that your and their rights and obligations under this Agreement will remain in effect after such termination to the extent necessary to process any requests to purchase Venue Membership services made by Members prior to the date of termination, including in relation to payments and fees respect of such requests The LTA retains sole and absolute editorial control over the contents of the ClubSpark Portal and accordingly shall be entitled to withdraw from the ClubSpark Portal (or refuse to include on the ClubSpark Portal) immediately and without the need for prior notice to You any Venue Membership Information which in its reasonable opinion infringes the intellectual property rights of any third party, is inaccurate or is otherwise contrary to any applicable law, regulation or rule The LTA shall notify You as soon as practicably possible in the event that it exercises its rights to withdraw or withhold the Venue Membership Information from the ClubSpark Portal and shall allow You a reasonable opportunity (and if reasonably practicable before withdrawing or withholding such content) to provide replacement or amended Venue Membership Information provided that doing so does not result in LTA breaching its own obligations to adhere to any applicable law, regulation or law. 11. General 11.1 Confidentiality. The terms of this Agreement shall remain confidential and, in addition to Your obligations in clause 7, You shall keep any confidential information disclosed to You by either the LTA or Sportlabs strictly confidential Force Majeure. Neither the LTA nor Sportlabs shall be liable for any failure to fulfil its obligations caused by circumstances beyond its reasonable control, including any period during which access to the ClubSpark Portal is suspended, provided that such party has made reasonable efforts to fulfil its obligations under this Agreement Entire Agreement. The terms of this Agreement together with the Terms of Use supersede all prior agreements in relation to the provision by the LTA and Sportlabs of the Service, and are complete and exclusive. This Agreement supersedes any prior agreements, representations, arrangements or undertakings in relation to such subject matter, provided that nothing in this clause shall exclude or limit liability for fraudulent misrepresentation. Except as otherwise provided, no addition, amendment or modification of the terms of this Agreement shall be effective, unless in writing and signed or accepted by the LTA and Sportlabs Variation. The LTA and Sportlabs shall have the right to modify the terms of this Agreement at any time by service of not less than 30 days' notice on You and, if you continue to use the Service, you will be deemed to have accepted any such modification Severance & Waiver. In the event that any provision of this Agreement is held to be illegal, invalid, void or unenforceable, it shall be severed from the remaining provisions of this Agreement which shall continue in full force and effect. Failure or neglect by either party to enforce any provision of this Agreement shall not be! 9
10 construed nor shall be deemed to be a waiver of a party's rights under this Agreement and shall not prejudice that party's rights to take subsequent action Assignment. You shall not, without the prior written consent of the LTA and Sportlabs, assign, sub-license, sub-contract or otherwise transfer to any third party any of its rights or obligations under this Agreement Third Party Rights. Each party agrees that no term of this Agreement will be enforceable by any third party by virtue of the Contracts (Rights of Third Parties) Act Law. This Agreement is governed by the laws of England and any issues arising shall be dealt with only by the English courts Conflict. In the event of any conflict between these Terms and Conditions and the Terms of Use these Terms and Conditions shall prevail.! 10
