Introduction Invitation to Proponents This Request for Proposals ( RFP ) is an invitation by the Association of Faculties of Medicine of Canada (the AFMC ) to prospective proponents to submit proposals for the provision of hosting services for The AFMC Student Portal/ Portail des étudiants de l AFMC ( Portal ). About the Organization Founded in 1943, AFMC represents Canada s 17 faculties of medicine and is the voice of academic medicine in this country. We act to support medical education, health research, and clinical care in our faculties of medicine. Canada s faculties of medicine graduate over 2,650 MDs a year with an enrolment of over 11,500 undergraduate medical students. Contact For the purposes of this procurement process, the AFMC contact shall be Catherine Peirce, Project Manager, e-learning at [email protected]. Type of Contract for Deliverables Proponents will be evaluated according to the criteria Evaluation Process outlined in section D. The selected proponent will be required to enter into negotiations for an agreement with the AFMC for the provision of the Deliverables. The term of the agreement will be for a period of 3 years, with an option in favour of the AFMC to extend the agreement on the same terms and conditions for an additional 2 year term. It is anticipated that the agreement will be executed by May, No Guarantee of Volume of Work or Exclusivity of Contract The AFMC makes no guarantee of the value or volume of work to be assigned to the successful proponent. The Agreement to be negotiated with the selected proponent will not be an exclusive contract for the provision of the described Deliverables. The AFMC may contract with others for the same or similar deliverables to those described in the RFP or may obtain the same or similar deliverables internally. Agreement on Internal Trade Proponents should note that procurements falling within the scope of Chapter 5 of the Agreement on Internal Trade are subject to that chapter but that the rights and obligations of the parties shall be governed by the specific terms of each particular tender call. 4 B. Timetable and Submission Instructions Proponents should submit their proposals according to the following timetable and instructions. Proposals Should Be Submitted on Time in Prescribed Manner Proponents are to submit their proposal by to: Catherine Peirce, Project Manager e-learning Association of Faculties of Medicine of Canada [email protected] Proposals are to be prominently marked with the RFP title, with the full legal name, and return address of the proponent, and with the Submission Date. Proposals are to be submitted by on or before the Submission Date. Proposals submitted after the submission date will be rejected. Withdrawing Proposals At any time throughout the RFP process, a proponent may withdraw a submitted proposal. To effect a withdrawal, a notice of withdrawal must be sent to the AFMC Contact by an authorized representative. The AFMC is under no obligation to return withdrawn proposals. C. Detailed Specifications Project AFMC is seeking submissions for a hosting service located in a data center in Canada for The AFMC Student Portal / Portail des étudiants de l AFMC. The hosting provider s infrastructure must be configured to ensure the highest security and performance for all components of the AFMC Student Portal including web server, web application server, and database. The required servers are to be located in the same datacentre and on the same LAN for efficient communication. Server management including regular server maintenance and updates is also a requirement (see Appendix A - I. Detailed Description of Service Requirements). 5 About the Portal The Portal is to be a secure web-based, bilingual service to facilitate the application and placement of medical students for visiting electives at the 17 faculties of medicine in Canada. The Portal will offer: a visiting elective guide (i.e. a searchable directory of information related to visiting elective opportunities); an online application service for students; an administration workflow management system for placement and confirmation of electives configurable by each faculty of medicine; and data exchange interface. As confidential personal information and sensitive data will be captured and stored, the system must meet the highest standards for privacy and security of information, including (but not limited to) FIPPA in Ontario, and PIPEDA federally. The Portal services are intended to meet the needs of students, faculties of medicine in Canada, AFMC, and other stakeholders involved in visiting electives. User Description It is estimated that there will be approximately 6000 students who will register and hold an account on the Portal during any 12-month period. This includes third and fourth year students from Canadian faculties of medicine as well as International medical students. Data is unknown regarding the number of anonymous users who will visit the Portal to access information about visiting electives. It is anticipated that the number of anonymous users will be considerably higher than the number of account holders. In addition, there will be approximately, 20 to 30 school administrators who will be accessing the Portal regularly as registered users. Project Team AFMC is the operational lead and holds sole legal and financial responsibility for the delivery of the project. AFMC has created a partnership with the University of Toronto to help guide the design of the Portal, and can be considered the technical lead for the project. AFMC has contracted with a software development company called Wired Solutions to perform the technical development of the AFMC Student Portal, and they can be considered the application developer. Material Disclosures This agreement is not exclusive; the AFMC reserves the right to purchase hardware, software, hosting and support from other vendors. This agreement does not include the development of websites or web applications, only the hosting of websites and web applications developed by AFMC or its contractors. No end-user support is required as part of this agreement; any support will be provided only to staff of the AFMC or other members of the Project Team. Materials for Submission Proponent must provide all of the required documentation and the Acknowledgment Form as outlined in Appendix B. D. Proposal Evaluation Stages of Proposal Evaluation The AFMC will conduct the evaluation of proposals in the following four (4) stages: AFMC STUDENT PORTAL, RFP Hosting 2014 Page 5 of 19
6 Stage I Mandatory Requirements, Submission and Rectification Stage I will consist of a review to determine which proposals comply with all of the mandatory requirements. Proposals failing to satisfy the mandatory requirements as of the Submission Date will be provided an opportunity to rectify any deficiencies. Proposals failing to satisfy the mandatory requirements as of the Rectification Date will be excluded from further consideration. Proposals failing to satisfy the mandatory requirements will be excluded from further consideration. Stage II Evaluation of Rated Criteria Stage II will consist of a scoring by the AFMC of each qualified proposal on the basis of the rated criteria, excluding Pricing. Proponents should refer to Appendix C Rated Criteria for a breakdown of the Rated Criteria. Proponents failing to meet the minimum threshold for any section will be excluded from further consideration in Stage III. Stage III Evaluation of Pricing Stage III will consist of a scoring of the Pricing submitted. The evaluation of price will be undertaken after the evaluation of mandatory requirements and any rated requirements has been completed, and will only apply to proponents that have not been excluded in earlier stages. 7 Stage IV Cumulative Score and Selection of Highest Scoring Proponent At the conclusion of Stage III, all scores from Stage II and Stage III will be added and the highest ranking proponent will be selected for contract negotiations in accordance with Section E. Terms and Conditions of the RFP Process. Tie Score In the event of a tie score, the selected proponent will be determined by way of a coin toss. E. Terms and Conditions of the RFP Process 1. General Information and Instructions 1.1 Proponents to Follow Instructions Proponents should structure their proposals in accordance with the instructions in the RFP. Where information is requested in the RFP, any response made in a proposal should reference the applicable section numbers of the RFP where that request was made. 1.2 Language of Proposals Proposals may be submitted in either English or French. 1.3 AFMC s Information in RFP Only an Estimate The AFMC and its advisers make no representation, warranty or guarantee as to the accuracy of the information contained in the RFP or issued by way of addenda. Any quantities shown or data contained in the RFP or provided by way of addenda are estimates only and are for the sole purpose of indicating to proponents the general size of the work. It is the proponent s responsibility to avail itself of all the necessary information to prepare a proposal in response to the RFP. 1.4 Proponents Shall Bear Their Own Costs The proponent shall bear all costs associated with or incurred in the preparation and presentation of its proposal, including, if applicable, costs incurred for interviews or demonstrations. 2. Communication after Issuance of RFP 2.1 Proponents to Review RFP Proponents shall promptly examine all of the documents comprising the RFP, and (a) (b) shall report any errors, omissions or ambiguities; and may direct questions or seek additional information in writing by on or before the proponent s Deadline for Questions to the AFMC Contact. All questions submitted by proponents by to the AFMC Contact shall be deemed to be received once the has entered into the AFMC Contact s inbox. No such communications are to be directed to anyone other than the AFMC Contact. The AFMC is under no obligation to provide additional information. AFMC STUDENT PORTAL, RFP Hosting 2014 Page 7 of 19
8 It is the responsibility of the proponent to seek clarification from the AFMC Contact on any matter it considers to be unclear. The AFMC shall not be responsible for any misunderstanding on the part of the proponent concerning the RFP or its process. 2.2 All New Information to Proponents by Way of Addenda The RFP may be amended only by an addendum in accordance with this section. If the AFMC, for any reason, determines that it is necessary to provide additional information relating to the RFP, such information will be communicated to all proponents by addenda. Each addendum forms an integral part of the RFP. Such addenda may contain important information, including significant changes to the RFP. Proponents are responsible for obtaining all addenda issued by the AFMC. 2.3 Post-Deadline Addenda and Extension of Submission Date If any addendum is issued after the Deadline for Issuing Addenda, the AFMC may at its discretion extend the Submission Date for a reasonable amount of time. 2.4 Verify, Clarify and Supplement When evaluating responses, the AFMC may request further information from the proponent or third parties in order to verify, clarify or supplement the information provided in the proponent s proposal. The AFMC may revisit and re-evaluate the proponent s response or ranking on the basis of any such information. 2.5 No Incorporation by Reference The entire content of the proponent s proposal should be submitted in a fixed form, and the content of websites or other external documents referred to in the proponent s proposal will not be considered to form part of its proposal. 2.6 Proposal to Be Retained by the AFMC The AFMC will not return the proposal or any accompanying documentation submitted by a proponent. 3. Negotiations, Notification and Debriefing 3.1 Selection of Top-Ranked Proponent The top-ranked proponent, as established under Section B. Timetable and Submission Instructions will receive an invitation to enter into direct contract negotiations with the AFMC. 3.2 Timeframe for Negotiations The AFMC intends to conclude negotiations within thirty (30) days commencing from the date the AFMC invites the top-ranked proponent to enter negotiations. A proponent invited to enter into direct contract negotiations should therefore be prepared to provide requested information in a timely fashion and to conduct its negotiations expeditiously. 9 3.3 Process Rules for Negotiations Any negotiations will be subject to the process rules contained in this Section E. Terms and Conditions of the RFP Process and in the Terms and Conditions portion of the Submission Form, and will not constitute a legally binding offer to enter into a contract on the part of the AFMC or the proponent. Negotiations may include requests by the AFMC for supplementary information from the proponent to verify, clarify or supplement the information provided in its proposal or to confirm the conclusions reached in the evaluation, and may include requests by the AFMC for improved pricing from the proponent. 3.4 Terms and Conditions The terms and conditions found in the Terms and Conditions of the RFP Process and in the Terms and Conditions portion of the Submission Form, are to form the starting point for negotiations between the AFMC and the selected proponent. 3.5 Failure to Enter Into Agreement Proponents should note that if the parties cannot execute a contract within the allotted thirty (30) days, the AFMC may invite the next-best-ranked proponent to enter into negotiations. In accordance with the process rules in Section E. Terms and Conditions of the RFP Process and in the Terms and Conditions portion of the Submission Form there will be no legally binding relationship created with any proponent prior to the execution of a written agreement. With a view to expediting contract formalization, at the midway point of the above-noted timeframe, the AFMC may elect to initiate concurrent negotiations with the next-best-ranked proponent. Once the above-noted timeframe lapses, the AFMC may discontinue further negotiations with that particular proponent. This process shall continue until a contract is formalized, until there are no more proponents remaining that are eligible for negotiations or until the AFMC elects to cancel the RFP process. 3.6 Notification to Other Proponents Other proponents that may become eligible for contract negotiations will be so notified at the commencement of the negotiation process. Once a contract is executed between the AFMC and a proponent, the other proponents may be notified directly in writing and shall be notified by public posting in the same manner that the RFP was originally posted of the outcome of the procurement process and the award of the contract. 3.7 Debriefing Proponents may request a debriefing after receipt of a notification of award. All requests must be in writing to the AFMC Contact and must be made within sixty (60) days of notification of award. The intent of the debriefing information session is to aid the proponent in presenting a better proposal in subsequent procurement opportunities. Any debriefing provided is not for the purpose of providing an opportunity to challenge the procurement process. 4. Prohibited Communications and Confidential Information 4.1 Prohibited Proponent Communications The proponent shall not engage in any Conflict of Interest communications and should take note of the Conflict of Interest declaration set out in the Terms and Conditions portion of the Submission Form. For the purposes of this Section, Conflict of Interest shall have the meaning ascribed to it in the Terms and Conditions portion of the Submission Form. 10 4.2 Proponent Not to Communicate with Media or Other Parties A proponent may not at any time directly or indirectly communicate with the media in relation to the RFP or any contract awarded pursuant to the RFP without first obtaining the written permission of the AFMC Contact. Similarly, a proponent may not at any time directly or indirectly communicate about the RFP or any contract in negotiation or awarded pursuant to the RFP with any other parties, for example through the company website or any other communication medium, without first obtaining the written permission of the AFMC Contact. 4.3 Confidential Information of the AFMC All information provided by or obtained from the AFMC in any form in connection with the RFP either before or after the issuance of the RFP (a) (b) (c) (d) is the sole property of the AFMC and must be treated as confidential; is not to be used for any purpose other than replying to the RFP and the performance of any subsequent Contract; must not be disclosed without prior written authorization from the AFMC; and shall be either permanently deleted or returned by the proponents to the AFMC immediately upon the request of the AFMC 4.4 Confidential Information of Proponent A proponent should identify any information in its proposal or any accompanying documentation supplied in confidence for which confidentiality is to be maintained by the AFMC. The confidentiality of such information will be maintained by the AFMC, except as otherwise required by law or by order of a court or tribunal. Proponents are advised that their proposals will, as necessary, be disclosed on a confidential basis, to the AFMC s advisers retained for the purpose of evaluating or participating in the evaluation of their proposals. If a proponent has any questions about the collection and use of personal information pursuant to the RFP, questions are to be submitted to the AFMC Contact. 5. Procurement Process Non-binding 5.1 No Contract A and No Claims The procurement process is not intended to create and shall not create a formal legally binding bidding process and shall instead be governed by the law applicable to direct commercial negotiations. For greater certainty and without limitation: (a) the RFP shall not give rise to any Contract A based tendering law duties or any other legal obligations arising out of any process contract or collateral contract; and (b) neither the proponent nor the AFMC shall have the right to make any breach of contract, tort or other claims against the other with respect to the award of a contract, failure to award a contract or failure to honour a response to the RFP. 5.2 No Contract until Execution of Written Agreement The RFP process is intended to identify prospective vendors for the purposes of negotiating potential agreements. No legal relationship or obligation regarding the procurement of any good or service shall be created between the proponent and the AFMC by the RFP process until the successful negotiation and execution of a written agreement for the acquisition of such goods and/or services. 5.3 Non-binding Price Estimates AFMC STUDENT PORTAL, RFP Hosting 2014 Page 10 of 19
11 While the pricing information provided in responses will be non-binding prior to the execution of a written agreement, such information will be assessed during the evaluation of the responses and the ranking of the proponents. Any inaccurate, misleading or incomplete information, including withdrawn or altered pricing, could adversely impact any such evaluation, ranking or contract award. 5.4 Disqualification for Misrepresentation The AFMC may disqualify the proponent or rescind a contract subsequently entered if the proponent s response contains misrepresentations or any other inaccurate, misleading or incomplete information. 5.5 References and Past Performance The AFMC s evaluation may include information provided by the proponent s references and may also consider the proponent s past performance on previous contracts with the AFMC or other institutions. 5.6 Inappropriate Conduct The AFMC may prohibit a supplier from participating in a procurement process based on past performance or based on inappropriate conduct in a prior procurement process, and such inappropriate conduct shall include but not be limited to the following: (a) the submission of quotations containing misrepresentations or any other inaccurate, misleading or incomplete information; (b) the refusal of the supplier to honour its pricing or other commitments made in its proposal; or (c) any other conduct, situation or circumstance, as solely determined by the AFMC, which constitutes a Conflict of Interest. For the purposes of this Section, Conflict of Interest shall have the meaning ascribed to it in the Section E. Terms and Conditions of the RFP Process and in the Terms and Conditions portion of the Submission Form. 5.7 Cancellation The AFMC may cancel or amend the RFP process without liability at any time. 6. Governing Law and Interpretation 6.1 Governing Law The terms and conditions in this Section E Terms and Conditions of RFP Process (a) are included for greater certainty and are intended to be interpreted broadly and separately (with no particular provision intended to limit the scope of any other provision); (b) are non-exhaustive (and shall not be construed as intending to limit the pre-existing rights of the parties to engage in pre-contractual discussions in accordance with the common law governing direct commercial negotiations); and (c) are to be governed by and construed in accordance with the laws of the province or territory within which the AFMC is located (Ontario) and the federal laws of Canada applicable therein. 12 Appendix A RFP Particulars Detailed Description of Service Requirements The AFMC Student Portal is an ASP.NET based web application to be hosted on a 2-server configuration: a web application server and a database server. We anticipate that both of these servers will be virtual servers, configured and supported as follows: Virtual Web Server Windows Server 2012 R2 X86-64 Standard Dual Core Xeon processor (Quad Core (e5620+) preferable) Minimum of 4gb RAM 250gb+ hard drive space, set up in a multi-drive RAID setup for redundancy Virtual Database Server Windows Server 2012 R2 X86-64 Standard Quad Core Xeon processor Minimum of 8gb RAM 500gb+ hard drive space (uploaded application files are stored on web-server). Again, RAID is recommended. Read/Write speed is important as well, faster the better. SQL Server 2012 Enterprise Edition Level of Service 99.9% uptime (guaranteed). o For greater clarity, this can be defined as 8 hours and 45 minutes of unplanned outage per year, or approximately 44 minutes of unplanned outage per month. o Planned outages (i.e. for OS updates or system maintenance) should be scheduled with at least 1 week of notice. Please specify whether this uptime guarantee still applies in the case of the full destruction of the primary data centre (i.e. whether you offer geographic redundancy). Backups (A quote for each of the options below is required) Backup options o Option one: Full back up once per month and daily incremental backups o Option two: Full back up every two weeks, and daily incremental backups Restore o Whatever the backup option selected, the proponent must have the ability to provide a full bare-metal restore within 24 hours Compliance & Certifications The data centre must be PCI DSS Compliant (payment card industry), and should also have successfully met an external security audit compliance standard such as SAS70 Type II / SSAE 16 and/or ISO Other Requirements AFMC STUDENT PORTAL, RFP Hosting 2014 Page 12 of 19
13 The web and database servers should be located in the same datacentre and on the same LAN for efficient and secure communication between the servers Must be located in Canadian datacentre, and any backup systems or geographic redundancy features must also be located in Canada There must be a hardware firewall, configured to allow only authorized traffic. There must be monitoring and reporting features to clearly identify adherence to the uptime guarantee, bandwidth usage, backup frequency and success, etc. Bandwidth (A quote for each of the options below is required) Option one: Base, guaranteed bandwidth 2 terabytes (TB) per month with the option to scale up and cost for overage * Option two: Quote for your next largest TB per month option (ie. > 2 terabyte per month) and cost for overage *Note: A quote for 2 terabyte (TB) per month is mandatory. This section should highlight any experience the proponent might have in the higher education, healthcare, and medical education sectors. Also provide a sample of a service level agreement (SLA) that you would expect to use as a template in the event the proponent is selected. Please indicate the processes or best practices that should be used by the AFMC in the hosting of this service. Please provide documentation showing that the data centre is PCI DSS Compliant (payment card industry), and that it has successfully met an external security audit compliance standard (e.g. SAS70 Type II / SSAE 16, ISO 27001). Company References Please provide three (3) references from clients who you have obtained similar goods or services to those requested in the RFP in the last two (2) years. Proponents with more relevant experience and better customer feedback will be awarded more points. (For each reference, please include: Company Name, Address, Contact Name, Telephone Number, Date Work Undertaken, short description of the nature of the assignment) B. Hosting Capabilities Please identify the processes and procedures that will be in place to ensure a quality solution that will meet the performance requirements and minimize security risks and down time as outlined in Appendix A. 15 Infrastructure: The proponent should provide a description that clearly demonstrates their hosting infrastructure to accomdate Detailed Description of Service Requirements identified in Section 1, including all of the following: Physical environment Firewall and Network Internet Connectivity Security (both physical and virtual) Server hardware Power and redundancy Monitoring and Reporting Services: The proponent should provide a description of monitoring services provided, and how these services may be accessed by the client. The proponent should provide a sample of reports that will be made available to the client, indicating how the client will access these reports, and on what frequency they will be provided. Server Management: The proponent should provide a description of the process and a sample schedule of planned outages (including what notifications are provided and when) used to update and maintain servers to ensure the highest possible level of security and to minimize unplanned downtime. Data Back up and Recovery Services: The proponent should provide a description of data back up and recovery services available. Change Management: The proponent should provide a description of their change management process for when changes are required to either the hosted infrastructure or the servers. Support: The proponent should outline what methods are available to contact support in the event of an outage and initiating a change to the application. The description should include any service levels for response and resolution that are available, and specifically outline a process for resolution should issues occur between the proponent and application vendor (for example, a disagreement related to the cause of application performance issues). Access: The proponent should outline what access will be provided to the application vendor in order to securely apply updates to the AFMC Student Portal program code. Business Continuity: The proponent should provide a description of what services and technical infrastructure offered with respect to business continuity to guarantee a minimum uptime of 99.9% including any redundancy for server hardware, power, and networking. Also, please indicate the recompense offered if uptime of 99.9% in not met.. If uptime includes a guarantee by geography, please indicate the level of geographic redundancy that will be in place in case of actual data centre destruction. C. Pricing Proponent should provide their pricing according to the following categories: One time set-up costs AFMC STUDENT PORTAL, RFP Hosting 2014 Page 15 of 19
16 This should include any items required to install and configure the environment and any base software licenses (e.g. Windows Server 2008, SQL Enterprise) that may be required for the AFMC Student Portal. Ongoing costs Costs that are expected to recur on an annual basis. Ongoing costs should be broken down into the following categories: a. Bandwidth and data transfer costs (see quote requirements for bandwidth identified in Appendix A) b. Servers and server management c. Data Back Up and Recovery d. Addition of CPU and/or CPU e. Business Continuity f. Other (include any monitoring activities or other items not covered in the above categories) Hourly costs In the event that additional technical services are required over and above the ongoing costs, proponents should include a single hourly rate used for accessing those services. Ability to Provide Deliverables The proponent has carefully examined the RFP documents and has a clear and comprehensive knowledge of the Deliverables required under the RFP. The proponent represents and warrants its ability to provide the Deliverables required under the RFP in accordance with the requirements of the RFP for the Rates set out in Appendix B, Section C: Pricing, and has provided a list of any subcontractors to be used to complete the proposed contract. Non-binding Price Estimates The proponent has submitted its Rates in accordance with the instructions in the RFP under Section E: Terms and Conditions of the RFP Process. The proponent confirms that the pricing information provided is accurate. The proponent acknowledges that any inaccurate, misleading or incomplete information, including withdrawn or altered pricing, could adversely impact the acceptance of its quotation or its eligibility for future work. Conflict of Interest For the purposes of this section, the term Conflict of Interest means (a) in relation to the RFP process, the proponent has an unfair advantage or engages in conduct, directly or indirectly, that may give it an unfair advantage, including but not limited to (i) having, or having access to, confidential information of the AFMC in the preparation of its proposal that is not available to other proponents, (ii) communicating with any person with a view to influencing preferred treatment in the RFP process (including but not limited to the lobbying of decision makers involved in the RFP process), or (iii) engaging in conduct that compromises, or could be seen to compromise, the integrity of the RFP process; or (b) in relation to the performance of its contractual obligations contemplated in the contract that is the subject of this procurement, the proponent s other commitments, relationships or financial interests (i) could, or could be seen to, exercise an improper influence over the objective, unbiased and impartial exercise of its independent judgement, or (ii) could, or could be seen to, compromise, impair or be incompatible with the effective performance of its contractual obligations. A proponent who bids $ receives 80% of the possible points for that category (120/150 = 80%), and a proponent who bids $ receives 50% of the possible points for that category (120/240 = 50%).
