1 Internal Audit within the Department of Justice, Equality and Law Reform Brief outline of the role of Internal Audit Responsibility for internal control rests with executive management; they should ensure that appropriate and adequate control arrangements exist in their areas of responsibility. The role of Internal Audit is to evaluate the adequacy and effectiveness of those arrangements and to make recommendations for improvements as appropriate. The Internal Audit Unit acts as a source of advice and support to many sections and aims to see best practice implemented in all divisions/offices where practical. The unit has responsibility for Vote 24 (Justice central) and Vote 21 (Prison Service). ACCOUNTING OFFICER (SECRETARY GENERAL) AUDIT COMMITTEE HEAD OF INTERNAL AUDIT Other Audit units C & AG INTERNAL AUDIT UNIT DIVISIONS & OFFICES Detailed Role of the Internal Audit Unit Responsibility for internal control rests with executive management; they should ensure that appropriate and adequate control arrangements exist in their areas of responsibility. The role of Internal Audit is to evaluate the adequacy and effectiveness of those arrangements and to make recommendations for improvements as appropriate. The Institute of Internal Auditors defines internal auditing as being: An independent, objective assurance and consulting activity designed to add value and improve an organisation s operations. It helps an organisation accomplish its objectives by bringing a systematic, disciplined approach to evaluate and improve the effectiveness of risk management, control and governance procedures.

2 Internal Audit s primary objective is to provide independent assurance on the adequacy and effectiveness of the internal control framework to the Secretary General. It does this by carrying out audits across the agencies and divisions in the Department of Justice, Equality and Law Reform. The unit has responsibility for Vote 24 (Justice central) and Vote 21 (Prison Service). The role has become much broader than the purely financial focus which dominated most audit work in the past. The Internal Audit Unit acts as a source of advice and support to many sections and aims to see best practice implemented in all sections where practical. Modern Internal Audit seeks to provide assurance and advice to management in a number of areas which include: Corporate Governance. The adequacy and effectiveness of Internal controls, procedures and policies The adequacy, reliability and integrity of the information systems used to monitor the Departments activities and to ensure accountability Accuracy and completeness of accounting records and financial data Risk Management framework in place EU Funding (where applicable). The acquisition and disposal of assets and the safeguarding of assets and interests from losses, including those arising from fraud, malpractice and irregularity Organisation and management structures Adherence to EU and national legislation, Government and Departmental financial policies and procedures The extent that expenditutrre offers value for money to the Department. The Unit has a good co-operative working relationship with the Comptroller and Auditor General staff, and audit work is planned to avoid duplication where possible. There is a diverse range of audit work to be carried out and this is geographically spread through out the state. Reporting Accountabilities The Head of the Internal Audit Unit will report to the Internal Audit Committee on a regular basis, as agreed in the context of the Annual Work Programme, and in particular circumstances, as requested by the Internal Audit Committee/ Accounting Officer. Audit reports prepared by the Internal Auditor will be submitted to the Audit Committee by the Head of Internal Audit. A copy of the reports will also be circulated to local management which in turn will submit its observations on the audit reports to the the Head of Internal Audit. The Internal Audit Committee will submit an annual report to the Accounting Officer.

3 Structure of Internal Audit within the Department of Justice, Equality and Law Reform Role and Responsibilities of the Audit Committee The Department of Justice, Equality and Law Reform has shown its commitment to the highest standards of corporate governance by the establishment of an Audit Committee in January This has been set up in accordance with best practice and, pursuant to the recommendation of the Report of the Working Group on the Accountability of Secretaries General and Accounting Officers (Mullarkey Report) that there is a formally constituted Audit Committee in each department. The Internal Audit function operates in accordance with the Framework Code of Best Practice as set out in the Code of Practice on the Governance of State Bodies.The role of the Audit Committee among others is to advise the Secretary General and the officials of the Department on the adequacy and effectiveness of the systems and internal financial controls operating within the Department. The Internal Audit Committee will consider the work of the Internal Audit Unit comprising audit reports that have been submitted, the schedule of work (Work Programmes) and other matters as appropriate. The committee will request and receive presentations from senior management on matters of concern from time to time. The charter and terms of reference of the Audit Committee are outlined in detail in Appendix 1 at the end of this document The Internal Audit unit has 4 staff in total: a Head of Internal Audit and three Auditors. These operate from two offices one in Dublin and a second office in the Financial Shared Services in Killarney, Co. Kerry. Details of the Internal Audit Unit can be viewed by in Appendix 2. The Audit Committee is made up of five members: a chairman and four independent members. The members of the Audit Committee have a significant level of private and public sector experience between them. Details of the members of the Audit Committee can be viewed in Appendix 2 The Head of the Internal Audit Unit will report to the Internal Audit Committee on a regular basis, as agreed in the context of the Annual Work Programme, and in particular circumstances, as requested by the Internal Audit Committee/Accounting Officer. 4 Appendix 1 Department of Justice and Equality Audit Committee Charter and Terms of Reference This document sets out the charter and terms of reference of the Audit Committee, as agreed between the Secretary General of the Department of Justice and Equality, as Accounting Officer of the Department, and the Audit Committee. 1. Role of the Audit Committee The role of the Committee shall be, as part of the ongoing systematic review of the business and corporate governance procedures of the Department and its Agencies, to report to the Secretary General on matters relating to: a) The financial accounting and annual reporting processes; b) The effectiveness of internal controls and risk management environment; c) The operations and development of the Internal Audit function; d) The effectiveness of and the relationship with the Comptroller and Auditor General; and e) Value for money and other corporate governance issues. The Audit Committee is appointed by the Secretary General, usually for a four-year period. 2. Independence The Audit Committee shall be independent in the performance of its duties and responsibilities and shall not be subject to direction or control from any other party in the exercise of its duties. The Audit Committee will be supported in its role by the Departments Internal Audit function, which is an independent and objective internal appraisal function. The Internal Audit service reports to the Audit Committee on professional matters. 3. Membership The Secretary General shall appoint the members of the Audit Committee. The Committee shall comprise of a minimum of five members. At least two of the members shall be appointed from within the Department of Justice and Equality and at least one member will be an independent person with financial expertise, including experience of auditing. The Secretary General shall designate as Chairperson one of the external members of the Committee. 4. Meetings Meetings of the Audit Committee will be held not less than four times a year involving the audit committee s chairperson and members. The quorum for meetings will be three members and, in the absence of the chairperson, an acting chairperson will be selected from amongst the external members attending.

5 The Head of the Departments Internal Audit service will normally be invited to attend all meetings of the Committee. Other relevant persons or non-members may, at the committee's discretion, be invited to attend the meeting. A representative of the Comptroller and Auditor General shall be invited to attend at one meeting of the Committee per annum. The Department shall, with the agreement of the Committee, provide an official to be secretary to the Committee, who will convene meetings and maintain and circulate minutes. The Committee will normally operate on the basis of consensus. In the event of a vote being required on any matter a simple majority of all members present, including the Chairperson, will carry the motion with the chairman of the meeting having a casting vote in the event of a tie. 5. Access The Chairperson of the Committee or any member, acting with the authority of the Chairperson, will have the right of access to the Secretary General and, with the latter s agreement, to any senior personnel of the Department. The Chairperson of the Committee, and any member acting with the authority of the Chairperson, will have the right of access to the Head of Internal Audit on any matter relating to the business of the Committee. The Internal Auditors will have access to the Chairperson of the Audit Committee and may request that a meeting of the Committee be called if deemed necessary. 6. Roles and Responsibilities a. Financial accounting and Annual Reporting Processes The audit committee should provide independent opinion for judgment areas including significant accounting policies, internal controls, financial, operational, strategic and reputational risks and major audit issues. The audit committee should review compliance with relevant legislation, any changes in accounting policies and practices, new accounting standards and guidelines and policy statements in line with Departmental guidance. Advise the Secretary General in ensuring the integrity of financial information to be issued. In particular, the Committee shall review and advise in relation to corporate governance aspects of the annual financial statements. Where, following its review, the audit committee is not satisfied with any aspect of the proposed financial reporting by the Department, it should report its views to the Director and the Board. b. Internal Controls and Risk Management Systems The audit committee should review the Department s internal financial controls. It should also review the Department s internal control and risk management systems and ensure compliance with Department of Finance guidelines and latest corporate Governance recommendations.

6 The audit committee should receive reports from management on the effectiveness of the systems they have established and the conclusions of any testing carried out by internal and external auditors. The audit committee should review and approve the statements included in the annual report in relation to the internal control and the management of risk. c. Internal Audit The audit committee should monitor and review the effectiveness of the company s internal audit function. The Internal Audit Unit will have unrestricted access to the Chair of the Audit Committee and the Secretary General. The Audit Committee will meet with the Comptroller and Auditor General once a year. The audit committee shall consider and review with management and the Internal Audit Unit: The strategy and annual audit plan for the internal auditor function and report on the outcome in its annual report to the Authority; Significant audit findings and management s responses; Monitor and assess the role and effectiveness of the internal audit function in the overall context of the company s risk management system; Consider the adequacy of resources being deployed in delivering the internal audit service and, if necessary, make recommendations to the Secretary General; and any difficulties encountered in the course of audits. d. External Audit The Audit Committee should monitor the relationship with the Comptroller and Auditor General, to ensure that there are no restrictions on the scope of the audit and to review the activities, findings, conclusions and recommendations of the auditor. The Audit Committee should consider and advise the Secretary General on the external audit reports and management letters and management responses to them. e. Value for money and other corporate governance issues The audit committee should monitor and review the value for money reports being provided by the Internal Audit unit The Audit Committee should consider and advise on the identification of areas for value for money reviews The audit committee should report annually to the Secretary General on its activities, including any recommendations in relation to matters covered by its terms of reference. It may also recommend changes to its terms of reference. 7. Powers and Authority The Audit Committee will have the power to conduct or authorise investigations and/or to commission audits into any matter within the Committee s scope of responsibilities.

7 It is authorised to seek any information it requires from relevant employees of the Department. The Committee will be empowered to obtain independent legal or other professional advice to assist it in the conduct of some or any of its internal audits or special investigations. 8. Review The Audit Committee will review the effectiveness of its performance and operations biannually. 9. Reporting Draft minutes of meetings of the Audit Committee shall be circulated as soon as possible after the meeting and, when approved by the Committee shall be circulated to the Committee, to the Secretary General and made available to the Comptroller & Auditor General. An annual report shall be provided to the Secretary General. This will be based inter alia, on: A review of the Department s evaluation, audit strategy and the annual work programmes arising from this; A review of the implementation of these programmes; A review of the resources available for this purpose; Monitoring reviews of the internal control systems; Monitoring reviews of the risk management systems The Audit Committee shall provide the Minister for Justice and Equality a copy of the Annual Audit Committee report.

8 Appendix 2 Details of the Audit Committee members The Audit Committee of the Department of Justice Equality and Law Reform has five members; all are external to the Department itself. They bring a wealth of experience from the public and private sectors and have made a major contribution to the ongoing development and effectiveness of Corporate Governance in the Department of Justice, Equality and Law Reform. The composition of the Audit Committee as at June 2014 was as follows: Ms. Sylda Langford, Chairperson, is a member of the Audit Committee since Ms. Langford is a former Director General of the Office of the Minister for Children. She is a member of a number of Boards in the Public Service. Mr. Brian Duffy is a Chartered Accountant and was appointed to the Committee in He has many years of experience in senior management positions in the public and private sector. Mr. Duffy was the Head of the Internal Audit Unit in the Department of Social Protection for many years. Ms. Carol Bolger was appointed to the Committee in She is former Head of Business Management, Corporate Banking Division with Ulster Bank Limited. Mr. Con Haugh was appointed to the Committee in Mr Haugh is a former Secretary General of the former Department of Tourism, Culture and Sport. Mr. James Martin was appointed to the Committee in Mr. Martin is an Assistant Secretary in the Department of Justice and Equality. Mr. Martin is the departmental representative on the Audit Committee. Details of the Internal Audit Unit Mr. Walter Johnston, Head of Internal Audit Unit since April Mr Johnston has worked in the Prison Service and in several public and private sector organisations. He is a member of the Chartered Association of Certified Accountants. Mr. Ger O Donoghue, Auditor. Ger has been a member of the Internal Audit Unit since He has worked in several other Civil Service Departments. Ger qualified as a practitioner of the Chartered Institute of Internal Auditors in Mr. Alan McDonnell, Auditor. Alan joined the Internal Audit in December Alan has worked in other offices in Justice. Alan became a member of the Chartered Institute of Management Accountants in Ms. Geraldine O Dwyer, Auditor. Geraldine is a qualified Accountant and has worked in the Audit Unit for the past 2 years. She is on contract from Capita.
