1 TRUST DEED THADAM SOCIAL WELFARE TRUST This DEED Of TRUST is executed at TIRUPUR on this 5 th day of August, 2009 by Sri.K.RAMAKRISHNAN, aged about 42 years, S/O.Karuppusamy,V.P.Sindan Nagar,Valayankadu Extention, 4 th Street,Tirupur, MANAGING TRUSTEE of the Trust. WHERE AS the Managing Trustee is desirous of Establishing an Irrevocable Public Charitable Trust for the purpose of carrying the charitable objects of General public utility not involving the carrying on of any activity for profit.

WHERE AS prior to the execution of these presents a sum of Rs. 10,000/-(Rupees Ten Thousand Only) Was handed over to the Trustees, the receipt of Which the trustees do hereby admit to be held by them in the Trust together with further donations. And to maintain book banks, entrance examination coaching Centers, reference rooms, study classes, hotels and vocational Trainings for students. 02) To give computer training, Tailoring, Mobiliz savings, handicrafts training, industrial training, employment awarness, etc., to support for live hood youth. 03) To take-up Economic development programmes that will be sustainable for the unemployed youth. 05) To undertake Educational, Legal, environmental, agricultural and Family life awareness activities and to strength human resource development. 06) To organize men & women to form self helf groups and guide them to improve their standard of living both economically and socially. 07. To work for the relief of those affected by fire, pestilence, flood. Tsunami, earthquake or other acts of nature, man made disasters and also educate them to know the prevention activities. 08) To provide educational helps to the poor children.
5 09. To undertake the propagation of literacy through adult & non-formal education proprammes and projects for the purposes of Achieving 100% literacy 10. To work for the elimination of child labour and to provid education and life development to children. 11) To minimize the migration from the grass roots village areas and promote they economic sustainable development in these areas. 12) To conduct medical camps in all respects with approvel of the Respective authorities and to provide medical help to be poor. 13) To open de-addiction centres for the rehabilitation of alcohol and drugs addicts, rural health centers to relieve the addicts of their deadly habits and also organize de-addiction and rehabilitation camps. 14) To take up environmental programmes for safeguard the irrespective of caste, religion, sex, colour, etc,. 15) To undertake student helth care programmes to avoid Rakking,Eve-deasing etc. 16) To involve in alternative nature / Eco-farming and which will lead to sustainable development, and to take tree plantation programmes. 17) the gross root level innovations in the field of agriculture and animal To initiate and encourage husbandry etc, and to take up the Peacocks Home. 03. Ancillary Objects : 01)TO undertake development programmes of ponds deepening,construction check dams and watershed projects to improve Ground water level and enrich water sources.
6 02) To provide Helth education to adults and adolescents in both sex people through propagation the importance of health food, exercise & yoga. 03) To take-up job oriented and Legal environmental and life awareness activities, like tourcher, suspend,dismiss etc,. And safe to female workers to sex tourchers.so help to joint to labour associations. 04) Processing, Bio-diversity conservation, energy conservation and Renewable energy. 5) To take up environmental education programs for children Students, youth, women, NGOs and so on and to undertake nurseries and tree plantation programme in order to safeguard the Natural resources. 06) To establish and help welfare institutions for women and Children, orphanage homes, mercy homes for handicapped,mentally challenged & old age persons etc. 07) To establish contacts with government Departments of both Central and State and Non Government Agencies in India and aboard for material co operation and assistance for exchanging views, skills, techniques and also implementing project, programmes, schemes etc. for the benefit of the people and nation and to raise and receive funds form various sources like Donations, contributions, grants, aids etc. To achieve the said aims and objectives from Indio and Overseas for the benefit Indian Citizens. 08) To barrow funds / money from any Corporation, State and Central Governments, Nationalized or Scheduled Banks, Financial Institutions, Rashtrya Mahila Kosh ect., either with or Without security, with or without interest and repay the loans Properly and to carry out the micro credit programme.
7 09) To undertake income generation programme for the benefit of the people living below poverty line, unemployed farmers, agricultural coolies and under employed etc. 10) To undertake researches and involve in the cradication Programmes for AIDS, Cancer and Neurological discases like Dementia, ataxia, chorea, aphasia etc. 11) To carry out consumer rights and legal aid camps. 12) To undertake medical camps, blood & eye donation programmes and environment protection programmes. 13) To undertake development programees in rural and urban areas Such as sanitation works, construction of houses and water tanks, Laying of roads, rainwater harvesting,ect. 14) To Initiate and encourage the gross root level innovations in the field agriculture and animal husbandry etc. 15) To provide drinking water facilities in all scarce and drought hit areas and formulate better drainage system. 16) To organize camps, training programmes, competitions, Seminars, conferences, symposiums, exhibitions, tours, Tournaments, games etc., in order to develop creativity, Personality and scientific outlook among youths. 17) To work for the development of tourism. 18) To accept donations, gifts, presents, aids and grants in cash or Kind, movable and immovable properties from the public, State and / or Central Government and overseas funding agencies either as corpus or as income according to the directions of the Donors for purpose of carrying the objects of the trust.
8 19) To undertake and execute Social Service Projects for the benefit of the backward, downtrodden, particularly Women & Children, Farmers, tribal and other working people in rural and urban areas. 20) To purchase, take on loans or hire or otherwise acquire any land,buildings, machineries, vehicles and other properties movable and immovable and any rights, any privileges as the trust may think necessary on convenient for the purpose of advancement of the object for which the trust is established. 21) To undertake such other activities as may be necessary for the attainment of the objects of the trust and for the removal of doubts it is hereby declared that all objects of the trust shall be carried on without any profit motive which are beneficial to the Trustees either directly or indirectly and not in the nature on Business activity. 22) The above object are independent of each other and the trustees may form time apply the funds of the trust in carrying out all or any one of the objects of the trust. 04) 1, Mr.K.Ramakrishnan, shall be the Managing Trustee and shall hold office for his life or until he resigns. 2, In the event of any vacancy being caused for whatever reason in the office of the managing Trustee, a new trustee shall first be chosen to fill up the Vacancy caused by the exit of the Managing Trustee and thereafter the Managing Trustee will be appointed by election within a month. The trustee appointed shall also participate in the election of Managing Trustee. 05.(a) In the event of having only two trustees in the board at any time the appointment of other trustees will be made by consensus. If there is any difference of opinion in the appointment of other trustees, between subsisting two trustees, the Managing Trustee will have a Casting Vote in addition to the vote as trustee in
9 the absence of the Managing Trustee, the eldest of the trustee in age will act as Managing Trustee with a casting vote for the time. b) No person shall hold or continue to hold office or appointed as a trustee and the trustee s office shall be vacated ipso facto. i) If he or she is found to be or become a person of unsound mind. ii) If he or she is convicted of an offence involving moral turpitude. iii) If he or she adjudged as an insolvent. vi) If he or she is or become deaf-mute. v) If he or she is in the opinion of the majority of his/her co-trustee. After an enquiry caused to be conducted by these found guilty of Breach if rust gross negligence or dereliction of duties vi) If he or she fails to attend the board meeting continuously for 3 meetings, or vii) If he or she is otherwise disqualified as to act according to law to which he is a subject for the time being in force. 06. Whenever any person appointed as a trustee of the trust hereby created disclaims or any such trustee either original or substituted dies or is for a continuous period of fifteen months absent without leave of the board from the Indian union or leaves the Indian for the purpose of residing abroad or desires to be discharged from the trust or refuses or becomes in the opinion of majority of his or her co-trustees unfit or personally incapable to act in the trust or is disqualified in terms of the provisions of clause 8 supra, a new trustee shall be appointed in his place by the Board. 07. The powers vested on the board of trustees on the amendments of trust deed Would not extend to altering the basic character/ object of the trust and Further, no such amendments which may prove to. Be repugnant to the Provisions of section 2(15), 11,12 & 13 and 80G of the Income Tex Act. 08. The administration, direction, management of several institution and Establishment in terms of the trust hereby created shall be subject to the
10 Supervision, control and direction, managing Trustee. In the event to of Any difference of opinion, the managing Trustee shall be bound by the Decision of the majority of the board. 09) The funds of the rust derived from the sum and investments of the said Funds as set out infra. a)the funds of the trust shall be invested in accordance with the Provisions Pof section 11 (5) read with section 13 (1) (d) of the income Act. 10) The board shall be entitle to take all steps that may be reasonable, Necessary or required for the preservation of trust properties and of the title Of the properties. 11) The board shall have power to accept contributions, money or property by Way of addition to the trust funds generally of for any one or more of there Specified objects of the trust and in either case such contributions shall be Dealt with either as capital or as income according to the directions of the Donors at the time of the gift. 12) If in the opinion of the board any property belonging to the trust Deteriorating in value or is not yielding reasonable income or that its sale or Conversions in the property of any other exchange the same property of any Other kind or shell the property and invest the proceeds in the manner herein Provided and the Managing Trustee can do all the above acts on behalf of the trust. 13) The board shall have power to levy fees or charges from the students, Apprentices or other beneficiaries from the institutions and establishments Maintained and conducted by the trust and also to give exemption from Payment of any fees or charges that may be fixed by the board from time to Time.
11 14) The managing Trustee shall on request by any trustee furnish such Information as the latter may reasonably require in respect of any matter Pertaining to the trust. 15) The managing Trustee has powers and authority to execute such documents As are necessary in favor Governments for and on behalf of the trustee in Respect of mortgages or charges to be created on all or may of the properties Of the trust as board may from to time to time decide. 16) The board shall have power to call in covert into cash the trust Properties and realize any or all the securities and investments and reinvest Them in such manner as is authorized herein, and shall have power to Borrow from time to time from banks, individuals, or others, thereby giving Security or otherwise such sum as they may deem necessary for the purpose Of the trust and to execute such documents as may be required on that Behalf either with or without interest. 17) The grants-in-aid shall be strictly applied for the purpose for which they May be received from Government and other agencies and the board may Advice the Managing Trustee to apply the grants for the purpose for which They may be applied for and received. 18) Whenever for the administration of the trust hereby created or for the Establishment, development and conduct of the several institutions of Maintained becomes necessary for the due performance of the conditions of Such mortgages or charges or all or any of the trust properties or facilities to Facilitate the obtaining of such grants for purchase of lands and for Administrations and conduct and maintenance of such institutions. 19) Except as otherwise provided herein, none of the trustee for the time being Of the trust shall have power jointly or severally to mortgage or charge on any of the trust properties.
12 20) In the professed execution of the trust and powers hereto, no trustee shall be Liable for any loss to the properties arising by reason of any investments Made in good faith except willful or deliberate fraud or wrong doing on the Part of the trustees who may be subject to be made liable. 21) The Managing Trustee shall maintain correct accounts Regularly and every Year, the accounts shall be closed by 31 st March and the same shall be Audited by a qualified Chartered Accountant. The accounting year of the Trust shall be from 1 st April to 31 st March of the next year. 22) The managing Trustee shall have power to purchase from time to time such Materials and things as may be necessary for the said educational Institutions, hotels, reading rooms, medical institutions, development projects and other establishment projects and other establishments without profit motive. 23) It is hereby declared that the objects/activities of the trust shall be carried Out only in India. 24) No act of the Managing Trustee in except of the powers hereby Specifically conferred on him/her shall be called to question or interfered With by the board except on the grounds of manifest impropricty on the ground that it is gross breach and neglect of duty on the part of the Managing Trustee. 25) The Managing Trustee if and where he/she desires, may delegate for a Temporary period, his/her authority in respect of the administration of Institutions and development projects to one of the co-trustees.
13 26) The Managing Trustee shall have the custody and control of all the Documents of the title to the properties of the trust and all other documents, Accounts and other papers, relating to the trust and be open to inspection by Any trustee on reasonable noting during the office hours of the trust office. 27) It is hereby declared that the benefits of the trust are open to all, Irrespective of caste, religion, sex, colour, etc., 28) The Managing Trustee shall, once in every year, not latter then the 30 th day Of September, place before the board the income and expenditure account For the year ending on the previous 31 st day of March and the balance sheet As on the date, with the auditor s report or certificate thereof. The Managing Trustee shall give to the board such information and explanations as the Board may require for proper understanding of the accounts and statements Placed before it. 29) The Managing Trustee shall be the chief executive officer of the board and As such he/she shall have power and authority for and on behalf of the board i. To carry out the resolutions officer of the board. ii. To sign papers, receipts and accounts. iii. To pay money due by the trust and demand and get receipts there for the money so paid. iv. To demand and receive money due to the trust and issue receipts for the money so received. v. To make, draw, endorse, sing, negotiate or transfer cheques, promissory notes, bills of exchange, bills of lading, railway receipts, warrants and other negotiable instruments, Government securities or other securities. vi. To lease out for a period not exceeding three years at a time, lands and properties of the trust which are ordinarily leased out.
14 vii. To initiate, prosecuted defend, compromise to arbitration or abandon legal proceedings or disputes and to sing all papers in connection there with. viii. To appoint, employ, remunerate, remove, suspend, dismiss reemploy, replace, transfer and accept resignation of staff and workers permanently, temporarily or otherwise. ix. To call for the meeting or meetings of the board and x. To execute all document on behalf of the board. xi. 30) No act of Managing Trustee requiring the previous sanctions of the board shall be invalid merely by the reason of the absence of such previous sanction, if the said act should subsequently be ratified by the board. 31) The Managing Trustee and other trustee may reimburse themselves or may reimburse out of the trust money in their hands all expenses properly incurred by them in or about the expenses of the project of the trust and in discharge of their duties, imposed on them in or about the execution of the project of the trust and in discharge of their duties, imposed on them under the trust. 32) The quorum for a meeting of the board shall be more than ½ of total members. 33) The income and of the trust will solely be utilized towards the objects and no portion of it will be utilized for payment to the trustees /office bearers by way of profit/dividend/interest, etc., 34) In the event of votes being equally divided, the Managing trustee shall have a casting vote in addition to his/her vote as a trustee of the board.
15 35) In all matter pertaining to the trust the decision of the majority of the trustees present at a meeting of the board shall be the decision of the board, and shall be binding on all trustees of the board. 36) No act resolution of the board shall be invalid by reason of there being one or more vacancies on the board. But no act or resolution of the board other than an act or resolution appointing or election a trustee shall be valid if the trust strength of the board at any time of ½ of the total strength. 37) It is hereby expressly declared that this trust is a public charitable trust and the trust hereby created is an irrevocable one. 38) The trust will not function in the nature of conduction of a business activity and not for the purpose of profit and the trust will abide and satisfy the conditions stipulated in section 11 and proviso to section 80G of the Income Tax Act. 39) No act or proceedings of the board or of the Managing Trustee or of any trustees shall deemed to be invalid by reason only if any defect in the appointment or the constitution of the board or on the ground that any member of the board was not entitled to hold or to continue in office by reason of any disqualification or by reason of such act having been done or proceedings taken during the period of any vacancy with office of the Managing Trustee or of any other trustees. 40) The trust shall confirm to be provisions of the Indian Trust Act, 1882 in all matters not expressly provided for herein but in case any difficulty or doubt arising or any question in respect of the management or administration of the trust or any matter falling hereunder, the Managing Trustee shall on behalf of the board, apply to the court for opinion, advice, direction, or order and the trustees acting upon the direction if any, the court shall be deemed, so far as regards the responsibility to have discharged their duties in respect thereof.
16 41) Any amendment to the trust deed will be carried out only with the prior approval of the Commissioner of Income Tex having jurisdiction on the trust and the Managing Trustee shall execute such amendments. 42) In the event of dissolution/winding up of the trust, the assets remaining as on the date of the dissolution shall under no circumstances be distributed among the trustees but the same shall be transferred to another charitable trust whose objects are similar to those of this trust and which enjoys recognition under section 80G of the Income Tex Act.
