STATUTES In the year two thousand and nine, on the twenty-seventh day of November. Before the undersigned, Maître, notary residing in. XXX There appeared: hereby represented by Mr.,, by virtue of a proxy given under private seal dated, (the Proxyholder). The said proxy, after having been signed "ne varietur" by the Proxyholder of the appearing party and the undersigned notary, shall remain attached to the present deed for the purpose of registration. Such appearing party, represented as stated above, requested the notary to state as follows the articles of incorporation of a public limited liability company ("société anonyme") which is hereby incorporated: Art. 1. Form and Name. 1.1 There is hereby established a public limited liability company ("société anonyme") (the Company) which will be governed by the laws of Luxembourg, in particular by the law dated May 11 th, 2007 introducing the family wealth management company (société de gestion de patrimoine familial) (the Law on SPF) and by the law dated August 10 th, 1915, on commercial companies, as amended (the Law on Companies), as well as by the present articles of association (the Articles). 1.2 The Company will exist under the name of "XXX S.A., SPF". 1.3 The Company may have one shareholder (the Sole Shareholder) or more shareholders. The Company will not be dissolved by the death, suspension of civil rights, insolvency, liquidation or bankruptcy of the Sole Shareholder. Art. 2. Registered office. 2.1 The registered office of the Company is established in Luxembourg, Grand- Duchy of Luxembourg. 2.2 It may be transferred within the boundaries of the municipality of Luxembourg by a resolution of the board of directors of the Company (the Board) or, in the case of a sole director (the Sole Director) by a decision of the Sole Director. 2.3 Where the Board determines that extraordinary political or military developments or events have occurred or are imminent and that these developments or events would interfere with the normal activities of the Company at its registered office, or with the ease of communication between such office and persons abroad, the registered office may be temporarily transferred abroad until the complete cessation of these extraordinary circumstances. Such temporary measures shall have no effect on the nationality of the Company which, notwithstanding the temporary transfer of its registered office, will remain a Luxembourg incorporated company. Art. 3. Duration. 3.1 The Company is incorporated for an unlimited duration. 3.2 The Company may be dissolved, at any time, by a resolution of the General Meeting (as defined below) adopted in the manner required for amendments of the Articles. Art. 4. Corporate objects. 4.1 The sole object of the Company, to the exclusion of any commercial activity, is the acquisition, holding, management and disposal of, on the one hand, financial instruments within the meaning of the law of 5 August 2005 on financial guarantee contracts, and, on the other hand, of cash and assets of any kind held in a bank account.
2 A financial instrument within the meaning of the law of 5 August 2005 on financial guarantee contracts it is to be understood (a) all securities and other instruments, including, but not limited to, shares in companies and other instruments comparable to shares in companies, participations in companies and units in collective investment undertakings, bonds and other forms of debt instruments, certificates of deposit, loan notes and payment instruments; (b) securities which give the right to acquire shares, bonds or other instruments by subscription, purchase or exchange; (c) term financial instruments and instruments giving rise to a cash settlement (excluding instruments of payment), including money market instruments; (d) all other instruments evidencing ownership rights, claim rights or securities; (e) all other instruments related to financial underlyings, indices, commodities, precious metals, produce, metals or merchandise, other goods or risks; (f) claims related to the items described in sub-paragraph a) to e) above or any rights pertaining to these items, whether these financial instruments are in physical form, dematerialised, transferable by book entry or delivery, bearer or registered, endorseable or not and regardless of their governing law. 4.2 Generally speaking, the Company may implement any measure of surveillance or control and carry out any operation or transaction which it deems necessary or useful for the accomplishment and the development of its corporate object in the broadest manner possible, provided that the Company does not interfere in the management of the companies in which it holds participations. Art. 5. Share capital. 5.1 The subscribed share capital is set at one hundred thousand euro (EUR ) consisting of three hundred and twenty (320) ordinary shares with a par value of one hundred euro (EUR 100) each. 5.2 In addition to the share capital, there may be set up a premium account into which any premium paid on any share in addition to its par value is transferred. The amount of the premium account may be used to provide for the payment of any shares which the Company may redeem from its Shareholders, to offset any net realised losses, to make distributions to the Shareholders or to allocate funds to the legal reserve. 5.3 The subscribed share capital of the Company may be increased or reduced by a resolution adopted by the General Meeting in the manner required for amendment of the Articles. Art. 6. Shares. 6.1 Shares may only be held by qualified investors as defined in article 3 of the Law on SPF. 6.2 The shares of the Company may be in registered form or in bearer form or partly in one form or the other form, at the opinion of the sole Shareholder, or in case of plurality of shareholders, at the opinion of the Shareholders, subject to the restrictions foreseen by Law on Companies. 6.3 The Company recognizes only one single owner per share. If one or more shares are jointly owned or if the title of ownership to such share(s) is divided, split or disputed, all person(s) claiming a right to such share(s) has/have to appoint one single attorney to represent such share(s) towards the Company. The failure to appoint such attorney implies a suspension of all rights attached to such share(s). The same rule shall apply in the case of conflict between an usufruct holder (usufruitier) and a bare owner (nu-propriétaire) or between a pledgor and a pledgee. 6.4 The Company may redeem its own shares within the limits set forth by the Law on Companies. 6.5 Any sale/transfer of shares is submitted to the unanimous approval of all the others shareholders (the "Others Shareholders") which have a pre-emption right. If one shareholder (the "Selling Shareholder") wants to sell his/her shares, he/she shall provide to the Others Shareholders a prior written notification of his/her intention to sell/transfer his/her shares to a third Party (the "Third Party"). Such notification shall include the number of shares to be sold, the name of the potential purchaser, the price and irrevocable offer to sell such shares to the others shareholders at the same price. The Others Shareholders shall have the right to acquire the offered shares in accordance with the terms and conditions mentioned in the notification, provided that they notify the Selling Shareholder and the Company in writing within thirty (30) days from the date of receipt of the written notice. Any lack of response within the aforementioned period shall be deemed as a waiver of the exercise of their right of preemption. In no case, the shares to be sold may be split. The right of pre-emption is to be exercised in proportion with the participation of each remaining shareholder in the share capital of the Company. Should one of the remaining shareholders not exercise in total or partially his right of pre-emption, such non exercise increases the right of the remaining shareholders. Should the number of offered shares not be exactly proportional to the number of shares on which the right of pre-emption is exercised, the remaining shares will be attributed defaulting an agreement between shareholders by balloting. Art. 7. Meetings of the shareholders of the Company.
3 7.1 In the case of a Sole Shareholder, the Sole Shareholder assumes all powers conferred to the General Meeting. In these Articles, decisions taken, or powers exercised, by the General Meeting shall be a reference to decisions taken, or powers exercised, by the Sole Shareholder as long as the Company has only one shareholder. The decisions taken by the Sole Shareholder are documented by way of minutes. 7.2 In the case of a plurality of Shareholders, any regularly constituted meeting of the shareholders of the Company (the General Meeting) shall represent the entire body of shareholders of the Company. It shall have the broadest powers to order, carry out or ratify acts relating to all the operations of the Company. 7.3 The annual General Meeting shall be held, in accordance with Luxembourg law, in Luxembourg at the address of the registered office of the Company or at such other place in the municipality of the registered office as may be specified in the convening notice of the meeting, on the third Monday of the month of May, at 2:00 pm. If such day is not a business day for banks in Luxembourg, the annual General Meeting shall be held on the next following business day. 7.4 The annual General Meeting may be held abroad if, in the absolute and final judgment of the Board, exceptional circumstances so require. 7.5 Other meetings of the shareholders of the Company may be held at such place and time as may be specified in the respective convening notices of the meeting. 7.6 Any Shareholder may participate in a General Meeting by conference call, video conference or similar means of communications equipment whereby (i) the shareholders attending the meeting can be identified, (ii) all persons participating in the meeting can hear and speak to each other, (iii) the transmission of the meeting is performed on an on-going basis and (iv) the shareholders can properly deliberate, and participating in a meeting by such means shall constitute presence in person at such meeting. Art. 8. Notice, Quorum, Powers of attorney and Convening notices. 8.1 The notice periods provided for by Law shall govern the convening notices, unless otherwise provided herein. 8.2 Each share is entitled to one vote. 8.3 Any meeting of the Shareholders (ordinary and extraordinary) will validly deliberate only if at least ninety-one percent (91%) of the capital is present or represented. In the case of an extraordinary meeting of the Shareholders amending the articles of incorporation, such quorum is applicable for the first and the second meeting. 8.4 Any resolution at any duly convened General Meeting will be passed by a majority of ninety-one percent (91%) of the present or represented and voting Shareholders. 8.5 A Shareholder may act at any General Meeting by appointing another person as his proxy in writing whether in original, by telefax or to which an electronic signature, which is valid under Luxembourg law, is affixed. 8.6 If all the Shareholders of the Company are present or represented at a General Meeting, and consider themselves as being duly convened and informed of the agenda of the meeting, the meeting may be held without prior notice. Art. 9. Management. 9.1 The Company shall be managed by a sole Director in case of a sole Shareholder, or by a Board of Directors composed of at least three (3) members in case of plurality of Shareholders, their number being determined by the Sole Shareholder, or in case of plurality of shareholders, by the General Meeting. Director(s) need not to be shareholder(s) of the Company. In case of plurality of directors the General Meeting may decide to create two categories of directors (A Directors and B Directors). 9.2 The Director(s) shall be elected by the sole Shareholder, or in case of plurality of shareholders by the General Meeting, for a period not exceeding six (6) years and until their successors are elected, provided, however, that any director may be removed at any time by a resolution taken by the general meeting of shareholders. The director(s) shall be eligible for reappointment. 9.3 In the event of vacancy in the office of a director because of death, resignation or otherwise, the remaining directors elected by the General Meeting may meet and elect a director to fill such vacancy until the next general meeting of shareholders. Art. 10. Meetings of the Board In case of plurality of directors, the Board of Directors shall choose from among its members a chairman, and may choose among its members one or more vice-chairmen. The Board of Directors may also choose a secretary, who need not be a director and who may be instructed to keep the minutes of the meetings of the Board of Directors as well as to carry out such administrative and other duties as directed from time to time by the Board of Directors.
4 10.2 The Board of Directors shall meet upon call by, at least, the chairman or any two directors or by any person delegated to this effect by the directors, at the place indicated in the notice of meeting, the person(s) convening the meeting setting the agenda. Notice in writing or by telegram or telefax or e- mail of any meeting of the Board of Directors shall be given to all directors at least eight calendar days in advance of the hour set for such meeting, except in circumstances of emergency where twenty-four hours prior notice shall suffice which shall duly set out the reason of urgency. This notice may be waived, either prospectively or retrospectively, by the consent in writing or by telegram or telefax or of each director. Separate notice shall not be required for meetings held at times and places described in a schedule previously adopted by resolution of the Board of Directors Any director may act at any meeting of the Board of Directors by appointing in writing or by telegram, telefax, or another director as his proxy. A director may not represent more than one of his colleagues The Board of Directors may deliberate or act validly only if at least a majority of directors is present or represented at a meeting of the Board of Directors. If a quorum is not obtained within half an hour of the time set for the meeting the directors present may adjourn the meeting to a later time and venue. Notices of the adjourned meeting shall be given by the secretary to the board, if any, failing whom by any director Decisions shall be taken by a majority vote of the directors present or represented at such meeting. In the event that in any meeting the number of votes for and against a resolution shall be equal, the chairman of the Board of Directors shall not have a casting vote. In case of a tie, the proposed decision is considered as rejected Any director may participate in a meeting of the Board of Directors by conference call, video- conference or similar means of communications equipment whereby all persons participating in the meeting can hear each other, and participating in a meeting by such means shall constitute presence in person at such meeting Notwithstanding the foregoing, a resolution of the Board of Directors may also be passed by unanimous consent in writing which may consist of one or several documents containing the resolutions and signed by each and every director. The date of such a resolution shall be the date of the last signature This article does not apply in the case that the Company is managed by a Sole Director. Art. 11. Powers of the Board. The Board is vested with the broadest powers to perform or cause to be performed all acts of disposition and administration in the Company's interest. All powers not expressly reserved by the Law on Companies or by the Articles to the General Meeting fall within the competence of the Board, except for the sale of part or all the stake held in a direct or indirect participation of the Company. In such case the Board shall require the prior written consent of the Shareholders validly deciding at the quorum and majority requirements set out in Articles 8.3 and 8.4 of the present Articles of incorporation. Art. 12. Delegation of powers. The Board is also authorised to appoint a person, either director or not, for the purposes of performing specific functions at every level within the Company. Art. 13. Binding signatures The Company shall be bound towards third parties in all matters only by (i) the joint signatures of any two members of the Board or the Sole Director, or (ii) the joint signatures of any persons or sole signature of the person to whom such signatory power has been granted by the Board or the Sole Director, but only within the limits of such power In case of directors of category A and category B, the Company will be bound by the joint signature of any A Director together with any B Director. Art. 14. Conflict of interests No contract or other transaction between the Company and any other company or firm shall be affected or invalidated by the fact that any one or more of the directors or officers of the Company is interested in, or is a director, associate, officer or employee of such other company or firm Any director or officer of the Company who serves as director, officer or employee of any company or firm with which the Company shall contract or otherwise engage in business shall not, solely by reason of such affiliation with such other company or firm, be prevented from considering and voting or acting upon any matters with respect to such contract or other business In the event that any director of the Company may have any personal and opposite interest in any transaction of the Company, such director shall make known to the Board such personal and opposite interest and shall not consider or vote upon any such transaction, and such transaction, and such director's interest therein, shall be reported to the next following annual General Meeting. The two preceding paragraphs do not apply to resolutions of the Board concerning transactions made in the ordinary course of business of the Company of which are entered into on arm's length terms. Art. 15. Statutory Auditor(s).
5 15.1 The operations of the Company shall be supervised by one or several statutory auditor(s) (commissaire(s)), or, where requested by the Law on Companies, an independent external auditor (réviseur d'entreprises). The statutory auditor(s) shall be elected for a term not exceeding six years and shall be re-eligible The statutory auditor(s) will be appointed by the General Meeting which will determine their number, their remuneration and the term of their office. The statutory auditor(s) in office may be removed at any time by the General Meeting with or without cause. Art. 16. Accounting year. The accounting year of the Company shall begin on the 1 st of January of each year and shall terminate on the 31 st of December of the same year. Art. 17. Allocation of profits From the annual net profits of the Company, 5% (five per cent) shall be allocated to the reserve required by law. This allocation shall cease to be required as soon as such legal reserve amounts to 10% (ten per cent.) of the capital of the Company as stated or as increased or reduced from time to time as provided in article 5.3 above The General Meeting shall determine how the remainder of the annual net profits shall be disposed of and it may alone decide to pay dividends from time to time, as in its discretion believes best suits the corporate purpose and policy The dividends may be paid in euro or any other currency selected by the Board and they may be paid at such places and times as may be determined by the Board. The Board may decide to pay interim dividends under the conditions and within the limits laid down in the Law on Companies. Art. 18. Dissolution and Liquidation. The Company may be dissolved, at any time, by a resolution of the General Meeting adopted in the manner required for amendment of these Articles. In the event of a dissolution of the Company, the liquidation shall be carried out by one or several liquidators (who may be physical persons or legal entities) appointed by the General Meeting deciding such liquidation. Such General Meeting shall also determine the powers and the remuneration of the liquidator(s). Art. 19. Amendments. These Articles may be amended, from time to time, by an extraordinary General Meeting, subject to the quorum and majority requirements referred to in the Law on Companies. Art. 20. Applicable law. Reference is made to the provisions of the Law on SPF and the Law on Companies for all matters for which no specific provision is made in these Articles. Transitory provisions The first business year begins on this day and ends on the 31 st of December The first annual General Meeting will be held in Subscription The Articles of the Company having thus been established, the Sole Shareholder, prenamed, represented as stated above, hereby declares (i) to be a qualified investor within the meaning of article 3 of the Law on SPF and (ii) to subscribe to the three hundred and twenty (320) shares representing the total share capital of the Company. All these shares are paid up by the Sole Shareholder to an extent of one hundred per cent (100%) by payment in cash, so that the amount of thirty two thousand euro (EUR ) paid by the Sole Shareholder is from now on at the free disposal of the Company, evidence thereof having been given to the officiating notary. Statement - Costs The notary executing this deed declares that the conditions prescribed by article 26 of the Law on Companies have been fulfilled and expressly bears witness to their fulfilment. Further, the notary executing this deed confirms that these Articles comply with the provisions of article 27 of the Law on Companies. Resolutions of the sole shareholder The Sole Shareholder, prenamed, represented as stated above, representing the entire subscribed capital, passed the following resolutions: 1. the number of directors is set at 1 (one) and the number of auditors at 1 (one);
