6 Preface The Jamaica Stock Exchange is proud to produce its eighth edition of its hallmark publication The JSE Pocket Book. The 2 Pocket Book could not come at a more critical time, as the world economies fight valiantly in order to emerge from the grips of the financial turmoil. More than ever, individuals, companies and governments rely on real information and economic data to help them in making decisions on the way forward. Information on the Stock Market, the pillar of economic development, is critical to the decision making process. As investors prepare for 22, the Stock Exchange is especially proud to be associated with the growth and development of the local economy, especially with the establishment of the Junior Market in 28. This market has grown steadily since it was established, which demonstrates the confidence companies and investors are placing in it. The market grew by 97.% in 2; in 2 it grew by 53.26% and in 29 by 5.%. This growth can be attributed to the increase in the number of companies listed year over year and the performance of the now 2 companies that have made the Junior Market their home. The Business Insider has ranked the Jamaica Stock Exchange Main Market as the sixth best performing Exchange in the world in 2 with the Main Index up by 2.8% in 2. These achievements allow us to stand out as a country and more importantly assist our investors in their quest for wealth creation. These achievements should not be taken lightly by our investors. In return, their SHARES Lare bought and sold on the JSE based on rules set by the Jamaica Stock Exchange and approved by t h e F i n a n c i a l S e r v i c e s Commission (FSC). WHAT IS A SHARE? A Share is a unit of ownership interest in a company. When you buy or receive shares in a company, you become a part owner of that company. This is known as having equity in that company. The more shares you have in relation to the total number of shares issued by the company, the more of the company you own. For example, if a company issued, shares and you own shares, then you are.% owner. People who own shares in a company are referred to collectively as shareholders or stockholders. ARE THERE DIFFERENT TYPES OF SHARES? Yes, there are two basic kinds of shares: A. Ordinary Shares- Also known as common stock. As part of the percentage ownership described earlier the ordinary shareholder or common stockholder usually has four basic rights in proportion to the number of shares owned: i. The right to subscribe to additional stock or share offerings before they are made available to the general public. This is known as pre-emptive right. JSE 2 POCKET BOOK 5

8 A company may also be authorized to issue more than one class of common stock or shares, some of which may not have voting rights. (Not all companies have this provision) B. Preference Shares - Also called 'preferred shares or stocks. The holders of these shares have certain rights and privileges over ordinary shareholders. There are different classes of preferred shares, which confer different rights. The most common types give the preferred shareholder: i. ii. iii. The right to receive dividends at a fixed rate prior to payment of dividends to ordinary shareholders. The first right of payment should the company go bankrupt or be dissolved. 9 WHAT ARE THE BENEFITS OF OWNING SHARES? There are three main benefits of share ownership. The shareholder benefits from the growth in the value of his or her shares over time. That is, over time the shares can be worth more than was paid for them. This is known as 'Price Appreciation' The shareholder can receive income through dividends declared from time to time and paid by the company's directors. The shareholder gets the opportunity to participate in the continuing development of the companies in which they invest. The involvement of shareholders helps the companies and strengthens the economy. JSE 2 POCKET BOOK 7

10 WHAT IS A DIVIDEND AND HOW IS IT DETERMINED? A dividend is a proportionate distribution of earnings (profits) of a company to its shareholders. With common (ordinary) shares or stocks, the rate of the dividend varies with the company's performance and the amount of cash on hand. With common shares the Board of Directors of the company decides the amount of the dividend to be paid out. They may also decide to hold back some of the profits to expand the company's operation. With preferred stocks or shares, the rate can be fixed or variable. Dividends can be paid quarterly, half yearly or once per year. WHY DO COMPANIES ISSUE SHARES? The main reason companies issue shares is to raise capital or money. A company may need start-up capital, to repay debts or to expand. A company may also want to widen its ownership base. When you buy shares you enable the company to carry on business using your money. The number of shares which a company is authorized to issue is set out in its Articles of Incorporation and can only be increased with the consent of shareholders in a General Meeting. WHY DO PEOPLE BUY SHARES? People buy shares for different reasons. However, the principal reason is to get the best returns on their investments, whether over the long or short term. The hope is someday the stock you bought will be worth more than the amount you paid for them and that people will offer you more money to buy them from you. 11 WHAT ARE THE RISKS INVOLVED? Every investment has an element of risk and buying and selling shares is not an exception. Anyone who buys shares should be aware that, although the value of each share can go up, especially over the long term, the value can also go down. It depends among other things, on the performance of the company, the value that investors in general place on owning that company's shares and on general economic conditions within the country. WHAT ARE SOME OF THE THINGS I SHOULD DO BEFORE AND AFTER I BUY SHARES? No one can guarantee success in the market. However, the possibility of success can be improved if, before investing in shares, you should:- a. Collect and study as much information as possible about the company in which you intend to invest. b. c. d. e. Seek professional investment advice from a broker or other qualified persons. Learn how to read and understand the basic financial statements and reports which the companies listed on the Stock Exchange are required to publish. Develop the habit of reading and understanding financial publications. 12 WHERE CAN I BUY SHARES? Contact a stock broker (JSE Member/Dealer). This is a person whose business it is to buy and sell shares at one of the brokerage firms authorized by the Financial Services Commission and the Jamaica Stock Exchange to operate in Jamaica. You can visit or telephone the broker, informing him/her which shares and how many you wish to purchase. Your broker is your link with the market. He or she will buy or sell according to your orders. HOW DO I BUY OR SELL SHARES? Contact your broker and advise him or her to buy or sell shares on your behalf. Give him or her clear instructions, whether orally or in writing. The buying/selling process begins when you place the order with your stockbroker (member/dealer) for a specified number of shares in a company. There are three types of orders that you can place: a. b. c. A market order - asks your broker to buy or sell stocks at the market price. A limit order- sets the price at which you want stocks to be bought or sold. A stop order- gives an approximate buying or selling price of stock. When the approximate price is reached the stock order becomes a market order. JSE 2 POCKET BOOK

13 HOW DO I PAY? You will receive a contract note that states the company whose stock you have bought or sold, the price paid or received, the commission and other fees and the settlement date. You should pay your bill by the settlement date. HOW MUCH DO I HAVE TO EARN TO BUY SHARES? A person from any income level, who has some amount of surplus funds available no matter how small, may decide to invest in the stock market. A principal rule is never to invest any money you will need to pay your bills and other immediate living expenses. You will need to keep the money you need for your living expenses in a more liquid or immediately available manner. WHAT IS A BONUS ISSUE? This is the process whereby money from a company's reserves is converted into share capital, which is then distributed to shareholders in proportion to their existing holdings. A bonus issue is also known as a script or capitalization issue. JSE 2 POCKET BOOK

14 WHAT IS A STOCK SPLIT? This is the division of the existing shares of a company into larger number of shares, without changing the capitalization of the company. Each new stock will now be worth less depending on the ratio of the split. For example, if a stock with a market value of $. splits for 4 to, each new stock will be worth one fourth of the previous price, that is $2.5 of each shareholder would get four shares for every one they owned previously. And, if the company had, let's say one million shares outstanding before the split, it would now have four million shares outstanding and worth the same dollar amount of the one million shares. Usually, the rationale for stock split is that the lower priced stock might make the company more attractive to investors. JSE 2 POCKET BOOK 2

16 STOCK MARKET REVIEW FOR 2 Economic Overview The Jamaican economy faces the same challenges-high debt, slow growth, high unemployment and the potential threat of another global slowdown. The outlook for the country will be dependent on the negotiations to be held by the new administration with the International Monetary Fund (IMF) and the ability of the current administration to manouevre within the current financial challenges internal to Jamaica and in the face of the global economic slowdown. Since May 2 there have been no official negotiations with the IMF which suggests that the country has missed some of the targets set out under the Standby Agreement with the IMF. An agreement with the IMF will be beneficial for the country as it relates to improving access to loans from other multilateral institutions. Nevertheless, the country reported positive news in key areas during the year 2. The Jamaican dollar remained stable throughout the year. After starting the year at J$85.86:US$., the JMD closed the year s trading at J$86.6:US$., reflecting a depreciation in value of J$.73. Although, driven in part by weak demand, the rate of inflation for 2 was 6.% which is significantly below the.7% that was recorded in 2. The lower Inflation rate was also influenced by favourable weather conditions throughout the year. The rate on BOJ treasury bills continued to trend downwards throughout 2. In January, the average yield on the 28-Day, 9-Day and 8-Day treasury bills were 7.46%, 7.37% and 7.46% respectively. During the month of December the average yields were 6.48%, 6.2% and 6.46% on 28-Day, 9-Day and 8-Day treasury bills respectively. Meanwhile, data from the Statistical Institute of Jamaica showed that the Jamaican economy grew by.5 %. The Goods Producing Sector grew by 5% and the Service Sector grew by.4%. This growth was due in part by favorable weather condition and an increase in consumer demand. JSE 2 POCKET BOOK 4

17 Similar to the increases reflected in 2, all the indices in the regular market recorded an advance except the JSE Cross Listed Index (See Table ) in 2. The JSE Market Index gained,76.38 points or.82% to close at 95,297.2 points. The All Jamaican Composite and the JSE Select indices advanced by 2, points (26.47%) and points (3.%) to close at 2,78.79 points and 2,874. points respectively. Overall, the year 2 reflected a better performance than 2 as indicated by the movement in the main market index (See Graph ). This reflects continued recovery in the market from the impact of the global recession within the last three years. At the end of the year the market saw a strong positive advance to decline ratio of thirty to seven. The market also saw noticeable gains from some of the heavily weighted stocks. On average, stock prices rose 26.5% during the year 2. The JSE Cross Listed index declined by points or 7.93% to close at points. This was driven by declines in the prices of Guardian Holdings Ltd (down 25.%) and Trinidad Cement Ltd (down 65.45%). The All Jamaican Composite Index The All Jamaican Composite Index recorded its highest value of 7,673. points on November 9, 2. The All Jamaican Composite Index experienced its largest one month appreciation of 9.32% (7, points) in April to close at 89, points. The All Jamaican Composite Index experienced its largest one month decline of 2.9% (2, points) in September to close at 96,24.3 points. The All Jamaican Composite Index recorded its highest one-day appreciation of 2.9% (2, points) to close at 6, points on November 4, 2. The All Jamaican Composite Index recorded its largest one-day depreciation of.89% (,854.2 points) on September 27, 2 to close at 96, points. The JSE Select Index The JSE Select Index recorded its highest value of 3,6. points on November 8, 2. The JSE Select Index recorded its lowest value of 2,87.37 points on January 4, 2. The JSE Select Index experienced its largest one month appreciation of.28% ( points) in April 2 to close at 2,49.3 points. The JSE Select Index experienced its largest one month decline of 2.2% (58.66 points) in September to close at 2,72.98 points. The JSE Select Index recorded its largest one-day appreciation of 3.43% (.44 points) on November 4, 2 to close at 3,3. points. The JSE Select Index recorded its largest one-day depreciation of 2.27% (5.28 points) on February 2, 2 to close at 2,28.74 points. The JSE Cross Listed Index The JSE Cross Listed Index recorded its highest value of points on March 8, 2. The JSE Cross Listed Index recorded its lowest value of points on December 3, 2. The JSE Cross Listed Index recorded its largest one-month appreciation of.92% (6.58 points) on March 3, 2. The JSE Combined Index recorded its largest one-day depreciation of.95% (,696.5 points) on April 6, 2. Trading Activity - Regular Market There were 252 trading days in 2 and 2. In 2, market volume including block trades amounted to,89,3,592 down 49.6% relative to 3,57,99,34 units recorded during the previous year. On the other hand, market value, including blocks, increased marginally by.79% in 2 to just over $2.99 billion. The number of transactions (including blocks) increased by 27.2% to 23,39. Market Capitalization amounted to $69.44 billion at the end of 2. This compares favorably to $ billion at the end of 2. At the same time, market volume (excluding blocks) in 2 stood at,55,42,76 units compared to 2,64,537,836 in 2. This represents a decline of,9,395,66 units or 4.32%. On the other hand, market value increased to $8. billion from the $7.35 billion recorded in 2. This reflects an increase of 4.35% or $ million. The number of transactions in the year 2 increased by 4,952 to 23,293. There were 26 block trades in the regular market in 2 compared to 8 during the previous year. Market volume in the block market in 2 amounted to 269,59,46 units, sharply below the 929,66,478 units recorded in 2. The total value of block trades in 2 stood at $2.89 billion relative to $3.48 billion in 2. The month that experienced the highest number of transactions was November with 2,827 transactions. Meanwhile, the month that experienced the least transactions was February with,438 transactions. Similarly, February was the month that saw the smallest volume traded, accounting for 6,825,76 units. The month that recorded the highest market volume was September with 87,83,48 units. January was the month that recorded the smallest market value of $48.93 million. On the other hand, December recorded a market value of $3.94 billion, the highest for the year 2. The main advancers for the year were Jamaica Money Market Brokers Limited up 2.% to close at $2.4, Barita Investments Limited up 36.68% to close at $4.7 and Pegasus Hotels of Jamaica Limited up 87.26% to close at $ On the other hand, the main decliners were Trinidad Cement Limited down 65.45% to close at $8.3, Cable & Wireless Jamaica Limited down 39.39% to close at $.2 and Salada Foods Jamaica Limited down 3.77% to close at $8.87. This represents an improvement of 97.%. This was driven by the listing of four companies during the year and price appreciation of companies previously listed. The Junior Market started the year with eight companies and closed the year with a total of twelve companies. Table 4 shows the companies that were listed during the year, the amount raised from these listings and the close prices as at December 3, 2 along with their listing prices: JSE 2 POCKET BOOK 9

This reflects a sharp increase of $5.3 billion or 78.68% over the previous year. Market volume for 2 amounted to 36,22,533 units, up significantly from 46,6,87 units recorded in 2. Market value also increased sharply to $.25 billion from $92.7 million in the previous year. Similarly, the number of transactions rose from,9 in 2 to 7,883 in 2. There were 252 days of trading in 2 and 2. Market Developments The JSE Combined index started on April, 2 at 86, points. This index tracks the performance of all the companies that issue ordinary shares listed on both the Main Market and Junior Market of the Jamaica Stock Exchange. Capital & Credit Merchant Bank Limited redeemed its Variable Rate Preference Shares and the shares were subsequently delisted on April 4, 2. Scotia DBG Investments Limited changed its name to Scotia Investments Jamaica Limited and this was made effective at the JSE on April 5, 2. In July, the JSE launched the US$ Equities Market which facilitates the trading and settlement of US$ denominated shares. The JSE USD Index started at Points and this index tracks the performance of companies whose shares trade in United States Dollars. New Listings Jamaica Money Market Brokers 8.75% Preference and Jamaica Money Market Brokers 8.5% Preference were listed on February 4, 2. The 8.75% preference share raised $.2 billion at a price of $3. while the 8.5% preference share raised $875. million at a price of $3.5. Honey Bun (982) Limited was listed on June 3, 2. 23 AMG Packaging & Paper Company Limited was listed on the JSE Junior Market on July 2, 2. AMG raised 57.8 million at a price of $2.88 during its IPO. On July 4, 2, Proven Investments Limited was listed at US.2; the first company to list on the JSE US$ Equities Market. Caribbean Producers Jamaica Limited (CPJ) was listed on the JSE Junior Market on July 2, 2. CPJ raised $428 million during its IPO at a price of $2.. General Accident Insurance Company Limited (GENAC) was listed on the JSE Junior Market on September 3, 2. GENAC raised million during its initial public offering (IPO) at a price of $2.2. Delistings PanCaribbean Financial Services Limited (PCFS) redeemed all the outstanding Preference Stock Units on December 3, 2. The stock will be delisted in early 22. First Jamaica Investments Limited was delisted on August 5, 2. A scheme of arrangement was undertaken where First Jamaica Investments Limited was amalgamated into Pan Jamaican Investment Trust Limited. First Caribbean International Bank Jamaica Limited was delisted on December 3, 2 for failure to comply with Rule 4A, which requires at least persons to own at least 2 per cent of the Company's share capital. The Bank of Nova Scotia Jamaica Limited's Variable Rate Preference Share was redeemed and consequently the stock was delisted on December 3, 2. Takeover Quivin International Limited issued a Take-Over Bid Circular to acquire the remaining outstanding shares of the Pegasus Hotels of Jamaica Limited. The offer was opened on November 25, 2 at a price of $22.5 and closed on December 5, 2. New Trading Settlement Platforms The Jamaica Stock Exchange Group (JSE) in its bid to improve service delivery and remain current with international standards, on December 5, 2 rolled out its new Global Vision trading and Depend settlement Platforms. The main objective is to deliver trading and settlement platforms that will allow the JSE to perform its core business functions in addition to supporting its new business strategies for the next five years and beyond.
