5 All prices are in EURO per 1000 kg (EUR per ton) 2 Upcharges by quality +) Plus alloy and/or scrap-price upcharges/discounts valid on the day of dispatch (see item 7). The quality upcharges shown below are listed according to range of dimensions (plate thickness). Regardless of plate thickness, plates weighing > 25 tons are subject to the quality upcharges for the dimension range 1, as well as a EURO 75 per ton upcharge for all steel grades. In addition, the upcharges listed under item 3.3 plate weights also will be applied. The objective inspection contained in the additional charges is shown in the different parts. - Lot makeup necessary to meet standards and delivery conditions within a single melt (for example, per melt and 40 tons), or the necessary number of sample sets per rolling plate (at one or both ends), are included in the given quality upcharges. - During a notched-bar impact test, 3 individual samples in a single sample form, temperature and direction will be tested. A range of possible additional requirements is listed in the various standards and delivery conditions. When the customer has no need of these additional requirements and the order contains no corresponding requirements, the product will be delivered according to the minimum applicable standards and delivery conditions. Orders with additional requirements will be calculated according to our price list. 7 According to EN , tests and certifications are included only when they are ordered. Steel quality S185 is delivered with only a works certification according to 2.1, which must be agreed upon when placing the order. For other steels, the customer s choice of certification, according to EN 10204, will be issued: Either a works certification of compliance 2.1 or a works test certification with chemical analysis only 2.2 or a works test certification with mechanical properties 2.2* or an inspection certificate 3.1* or an inspection certificate 3.2* * Subject to upcharges according to item 8. When ordering an inspection certificate 3.1 or higher, each melt of all steel grades (except for S185) will be subjected to a tensile test. Each melt of steels in the quality class J0, J2, and K2 will also be subjected to a notched-bar impact test. For steels of the JR quality group, the notched-bar impact test is only carried out when explicitly ordered. Both tests subject to upcharges according to item 9. The customer must ensure that we are authorized to commission the inspection company selected by the customer on behalf and at the expense of the customer s customer. 42 Delivery and payment conditions valid as of 1 March 2010 A. General terms I. Contract conditions 1. Except as otherwise provided, our sales, deliveries and services, including mutually offsetting transactions, are subject exclusively to the following terms and conditions. Any terms and conditions for purchase of the Buyer s are hereby excluded. 2. Our prices are subject to change without notice. All verbal agreements require written confirmation. II. Terms and conditions of payment 1. Payment shall be made in full, without deduction of discounts, so that the full sum is at our disposal on the date the payment falls due. They Buyer may offset only claims that are uncontested or that are established as legally valid; he shall have rights of retention only insofar that they are based on the same contractual relationship. 2. If payment exceeds the payment due date, the legally determined rate of interest will be applied. 3. If payment of our claim for payment is jeopardized by subsequent events that lead to a substantial deterioration of the Buyer s financial position, we shall be entitled to demand immediate payment, regardless of the term of bills of exchange accepted in payment. 4. If the Buyer falls into arrears and appears to be in danger of being unable to fulfill our claim for payment or if an application to open insolvency proceedings will be made, we shall be entitled to prohibit further processing of the delivered merchandise, to repossess the merchandise, and, if necessary, to enter the commercial establishment of the Buyer and to remove the merchandise. Repossession shall not constitute a termination of the contract. 5. The Buyer may avoid the legal consequences described in paragraphs 3 to 4 by offering security in the amount of our jeopardized claim for payment. 6. The statutory provisions concerning default of payment shall remain unaffected. III. Securities We shall be entitled to customary securities, adequate in kind and size, for our claims, even if they are conditional or limited in time. IV. Reservation of title 1. We remain owner of the goods until the price and all other sums owing by the Buyer to us are paid in full. 2. The Buyer shall immediately notify us of any seizure or other interference with our righs by third parties. 3. If the value of the securities provided exceeds the security claims by more than 10% in all, we shall be obliged, at the Buyer s request to release securities at our option. V. Place of performance and jurisdiction The place of performance and jurisdiction for both parties to the contract shall be Dillingen/Saar. We shall also be entitled to pursue legal proceedings against the Buyer at his general place of jurisdiction. B. Execution of delivery I. Deadlines and dates for delivery 1. Delivery deadline periods shall commence as of the date stated in our confirmation of the order, but not prior to complete clarification of all order details; the same shall apply to dates of delivery. 2. If the Buyer fails to fulfill in due time any contractual obligations including associated or secondary obligations such as the opening of a letter of credit, the procurement of domestic or foreign certificates, the effecting of an advance payment, or the like, then we shall be entitled to defer the deadline periods and dates for delivery commensurately without prejudice to our rights arising from any default on the part of the Buyer in accordance with the requirements of our production schedule. 3. The date of shipment ex works shall be definitive regarding compliance with the periods and dates for delivery. If, through no fault of our own, the merchandise cannot be dispatched in due time, the deadlines and dates for delivery shall be considered complied with as of the date on which the merchandise is reported ready for shipment, and the invoice dispatched accordingly. II. Dimensions, weights, and qualities Deviations in dimensions, weights, and qualities shall be acceptable within the limits of EN/DIN or of established practice. Weights shall be determined on our calibrated scales and shall be definitive for invoicing. Verification of weight shall be given by presentation of the weight note. Where it is not customary for items to be weighed individually, the total weight of the consignment shall apply in each case. Differences compared with the calculated individual weights shall be apportioned among them. III. Shipment, packing and passing of risk 1. We shall designate the forwarding agent or carrier. 2. If loading or forwarding of the merchandise is delayed for any reason for which the Buyer is responsible, we shall be entitled, at the expense and risk of the Buyer, to store the merchandise at our sole discretion, to take all measures considered suitable for the preservation of the merchandise, and to invoice the merchandise as delivered. The same shall apply if merchandise announced as ready for shipment is not picked up within four days. The statutory provisions concerning default in taking delivery shall remain unaffected. 43 3. Where customary, we shall deliver the merchandise packed and protected against rust; costs shall be charged to the Buyer. Packaging, protective materials and transport materials are not returnable. 4. In the event of any damage occurring during transportation, the Buyer must immediately arrange for an assessment of the facts to be established by the responsible bodies. 5. Risk shall pass to the Buyer when the merchandise is handed over to the forwarding agent or the carrier, but at the latest when it leaves the works or the warehouse. IV. Warranty 1. The properties of our goods are described in material data sheets or by reference to material data sheets; agreement on the properties within the meaning of 434 I 1 BGB (German Civil Code) is provided for in this description. No guarantee for the properties within the meaning of 442, 443 or 444 BGB is assumed in this respect. 2. The Buyer is to notify us immediately in accordance with the examination incumbent on him ( 377 HGB [Commercial Code]) of any material defects in the goods supplied by us. In such a case the Buyer must, without delay, allow us the opportunity to confirm the defect, in particular by providing the goods complained of or samples of said goods, if requested to do so. If notification of a defective product is made immediately and is justified, we will as we see fit either remedy the defect or supply a fault-free product. Only if we fail to comply with this obligation within an appropriate length of time is the Buyer entitled to rescind the contract, reduce the purchase price, or claim damages, in accordance with the terms defined in Section C. 3. The statute of limitations for claims due to defects in movable goods is five years subject to the settlements in other agreements for a movable good that has been used as it normally is applied in a construction and which causes the construction to be defective. The statute of limitations in other cases is one year. 4. When an agreed-upon inspection of the goods has been performed, subsequent claims of defects that could have been determined during the inspection of the goods is excluded by law. C. General limitation of liability In the case of property damage and/or monetary damage attributable to an exceeding of a deadline caused by us or to a defect of our goods or to another violation of obligations, we shall be liable for payment of compensation if the damage is shown to be caused intentionally or through gross negligence on our part. This does not apply in cases where statutes hold that we are mandatorily to be held liable. D. Miscellaneous I. Export certificate If a Buyer who is not a resident of the Federal Republic of Germany (extra-territorial buyer), or his representative agent, collects any merchandise and forwards or ships it to a foreign country, the Buyer must furnish us with any export certificate that may be required for tax purposes. If such a certificate is not furnished, the Buyer shall pay the rate of turnover tax on the invoice amount applicable to deliveries executed within the Federal Republic of Germany. II. Applicable law 1. The law of the Federal Republic of Germany is exclusively applicable for all lawsuits between the Buyer and us. 2. The turnover tax regulations of the 6 th EC Directive in the version in force at the time are valid for invoicing deliveries from one EU member state to another, unless, in accordance with the 6 th EC Directive, national law prescribes a different regulation. Insofar as we are to charge turnover tax, the purchaser shall pay the respective turnover tax in addition to the agreed (net) purchase price. III. Additional conditions for contract work orders The following supplements or restrictions are additionally applicable for contract work orders: 1. The Buyer must deliver the material to be processed as well as all technical documents required for working the material in good time and at the Buyer s own expense. 2. The material to be worked must be sound and in accordance with the stated values. It must be free from defects that hinder or impede the finishing process; it must have the additions that are normal for the prospective finishing process. 3. All additional costs and damages arising from the fact that the material is not in accordance with item 2 (e.g., porosity, sand content, brittleness, hardness or other conditions that increase working costs) shall be invoiced separately. This is also applicable to additional costs and damages due to erroneous technical documents (item 1). If the material should be unusable for one of the above or other reasons outside our responsibility, we shall have the additional right to claim payment for the work we have done up to detection of the defect. 4. We will perform the accepted work with due care and attention. We are not liable for damages or delays that are attributable to defects in the material, errors in the technical documents or other information, or to distortion of the piece during or after machining. In the case of justified notification of defects made in the correct form and within the correct time period, we will fulfill our responsibility exclusively through repairs. If, through our error, the material is made unusable, we will then accept the costs incurred by us up to detection of the defect. We are also prepared to accept the replacement material to be worked, sent free of all charges, in accordance with the conditions of this agreement. 5. 44 General terms and conditions of sale Valid as of 1 January 2005 Sale and delivery of our products shall be subject to the general terms and conditions of sale listed hereinafter. Price in general 3.1 Unless otherwise expressly indicated, all our prices shall apply to metric tons (1 ton= 1000 kg). 3.2 The purchase price shall fall due for payment at the latest on the 15 th of the month following shipment ex works. 3.3 If any charges or other costs of outside services included in the price agreed change or are newly generated, we shall be entitled and obliged to increase or decrease prices accordingly. 3.4 When a final inspection/material test has been agreed to, the Buyer shall bear the personal costs of inspection; the costs of materials shall be calculated in accordance with our price list. The final inspection shall be executed in the deliverer s works. 3.5 In cases where we obligate ourselves to meet a Buyer s request or order for which no price in our price list exists, we reserve the right to arrange such a price with the Buyer. 3.6 Any conflicting or contradictory conditions of the Buyer s are expressly rejected. 4. Price of materials Prices and conditions in force at the time the contract is concluded will apply. Personal inspection fees and surcharges and discounts for scrap and alloy are calculated in accordance with the conditions in force on the day of delivery. 5. Method for determining prices and additional prices for shipment 5.1 Sale with Dillingen or Dunkirk as freight base point We execute freight prepaid for - rail transport: to station of destination - transport by truck: to consignee - transport by ship: to unloading dock - combined land and water transport: to consignee We charge the additional price ex freight base point according to the freight costs published on the day of shipment as follows: For rail transport The additional charge for the distance from the freight base point to the station of destination shall be calculated as follows: a) For all freight quantities and all receiving railway stations in the Federal Republic of Germany, the charge is calculated on the basis of the distance shown in the Entfernungswerk für den Eisenbahngüterverkehr (Graded Distance Schedule for German Rail Freight Traffic), issued by DB Cargo AG, between the basing point and the station of destination, as per the rail shipment grading under point 15 of our price list. b) For all stations of destination outside the Federal Republic of Germany, the charge is calculated in accordance with the distance shown in the Uniform distance table for international freight traffic (DIUM) between freight base point and the station of destination, as per the rail shipment grading under item 15 of our price list For transport by truck The additional charge shall be calculated on the basis of the distance between the freight base point and the local rate area of the recipient s unloading site. a) For all deliveries and all recipients within the Federal Republic of Germany, on the basis of the GFT distance of the kilometer grading for truck transport, under point 15 of our price list. b) For all other recipients, in accordance with the distance resulting from the kilometer grading for truck transport, under point 15 of our price list, as shown in the Uniform distance table for international freight traffic (DIUM) For shipment by truck the additional special charge as stated in our price list shall be charged; this shall also apply in the case of collection If we have agreed to pick-up being made by the recipient s own vehicles (company operated transport), we calculate a customer-pick-up surcharge in the amount of EUR 5 per ton for the additional internal costs incurred by us. Place of shipment for our deliveries: Dillingen or Dunkirk 7. Taxes/duties/charges 7.1 For any sales within the Federal Republic of Germany, we charge the turnover tax at its currently valid rate, in addition to the purchase price. 7.2 Border-crossing shipment shall be executed duty unpaid and untaxed. Where duties, taxes and other charges are levied, these shall be paid by the customer. 8. Special terms and conditions In the case of three-cornered deals, chain transactions and the like, in which not only the Dillinger Hüttenwerke and the Buyer, but also further companies are involved, and which are conducted on behalf of the customer on a crossborder basis, the Buyer must comply with all statutory provisions, such as tax identification number, tax representative, etc., which are required of the Buyer by the relevant countries for proper administrative handling.
