1 IMPORTANT INFORMATION about Your New Telia Mobile Subscription In the following, you will find important points to be noted when you start using your new mobile subscription. Together with the subscription, you have access to a number of Telia advantages. These advantages and the content thereof vary on a continuing basis. This means that Telia can change or cease the provision of a specific Telia advantage without notice. You can always read about the limitations and rules applicable to the specific advantages on telia.dk/erhverv (business). Note in particular the usage limit on mobile data abroad as described in clause 10 of these Standard Terms and Conditions (Coverage and roaming). As a subscriber, you are liable for payment for the mobile telephone service. This means that you have to pay for all calls, SMS messages etc. registered from your telephone. Keep your mobile telephone and PIN code in a secure place, and only hand over the telephone to other persons if you are sure you can control and monitor their usage. If you lose your SIM card, you must phone immediately to block the card and avoid misuse. For more details, see clause 8 of these Standard Terms and Conditions. You can read more about the use of electronic signatures in these Standard Terms and Conditions under clause 3 if you have signed your agreement with an electronic ballpen in Telia s shop. If number porting cannot be carried out because of conditions relating to the Customer, the agreement with one or more temporary numbers under Telia will be retained. You can control and monitor your usage for instance by: using Billing Control, which bars your telephone to outgoing calls and premium rate services when the usage exceeds the limit preset by you; The default maximum for Billing Control is set at DKK 500. For further details, see clause 11 of these Standard Terms and Conditions. subscribing to various barring options, e.g. barring of international calls and SMS content services. For further details, see clause 11 of these Standard Terms and Conditions. You may program your mobile telephone in various ways, which may involve a risk of unintended usage. So read the instructions for your telephone carefully before activating the SIM card. Remember that you may always control and monitor your usage by selecting Billing Control, Barring etc. Telia may choose to reduce the speed or disconnect access to data usage if the Customer s data usage exceeds the included GB per month. If for instance the Customer has 10 GB data per month included in the subscription, any usage in excess of 10 GB will thus mean that the speed will be reduced, or any additional usage of data will be barred, for the rest of the month. You should read the following Terms and Conditions carefully and pay special attention to passages written in bold. Note in particular the additional Terms and Conditions relevant to your subscription. STANDARD TERMS AND CONDITIONS FOR TELIA DANMARK S MOBILE SUBSCRIPTIONS (BUSINESS) April Introduction These Terms and Conditions shall apply to the mobile services of Telia Danmark (in the following referred to as Telia), and any variations therefrom must be agreed in writing in order to be valid. In addition to these Terms and Conditions, the product-specific terms and conditions accompanying the mobile product selected by the Customer shall be applicable. The terms and conditions to be read particularly carefully by the Customer are printed in bold. 2. Parties This Agreement is made between the Customer and Telia Danmark, a branch of Telia Nättjänster Norden AB, Sweden, CVR , Holmbladsgade 139, DK-2300 Copenhagen S. The parties have the rights and obligations specified in this Agreement. Thus the Customer is liable for payment in respect of services supplied under the Agreement. This also applies if the Customer lets the subscription be handled by another user. 3. Electronic signature If the Customer has signed this Agreement and any supplements thereto by using an electronic signature, this means that the Customer does not sign the Agreement physically using a ballpen etc., but has instead signed it with an electronic ballpen associated with Telia s activation system. In this manner, the Customer s signature is transferred direct on to the Agreement. If there are supplements to the Agreement, the Customer shall sign each supplement using an electronic signature. A high level of security is assured for the use of electronic signatures by Telia. Thus it will not be possible for anyone to copy or misuse the signature, and the signature will only appear in connection with the contract field signed by the Customer in Telia s shop. Equally, the signature will only be kept at Telia together with the contract in order that Telia may subsequently document the contractual relationship. 4. Subscription The subscription covers access to telephony via Telia s mobile network. The Subscription Agreement shall be prepared in writing on presentation of valid picture ID and shall be signed by the Customer. The information provided by the Customer will be used in connection with the agreed service, for invoicing, and in case of reporting to credit rating agencies. A customer with outstanding debt to Telia may not start a subscription until the debt has been paid. The Customer must immediately inform Telia of any changes in the details given by the Customer when entering into this Agreement, including change of address, change of payment conditions etc. If the Customer fails to notify a change of address, Telia is entitled to charge an administrative fee for handling returned mail. Telia reserves the right to carry out a credit rating at any time in respect of the Customer, including obtaining information from credit rating agencies. In this connection, Telia may set a credit limit on the subscription at its own discretion and may also change the allocated credit limit without notice and liability as a result of a subsequent credit rating. Furthermore, based on a credit rating Telia may at any time limit or deny the Customer s use of certain services. Throughout the term of the Agreement, Telia may require the Customer to provide security for its obligations where this is justified by the situation of the Customer. Deposits shall not carry any interest, and the Customer shall pay all expenses in connection with such security. The Subscription Agreement shall not be final until Telia has approved the Agreement and has received any security required. The Customer is considered to be the ordinary end-user, cf. the definition given in the Danish Act on Electronic Communications Networks and Services, and it is a condition of the Agreement that the Customer does not make Telia s mobile services available to other parties on a commercial basis. If the Customer does so, or Telia has reasonable grounds for suspecting it, Telia may cease the connection and terminate the Agreement without notice and liability.

2 5. Delivery and number porting The Customer s SIM card will be activated on conclusion of the Agreement by allocating a temporary number, or will be activated as soon as possible after the Customer s signing of the Subscription Agreement. The Customer may have a mobile number ported from other telecommunications providers to Telia. Telia will port the number as soon as possible unless otherwise agreed. However, number porting will not be effected until this is possible under the Customer s subscription agreement with the other telecommunications provider, e.g. on expiry of a commitment period or termination notice. If the Customer has been allocated a temporary number, Telia will not be billing any subscription charge until porting of an existing mobile number from another telecommunications provider has been completed. If there has been any traffic usage on the temporary number, Telia will invoice such traffic usage according to the price list for the subscription chosen, and this information has been given to the Customer on conclusion of the Subscription Agreement. When porting an existing mobile number, Telia will change the start of the commitment period so that this does not start until the porting date of the existing mobile number from the other telecommunications provider associated with the temporary number. Prior to porting of the number, the Customer will receive an SMS message from Telia advising the porting date. The Customer will be bound by the present Subscription Agreement even if it is not possible to port the desired mobile number from another telecommunications provider. If a number cannot be ported, the Customer will keep the allocated temporary number. Where a mobile telephone number is ported from another telecommunications provider, only the mobile telephone number will be ported. Thus the subscription type or services available to the Customer will not be transferred from the previous provider. Number porting is free of charge. Telia is entitled to claim compensation from the Customer per number in case the Customer is porting reserved numbers not put into use by the Customer at the time of the desired porting. The Customer shall contact Telia Customer Service in case of problems with porting of the Customer s mobile number. The Customer is entitled to compensation in the following three cases: Unauthorised porting of the Customer s mobile number without the Customer s acceptance. Number porting is not effected on the date agreed with the Customer. Absence of telephone connection for more than 24 hours on account of faults in number porting. The Customer is not entitled to compensation if the problems with number porting are due to the Customer s circumstances. The amount of compensation can be seen on telia.dk. 6. Mobile number The Customer may choose, without cost, to have an unlisted number. However, when SMS messages are sent, the Customer s mobile number will be transmitted to the recipient s telephone. The Customer may request a change of its telephone number on payment of an administrative fee. Telia may change the Customer s number without the Customer being entitled to any compensation if such change is due to legislative, significant technical, or operational circumstances. The Customer may reserve one or more numbers. Reservation will be made automatically unless the Customer signs a subscription agreement for the reserved number or notifies Telia of an extension for a new 3-month period. 7. SIM card Together with the SIM card, the Customer will receive a personal 4-digit PIN code and an 8-digit PUK code. The purpose of the PIN code is to ensure that only the Customer can use the mobile telephone. If a wrong PIN code is entered three times in succession, the card is locked, and in that case unlocking is only possible by using the PUK code. If the PUK code is entered incorrectly 10 times, the SIM card is blocked permanently, and a new SIM card must be requested subject to a charge. Codes and SIM cards must be kept securely and separately. In case the card is damaged, the Customer must destroy it or return it to Telia. Telia will replace damaged SIM cards subject to a charge. For security reasons, Telia will not give the codes by telephone, but will send the information to the Customer at the registered address. Telia is not liable for any loss incurred as a result of a SIM card being lost, damaged or otherwise being defective. The SIM card is the property of Telia and must be destroyed or returned at the request of Telia. Interfering with, or copying etc. of the SIM card is not permitted by parties other than Telia and will be considered as a serious breach of contract. Subscription agreements concluded with Telia will not be cancelled in consequence of the above. 8. Theft, loss etc. of SIM cards If the Customer loses its SIM card, the Customer must immediately phone to have the SIM card blocked in order to avoid misuse. Telia may request written confirmation from the Customer of such blocking, and may also request that the Customer report the matter to the police. This shall also apply if a third party has gained unauthorised knowledge of the code, or if there is a risk or suspicion of misuse of the SIM card. When Telia has been notified, the Customer will no longer be liable for any subsequent unauthorised use of the SIM card. Telia will confirm in writing that the card has been blocked. The Customer is still liable for payment of the subscription charge, minimum usage and other fixed charges when the card is blocked. A new SIM card will be delivered subject to a charge. The blocking is not merely important to prevent misuse, but also because it affects the amount for which the Customer is liable in the event that the mobile telephone has nevertheless been subject to unauthorised use. Telia may charge an administrative fee for removing the blocking again. The Customer is always liable for an amount up to DKK 1100 of the unauthorised usage if the mobile telephone was switched on when lost. However, the Customer shall not cover any unauthorised usage occurring after the Customer requested Telia to block the SIM card. The Customer s own risk will increase up to a level of DKK 8000 for any unauthorised usage if Telia can substantiate that the PIN code was used and that one of the following conditions was present: The unauthorised usage occurred after the time when the Customer learned that the code has come to the knowledge of an unauthorised person, without the Customer subsequently notifying Telia thereof as soon as possible. The PIN code was given by the Customer itself to the person who has misused the mobile telephone. The Customer s conduct has been grossly negligent, which has enabled misuse of the mobile telephone. The Customer is liable for the misuse without any maximum limit if Telia substantiates that the PIN code was given to the unauthorised party by the Customer itself, and that the Customer was aware or should have been aware that this would imply a risk of misuse. The scope of the Customer s and Telia s liability appears from section 62 of the Danish Act on Payment Services and Electronic Money. 9. SIM lock The mobile telephone may be locked on to Telia s network for a period of 12 months from the activation date of the subscription. During this period, the operator locking code will only be given to the Customer on payment of an administrative fee, which can be seen on telia.dk. After expiry of the period, the code can be obtained free of charge by calling Telia Customer Services. If the telephone is not unlocked at the second attempt, the Customer must contact the nearest Telia shop and bring the telephone and code. Delivery of the operator locking code during the commitment period is subject to the Customer not being in breach of the Subscription Agreement. Unauthorised unlocking of the telephone is considered a serious breach of contract and may, depending on the circumstances, mean cessation of the Customer s right of objection in case of defects in the telephone. 10. Coverage and roaming The Customer may use its subscription where radio coverage is available. The Customer may obtain information about radio coverage by contacting Telia. Depending on the physical location of the Customer or on local conditions, radio coverage may differ from the levels given by Telia. In some coverage areas in Denmark, the Customer will move between the Danish and Swedish mobile networks or between the Danish and German mobile net-

3 works. In that case, the Customer may risk roaming on to the Swedish or German mobile network although being located in Denmark. This means that the Customer s calls will be charged as international calls. It is the Customer s responsibility to ensure which provider s network is being used for each individual call. The Customer may use the mobile telephone service abroad via the networks of foreign providers if Telia has made a roaming agreement with the foreign provider. Roaming abroad is subject to the regulations, prices, terms and conditions governing the individual services on the mobile network in question. Telia is not liable for coverage, quality, security, service provision, customer data etc. on foreign mobile networks. There is a limit to usage of mobile data services abroad. With this data limit, it is ensured that the cost of data services used abroad, over a month, will not exceed DKK 360 per month excluding VAT for business customers. Under statutory requirements effective from 1 July 2010, all post-paid customers are established, by default, with data limits and data control abroad. When 80% of the limit is reached, the Customer will receive an SMS advising that the Customer should answer the SMS, log in to or contact Customer Services if the Customer still wants to use data abroad. The service is disconnected when the limit is reached, unless the Customer requests that the limit should be raised and that the service should still be delivered. If the mobile data service has been disconnected, the Customer may, via SMS, login to or contacting Customer Services, reactivate the mobile data service, change the limit, or deregister data control altogether. When the service has been deregistered, the Customer will receive an SMS advising that the service has been deactivated, and when the service is being registered again, the Customer will receive an SMS advising that the service has been activated. The Customer can see the maximum amounts and data limits that can be chosen by the Customer on telia.dk. The following mobile data services are not included in the service: MMS per message Data traffic via WLAN (HomeRun) Data traffic via APN for businesses M2M data traffic All Customers who wish to register or deregister this service may do so by logging in to or contacting Customer Services by phoning From abroad, phone or send an to Telia Customer Services via telia.dk. This function is free of charge. 11. Supplementary services In addition to the subscription, the Customer may register for the services described below. Registration may be made by contacting Customer Services, cf. clause 23. Tariff Information The Customer may call Telia Customer Services for information about the price for calls to other Danish telephone numbers, excluding the price for calls abroad and calls to information and content services (Code 900 numbers). The service is free of charge and requires no registration. Current Billing Balance The Customer may get information about its current billing balance via self-service on telia.dk. The Customer may also send an SMS with the text SALDO to 667. The Customer may also make a call to #28 to get information about its usage during the present month or earlier months. As a minimum, such information is updated once every 24 hours for calls in Denmark. For calls made abroad, updating will be undertaken not later than 31 days after the call. The service requires no registration. Billing Control Billing Control enables the Customer to set an upper limit to its usage. When the limit is reached, any further usage is barred. Billing Control is protected by a code, which must be entered to define, change or cancel the usage limit. The code is personal, and the Customer must keep the code in a secure manner so as to avoid any unintended usage. When the Customer registers for Billing Control, a usage limit of DKK 500 is set automatically, but this may be changed or cancelled by the Customer. The usage limit is calculated on the basis of the Customer s overall usage of voice calls, SMS, MMS plus data and fax calls. Any subscription charges, payment for additional services, donations, collections etc. are not included in the usage limit. It should also be noted that donations, collections etc. are not included in the barring of usage when the upper limit is reached. When barring on Billing Control is activated, outgoing calls, SMS, MMS, GPRS/EDGE and data traffic will be barred. This also applies to subscriptions with free or included minutes, SMS, MMS and included data. The data on which barring is based is updated at the same frequency as under Current Billing Balance. Barring By registering for the Barring service, the Customer may, by entering a code, prevent the mobile service from being used. With this code, the Customer can activate and deactivate barring. Telia offers various barring options. Contact Customer Services for more information about barring options. The Customer has to register for the service, which is free of charge. Itemised Billing The Customer may choose to receive an itemised bill at no additional cost instead of the standard (tariff-grouped) bill. The itemised bill shows the usage for each individual call, including details of the number called, date, time, duration and charge. For data usage, APNs (Access Point Names) are listed instead of numbers. If the Customer has registered for payment via the Danish Direct Debit Service (BS), Telia is entitled to give the itemised bill via a link to a website with the bills on the normal BS statement. The Customer may choose to receive both a standard (tariff-grouped) bill and an itemised bill. In that case, Telia will be entitled to charge an administrative fee. A fee may also be charged if the Customer requests a copy of the bills. SMS Executive SMS Executive is an application that the Customer may download free of charge from telia.dk. SMS Executive enables the Customer to send SMS messages from the Customer s computer. The Customer is liable, and will be invoiced, for all SMS messages sent via SMS Executive. This applies both to the SMS messages sent by the Customer from the program and to the SMS messages received by the Customer from the Customer s own version of SMS Executive. It should be noted that on messages sent to foreign mobile telephones the normal international rate is added to the price for sending SMS via SMS Executive. SMS Executive is not included in any supplementary modules to the subscription that allow various forms of unlimited access to sending SMS messages from the mobile telephone. The Customer can see the prices for SMS Executive on the current price list and find additional information about SMS Executive on telia.dk. Stopping of Call Forwarding from a Third Party Stopping of Call Forwarding from a Third Party means a service where Telia, at the request of the Customer, stops a specific automatic call forwarding arrangement established in Telia s coverage area. If the forwarding arrangement is established in another telecommunications provider s network, Telia will contact the relevant provider. This service is free of charge. Restriction of Calling Line Identification The Customer is able to prevent its number from being displayed when making calls. This option may be activated on a per-call basis or permanently, and the Customer may also disable the display of numbers on incoming calls. For customers with unlisted or excluded numbers, Telia will activate permanent blocking of number display.

4 However, calls to emergency services (112) will not be blocked. The service is free of charge, but Telia is entitled to charge an administrative fee for changes ordered by the Customer in excess of two changes annually. However, the number will not be withheld when the Customer is sending SMS and MMS messages. Restriction of Connected Line Identification The Customer is able to prevent the calling subscriber from seeing a connected number. This service is free of charge. MMS Inbox on telia.dk In addition to the Agreement, the Customer will have access to an MMS Inbox via self-service on telia.dk. In the MMS Inbox, all the Customer s incoming MMS messages, i.e. messages sent to the Customer s telephone number, will be copied and stored until actively deleted by the Customer. The Customer is registered automatically for the MMS Inbox on activation of the subscription. It is not possible to deregister the MMS Inbox. It does not cost anything to be registered for, or use, the MMS Inbox. It is not possible to send MMS messages from the MMS Inbox, but only to see MMS messages received, and to delete these. 12. GPRS/EDGE/3G/4G The subscription includes a standard GPRS/EDGE/3G service (GPRS stands for General Packet Radio Service; EDGE stands for Enhanced Data for Global Evolution; 3G means third generation mobile telephony). A 4G service requires a separate 4G mobile broadband subscription (4G means fourth generation mobile telephony). In the case of GPRS/EDGE/3G/4G, the Customer is charged for the total data volume transmitted or received by the Customer via its GPRS/EDGE/3G/4G subscription. Charging is made per session with an initial charging per 10 kb, after which charging is made per 1 kb. A connection using GPRS/EDGE/3G/4G means that traffic is generated automatically in the form of control and signalling data. This traffic is included in the total data volume. The data volume invoiced to the Customer may be larger than the volume indicated by the Customer s applications. IT applications communicating via the IP protocol add control and signalling data to the Customer s actual data volume. This means that the data volume actually transmitted via the internet and the GPRS/ EDGE/3G/4G network may exceed the volume registered by the Customer s applications. Data may be lost during GPRS/EDGE/3G/4G transmissions, which may result in the data being retransmitted. The Customer will be charged for such retransmission at the current prices. Telia cannot guarantee the speed of GPRS/EDGE/3G/4G data transmissions. In connection with roaming, the Customer may request information from Telia about the providers with which roaming has been arranged. It should be noted that barring resulting from a usage limit will not mean that a GPRS/EDGE/3G/4G session already established will be disconnected. A Customer may therefore be invoiced for an amount exceeding the maximum chosen for usage-dependent billing. If the Customer s data usage exceeds the MB/GB included per month, this may affect the stability of the network, other customers etc. In case the included MB/ GB is exceeded, Telia therefore reserves the right, without liability and notice, to reduce the speed or bar any further usage for the rest of the month. Telia reserves the right to implement measures ensuring that IP telephony (mvoip) and Peer-to-Peer file sharing (P2P) cannot be used as part of the subscription/service. This means, among other things, that the Customer will not be able to download and use programs allowing voice calls or videoconferencing via the internet. In the case of such measures the Customer will be offered a separate additional service containing these functionalities. 13. Content and payment services It is possible for the Customer to buy ringtones, games, etc. or participate in competitions and donations delivered direct to mobile telephones via SMS, MMS (picture messages) and/or data, and content on electronic media (including TV, radio and internet). In addition, it is possible for the Customer to buy physical goods and services such as train and bus tickets, magazines, and make vending machine purchases, which are also paid for via the Customer s telephone bill. Collectively, these services are called content and payment services. Such services are subject to a charge in addition to what is normally paid by the Customer for sending SMS, MMS and using data. The price is stated in connection with the marketing of the services. Content and payment services are offered both by Telia and other content providers. The Customer is liable for payment in respect of premium rate services delivered to the mobile telephone. This also applies if the Customer hands over the mobile telephone to a third party, including minors. Services delivered on the mobile telephone mean premium rate services delivered to the mobile telephone via SMS, MMS or data. For goods and services delivered outside the mobile telephone there are other liability rules than those applicable to services delivered to the mobile telephone. Here the Customer is liable for any unauthorised use if the Customer has shown actionable conduct according to the general rules of Danish law. Telia does not give access to erotic content delivered via codes In addition, the Customer may block premium rate services by contacting Telia Customer Services. For questions or problems in connection with premium rate services, the Customer may contact Telia. Telia may refer questions and complaints regarding the content of the services to the content providers. However, questions or complaints about charging of the services should be directed to Telia. The customer may find information about the individual content providers on telia.dk. The Customer s access to information and content services (Code 900 numbers) may be limited. 14. Technical changes and interference Telia may at any time and without notice carry out technical changes etc. in the network and Telia s products for operational reasons or to meet regulatory requirements. Certain adverse conditions may result in interference, which may lead to calls being rejected, ongoing conversations being interrupted etc. Telia aims to repair any faults in Telia s own equipment and installations as quickly as possible, and Telia will also pass on fault reports to other operators as quickly as possible if faults or interference can be attributed to these. 15. Customer s interference Telia is entitled, without notice and liability, to disconnect the service and terminate this Agreement in case the Customer causes interference in the network, including, but not limited to, cases in which the Customer connects equipment not complying with the requirements laid down in current legislation on telecommunications terminal equipment. 16. Prices All prices are specified in Telia s current price list for the mobile product in question. The price list can be seen on telia.dk. It should be noted that the prices for international calls as specified in the price list are merely indicative and are subject to current international tariff developments, and that, in case of international roaming, an additional administrative fee is charged by the foreign operator depending on the country or foreign operator from where the call is originated. The Customer will also pay for receiving calls, collecting MMS messages and receiving data while abroad. The mobile telephone may be programmed not to collect MMS messages etc. automatically when the Customer is abroad. Telia is entitled to charge installation and supplementary administrative fees, call and other usage charges, modification costs, reminder fees, and fees for additional and extra services etc. Where a minimum usage (i.e. actual usage) has been agreed, the Customer shall pay for such minimum usage whether or not the Customer has had any usage. Donations etc. are not included in the agreed minimum usage.

5 17. Payment Telia will send a (tariff-grouped) invoice in Danish for all services supplied under this Agreement. Telia will charge an administrative fee for handling the Customer s payment via giro inpayment forms and via Betalingsservice (BS) (Danish Direct Debit Service). If the Customer pays via BS, Telia is entitled to give the invoice details on the BS statement and not send a separate invoice. Telia is entitled to forward an electronic invoice if the Customer has accepted this. In that case, Telia may charge an administrative fee for forwarding a copy of the invoice. Amounts shall fall due for payment on the date stated on the invoice. However, if there is an increased financial risk for Telia, Telia may change the payment date to immediate payment. When the Agreement is made, an initial fee for installation may be charged. Subscription rentals will be charged monthly in advance in relation to the usage. Usage charges and other charges will usually be charged in arrears. For additional and extra services, full or partial prepayment may be required. Usage charges for roaming and interconnection will be billed when statements have been received from the network providers in question. The Customer should note that it may take some time before such statements are available. At the sole discretion of Telia, minor balances due to Telia may be transferred to the next invoicing period. If payment is overdue, Telia is entitled to charge administrative fees and interest on the outstanding amount at the rate of interest applicable from time to time under the Danish Interest Act. In case of late payment or non-payment, Telia is entitled to report this to credit rating agencies. The Customer is liable for any payment for services supplied under the Agreement. This also applies if it has been agreed that the invoice should be sent to a different invoicing address. If the invoice is not paid in that case, Telia will send a reminder to both the Customer and the agreed invoicing address, depending on the circumstances. 18. Disconnection Telia may disconnect network access if it is found that the Customer is in material breach of its obligations under these Terms and Conditions. A material breach may be, but is not limited to, the following: The Customer fails to pay after previous reminders to do so. Requirements for security are not met on time. The Customer fails to report a change of address. Telia may choose to reduce the speed or disconnect access to data usage if the Customer s data usage exceeds the included MB/GB per month. If for instance the Customer has 10 GB data per month included in the subscription, any usage in excess of 10 GB will thus mean that the speed will be reduced, or any addi tional usage of data will be barred, for the rest of the month. The Customer s CVR number (Central Business Registration Number) is or becomes invalid (applies to business customers only). If the initial payment for the subscription is overdue or if the agreed credit limit is exceeded. The Customer fails to comply with requirements for adequate security. The Customer gives incorrect information when entering into this Subscription Agree ment and subsequently fails to give notice of changes, including change of address. The Customer causes interference in the network, including connecting equipment not complying with the Executive Order on Telecommunications Terminal Equipment in force from time to time. There is reasonable doubt as to the Customer s ability or intention to pay. The Customer uses the mobile service or other Telia services for distributing spam or in a manner infringing the rights of Telia or any third party. Furthermore, Telia may disconnect the service immediately if there is a sudden or substantial increase in usage, or if there is reason to believe that payment will not be made punctually, and the Customer does not pay its debt immediately. Telia may require that security be provided before reopening the service, see also clause 4. Telia may disconnect the service without notice and liability in case of suspected misuse under clause 8. Disconnection shall not constitute a termination of the Subscription Agreement and shall not imply a reduction in the subscription charges, any minimum usage or other fixed costs during the period in which the Customer is in breach of the Agreement. For subscriptions with included voice, the included minutes shall be disregarded for the period in which the Customer is in breach of the subscription. Any unused minutes shall not be credited on expiry of the Subscription Agreement. If the Customer changes the condition that resulted in disconnection, including paying any outstanding amounts, Telia may choose to restore the connection, but usage restrictions may be imposed. When connection is restored, Telia is entitled to charge an administrative fee. Telia is entitled to inform credit rating agencies if the Customer does not comply with the terms of payment. 19. Termination Termination on the part of Telia If the Customer s access to the service is disconnected owing to a breach, Telia may terminate the Subscription Agreement at one month s notice. If the subscription ceases as a result of termination or breach, Telia will make up the Customer s account and arrange for refund or collection of any amount outstanding. It should be noted that the Customer is always liable for subscription rentals, minimum usage and other fixed payments throughout the commitment period. A customer who fails to pay an outstanding debt cannot sign a new subscription agreement with Telia until the outstanding amount has been paid. If Telia decides to stop the provision of mobile telephony or the mobile product governed by the Agreement, Telia may terminate the Agreement at two months notice. If Telia s right to offer the product lapses, Telia may terminate the Agreement to expire at the same time. Termination on the part of the Customer Unless otherwise agreed, the Subscription Agreement shall be non-terminable for a period of 12 months from the date on which the Customer enters into the Agreement. The Customer may terminate the Agreement at three months notice. The Customer cannot terminate the Agreement until after expiry of the period of non-terminability. The period of notice for supplementary services shall be one month. In case the Customer chooses to port its telephone number, Telia will regard this as a notice to terminate this Agreement. In case the Customer does not comply with the provisions of this Agreement in respect of the non-terminability period and notice of termination on account of the Customer s number porting to another telecommunications company, the Customer shall remain liable for all fixed payments to Telia for the remainder of the period of non-terminability and/or notice of termination. Notice to terminate the subscription and/or additional services may be given orally by calling Customer Services on telephone or in writing by forwarding the notice of termination to Customer Services. If a business customer changes its type of subscription, this will result in a new commitment period of 12 months, even if the subscription is changed within the initial 12 months. If a contract term of 24 or 36 months is agreed with the business customer, and the Customer wants to terminate the Agreement before expiry of the contract term, Telia is entitled to compensation. The compensation shall be equal to any discount, benefit etc. obtained by the business customer by virtue of the Customer s acceptance of a contract term of more than 12 months. Furthermore, Telia is entitled to compensation for any extra cost incurred by Telia as a result of the Customer s termination of the Agreement before expiry of the contract term. The minimum amount of compensation shall be DKK Liability Customer The Customer shall be liable under the general rules of Danish law. Telia Telia shall be liable under the general rules of Danish law, always provided that: Telia shall only be liable for direct loss incurred by the Customer and shall thus in no event be liable for any indirect loss, including, but not limited to, operational loss, loss of profits, loss of data, loss of production, loss owing to third party agreements becoming

6 inoperative etc. Furthermore, the liability of Telia shall be limited to an amount equivalent to the amount paid by the Customer to Telia during the last 12 months under the Subscription Agreement. Telia shall be liable for any loss incurred by the Customer due to incorrect registration, accounting errors etc. in Telia s systems, cf. sections of the Danish Act on Payment Services and Electronic Money, as quoted below. Telia shall only be liable for loss or damage due to technical problems, disruptions, interference in the mobile network or lack of service that may be attributed to grossly negligent or wilful acts or omissions on the part of Telia. If faults occur in Telia s public mobile network that involve an interruption of service, Telia may, depending on the circumstances and at the request of the Customer, allow a proportional reduction in subscription charges, provided that the amount exceeds DKK 25 excluding VAT. Interruptions due to lack of coverage or local overload on the network shall not entitle the Customer to a reduction in subscription charges. Telia shall not be liable for faults, breakdowns, interruptions etc. that may be attributed to other telecommunications providers, manufacturers, suppliers or service providers. Nor shall Telia be liable for any damage or loss incurred by the Customer as a result of connecting to the Internet, including viruses and downloading of dialler programs. This shall apply both to terminals and usage. The Customer may protect against unintended usage by subscribing to services such as Billing Control or Barring. Thus Telia shall not be liable for mobile telephones bought by the Customer from dealers or other telecommunications providers, nor shall Telia be liable for the ability of such telephones to work after a completed number porting procedure, e.g. as a result of unlock codes. Telia shall not be under an obligation to fulfil the Subscription Agreement, the present Terms and Conditions and the associated services, facilities and options if this is prevented by circumstances outside Telia s control, including, but not limited to, fire, war, military acts, civil unrest, strikes, lock-out, natural disasters, including lightning and flooding, material interruptions or interference in technical or computer-related systems, which Telia could not have avoided or resolved without unreasonable costs, or which were not foreseeable when the Subscription Agreement was concluded. Telia shall not be liable for tapping of telephone conversations, reading of SMS or MMS messages or by unauthorised persons. 21. Assignment The Customer may assign the subscription to a third party subject to Telia s consent. Telia requires acceptance in writing both by the Customer and the third party, and any outstanding debt must be paid prior to the assignment. Furthermore, Telia is entitled to undertake a credit rating. Telia may charge an administrative fee from the Customer for assignment to the new customer. Telia may assign the Subscription Agreement without notice to a third party or another ownership structure. 22. Changes in terms and prices Telia will implement changes to the advantage of the Customer without notice. Furthermore, the Customer must accept less significant changes to the disadvantage of the Customer. In case of significant changes of terms and prices to the disadvantage of the Customer, Telia will give notice of this by letter, , on the invoice or payment notification, in national newspapers, etc. Here the notice will be given within a reasonable time before the change takes effect. All changes can be seen on telia.dk. 23. Business Customer Services Business Customer Services may be contacted free of charge on telephone From abroad, the telephone number is (charged at the ordinary international call rate to Denmark). s should be sent to mobilerhverv@telia.dk. Written enquiries should be sent to Telia, Customer Services, Holmbladsgade 139, DK-2300 Copenhagen S. Customer Services may also be contacted if the Customer wants to make a complaint. Telia aims to deal with complaints as quickly as possible. In case the Customer and Telia cannot agree on the usage billed, a complaint may be submitted to the Telecommunications Appeals Board (Teleankenævnet) on teleanke.dk. 24. Applicable law and jurisdiction Any dispute arising out of this Agreement shall be settled under Danish law. 25. Coming into force These Terms and Conditions shall come into force on 17 April Section 61(1) and section 62(1)-(9) of the Danish Act on Payment Services and Electronic Money read as follows: 61.-(1) The payer s provider shall be liable to the payer for loss resulting from unauthorised payment transactions, cf. section 57, unless otherwise provided by section 62. In the event of an unauthorised transaction, the payer s provider shall immediately repay the amount to the payer. 62.-(1) The payer s provider shall be liable to the payer for loss resulting from unauthorised use of a payment instrument by others, unless otherwise provided by subsections (2)-(6). The payer shall only be liable pursuant to subsections (2)-(6), if the transaction is correctly recorded and entered in the accounts. In the event of unauthorised use of a payment instrument, the payer s provider shall immediately repay the amount to the payer. The payer shall be liable without limit, however, for losses arising as a consequence of the payer having acted fraudulently or having failed with intent to fulfil his obligations under section 59. (2) Unless more extensive liability is provided under subsection (3) or (6), the payer shall be liable for up to DKK 1,100 for loss resulting from unauthorised use of the payment instrument by others if the personalised security features of the payment instrument have been used. (3) Unless more extensive liability is provided under subsection (6), the payer shall be liable for up to DKK 8,000 for loss resulting from unauthorised use of the payment instrument by others if the payer s provider substantiates that the personalised security features of the payment instrument have been used, and 1) that the payer has omitted to notify the payer s provider as soon as possible after becoming aware that the payment instrument is missing, or that the unauthorised person has become acquainted with the personalised security features, 2) that the payer has surrendered the personalised security features to the person who has executed unauthorised use and the matter is not subject to subsection (6), or 3) that, through grossly inappropriate conduct, the payer has made the unauthorised use possible. (4) The payer shall be liable for up to DKK 8,000 for loss resulting from unauthorised use of the payment instrument by others if the payment instrument has been read physically or electronically, and in this connection the unauthorised person has used a false signature, and the payer s provider substantiates 1) that the payer, or a person to whom the payer has entrusted the payment instrument, has omitted to notify the payer s provider as soon as possible after becoming aware that the payment instrument is missing, or 2) that the payer, or a person to whom the payer has entrusted the payment instrument, through grossly inappropriate conduct, has made the unauthorised use possible. (5) If the payer is liable under subsections (3) and (4), the total liability of the payer shall not exceed DKK 8,000. (6) The payer shall be liable without limit for loss resulting from unauthorised use of the payment instrument by others where the personalised security features of the payment instrument have been used and the payer s provider substantiates that the payer has disclosed the personalised security features to the person who has carried out the unauthorised use, and that this has taken place under circumstances in which the payer realised, or should have realised, that there was a risk of misuse. (7) Notwithstanding subsections (2)-(6), the payer s provider shall be liable for unauthorised use which takes place after the provider has been notified that the payment instrument is missing; that an unauthorised person has obtained knowledge of the personalised security features; or that for some other reason the payer wishes to have the payment instrument blocked. (8) Notwithstanding subsections (2)-(6), the payer s provider shall be liable for unauthorised use if the provider has not taken appropriate measures, cf. section 60(1), no. 2. (9) Notwithstanding subsections (2)-(6), the payer s provider shall also be liable if the payee knew, or should have known, that unauthorised use of the payment instrument existed.
